Speaker BiosSpeaker Bios Karma Bass, MPH, FACHE Principal, Via Healthcare Consulting

Over her 20-year career, Karma Bass has been a sought-after speaker, facilitator, and consultant with deep knowledge and experience in governance, strategic plan-ning, philanthropy, quality oversight, health care policy, and board effectiveness. Before founding Via Healthcare Consult-ing, she spent two years as president and CEO of Alliance Healthcare Foundation in San Diego, California. Notably, Kar-ma spent 10 years at The Governance Institute holding various positions including Vice President, Membership Services and Director of Research & Publications. During her time at The Governance Institute, she oversaw the prestigious biennial hospital governance practices survey tracking trends in US hospitals and health systems. Karma is board-certified in healthcare management and holds a master's degree in public health with a focus in health services administration from San Diego State University. She received her bachelor's degree from the University of California, San Diego.

Maggie Elehwany, JD Vice President, Government Affairs and Policy, National Rural Healthcare Associa-tion (NRHA)

Maggie joined NRHA staff in 2007. She is the head lobbyist for the association and is responsible for the Government Affairs and Policy department. She has 20 years of federal legislative experience. Maggie previously served as health counsel to U.S. Sen. Lisa Murkowski, a member of the Senate Health, Education, Labor and Pensions Committee, and to U.S. Sen. Frank Murkowski, a member of the Senate Finance Committee, where she worked on comprehensive Medicare and Medicaid legislation. Maggie also served as counsel to former U.S. Senate Finance Committee Chairman Bob Packwood. From 1999 to 2005, she served as assistant director of congressional affairs for the American Medical As-sociation, where she advocated on patient and physician is-sues. Maggie earned a J.D. from the University of Oregon and a B.A. from Oregon State University.

A. Clinton (Clint) MacKinney, MD, MS has worked in health care for over 30 years, including 14 years as a rural family physician, practicing the full scope of family medicine. Dr. MacKinney worked as Medi-cal Director for a globally-capitated primary care group with 210 employees and a $50 million budget. He also worked for 8 years as a national rural healthcare consultant in over 50 rural communities. Dr. MacKinney currently works as an emergency

department physician in rural Minnesota. Dr. MacKinney is Clin-ical Associate Professor in the Department of Health Manage-ment and Policy at the College of Public Health, University of Iowa. Dr. MacKinney has been a member of the RUPRI Health Panel since 1998 and has served on multiple national commit-tees. Dr. MacKinney's professional interests include rural healthcare value, health system design, physician and admin-istration relationships, physician payment, rural health policy, and population-based health care.

Ian Morrison, PhD Author, Consultant, and Futurist

Ian is an internationally known author, consult-ant, and futurist specializing in long-term fore-casting and planning with particular emphasis on health care and the changing business envi-ronment. He combines research and consulting skills with an incisive Scottish wit to help public and private organizations plan their longer-term future. Ian is the author of several books including, most recently, Leading Change in Healthcare: Building a Viable System for Today and Tomorrow. His book: The Second Curve - Managing The Velocity of Change was a New York Times Business Bestseller and BusinessWeek Bestseller. Ian is a founding partner in Strategic Health Per-spectives a forecasting service for clients in the healthcare in-dustry.

Since 1998 he has focused his consulting and advisory practice on helping senior leaders define and execute strategies for im-provement and organizational transformation. Specific areas of expertise include strategy, clinical integration, quality systems, quality measurement, technology, governance, leadership sys-tem development and strategic planning. Michael holds a B.S. and an M.P.H. in Health Care Administration from Tulane Uni-versity and is the author of multiple articles and book chapters on quality and governance.

Scott B. Shanker, JD Attorney, Butler Snow, LLP

Scott Shanker has been with Butler Snow since 2010 as a member of the Healthcare, Regulatory & Transactions Group with a practice emphasis in: Healthcare Law, Trans-actions, Regulatory Compliance Counsel and Advice. He has extensive experience counseling healthcare clients regarding business operations and regulatory matters including hospitals and health systems, single- and multi-specialty physician practices, ambulatory surgery centers and ancillary service providers. The Trump Administration is committed to Repeal and Replace Obamacare in 2017. This is causing all stakehold-ers to re-examine strategy and respond to a potentially dramatic shift in the policy and regulatory environment. Organizations and individuals need to be flexible to ad-just to a new reform agenda, including the push for more widespread reimbursement reform, changes in coverage, growth in transparency and accountability, and the re-lentless quest for value in healthcare driven by patients and purchasers. This presentation will focus on the politi-cal, economic, and strategic context of change in healthcare, describe the possible scenarios we face and examine how the various actors are preparing for the future. Drawing on experience from around the country, it will identify the leadership challenges and opportuni-ties that lie ahead and will provide strategic insights on how organizations and individuals can flourish in the fu-ture.

Rural America spoke loudly in the 2016 election, but will their voices be heard in 2017? The rural hospital closure crisis continues to escalate. One in three rural hospitals is at financial risk and at the current rate of closure, 25% of all rural hospitals will close unless Congress acts. Reduc-

tions in Medicare, the lack of Medicaid expansion, and the challenges of rural population health all converge on the rural hospital, making operating margins even narrower. This session will describe legislation advanced to Congress to help stop the rural hospital closure crisis and assist all rural hospitals. It will also describe the regulatory relief asked of a new Administration that promises to ease regula-tory burdens.

The Hospital Board is ultimately responsible for everything that happens in the hospital. More than just fiduciary re-sponsibility, Boards are also responsible for clinical out-comes, patient safety and the overall patient experi-ence. Yet, many Board members are often uncomfortable with this responsibility and are overwhelmed by quality and safety data that they review. It should not be this hard. In this session Mr. Pugh will explore the role and responsibili-ties of the Board with respect to strategy, quality and safety and provide insights and ideas for increasing Board effec-tiveness.

Hospital boards of directors increasingly find themselves on the front lines of the organizational battle to survive and thrive. When the future of an organization is at stake, only those with the highest level of leadership will prevail. How the Board conducts itself, manages its own business, and interacts with the hospital staff, physicians and community tells an important story that too often is overlooked. This session will focus on the practices effective Boards follow and how a dysfunctional culture in the Boardroom can un-dermine even the most brilliant organizational strategy. Leading governance expert Karma Bass will walk through both the tangible activities that Boards can undertake to improve their own performance as well as the intangible factors that go into creating a healthy Boardroom culture.

Compliance Considerations and Structuring Hospi-tal-Physician Arrangements Scott Shanker, JD, Butler Snow LLP

Compliant relationships with physicians are critical to any Hospital’s success. The two intersect at the “crossroads” of federal/state fraud & abuse laws. Compliance enforcement is increasing and focusing on both corporate wrongdoing and individual liability. Every Hospital Board and C-Suite needs at least a basic understanding of hospital/physician relationships and incentivizing physician behavior in ways that comply with such laws. Contracting with physicians in a compliant and strategic manner can determine a Hospi-tal’s financial success or failure.

Boards and Quality: What Really Matters Michael D. Pugh, President, MdP Associates, LLC

Building on the concepts introduced in the previous day general session, Michael Pugh will lead participants

Dr. MacKinney’s presentation will propose that a fundamental healthcare reform strategy is to shift healthcare payment from volume-based to value-based. Changing healthcare payment will change healthcare delivery – form follows finance. The presenta-tion will define value-based payment, describe value-based healthcare payment systems, and discuss implications for rural providers and communities.

Weather The temperature in Indian Wells/Palm Springs area is warm year round. The average high for the beginning of May is around 88o with lows in the mid-60s. Bring sunscreen!

Attire Attire for the conference is business casual. Plan to dress in lay-ers to ensure you are warm or cool enough for inside meetings and outdoor activities. The reception and dinner are scheduled to take place outside in the evening so please dress accordingly.

Airport Transportation / Hotel Parking Palm Springs International Airport is the closest airport to the Hyatt Regency Indian Wells. Another flight option is the Ontario International Airport which is 85 miles away. Parking at the hotel is $11 per day for self parking and $27 for valet. CONTINUING EDUCATION CREDITS Continuing Education Credit Hours provide a standard measure of formal recog-nition of participation in an organized, professional learning experience. Most states accept approved contact hours for reciprocity and participants simply submit documentation of attendance and contact hours approval. HealthTech applied for 11.75 elective credits from the American Academy of Family Physi-cians. Many professional organizations such as AHIMA, HFMA, and ACHE award continuing education credit with documentation of attendance. The program is also pre-approved by the California Board of Registered Nursing (Provider No. 08769) for up to 10.25 contact hours depending on the sessions attended.

In order to receive contact hours, you must: 1. Complete the sign-in form for each educational session 2. Claim hours of contact that you actually spent in the educational

session 3. Submit a certificate of attendance (provided by HealthTechS3)

and any other necessary forms or documents to your respective professional organization
