    referenced s i t e , to request your voluntary participation in

    undertaking cleanup a c t i v i t i e s at the Site, to request that you

    make restitution by payment of the costs incurred by the United

    States Environmental Protection Agency's investigatory actions at

    the Site, and to request that you provide information concerning

    your company's involvement with the Site.

    NOTICE OF POTENTIAL LIABILITY AND

    REQUEST FOR PARTICIPATION IN CLEANUP ACTIVITIES

    The Snited .States Environmental Protection Agency (EPA) has

    documented the release and threatened release of hazardous

    substances and pollutants or contaminants at the above-referenced

    s i t e . EPA has spent and i s considering spending additional public

    funds on actions to investigate and control such releases or

    threatened releases at the Site. Unless EPA determines that a

    responsible party w i l l properly perform such actions, EPA w i l l

    i t s e l f perform these actions pursuant to Section 104 of the

    Comprehensive Environmental Response, Compensation and L i a b i l i t y

    Act, 42 U.S.C. § 9601 et sea. (CERCLA).

    Under Sections 106(a) and 107(a) of CERCLA; Section 7003 of the

    Resource Conservation and Recovery Act, 42 U.S.C. § 6973 (RCRA);

    and other laws, responsible parties may be obligated to implement

    r e l i e f actions deemed necessary by EPA to protect the public health

    and welfare or the environment and may be liable for a l l costs

    incurred by the government in responding to any release or

    threatened release at the Site. Such costs may include, but are

    not limited to, expenditures for investigation, planning, or

    cleanup and expenditures for enforcement a c t i v i t i e s . In addition,

    potentially responsible parties (PRPs) may be requested to pay

    damages for injury to, destruction of, or loss of natural

    resources, including the costs to assess such damages.

    Responsible part i e s under CERCLA include persons who are current

    and former owners or operators of a s i t e , persons who arranged f o r

    the disposal of hazardous substances found at a s i t e , and persons

    who accepted hazardous substances f o r transport t o a s i t e selected

    by such persons. During EPA's investigation of the Union Chemical

    Company, Inc. s i t e , a large body of evidence was evaluated i n order

    t o i d e n t i f y the PRPs a t the Site. This evidence included, but was

    not l i m i t e d t o : Site business records, Site processing documents,

    hazardous waste manifests, invoices, and information submitted by

    PRPs i n response t o si m i l a r information requests.

    Based on t h i s evidence and information provided by the [name of

    company], EPA believes t h a t you are a PRP with respect t o t h i s

    S i t e. S p e c i f i c a l l y , EPA believes t h a t you arranged by contract,

    agreement or otherwise with the [name of Company] f o r disposal or

    treatment of hazardous substances found at the S i t e . By t h i s

    l e t t e r , EPA n o t i f i e s you of your p o t e n t i a l l i a b i l i t y w i t h regard to

    t h i s Site and encourages you, as a p o t e n t i a l l y responsible party,

    t o reimburse EPA f o r the costs incurred t o date and t o v o l u n t a r i l y

    perform or finance the response a c t i v i t i e s t h a t EPA has determined

    are required at the Site.

    DEMAND FOR PAYMENT OF COSTS INCURRED TO DATE

    I n accordance w i t h CERCLA and other a u t h o r i t i e s , EPA has already

    undertaken c e r t a i n actions and incurred c e r t a i n costs i n response

    t o conditions at the Site. These response actions include the

    removal of over 2,000 drums containing over 100,000 gallons of

    hazardous materials and sludges, and the ongoing performance of a

    Remedial Investigation and F e a s i b i l i t y Study (RI/FS). At t h i s

    time, EPA has recovered almost two m i l l i o n d o l l a r s i n response

    costs at the Si t e . Additional expenses incurred by EPA f o r

    continued response actions amount t o at least $1,246,410.12. The

    Agency anticipates expending additional funds f o r response

    a c t i v i t i e s at the Site under the authority of CERCLA and other

    laws, including those response actions described below. I n

    accordance with Section 107(a)(4)(D) of CERCLA, demand i s hereby

    made f o r payment of the above amount plus any and a l l i n t e r e s t

    authorized t o be recovered under that Section or any other

    provision of the law. Demand i s also hereby made under these

    a u t h o r i t i e s f o r payment of in t e r e s t on a l l future costs t h a t EPA

    may accrue i n regard t o the Site.

    FORTHCOMING RESPONSE ACTIVITIES AT THE SITE

    EPA i s planning t o conduct the following studies and a c t i v i t i e s at

    the Site:

    1. completion of the Remedial Investigations t o i d e n t i f y the

    l o c a l characteristics of the Site and t o define the

    nature and extent of s o i l , a i r , surface water and

    groundwater contamination at the S i t e ;

    2. completion of the F e a s i b i l i t y Study t o evaluate the

    f e a s i b i l i t y of possible remedial actions t o remove or

    contain hazardous substances, p o l l u t a n t s , and

    contaminants at the Si t e ;

    3. design and implementation of the remedial actions

    selected and approved by EPA f o r the S i t e ; and

    4. operation, maintenance and monitoring necessary at the

    S i t e .

    I n addition t o those enumerated above, EPA may, pursuant t o i t s

    a u t h o r i t i e s under CERCLA and other laws, decide t h a t other

    clean-up a c t i v i t i e s are necessary t o protect public health, welfare

    or the environment.

    TIMING AND FORM OF RESPONSES TO THIS LETTER

    I n addition t o your response t o the questions i n Enclosure D., you,

    as a P o t e n t i a l l y Responsible Party, should n o t i f y EPA i n w r i t i n g

    w i t h i n t h i r t y (30) days of receipt of t h i s l e t t e r of your w i l l i n g

    ness t o perform or finance the a c t i v i t i e s described above. I f EPA

    does not receive a timely response, EPA w i l l assume t h a t your

    company does not wish t o negotiate a resolution of i t s l i a b i l i t i e s

    i n connection with the Site and that your company has declined any

    involvement i n performing the response a c t i v i t i e s . Your l e t t e r

    should designate your company name, contact person, address, and

    telephone number t o be used f o r future contact with you.

    I f you are already involved i n discussions with state or lo c a l

    a u t h o r i t i e s , engaged i n voluntary cleanup action, or involved i n

    a lawsuit regarding t h i s Site, you should continue such a c t i v i t i e s

    as you see f i t . This l e t t e r i s not intended t o advise you or di r e c t

    you t o r e s t r i c t or discontinue any such a c t i v i t i e s ; however, you

    are advised t o report the status of discussions or actions between

    you and any other parties involved i n those discussions or actions

    i n w r i t t e n communication t o EPA.

    SPECIAL NOTICE AND NEGOTIATION MORATORIUM

    At an appropriate point i n the future, you may receive an

    a d d i t i o n a l notice informing you that one or more of the above

    a c t i v i t i e s i s pending and that your cooperation i s being requested

    t o negotiate the terms of an agreement t o perform or finance these

    a c t i v i t i e s .

    This forthcoming notice w i l l serve t o inform you t h a t EPA i s

    invoking the CERCLA Section 122(e) Special Notice procedures to

    formally negotiate the terms of a consent order or consent decree

    t o conduct or finance s i t e response a c t i v i t i e s at the Site or i t

    w i l l inform you the EPA i s not using such procedures pursuant to

    Section 122(a). I f EPA does not use the Section 122(e) Special

    Notice procedures, the Section 122(a) notice w i l l explain why the

    Special Notice procedures were not appropriate i n t h i s case. Under

    Section 122(e), EPA has the discretionary a u t h o r i t y t o invoke

    Special Notice procedures i f EPA determines t h a t such procedures

    would f a c i l i t a t e an agreement between EPA and the PRPs and would

    expedite remedial action at the Site.

    Use of the Special Notice procedures t r i g g e r s a moratorium on

    c e r t ain EPA a c t i v i t i e s at the Site. The purpose of the moratorium

    i s t o provide a period of time when PRPs and EPA may enter i n t o

    formal negotiations allowing PRPs the opportunity t o conduct or

    finance the response a c t i v i t i e s at the Si t e .

    INFORMATION TO ASSIST RESPONSIBLE PARTIES

    The fac t u a l and legal discussions i n t h i s l e t t e r are intended

    s olely t o provide notice and information. These discussions are

    not t o be construed as a f i n a l Agency po s i t i o n on any matter set

    f o r t h herein.

    SITE INFORMATION

    EPA would l i k e t o encourage good f a i t h negotiations between you and

    the Agency and among you and other parties p o t e n t i a l l y responsible

    f o r the Site. To"assist responsible parties i n preparing f o r

    negotiations with EPA concerning t h i s matter, EPA i s providing the

    f ollowing information:

    1. A l i s t of the names and addresses of p o t e n t i a l l y

    responsible parties t o whom t h i s n o t i f i c a t i o n i s being issued.

    This l i s t represents EPA's findings on the i d e n t i t i e s of these

    p o t e n t i a l l y responsible parties. Inclusion on, or exclusion

    from the l i s t , does not constitute a f i n a l determination by

    the Agency concerning the l i a b i l i t y of any party f o r the

    hazard or contamination at the Site. (Enclosure A);

    2. A ranking by volume of hazardous waste contributed by

    each p o t e n t i a l l y responsible party i d e n t i f i e d at the Site.

    This l i s t includes the names of previously i d e n t i f i e d

    responsible par t i e s . Under the terms of Section 122(e)(3)(c)

    of CERCLA, t h i s l i s t s h a l l not constitute an apportionment or

    other statement by EPA on the d i v i s i b i l i t y of harm or

    causation i n connection with the Site ; nor s h a l l the l i s t be

    admissible as evidence i n any proceeding. (Enclosure B);

    3. A packet containing a l l documentation i d e n t i f y i n g you as

    the generator of hazardous waste sent t o the Union Chemical

    Company, Inc. s i t e f o r processing or disposal. Since the

    documentation f o r these transactions may not be available to

    you as Union Chemical Company transactions, EPA i s providing

    t h i s supporting documentation as Enclosure C.

    Please be advised that EPA has determined that the information on

    Enclosures A, B and C i s considered investigatory records compiled

    for enforcement purposes. The public release of the records

    described above may interfere with enforcement proceedings and

    disclose investigatory techniques and procedures. As such, these

    records are exempt from mandatory disclosure under the investiga

    tory records exemption of the Freedom of Information Act, 5 U.S.C.

    § 522(b)(7). Nevertheless, a limited disclosure of these records

    i s being made in order to further the settlement negotiations and

    to encourage communication among a l l parties. These records are

    being provided as a discretionary release of information to the

    potentially responsible parties, and they should not be disclosed

    further or made publicly available in any context unless you are

    given prior approval by EPA.

    PRP STEERING COMMITTEE

    EPA recommends that a l l PRPs meet to form a PRP steering committee

    which w i l l function as a group representing and pursuing the

    interests of the PRPs. Establishing a manageable group i s a

    c r i t i c a l component of the negotiation process. A steering

    committee representing parties who are conducting the Remedial

    Investigation and Feasibility Study (RI/FS) at the Union Chemical

    Company, Inc. (UCC) site and who have settled their l i a b i l i t y for

    costs incurred before May of 1987 already exists. EPA encourages

    you to join with them to negotiate settlements for future work and

    work performed since May of 1987.

    For your convenience, EPA i s providing the name and address of the

    representative for the UCC site steering committee.

    In accordance with Section 113(k) of CERCLA, EPA must establish an

    Administrative Record containing the documents used by EPA to

    select the appropriate response actions for the Site. This

    Administrative Record w i l l soon be available to the public for

    inspection and comment. This Administrative Record w i l l be located

    at the EPA Records Center on 90 Canal Street in Boston,

    Massachusetts and at a location in close proximity to the Site.

    INFORMATION REQUEST

    Currently, EPA i s continuing to investigate the source, extent,

    and nature of the release or threatened release of any hazardous

    substance, pollutant or contaminant, or hazardous waste on or about

    the Union Chemical Company, Inc. s i t e in South Hope, Maine. This

    investigation requires inquiry into the identification, nature, and

    quantity of materials that were generated, treated, stored, or

    disposed of at the Site or transported to the Site.

    Pursuant to the authority of Section 104 of CERCLA, 42 U.S.C.

    § 9604 and Section 3007 of the Resource Conservation and Recovery

    Act (RCRA), 42 U.S.C. § 6927, you are hereby requested to respond

    to the Information Request set forth in Enclosure D of this letter.

    A response to this Information Request i s required and should be

    separate from your response as a Potentially Responsible Party.

    Compliance with the Information Request set forth in Enclosure D

    i s mandatory. Failure to respond fully and truthfully to the

    Information Request within thirty (30) days of receipt of this

    l etter, or to adequately j u s t i f y such failure to respond, w i l l

    l i k e l y result in enforcement action by EPA pursuant to Section

    104(e) of CERCLA, and/or Section 3008 of RCRA. Each of these

    statutes permits EPA to seek the imposition of penalties of up to

    twenty-five thousand dollars ($25,000) for each day of continued

    non-compliance. Please be further advised that provision of false,

    f i c t i t i o u s , or fraudulent statements or representations may subject

    you to criminal penalties under 18 U.S.C. § 1001 or Section 3008(d)

    of RCRA.

    This Information Request i s not subject to the approval

    requirements of the Paperwork Reduction Act of 1980, 44 U.S.C.

    DEFINITIONS

    The following d e f i n i t i o n s s h a l l apply t o the following words

    as they appear i n t h i s Attachment:

    1. The term "you" or "Respondent" s h a l l mean the addressee of

    t h i s Request, the addressee's o f f i c e r s , managers, employees,

    contractors, trustees, successors, assigns, and agents.

    2. The term "person" as used herein includes, i n the p l u r a l as

    w e l l as the singular, any natural person, f i r m , unincorporated

    association, partnership, corporation, t r u s t or other e n t i t y .

    3. The terms the "Site" or the " F a c i l i t y " s h a l l mean and include

    but not be l i m i t e d t o , the property of the Union Chemical Company

    i n South Hope, Maine.

    4. The term "hazardous substance" s h a l l have the same d e f i n i t i o n

    as that contained i n Section 101(14) of CERCLA and includes any

    mixtures of such hazardous substances with any other substances,

    i ncluding petroleum products.

    5. The term "poll&fant or contaminant," s h a l l have the same

    d e f i n i t i o n as th a t contained i n Section 101(33) of CERCLA,

    and includes any mixtures of such pollutants and contaminants

    w i th any other substances, including petroleum products.

    6. The term "hazardous waste" s h a l l have the same d e f i n i t i o n

    as t h a t contained i n Section 1004(5) of RCRA.

    7. The term "materials" s h a l l mean a l l substances t h a t have been

    generated, treated, stored, disposed of, or otherwise handled at,

    or transported to" the Site, including, but not l i m i t e d t o , a l l and

    any hazardous substance, p o l l u t a n t or contaminant, and hazardous

    waste as defined above.

    8. The term "hazardous material" s h a l l mean a l l hazardous

    substances, poll u t a n t s or contaminants, and hazardous wastes, as

    defined above.

    9. The term " i d e n t i f y " means, with respect t o a natural person,

    t o set f o r t h the person's name, present or l a s t known business

    address and business telephone number, present or l a s t known home

    address and home telephone number, and present or l a s t known job

    t i t l e , p o s i t i o n or business.

    10. The term " i d e n t i f y " means, with respect t o a corporation,

    partnership, business t r u s t or other association or business

    e n t i t y (including a sole proprietorship), t o set f o r t h i t s f u l l

    name, address, legal form (e.g. corporation, partnership, e t c . ) ,

    organization, i f any, and a b r i e f description of i t s business.

    11. The term "identify" means, with respect to a document, tp

    provide i t s customary business description, i t s date, i t s number

    i f any (invoice or purchase order number), the identity of the

    author, addressor, addressee and/or recipient, and the substance or

    the subject matter.

    12. The term "release" has the same definition as that contained

    in Section 101(22) of CERCLA, 42 U.S.C. § 9601(22), and includes

    any s p i l l i n g , leaking, pumping, pouring, emitting, emptying,

    discharging, injecting, escaping, leaching, dumping, or disposing

    into the environment, including the abandonment or discharging of

    barrels, containers, and other closed receptacles containing any

    hazardous substance or pollutant or contaminant.

    13. The terms "document" and "documents" shall include: (a)

    writings of any kind, formal or informal, whether or not wholly or

    p artially in handwriting, including by way of i l l u s t r a t i o n and not

    by way of limitation, ai.y invoice, receipt, endorsement, check,

    bank draft, cancelled check, deposit s l i p , withdrawal s l i p , order,

    correspondence, record book, minutes, memorandum of telephone and

    other conversations including meetings, agreements and the like,

    diary, calendar, desk pad, scrapbook, notebook, bulletin, circular,

    form, pamphlet, statement, journal, postcard, letter, telegram,

    telex, report, notice, message, analysis, comparison, graph, chart,

    interoffice or interoffice communications, photostat or other copy

    of any documents; (b) microfilm or other film record, any photo

    graph, sound recording on any type of device, any punch card, disc

    or disc pack; (c) any tape or other type of memory generally

    associated with computers and data processing (together with the

    programming instructions and other written material necessary to

    use such punch card, disc, or disc pack, tape or other type of

    memory and together with printouts of such punch card, disc, or

    disc pack, tape or other type of memory); and (d)(1) every copy of

    each document" which i s not an exact duplicate of a document which

    i s produced, (2) every copy which has any writing, figure or

    14. The terms "and" and "or" shall be construed either

    disjunctively or conjunctively as necessary to bring within the

    scope of this Information Request any information which might

    otherwise be construed to be outside i t s scope.

    15. The term "arrangement" means every separate contract or

    other agreement between two or more persons.

    16. The terms "transaction" or "transact" mean any sale,

    transfer, giving, delivery, change in ownership, or change in

    possession.

    including but not l i m i t e d t o , any ownership i n t e r e s t , any i n t e r e s t

    i n the r e n t a l of property, any i n t e r e s t i n a corporation t h a t owns

    or rents or owned or rented property, and any i n t e r e s t as either

    the trustee or beneficiary of a t r u s t t h a t owns or rents, or owned

    20. The term "asset" shall include the following: re a l estate,

    buildings or other improvements to real estate, equipment,

    f o r the disposal, recycling or treatment, or the transportation for

    disposal, recycling or treatment of hazardous substances?

    f. a l l tests or analyses and analytical results concerning

    each hazardous substance, each shipment or waste type.

    2. Identify a l l persons that may have accepted materials for

    transportation to the Site. Such persons w i l l hereafter be

    referred to as "transporters." For each such transporter, further

    identify:

    a. the nature of the materials accepted by the transporter

    including the chemical content, characteristics, and

    physical state (e.g., solid, liquid);

    b. every date on which the transporter transported the

    hazardous materials to the Site;

    c. the quantity (weight and volume) of materials brought by

    the transporter to the Site;

    d. a l l tests, analyses, analytical results and manifests

    concerning each hazardous material accepted for

    transportation to the Site;

    e. who selected the Site as the location t o which the

    transporter would take each hazardous material;

    f . where the persons i d e n t i f i e d above, intended t o have such

    hazardous materials transported and a l l evidence of t h e i r

    i n t e n t ; and

    g. a l l sites at which such hazardous materials were trans

    shipped, stored, or held prior to their f i n a l treatment

    or disposal.

    3. Identify a l l persons, including you, who may have arranged for

    disposal or treatment or arranged for transportation for disposal

    or treatment of materials at or to the Site. Such persons w i l l

    hereafter be referred to as "generators." In addition, identify:

    a. the persons with whom the generators made such

    arrangements;

    b. every date on which each generator made such

    arrangements;

    c. the nature, including the chemical content, characteris

    t i c s , physical state (e.g., solid, liquid) and quantity

    (volume and weight) of a l l hazardous materials involved

    in each such arrangement;

    d. a l l tests, analyses, analytical result or manifests

    concerning each hazardous material involved in such

    transactions;

    e. the precise locations at the Site where each hazardous

    material involved in such transactions actually was

    disposed or treated;

    f. who selected the Site as the location at which hazardous

    materials were to be disposed or treated;

    g. where the generator intended to have the hazardous

    materials involved i n each arrangement treated or

    disposed and a l l evidence of t h e i r i n t e n t ;

    h. a l l intermediate sites to which the hazardous materials

    involved in each arrangement were transshipped, stored,

    or held any time prior to final treatment or disposal;

    i . what was the intended f i n a l d i s p o s i t i o n ( i . e . , reclaim,

    i n cinerate, etc.) of the hazardous materials once they

    were brought to the Si t e ;

    j . what was the actual final disposition of each of the

    hazardous materials involved in each arrangement;

    k. the measures taken by you to determine how and where

    treatment or disposal of the hazardous materials involved

    in each arrangement would actually take place; and

    1. the markings on and type, condition and number of

    containers in which the hazardous materials were

    contained when they were stored, disposed, treated, or

    transported for disposal or treatment.

    4. I f you believe you have any legal defenses to l i a b i l i t y under

    CERCLA, please explain the defense and provide a l l relevant
