Through the talks, we aim to support investors, financiers, buyers and sellers with advice and practical cost-effective solutions regarding their current assets and future transactions.

08:20 Environmental law issues in the sale of a business Shaun O’SheaShaun will discuss the protections that a buyer can demand in respect of environmental issues in any share sale or business sale, and the limitations or exclusions that the seller would place on any such provisions. He will review the key provisions of share sale and business transfer agreements dealing with environmental law, particularly warranties, indemnities, limitations and exclusions. He will also touch briefly on the due diligence exercise and the difference between warranties and indemnities.

This morning seminar, which is free to attend, will focus on topics associated with the acquisition and disposal of land, for example, regulatory compliance, contaminated land or groundwater, legal obligations and planning due diligence. It is relevant to housing associations, commercial organisations, construction companies, developers, planners, architects, quantity surveyors, property portfolio managers and financiers.

What does contamination mean during the transaction process? How can contamination affect the planning process? What are the long-term risks and liabilities of contaminated land?

Tony O’Sullivan, partner at Beauchamps Solicitors

Tony is a partner in the commercial property group at Beauchamps. He advises on all aspects of commercial property and construction transactions, including negotiating the acquisition and sale of properties, funding of property acquisitions, commercial property developments, commercial leases, bank lending and advising on the property aspects of mergers and acquisitions. Through his AITI qualification and work experience, Tony has considerable expertise in relation to VAT on property, stamp duty and other taxes.

Tony was a lead property lawyer advising the National Asset Management Agency on the acquisition tranches and the sale of various enforced properties.

Shaun O’Shea, head of corporate and commercial at Beauchamps Solicitors

Shaun is a partner in Beauchamps’ corporate and commercial department. From 2008 to 2011, he served as Beauchamps’ managing partner. He works closely with clients across a wide spectrum of activities, including healthcare and life sciences, retail, and hotels and leisure, and advises on the full range of business law issues that arise. Shaun’s practice areas include mergers and acquisitions, corporate finance, corporate restructuring, joint ventures, inward investment and general commercial matters. In addition to his experience as a corporate lawyer, Shaun is a registered chartered tax adviser and an accredited mediator by the Centre for Effective Dispute Resolution. He sits on the professional affairs committee of the Irish Tax Institute.

Tom Phillips, managing director at Tom Phillips and Associates (TPA)

Tom is a chartered town planner and an urban designer. He has over 26 years’ extensive experience of all planning sectors gained throughout Ireland and overseas. TPA works across all development sectors from alternative energy to leisure, for projects such as the new Aviva Stadium in Dublin and the Corrib gas terminal in County Mayo. Tom also has a strong record of leading oral hearings to successful outcomes.

A part-time lecturer in planning and environmental policy at University College Dublin, Tom is the Chairman of Property Industry Ireland, a member of the Royal Town Planning Institute and a Fellow of the Irish Planning Institute.

Peter Rodgers, associate director at RSK

Peter is an associate director with RSK with over 11 years’ experience of working as an environmental consultant in Ireland, UK and Australia. Specialising in contaminated land assessment and remediation, he has worked for various clients, including local authorities, planners, property developers and multinational companies. Peter’s recent experience includes the large-scale remediation of a hydrocarbon-contaminated council depot for its redevelopment as a community park. He has extensive experience of environmental due diligence assessments for property transactions with domestic and international clients. He is a certified environmental practitioner.
