BEC TECHNICAL COMMITTEE The BEC Technical Committee is a standing committee within the Glass Association of North America. Both members and non-members are welcome and encouraged to attend this opening session of the conference.

JOHNNY BENCHKEYNOTE SPEAKER

Elected to the Baseball Hall of Fame in January 1989, Bench is considered “Baseball’s Greatest Catcher” and was named the starter behind the plate of the All-Century Team. His successes include National League Rookie of the Year (1968), National League Most Valuable Players (1970, 72), back-to-back World Series Championships with the Big Red Machine (1975, 76), World Series MVP (1976), 14-time All-Star, and 10 Gold Gloves. Johnny will share his Vowels for Success!

Peggy Stevens is the founder and president of Peggy Noe Stevens & Associates. Her company specializes in professional brand assessment and strategy for both people and places. Ms. Steven’s approach conveys powerfully targeted brand messaging through environments while building confidence, self-awareness and professional presence in employees. Peggy brings a gracious, fresh and relevant approach to establishing image.

Kai-Uwe Bergmann is a Partner at BIG who brings his expertise to proposals around the globe, including work in North America, Europe, Asia and the Middle East. Kai-Uwe heads up BIG’s business development which currently has the office working in 20 different countries. Registered as an architect in the USA and Canada, Kai-Uwe most recently contributed to the resiliency plan BIG U to protect 10 miles of Manhattan’s coastline.

Serge Martin brings over 20 years of glass industry experience in the field of marketing, strategic planning and business development. Mr. Martin, who holds a Masters in Engineering, Business and Management, began his career as a product manager for AGC Glass Europe and then occupied various positions in sales and coated, laminated and fabricated glass products. In 2007, he joined the leadership team of AGC Glass North America and is VP of Marketing, Building & Industrial Products.

GLASS ASSOCIATION OF NORTH AMERICA ANTITRUST POLICY STATEMENT

The policy of the Glass Association of North America (“GANA”) and its members requires strict compliance with all laws applicable to Association activities. Because the Association’s activities involve collective meetings and cooperative undertak-ings between and among members, often competitors in the industry, it is important to remain committed to all applicable antitrust principles.

This statement is intended to highlight and emphasize the principal antitrust standards relevant to GANA programs. The antitrust laws are complex and are summarized below, but only in general terms. You are, therefore, encouraged to seek the guidance of Association legal counsel and your own attorneys.

I. RESPONSIBILITY FOR ANTITRUST COMPLIANCEGANA’s structure has been fashioned and its programs carried out in conformance with antitrust standards. Paramount re-sponsibility for antitrust compliance -- including avoidance of even an appearance of improper activities -- is yours. Your em-ployer and this Association depend upon your good judgment to avoid all discussion of matters not identified on the agenda. Association staff works conscientiously to avoid subject matter or discussion which could have unintended implications, and General Counsel for the Association provides guidance with regard to these matters. The competitive significance of particu-lar conduct and communication is, however, most readily evident to you, given your direct involvement in the industry.

II. ANTITRUST GUIDESUnder the federal antitrust laws, penalties for antitrust violations are severe. Corporations are subject to heavy fines and injunctive decrees, threatening far ranging impact upon corporate activities. Corporations also may be liable for substantial industry damages. Individuals are subject to criminal prosecution and may be punished by fines and imprisonment.

In general, the antitrust laws seek to preserve free and open competition. Competitors may not restrain competition among themselves with reference to the price, quality, or distribution of their products, and they may not agree or act together to restrict the competitive capabilities or opportunities of their competitors, suppliers, or customers.

In all trade association activity, you should heed the following guidelines:

• Price: Prices, discounts, and other forms of sale must never be discussed at GANA meetings. Discussion of costs of pro-duction and labor are also forbidden. They affect price.

• Other competitive information: Communication or exchange of confidential competitive information of other kinds may also be improper, and GANA imposes safeguards to prevent inappropriate disclosures. For example, when the Association compiles composite statistical information and publishes or otherwise disseminates it, those reports are made for proper uses and purposes only. They represent an aggregation of historical data from members; an individual member’s data are kept confidential, disclosed neither to other members nor to those outside the Association.

• Meetings: GANA meetings are carefully structured and monitored. Agenda for all meetings are approved by Legal Counsel, circulated in advance, and carefully followed at the meetings. A GANA staff member attends all GANA meetings and prepares the minutes of each meeting. GANA General Counsel attends all Association membership meetings, Board meetings, and other Association meetings at which sensitive issues are discussed. Counsel also reviews the minutes of all meetings. There are no informal, unannounced, or “off-the-record” meetings of the Association or any of its committees. Discussion of legally sensitive matters must never occur outside of formal meetings, such as at social functions, athletic events, or otherwise.

• Membership and Participation: Membership in GANA is open to all companies and individuals meeting the require-ments of the Association’s Bylaws. The Association constantly seeks to broaden its membership base, consistent with its mission and purposes, to include all industry members. Wide membership participation is sought in all GANA programs. Association meetings are open to all members. Association publications are available to all members, and to all non-mem-bers for a reasonable charge.

• Public Statements: The Association seeks to ensure the accuracy and completeness of all its public statements such as those to federal, state and local government officials made on behalf of the glass and glazing industry. To this end, each Association member should insure that its member data and other information reported to the Association are accurate and complete.

• Improper Acceptance: Compliance with the Association’s policy involves not only the avoidance of antitrust violations, but also any behavior that might be so construed. Communications or correspondence must never be conducted in a man-ner or language which could be misunderstood. If question arises regarding any GANA activity, you should consult your attorney, GANA staff, or GANA General Counsel.

III. CONCLUSION The Glass Association of North America will not knowingly be a party to conduct restricting in any way a member’s freedom to make independent decisions in matters affecting competition. You have an important responsibility to make sure your Association’s activities conform to this standard.
