The following “General terms and conditions of Neue Mediengesellschaft Ulm mbH for exhibitors and sponsors“ (hereinafter “General terms“) apply for allocation of exhibi-tion space and additional stand furnishings on request on a rental basis for the pre-sentation of products or other sponsoring activities for commercial purposes and further related additional services between NMG Mediengesellschaft Ulm mbH, Bay-erstraße 16 a, 80335 Munich (hereinafter ”NMG“”) and you as exhibitor or sponsor (hereinafter “participant” or “main exhibitor”) in your function as contractor. NMG’s “Specific registration-/participation conditions” and business terms of a third party, e.g. an exhibition centre, supplement these general terms and conditions (hereinafter all known as “Terms”). The following order of precedence applies: Registration confir-mation by NMG combined with the details in the registration form; NMG’s Specific registration-/participation conditions; general terms and conditions; business terms of a third party.

1. Registration / Conclusion of contractQuotations by NMG are subject to change without notice and without obligation. Sub-mission of the completed and signed registration form shall represent an offer to contract exhibition space and additional stand furnishings on request on a rental basis and/or additional services. With completion and submission of the registration form, the terms are accepted as binding. The participant recognizes the terms as binding.

2. Confirmation of registration, withdrawal and non-participation2.1. Prior to receiving confirmation of the registration, participants can withdraw from registration without stating a reason. A request for withdrawal must be submitted to NMG in writing. NMG is permitted to charge a flat fee of € 500 for costs incurred. Receipt of the registration confirmation from NMG concludes a binding agreement between both parties. Should the content of the registration confirmation deviate from the contents of the registration, the contract shall be concluded on the basis of the registration confirmation. Participants have two weeks to object to the content, should it deviate significantly from the content of the registration.2.2. Should the participant, for reasons arising within the sphere of risks to be borne by him, be prevented from making use of the space and/or of other requested ser-vices, he will remain obliged to pay the contractually agreed rent. However, in the event of prior notice by the participant of his unavailability up to 6 months in advance of the official event, only 75% of the contractually agreed rent is due.2.3. In such a case, NMG takes the proportional amount of expenses saved into ac-count, which NMG could attain by reletting or utilizing the stand space/construction in some form. These exclude services already rendered by NMG, whose fees are due on submission of a notice of unavailability for the following services: a) administration costs- and organisational fees to the amount of € 750 plus VAT for confirmation of order, bookkeeping, cancellation fees, Website maintenance, third party services (e.g. booth constructors, illustrators, graphics); b) fees for marketing services to the amount of € 80 plus VAT per sqm of booked space. An exception to the provisions of section 2.2 would be if the contractually agreed event did not take place due to a force majeure, whereby each contracting party must bear costs incurred up until that point itself.2.4. NMG holds the right to withdraw from a contract should NMG not obtain the mini-mum number of exhibitors and sponsors required to make the event financially feasible, or if the main event organizer cancels the event, or due to reasons which are outside of the sphere of responsibility of NMG, causing the event to be impeded. In such a case, participants will be notified immediately and reimbursed with all previous payments for the cancelled event. Further claims on the part of the exhibitor are expressly excluded. NMG is only fully liable in cases of deliberate intent or gross negligence.

3. NMG Services Provided3.1. After completion of the planning process, participants shall receive precise details specifying the location and dimensions of exhibition space in square meters, as well as the processing and scheduling of sponsoring. The allocation of exhibition space, of the location and stipulation of the sponsoring schedule is carried out by NMG based on a selection process according to its best judgement. Participants have no right to

a specific form or positioning of exhibition space or to specific dates, even if stated in the application or confirmation of stand registration.3.2. Where exhibition space has been rented, the service rendered by NMG is the al-lotment of the agreed space without fittings, power supply, hard- and software. NMG offers further optional- and supplementary equipment at a fee. 3.3. NMG is entitled, where necessary, to allocate a stand space deviating from the registration confirmation, to alter the stand size- and dimensions, to relocate or close trade fair- and congress entrances, passages and exits and undertake building altera-tions in trade fair halls, without having rights derived against us for these reasons. Should this result in a decrease in stand size, the difference will be refunded. Claims for damages and withdrawal rights of the ordering party shall be excluded.3.4. Should the stand space be located in the vicinity of columns, protrusions, instal-lation connections or other permanent installations in the NCC Ost, this will not result in a reduction of rent or other costs.3.5. In cases where participants book additional services, the extent of services pro-vided shall conform to the “Specific registration-/ participation terms” and according to details listed in NMG’s registration confirmation in conjunction with the details in the registration form.

4. Participant’s contractual duties for assembly and operation of stand4.1. The participant must comply with public law regulations, and in particular with construction regulations, and obtain the required permits on his own behalf. This ap-plies also to all persons employed or working on behalf of the participant. Such per-sons should be supervised and monitored as regards compliance.4.2. Participants are themselves responsible for taking out any recommended- or re-quired insurance.4.3. Participants are required to submit detailed plans and/or visual interpretations of the stand design to NMG for approval at least 6 weeks before the event begins. Further details are contained in “Specific registration and participation terms”. 4.4. Assembly- and the operation of electronic devices, a private W-LAN set-up in particular (router etc.), are subject to written permission from NMG, with the excep-tion of participant exhibits.4.5. Presentation of products and services may only take place in designated booked stand space. Distribution of products, flyers and other promotional materials in other areas of the trade fair grounds can be booked via sponsoring, and are otherwise strictly forbidden.4.6. The participant shall occupy the rented space as stated in contract for the dura-tion of the event and ensure that the space is constantly manned during opening hours. Clearing the trade fair stand before the official end of the event represents a serious breach of contract, where the participant is obliged to pay a contract penalty according to section 5.1.4.7. Where sponsoring services are the subject matter of a contract; the sponsor is bound by contract to provide the agreed service in accordance with the agreement. 4.8. The Exhibitor shall only be permitted to use the stand himself. Assignment of the entire stand or the part thereof to a third party shall require the written consent of NMG. Sponsoring services shall be rendered solely by the participant.

5. Consequences of Contract Breaches and Contract Penalties5.1. Breach of contract relating to section 4.6, where the participant is at fault, will result in the participant having to pay a contract penalty of 125% of a day’s rent of € 105 plus VAT per sqm of space booked, and without prejudice to NMG’s right to reconfigure the stand or utilize it for another purpose.5.2. Breach of contract relating to section 4.8, where the participant is at fault, will result in the participant having to pay a contract penalty of 30% of the invoicing amount per offense or violation to NMG, a minimum of € 1,000.00 Euro and a maxi-mum penalty of the invoicing amount, plus vat / sales tax, irrespective of NMG’s legal right to claim payment itself or through a third party as compensation for costs incur-red in procuring a replacement, to reconfigure the stand or utilize it for another pur-pose. The participant is at liberty to prove that the damages incurred are less than stated by NMG.

6. Consequences of payment arrears or default for exhibitors6.1. NMG reserves the right to terminate a contract without notice and/or refuse to provide a service if a participant is fully- or partly more than 14 days in arrears with a payment, or if insolvency proceedings be instituted in relation to his assets or should the exhibitor's company be liquidated for other reasons or should the participant make a declaration, not to make use of the stand or to perform the duties agreed in the contract.6.2. In the case where NMG terminates a contract without notice, NMG is entitled to claim compensation in the form of a lump sum. Should NMG succeed in renting the exhibition space otherwise or manage to lure a new sponsor, NMG will grant the participant compensation, the amount shall be based according to the course of events. These normally amount to 20% of the invoiced amount to the participant, if the reason for the contract termination without notice is submitted less than 6 months prior to the event and 10% of the invoiced amount to the participant, if the reason for the contract termination without notice is submitted more than 6 months prior to the event.6.3. The Exhibitor is however entitled to prove that NMG has incurred little- or no losses. Likewise, NMG holds the right to provide evidence of greater losses and to claim for them.

7. Prices, value added tax and payment deadlines 7.1. All prices quoted are net prices before vat and a share of costs for technical ser-vices.7.2. Should the space made available deviate by less than 10% from the space confir-med, this shall not effect the agreed price so long the participant’s contractual use of the space is not impaired. In cases of deviations exceeding 10%, the agreed price will be decreased or increased after due notification based on the space confirmed, stand layout (row, corner-or head stand) and other services.7.3. The invoiced amount is due within 14 days after receipt of the invoice, and at the latest, one week before the event begins and from then on, interest is payable at 8 percentage points above the base lending rate. Fees for additional services are due within 3 days after the official end of disassembly as detailed in the “Specific registra-tion-/participant terms” or in the registration confirmation. Should a participant be more than 10 calendar days fully- or partly in arrears with a payment, the entire out-standing amount is then due immediately, regardless of part payments and without the necessity of a reminder or imposition of a time limit.7.4. Timely and complete payments are prerequisites for the use of space/hired items and the receipt of participant passes. NMG reserves the right to shut down a stand or rent it otherwise if the invoiced amount is not received by NMG before the official beginning of the event.

8. Co-exhibitors, indirectly represented companies, joint stands8.1. The space booked is rented out exclusively to the participant (main exhibitor). The stand may not be exchanged, shared or handed over to a third party in any form wit-hout permission from NMG.8.2. Shared use of the booked space by a number of companies is permitted if the conditions contained in “Specific Participation Terms” allow for the participation of co-exhibitors and/or indirectly represented companies and the required registration of such participants as co- or sub-exhibitor is undertaken in advance. This also applies to companies appearing with their own products, also where not represented by its own personnel. Companies within groups and subsidiaries are therefore deemed co-exhibitors.

8.3. When a number of companies share a stand (joint stand), the main exhibitor is obligated to register the other businesses as co- or sub-exhibitors using the registra-tion form. The main exhibitor remains the sole contractual partner of NMG and it is his job to ensure that the other companies comply with the general terms and condi-tions. He is liable, not only for his own, but also for violations by co- or sub-exhibitors.8.4. Should a participant share his stand space with a co-/sub-exhibitor without in-forming NMG and without written registration, NMG is entitled to terminate the con-tract immediately and where appropriate, force the participant to vacate the space. In such a case, the participant has no claim to compensation or other claims against NMG. In addition, NMG may claim a contractual penalty to the sum of the registration costs for co-/sub-exhibitors with a surcharge of 50%.8.5. Should a registered co- or sub-exhibitor not be able to participate, the co-exhibi-tor fee is nevertheless due and payable in full.

9. Condition and utilization of the space / furnishings and limitations of liability9.1. NMG hands over the space (including the corresponding stand fittings, where requested) always in perfect- and in clean condition. On the day officially listed as end of disassembly, all fittings are to be returned to NMG in the same state as received. Damages to rented spaces or additional fittings should be reported to NMG without delay, and at latest on return of the space/items. Damages caused by the participant will be fixed at the participant’s expense.9.2. Before the event begins, the participant should immediately examine the location of the exhibition space, the composition and properties of the stand and any other services provided, and document all defects in writing. Failure to do so will cause any claims to expire. Participant claims for compensation for expenses or authorized re-moval of a fitting become time-barred after 6 months from the day specified in the “Specific registration-/ participation terms” or in the registration confirmation as official disassembly deadline for the exhibition.9.3. NMG and agents of NMG assume no liability for stands, fittings or other objects belonging to participants.9.4. NMG and agents of NMG are only liable where deliberate intent and gross negli-gence are concerned. NMG is liable for damage(s)/claims arising from death and in-jury to body or health caused by neglect of duty. For damage to property or financial loss caused by slight negligence, including loss of profits, NMG and agents of NMG are liable where a breach of essential contractual obligations is concerned. With re-gard to its amount, liability is limited in this instance to the contractually typical ave-rage damages; essential contractual obligations are obligations, whose fulfilment constitutes the core duties of the contract in which the participant had greatly trusted and relied on.9.5. NMG is not responsible for damages caused by participants and stand construc-tors who are not agents of NMG, nor for trade fair visitors or any other third parties. In the event of a claim, NMG shall assign claims against the perpetrator/participant.9.6. NMG is not responsible for damages due to a force majeure, strikes or other circumstances beyond our control such as power- failures or fluctuations.

10. MiscellaneousGerman Law shall apply to this agreement. The place of jurisdiction is Munich. Should one or more conditions within these terms and conditions or a condition within the framework of other agreements be void or become void, it shall not affect the validity of all other conditions or agreements. Void or absent clauses shall be replaced by effective clauses, which come closest to the required goals.
