1. BIDDERS ELIGIBILITY CRITERIA: 1.1 Contractor with an annual turnover of more than Rs.40.00lacs in each of the last three years in the name of thecontractor without any change in the constitution and having atleast 5(Five) years satisfactory experience of providingcatering services to at least one PSU/PSB institution(s) withhostel facility where regular daily catering services of allthree meals are being rendered for minimum 100 participants. 1.2 The Bidders must be registered with EPF Department, ESIDepartment and should have a VAT & PAN Number. The bidder shouldalso have a license under Contract Labour (Regulation &Abolition) Act – 1970, if applicable. 1.3 The Bidders must have authenticated documentary evidencecertifying an annual turnover of at least Rs.40.00 lacs forpreceding three financial years and should be in profit in eachyear. The Bidder may visit the college after due intimation totake an idea of the job to be undertaken. 1.4 Bankers solvency certificate for Rs. 5 lacs from a bank ofrepute.

2.3 Bid Submission

For the purpose of the present job, a two-stage bidding processwill be followed by the Bank. The response to the present tendershall be submitted in two parts by the vendor, Part 1 containingcompliance to the Terms and Conditions as mentioned in TechnicalBid (Part 1 of this document) and Part 2 containing theCommercial Bid (Part 2).

Part 1 of the Bid shall NOT contain any pricing or commercialinformation at all.

In the first stage of evaluation process, only Technical Bid(Part 1) of the bids will be opened and evaluated by the Bank.Those bidders satisfying the technical requirements asdetermined by the Bank and accepting the terms and conditions ofthese documents shall be short-listed.

Under the second stage of evaluation process, the Commercial Bid(Part 2) of only those bidders, which have been short listedearlier in first stage, will be opened.

2.5 Format and Signing of Bid A forwarding letter listing all the documents enclosed alongwith Tender document duly signed and stamped on all pages by anauthorized signatory of the bidder is required. In the second envelope marked `Commercial Bid’ put only Part 2.

2.6 Evaluation and comparison of Bids Only bids from Bidders, meeting the eligibility criteria andsubmitting the complete and responsive bids will be evaluated andcompared.

The evaluation procedure to be adopted for the bid will be the solediscretion of the Bank. In the eventuality of two or more biddershaving same commercial bid, the evaluation committee will decide oneither or all of the following factors

Annual turnover of the vendor Site visit of an existing establishment run by the vendor

2.7 Acceptance or rejection of Bid

The Bank reserves the right to accept or reject all or any bid atits sole discretion without assigning any reason whatsoever.

2.9 Resolution of Disputes

All disputes or differences whatsoever arising between the partiesout of or in relation to the catering contract, meaning andoperation or effect of this Tender Document or breach thereof shallbe settled amicably. If however, the parties are not able to solvethem amicably, the same shall be settled by Arbitration as perArbitration and Conciliation Act, 1996. For enforcement of awardsor any other litigation, Court / Tribunal at Bhopal will havejurisdiction.

3.0 Notices

Any notice given by one party to the other pursuant to thiscontract shall be sent in writing to the concerned Party at theaddress as mentioned in the contract.

Guidelines to Bidder (All pages to be signed by authorized person of

A. Earnest Money Deposit (EMD) as stated in paragraph 2.4 mustbe put in the Technical Bid. B. Successful bidder has to execute the agreement form (asmentioned in commercial bid) duly stamped accepting all theterms and conditions mentioned therein.(Annexure-I) C. The successful bidder has to commence the contract within 15days of awarding the contract or as decided by the Bank. D. 5. Authenticated Documentary evidence certifying annualturnover of Rs.40 lacs in each of the last three financialyears ( 2009-10,2010-11 & 2011-12).

6. Authenticated copies of the Balance Sheets and Profit &Loss account for each of the last two financial years 2009-10 & 2010-11 duly audited by a Chartered Accountant andprovisional for 2011-12 along with Bankers' solvencycertificate of Rs.5.00 lacs (Rupees five lacs only).

7. Authenticated & legible copies of registration with EPFDepartment, ESI Department & PAN Number, EPF, ST & CST Nos.

8. Authenticated & legible copy of license / registrationunder Contract Labour (Regulation & Abolition) Act -1970,if applicable.

9. In case, the registration as per SN 8 is not applicable, aletter confirming that the Contract Labour Act is notapplicable should be enclosed as per specimen given on page(xxii).

1. The Contractor shall provide daily catering services as perthe requirements and satisfaction of the College from timeto time as set out in Schedule I hereto.

2. The quality of the ingredients to be used for preparationof eatables, beverages etc, shall be of good quality and asdecided by the College (as per Schedule II).

3. The Catering charges will be payable at the approved ratesfor the items served to the participants etc.

4. The Contractor shall submit bills every week. 5. The Contractor shall not claim any extra charges when any

high dignitaries / Senior Management officials along withFaculty Members join the participants at tea / lunch /dinner etc.

6. If at any time during the subsistence of the contract, theCollege so desires to utilize the services of thecontractor for any special parties, seminars, conferences,meetings or otherwise the contractor shall arrange the sameat the approved rates or on mutually agreed upon rates incase the items are outside the list of items for whichrates have already been agreed to in the contract.

7. The Contractor shall supply food and beverages etc., toFaculty Members and staff on the subsidized rates. A fixedmonthly subsidy will be paid to the contractor on thisaccount.

8. The catering to the participants shall be provided only forthe period of training. On the day of checkout / check inof the participants, payment on the basis of actualmeals /actual number of participants present will be madeas per pre decided menu at the agreed cost. Dinner and bedtea / coffee charges will be paid as per actual.

9. The contractor shall provide fresh, hygienic and filtereddrinking water in the dining hall, place of service etc.(Water Coolers with filter are installed in canteen thesame will be cleaned by contractor on weekly basis)

10. Timings of service of food and beverages and the menuas approved by the College will be displayed on the NoticeBoard in the dining hall by the Contractor. Timings aresubject to changes as per discretion of the college.

11. Bed tea will be served on each floor of the hostel,whereas buffet breakfast, lunch and dinner will normally beserved in the Dining Hall. Afternoon-tea, coffee, snacks,forenoon tea, coffee, snacks, will be served in the loungenear the class rooms or at such place as may be desired bythe college.

12. Appropriate meals will be served to sick persons,guests etc. in their respective rooms.

13. Daily menu on a weekly basis will be prepared by thecontractor in consultation with the canteen committee ofthe college and submitted in advance (by Tuesday eveningfor the next week). The various items of the menu will bechanged frequently to provide variety and uniform standard.The menu decided by the College must be adhered to at allcosts. Non-adherence to the menu will attract penalties tobe decided at the sole discretion of the College, whichwill be binding on the Contractor.

14. The Contractor will provide at his cost toilet soapand hand towels for the washing place provided in thedining hall etc. It shall be the responsibility of theContractor to employ sufficient staff and to providecleansing material of first class quality for the cleaning,washing area, pantry, kitchen, dining hall and servicearea. Cleanliness and maintenance of all these areas willbe the exclusive responsibility of the Contractor.Contractor shall be responsible for pest control or similarjob to ensure that the washing / pantry / kitchen / dininghall and service areas are rodent and pest-free. Any laxityin the cleaning of these areas will attract severepenalties to be decided at the sole discretion of the

College, which will be binding on the contractor. (Pestcontrol service provider will be arranged by the college)

15. The Contractor shall devote his full attention to thework of purchases, preparations of food and beverages etc.and shall discharge his obligations under the contract mostdiligently and honestly.

16. The contractor shall remove garbage from kitchen anddining hall etc. daily at his own cost and dump / disposeoff at proper place.

17. Any stale and / or rejected material (raw or cooked),shall be removed from College premises immediately by theContractor.

18. The Contractor shall provide very high standardcooking utensils, bone china crockery, glassware, cutlery,table linen etc. for use of the catering at his ownexpenses for special occasions and functions. The tablelinen will be changed daily and washed & ironed at hisexpenses. The said items shall be of first class qualityand shall be to the full satisfaction of the College, whosedecision in this regard shall be final and binding on theContractor.

19. The standard of cleanliness of kitchen utensils,crockery, glassware, cutlery; linen etc. shall be of veryhigh order and any laxity in this regard will attractsevere penalties of the amount to be determined by thePrincipal. The Contractor shall be bound by the decision ofthe Principal.

20. The contractor shall maintain highest standard ofquality in the catering services comparable to one renderedin 3 starred hotels.

21. The contractor will submit daily statements relatedreports regarding catering service to College Authorities.

22. Item-wise daily catering services provided will beentered in a register which will be maintained by thecontractor. The contractor will also be required to furnish

authenticated item-wise daily catering service providedstatement to authorized officer of the College.

23. Authorized official of the College may test and tastethe food to keep a check on the quality of food beingprepared and supplied. No charges will be paid to theContractor in this regard.

24. The College shall have full rights and shall be atliberty to refuse to accept the services of any of theitems of the food, beverages etc.

25. The contractor shall ensure to keep and use materials,items etc. of high quality as per Schedule -II and maintainbuffer stock of each item of requirement to last at leastfor 2 weeks. The failure of the contractor to maintain therequired material of high quality will invite penalty up toRs.1000/- (Rs. One Thousand only) per occasion. The saidpenalty will be recovered from the weekly bills of thecontractor. Further, all the required materials, items etc.should be stored properly by the contractor in proper highquality containers so that the same are not exposed to anyrisk, damage etc. due to insects, rats, weather conditionsetc.

26. In the event of insufficient / bad quality / non-serving of any eatables agreed upon to be served, theCollege will be within its rights to make suitabledeductions from the Contractor's bills, which will bebinding on the Contractor.

27. The authorized officer of the College shall haveunrestricted entry into the premises at any time to inspectthe up keep of kitchens, dining place, pantry etc. If theauthorized officer finds that the upkeep is not of goodstandard, then a penalty of Rs.1000/- (Rs. One Thousandonly) per instance shall be imposed on the contractor andthe same will be borne by the contractor.

28. In case the contractor or any of his employees failsto fulfill his obligations on any day or any number of days

to the satisfaction of the College for any reasonwhatsoever, he shall pay by way of liquidated damages a sumof Rs.75/- (Rs. Seventy five only) per participant per dayfor the entire number of such days and the College shallwithout prejudice to its other rights and remedies shall beentitled to deduct such damages from the money, if any,payable by it to the Contractor. The decision of thePrincipal in this respect will be final and fully bindingon the Contractor.

29. All questions relating to the performance of theobligations under the contract and to the quality ofingredients (as per Schedule-II) used in preparing the foodand beverages and all the disputes and differences whichmay arise either during or after the contract period orother matters arising out of or relating to the payments tobe made in pursuance to the contract shall be decided thecourt of competent civil jurisdiction in this behalf atMumbai only(where this contract has been signed on behalfof the College).

30. The Contractor shall bear all taxes, rates, charges,levies or claims, whatsoever, as may be imposed by theState / Central Govt. or any local body or authority. TheContractor shall furnish such proof of payment, ofcompliance or the obligations including registrationcertificate, clearance certificate etc. as may be requiredby the College from time to time.

31. The Contractor shall obtain any license(s), permit,consent, sanction etc. as may be required or called forfrom / by local or any other authorities for doing suchwork. The Contractor shall comply with all applicable laws,rules and regulations in force. Further, the Contractorshall obtain such permission / license(s) as may berequired under the Contract Labour (Regulation andAbolition) Act, 1970, if applicable to them or under anyother Laws relating to his services. The Contractor shall

produce the license(s) permission etc. so obtained to theCollege or furnish copies thereof as and when required bythe College. The contractor shall keep and get renewed suchlicense(s), permission etc. from time to time. TheContractor shall be responsible for any contravention ofthe Local, Municipal, other Laws, Rules, Regulations etc.

32. The contractor shall obtain necessary license(s) asrequired by the Food & Supply Department and othergovernment authorities.

33. The contractor shall also maintain all registers asrequired by the Food & Supply Department and obtain suchlicense(s) as required for the storage of differentcommodities, materials, items etc.

34. All the Rules & Regulations regarding hygiene, healthetc. issued by the State, Municipal Corporations, any otherauthorities shall be strictly adhered to by the Contractor.The contractor shall also indemnify the College and keepthe college indemnified against any loss or damage on thisscore.

35. The Contractor shall keep and maintain regular andproper books of accounts supported by vouchers so that thesame may be available for inspection by any authorizedperson of the College etc.

36. The Contractor shall engage the services of sufficientnumber of able, trained, efficient, neat, healthy, honest,well-behaved and skilled persons having Police Clearance,for cooking, serving and cleaning of kitchen, dining halls,wash basins, services areas at his cost. However, theContractor shall deploy a minimum of 3 waiters / servingpersonnel per 25 participants. For every additional groupof 15 participants or part thereof the contractor shalldeploy additional one waiter/serving personnel. Theattendants, waiters, cooks should be properly trained andshall wear smart and neat uniform (pattern to be approvedfrom the College) with their name badges and photo identity

cards. The contractor must engage appropriate number oftrained cooks for providing authentic North and SouthIndian and continental dishes. He will be responsible forthe good conduct and performance on their part and thecontractor shall be deemed for all legal and contractualpurposes, as the employer of such persons and such personswill not have any claim for employment in the College orbanks now or at a future date. In any case, the Contractorshall have to engage the services of sufficient number ofbearers etc. and one or more supervisors and shall engageminimum 10 employees for catering service. The contractorshall give necessary guidance and directions to hisemployees to carry out the jobs assigned to them by thecontractor and / or the College. The Contractor shall alsobe responsible for the payment of their wages and / or duesto his employees timely. All liabilities arising out ofviolation of local Laws and / or Central Laws shall be theresponsibility of the contractor. The contractor shall alsofurnish a detailed duty chart of his employees at thebeginning of every month and keep informed the office ofany changes made in the list from time to time. The dutychart for the month should give the specific names of theemployees and the respective duties they are required toattend to. He will, on the request of Vice Principal /Principal, immediately remove from work any person(s)/employee(s) who may, in the opinion of the College beunsuitable or incompetent or who may misconduct himself andsuch a person shall not be again employed or allowed in thework / campus without the permission of the Vice Principal/Principal.

37. The Contractor will ensure that his employees abideby the order of the Principal / Vice Principal / Facultymembers/ Manager (Security) or any other officer authorized/ empowered by College Administration for the purpose ofdiscipline etc.

38. The contractor shall appoint Manager (s) / Supervisor(s) with good manners and with catering background whoshould be available round-the-clock for attending to theservices and complaints and requirements of participants,visitors etc.

39. The Contractor shall provide uniforms to his stafffailing which the College may arrange to provide the sameafter recovering the actual expenses on uniforms from billspayable to the Contractor. The staff of the Contractorshall wear uniform & authenticated photo identity cards atall times.

40. The Contractor shall issue appointment letters to allthe persons employed by him in connection with performanceof his contract for catering services, furnish proof bysubmitting copies of such letters received by the employeesas and when demanded by the Bank. The appointment lettershall make clear that the concerned employee is theemployee of the Contractor only and CBOTC (Central BankOfficer’s training College ) where catering services arerendered has no obligation or any relationship as toemployment or otherwise whatsoever with him.

41. The Contractor's employees will be allowed entry intothe premises of the College with the specific permission ofthe Principal or any Officer authorized in this behalf. TheCollege reserves the right to grant permission or to refusepermission or to withdraw it where it has been grantedearlier without assigning any reasons. The Contractor shallensure that his employees attend to their assigned dutiesand do not wander or roam about or pose disturbance to theCollege, its staff, guests or participants.

42. Except the personnel of the contractor working asdeclared by the contractor in writing in the beginning ofeach month, no other person will be allowed in the Collegeduring night time or to use the College for stayingpurpose.

43. The contractor shall indemnify the College and keepthe college indemnified against all monetary or otherbenefits to which his personnel are entitled during theperiod of employment or in relation to employment undervarious Labour Laws such as Factory Act 1948, WorkmenCompensation Act or other such statute as may be madeapplicable from time to time. He will also be required toobtain the license(s) as per provisions of Law includingcontract Labour (Regulation & Abolition) Act 1970 ifapplicable to them. Contractor shall be solely responsibleand shall fully comply with all the provisions of all thelabour laws applicable such as Factories Act, IndustrialDispute Act, Miscellaneous Provisions Act, Minimum WagesAct, Payment of Bonus Act, Workmen Compensation Act, andContract Labour (Regulation of Employment and conditions ofservices) Act 1979, Employees State Insurance Act,Employees PF Act etc. and any other Act / Legislationspassed from time to time. There shall neither be anyprivity of contract with employees of the contractor nor anemployer – employee relationship between the College andthe contractor.

44. The contractor indemnifies the College against all themonetary or other benefits to which his personnel areentitled during the period of employment under Labour Lawssuch as Workmen Compensation Act, Factories Act or suchother statutes as are applicable from time to time. TheCollege shall have no privity with the persons deployed bythe Contractor in execution of the contract work.

45. The contractor shall be responsible for the properbehavior of all his staff (supervisory and workmen) andothers and shall exercise a degree of control over them andin particular without prejudice to the said generality thecontractor shall be bound to prohibit and prevent anyemployee (supervisory and workmen) from trespassing oracting in any way detrimental or prejudicial to the

interest of the community or of the properties or occupierof lands or Properties in the neighborhood and in the eventof such employees trespassing, the contractor shall beresponsible for consequent claims or action for damages orinjury or any other ground whatsoever. The decision of theofficer authorized by the College in the matter whatsoeverunder this clause shall be final and binding on theContractor.

46. The College may provide the following facilities: Dining Hall, Kitchen, Pantry, Store room, employee

room for 5employees; Reasonable equipment (Gas range with oven, Deep

freezer, Water cooler, geysers, hot case, bottlecooler, storage cupboard, work tables, Servicecounters / service stations. Crockery cutlery Diningroom furniture, Electrical and plumbing fitting in thekitchen) for use of the Contractor in the College.Whereas College would endeavor to provide thesefacilities, non-provision of some equipments, shallnot be a cause for the contractor for providinginefficient and inadequate services. On termination ofthe contract, if the contractor fails to return thesaid equipments in good and working condition or failsto return at all, the College has the right to getthem replaced or repaired at the risk and cost of thecontractor and such cost shall be appropriated fromthe pending bills / security deposit or through otherremedial legal measures. Repair, maintenance andupkeep etc. of all the appliances, equipments etc.will be done by the Contractor at his cost.

The College, for electrical equipment and appliancesprovided by it will supply water and electrical powerfree. Contractor shall not use other electricalcooking devices for the purpose of catering serviceswithout the prior approval of the College.

The contractor shall pay for the gas used by him forcooking purposes etc. The College may provide aTandoor to the contractor and the contractor will berequired to provide Tandoori Roties at no extra costfor lunch and dinner. The running expenses of Tandoorwill be borne by the Contractor.

47. The replacement of pilferages / damages due tonegligence, of items provided by the college and alsofixtures like tube lights, bulbs, regulators, sanitarywares, water taps or any other things will be done by thecontractor. The cleaning staff must be given strictinstructions to ensure that no solid waste is allowed toflow into Gutter pipes and cause choking particularly inworking place and Kitchen. Standard cleaning materials ofhigh quality must be used regularly and its buffer stockmust be maintained in the store. Dining hall, place ofservice etc, should always be neat, clean and fresh andair-fresheners shall be used by the Contractor as per need.

48. The contractor shall not use the College premises forany other activity except the purpose for which it has beenprovided for.

49. The premises with fittings and fixtures, furniture,equipment etc. provided to the Contractor are the propertyof College. The contractor shall have no right on any ofthese and shall place them back at the disposal of theCollege when demanded. The contractor shall be responsiblefor the safe custody and proper use and maintenance of allequipments and properties of College, whether movable orimmovable. Any damage caused to the equipments orproperties shall be made good by the contractor immediatelyto the College without any loss of time, failing which thecost of equipments, properties etc. will be recovered fromhis bills or from other means as deemed fit by the College.

On such recovery, if security deposit gets reduced, thesame has to be made good by the contractor. Failure ofequipment etc. will not be an excuse for not providingservice.

50. Nothing contained in this contract is intended to benor shall be construed to be a grant, demise or assignmentof premises or any part thereof by the College to theContractor or his employees and the Contractor and hisemployees shall vacate the same on the termination of thecontract period either by efflux of time or otherwise.

51. The contractor will have to maintain permanent recordsof all materials, equipments etc. supplied to him by theCollege. At the end of each quarter and also at the end ofthe contract period, the contractor will prepare the listof all items held by him and show them separately in goodcondition, repairable, irreparable and missing and makethem available for the purpose of joint verification by theauthorized officer of the College and the contractor. Costof missing or damaged items shall be recovered from thecontractor.

52. The contractor shall arrange for physical verificationof all articles given as and when required by the Collegeor at least once in six months.

53. The price / rates quoted, agreed and accepted by thecontractor in respect of services and items listed inSchedule I shall be firm and shall not be subject to anyvariation during the period of contract. The rates quotedshall be deemed to include and cover all costs, expenses,taxes and liabilities of every description and all risks ofevery kind of action to be taken in performing thecontract. The Contractor shall be deemed to have known thenature, scope, magnitude and extent of services to berendered and materials to be procured, though the contractdocuments may not fully spell out all the details.

54. If at any time from the commencement of the contractthe College for any reason whatsoever does not require thewhole part of the services as specified in the contract,the authorized officer of the College shall inform to thecontractor who shall have no claim to any payment orcompensation whatsoever on account of any profit oradvantage which he might have derived from fulfillment ofthe contract in full but he did not derive in consequenceof full contract having not been carried out. Further, thecontractor shall not have any claim for compensation by thereason of any alterations having been made in the originalcontract.

55. In the event of sudden failure, neglect, dislocationor stoppage of the services by the contractor, the Collegemay get the work done from some other agency or departmentat the risk and cost of the contractor without prejudice toits rights to enforce performance in respect of the rest ofthe work. The contractor shall in such event, pay to theCollege the additional cost incurred for having such workdone from some other agency without prejudice to any otherrights that the College may have in this behalf eitherunder this contract or under law the College may terminatethe contract by one month notice in writing to thecontractor and in such an event the contractor shall haveno claim for any loss or damage against the College.

56. If for any reason, the contractor abandons providingservices in the College without the permission of the Collegethe authorized officer of the College will be at liberty tobreak open the lock and make inventory of the articles. Suchan inventory shall be final and binding on the contractor forall purposes. The College will also be at liberty to makealternative arrangements for provision of services in theCollege at the risk and cost of the contractor.

57. The Contractor shall bear all the costs and expenses inrespect of all charges, stamp duties etc. relating to thecontract, documents etc. to be signed.

58. The Contractor shall pay a security deposit ofRs.1,00,000/- (Rupees One Lac only) to the College prior tocommencement of service under the contract. The College shallbe entitled to adjust or appropriate the said security deposittowards loss or damage caused by the Contractor or hisemployees or the amount of value of shortage or breakage toany premises, equipments, appliances, items etc. entrusted toor caused to other assets of College by the Contractor or hisemployees or any other liability of the Contractor. Thesecurity deposit that may be made with the College shall notcarry any interest.

59. The contractor shall not assign or sub contract thiscontract. In case, the Contractor assigns or sub-contractsthis contract without written approval of the College or incase the performance of the Contractor is foundunsatisfactory or in case of contravention by thecontractor of any of the terms & conditions containedherein and Schedules hereto or incase of abrupt stoppage ofwork by contractor or his employees for any reason,whatsoever or if at any stage, during the period ofcontract, any case involving moral turpitude is institutedby the Court against the contractor or his personnel theCollege shall have the right to terminate the contractwithout giving any notice to the Contractor. The Principalof the College shall be the sole authority to decide andjudge the quality of service rendered by the Contractor andhis decision will be fully binding on the Contractor

60. The contract shall be for a period of two years at thesame terms subject to review initially for two quarters.

61. The contract can be terminated as provided in clause60 (without notice) or by efflux of time or earlier by onemonth notice at the option of the College as the case may

be. The contractor shall also have the option to terminatethe contract after giving three months’ notice to theCollege.

62. If at any stage during the period of the contract anycase involving moral turpitude is instituted in courtagainst the contractor or its personnel, the Collegereserves the exclusive and special right to terminate thecontract without any notice to the contractor and in suchevent, the contractor will not be entitled to anycompensation from the College.

63. On termination of contract by the College for anyreason whatsoever, the College shall be entitled to engagethe services of any other person, agency or contractor tomeet its requirement without the prejudice to its rightsincluding claim for damages against the contractor.

64. The College shall have the right to withholdreasonable sums from the amounts payable to the Contractorunder this contract or the security deposit if theContractor commits breach of any of the terms & conditionsof the contract or fails to produce sufficient proof to thesatisfaction of the College as to payment of all statutoryand other dues or compliance with any other obligationsunder any Act, Law, Legislation etc. relevant in thematter. The contractor shall be bound by the decision ofthe College.

65. Notwithstanding any other court or courts havingjurisdiction to decide the question forming the subjectmatter of suit, any and all actions and proceedings arisingout of or relating to the contract shall lie in the courtofcompetent civil jurisdiction in this behalf at Mumbaionly (where this contract has been signed on behalf of theCollege) and only the said court shall have jurisdiction toentertain and try such actions and / or proceedings to theexclusion of all the other courts.

Sorabji Pochkhanwala Banker’s Training College JVPD Scheme, Vile-Parle (West), Mumbai-400056 (hereinaftercalled the College) of one part and Shri/Mrs/Ms___________ofM/s(Name & Full Address of the other part (hereinafter calledthe caterer, Please mention if it is a partnershipconcern/Co/proprietorship concern) and whereas the Instituteneeds a caterer to run hostel mess for supply of tea, coffee,cold drinks, juice, biscuits, snacks, high-tea, break-fast,lunch and dinner, etc. etc. mentioned in the Tender Documentinvited by the College to the staff, students and guests of theCollege/Banks. Whereas it is thought desirable to grant aContract (not being a lease) to the caterer to prepare and servethe aforesaid items to the College’s staff, students and guestsin the Canteen, office complex and in the hostels/guest house(in special cases as and when required). The terms andconditions mentioned hereinafter, it is hereby confirmed ashaving been agreed to between the respective parties as under: b)1. That the Caterer has been granted the contract to run

agreed upon, contained in the Tender Document dated June 24,2012. Colleges Letter of Award of the Contract and thisagreement read together. If during this period, theperformance is found satisfactory, the contract may berenewed for further specified period on the existing ormutually agreed in writing to terms & conditions. Thecontract is also terminable on three-month notice by eitherside. 2. That the items served by the Caterer shall be wholesomeand hygienic prepared in the clean atmosphere. Theprincipal/Vice Principal of the College and/or theirauthorized nominees may at any time enter the kitchen areaallotted to the caterer for the purpose of this contract andtake away samples of raw material, semi-prepared or fullyprepared eatable items free of cost for the purpose ofinspection, trial or analysis, and the decision of theauthorities of the Institute with regard to the desirabilityor quality of the food articles offered for consumptionshall be final. If any item of the menu/provision of food isfound defective or not fit for use/consumption, theInstitute’s authorities may – (i) issue warning; and / or(ii) get the said raw material/items destroyed and ask theCaterer to purchase fresh stocks, without any payment ofcompensation to the Contractor for the discardedmaterial/items.

If, however, this problem recurs in spite of warning havingbeen issued, the Institute reserves the right to imposefinancial penalty as mentioned in the tender document by theCollege authorities or the contract may be cancelled withoutgiving any notice.

3. The items of menu, which the Caterer would be expected tosupply in the Canteen, are indicated in the Tender. Therates of items to be served by the Caterer shall be valid

till the existing term of contract, i.e., from ----to ----in-between revision shall NOT be allowed. After the expiryof existing term of two years, the College if considerednecessary may revise the rates in regard to the items offood/eatables and drinks. Till such time that the revisedrates become operative, the caterer shall charge theexisting rates.

4. That the caterer shall not make any additions or alterationsin the premises allotted to him for providing Cateringservices.

5. That the caterer has agreed to keep the premises and itssurrounding area neat, clean and tidy at all times andaccording to the Health/Hygienic conditions bye-laws of theMunicipal Corporation of Mumbai or any othergovernment/statutory body. In the event of violation of anyof the aforesaid bye-laws in and around the Canteen andhostel mess Kitchen/cooking area or dining hall, the caterershall be responsible for any penalty/fine imposed by theconcerned authorities.

6. That in the event of Health Department of State Government,BMC or any other government/statutory body authoritiestaking samples of raw material used by the caterer and thosesamples are not found fit/up to the mark for humanconsumption, the caterer shall be fully responsible for anyfine/penalty imposed or legal recourse taken by suchauthorities.

7. That the caterer has agreed to provide sufficient number ofcooks, waiters and other support staff in the kitchen anddining hall and shall take all reasonable precautions toensure that these workers attire themselves properly while

on duty and are civil, polite, sober and honest in theirdealings with the Institute’s staff, students, visitors andguests. He shall also employ only those workers whoseantecedents have been verified by the police and aremedically fit in all respects. Periodic (Half yearly)Medical examination of waiters/Cooks should be done andreport should be submitted with College authorities forwhich expenses to be borne by the contractor.

8. That any employee deployed by the Caterer in the premisesbecomes liable for suspension or dismissal by the Collegedue to his actions, disobedience or misconduct, the caterershall accept the decision of the College as final and abideby such decision. In such an event, the College shall not inany way be liable for any claim made by the concernedemployee of the caterer for wages or damages and the caterershall keep the College authorities indemnified.

9. The College will have the right to review the working of thiscontract from time to time and if at any time it is foundthat the caterer has failed to fulfill any of the conditionsof this contract or that his working is unsatisfactory, theInstitute may terminate the contract after giving thecaterer three-month notice, but no such notice will benecessary if the contract is terminated on the ground ofservice of any undesirable commodity.

10. That the caterer will not transfer or assign any part of hisinterest under this contract and that this contract shallalso be liable to be terminated by the death or insolvencyof the caterer before the expiry of the period of thiscontract.

11. That it is agreed between the parties that no interestwhatsoever in the premises has been assigned by the College

to the contractor and the possession of the premises willalways be that of the College, even when the premises arein use or occupation of the caterer.

12. The Institute shall provide to the caterer necessaryequipments, furniture & fixtures, as per attached Annexure-II and he shall maintain them in good condition. He shallbe responsible for its maintenance.

13. The caterer shall provide all other implements forrunning the canteen and hostel mess like crockery cutlery(Used for Special occasions), table linen, flower posts,livery or the Catering Staff and these shall be of goodquality and standard.

14. The caterer shall be required to procure gas refills insufficient quantity for cooking purposes at his cost. Thecooking equipments will be provided in working condition bythe College. However, subsequently operational expenses willbe borne by the caterer himself. The caterer shall beresponsible for any loss/theft of the gas cylinders andother equipment provided to him by the College.

15. The caterer shall also be responsible for the upkeep ofequipments provided by the Institute. In case of any misuse/damage to the furniture and equipments (list attached) byany person, he will immediately inform in writing theconcerned authorities of the College for recovery of suchlosses/damages from the defaulters, failing which thecaterer shall himself be liable to pay the cost as decidedby the College .

16. All the equipments, furniture/fixtures of the Canteenkitchen/dining hall shall be given to Contractor in goodworking condition. These will be used carefully & cautiously

by his employees. The repairs will have to be got done bythe Contractor at his own cost.

17. That the Caterer shall maintain a Suggestion Book forrecording suggestions for improvement of Canteen/messServices. Such suggestions, as approved by the Institute’sauthorities, shall be forthwith acted upon. Thesuggestionbook shall be kept open for inspection by the College’sdesignated authorities.
