A. Information to Bidders:

4. The Bidders shall have to pay for the Tender Documents Fee, EMD Fees & e-Service Fee

payments gateway is an online interface between bidders and online payment authorization

networks.

5. Intending bidders will be mandatorily required to sign-up online (create user account) on the

website https://etenders.hry.nic.in to be eligible to participate in the e-Tender. In case the

intended bidder fails to pay Tender Fee, e-Service Fee and EMD Fee (combined together)

under the stipulated time frame, he/she shall not be allowed to submit his/ her bids for the

respective event/ Tenders.

6. In case of payment of Tender Fee, e-Service Fee and EMD Fee through RTGS/ NEFT, the

interested bidders must remit the funds at least T+1 working day (Transaction + One Day) in

advance as mentioned above and make payment via RTGS/NEFT to the beneficiary account

number specified under the online generated challan. The intended bidder/ Agency thereafter

will be able to successfully verify their payment online, and submit their bids on or before

the expiry date & time of the respective events/ Tenders at https://etenders.hry.nic.in

7. However, the details of the EMD, Tender document Fee & E – Service Fee are required to

be filled/ provided at the time of online Bid Preparation.

8. Online Technical Envelope—Reference details of the Earnest Money Deposit, Tender

Document Fee & e-Service Fee instrument and scanned copies of supporting documents and

QR/technical criteria with proper index and page numbering on all the documents have to be

provided as per Checklist of this document.

9. The offer without prescribed earnest Money, Tender Fee & E-Service fee is liable to be

summarily rejected. The deficiency in the remaining documents and tender requirement can

be made subject to the decision of committee/authorities.

10. All bidders are hereby explicitly informed that conditional offers or offers with deviation

from the conditions of contract the bid not meeting the minimum eligibility or any other

requirements stipulated in the tender document are liable to be rejected.

11. The parties to the Bid shall be the ‗Bidders‘ (to whom the work has been awarded) and the

office of the State Project Director, HARYANA SCHOOL SHIKSHA PARIYOJNA

PARISHAD, Shiksha Sadan, Sector 5, Panchkula shall be the Client.

12. For all purposes of the contract including arbitration there under, the address of the bidder

mentioned in the bid shall be final unless the bidder notifies a change of address by a

separate letter sent by registered post with acknowledgement due to the Office of the State

Project Director, HARYANA SCHOOL SHIKSHA PARIYOJNA PARISHAD, Shiksha

Sadan, Sector 5, Panchkula . The bidder shall be solely responsible for the consequences of

any omission or error to notify change of address in the aforesaid manner.

13. The authorized dealer should submit authority letter of their manufacturer, to quote the rates

on their behalf failing which tender is liable to be rejected. When manufacturer as well as its

dealer/s both quote the rates in the same purchase case, then for the purpose of distribution

of order, they will be considered as one offer & the order/rate contract will be placed on that

firm only which has quoted lower rates among such offers & the offer is as per NIT.

14. Bidding is open to all eligible bidders meeting the eligibility criteria. One bidder can submit

only one bid. All costs of preparing tender including visits to site and carrying out

investigation and research are to bidders account. The bidders are advised to contact State

Project Director, HSSPP in the office of client for any clarification and amplification on the

equipment material required to be provided.

15. The Client shall have the authority to get the statements/submissions furnished by the

bidders verified from the concerned officers/offices.

16. Bidders making false or misleading representations or submissions in the forms, Statements

and attachments submitted in proof of qualification requirement shall be debarred from

future tendering and shall also be blacklisted in addition to disqualification for the work

apart from forfeiture of earnest money.

17. In case there is a single bid, the same may be referred to the higher authority for its

further decision. Decision of higher authorities shall be final.

18. EMD:-

The firms are required to deposit Earnest Money as indicated above failing which

the tenders are liable to be rejected. Manufacturing Micro & Small Enterprises (MSEs) of the

State, Central or Haryana Public Sector Enterprises and ―approved sources‖ as declared by

the Industries Department, Haryana, are exempted from the deposit of EMD. The condition

shall be deemed to be amended to this extent as per provisions contained at Para 13(i)(ii) of

G.O. No.2/2/2010-4I-BII of dated 28.05.2010 (Annexure-I) and Para no 3(A)(ii) of G.O. No.

2/2/2016-4I BII (1) of dated 20.10.2016 (Annexure-II) (or as amended from time to time in

this regard)

19. Performance Security:

The successful tenderer shall be required to deposit Performance Security Deposit

as per provisions contained in Govt. of Haryana G.O. No. 2/2/2016-4I BII(2) dated 20-10-

2016 as under:-

The performance security will be submitted in the shape of Bank Guarantee of any

scheduled bank by the bidder/contractor. The said condition shall be deemed to be amended to

this extent as per provisions contained G.O. No. 2/2/2016-4I BII(2) dated 20-10-2016 as at

Annexure III (or as amended from time to time in this regard)

20. Price Fall Clause:

Price quoted in the tender/quotation or approved in the Rate Contract for the stores

(equipments) shall not exceed in any way the lowest price at which the tenderer quote for the

supply the stores of identical description to HSSPP, Panchkula/ State Government

Institutions/Undertakings/any other person during the delivery period/currency period of the

rate contract. If, at any time during the delivery period/currency period, the successful tenderer

reduces the rates/sale price of the quoted stores (equipments) to any person at the price lower than

the price chargeable under the supply order/ rate contract, the tenderers should forthwith notify

such reduction and inform this office and the price payable under the supply order/contract for the

stores (equipments) supplied after the date of coming into force of such reduction of the rates

shall stand correspondingly reduced to that level. The successful tenderers shall promptly notify

the reduction of rates to this office. The tenderer shall also give a certificate on their bills that the

rates charged by them are not in any way higher to those quoted by them to HSSPP and other

State (Annexure-I) Government etc., during the corresponding period. HSSPP shall be required to

ensure that requisite certificate is given by the concerned bidder on the bills before releasing their

payments.

21. Negotiation of Rates

Regarding negotiations of rates, policy issued by the State Government vide G.O.

No.2/2/2010-4-IB-II dated 18.06.2013 (Annexure-IV), G.O. No.2/2/2010-4-IB-II dated

16.06.2014 (Annexure-V), G.O. No.2/2/2010-4-IB-II dated 09.02.2015 (Annexure-VI) will be

applicable. The decision of competent authority shall be final.

22. Concession to MSMEs of State:

State Government ―Haryana State Public Procurement Policy for MSME -2016‖ issued

vide G.O. No. 2/2/2016-4I BII(1) dated 20-10-2016 and G.O. No. 2/3/2018-4IB-II dated

# Haryana based MSEs will be eligible for performance security deposit @ 0.2% who have

filed Entrepreneurs Memorandum (Micro or Small Enterprise category) in the Industries

Department Haryana and who participate directly in the tendered/quoted items and offering

to supply the entire quoted quantity manufactured from their own Haryana based unit.

23.04.2018 (Annexure-VII) will be applicable in respect of concessions to Haryana based

MSMEs and KVIs. For claiming the relevant concession/s like Tender Fee, Earnest Money Deposit

(EMD), Turnover, Exemption in respect of Past Performance & Experience, Purchase Preference

and Performance Security, the bidders are required to submit the documentary proof from

Government authorities showing that they come under Haryana based manufacturing MSME/KVI

units as the case may be e.g. *Entrepreneurs Memoranda in Haryana in bidder‘s name and further

subject to fulfillment of eligibility criteria as provided in the said Policy of 2016.

*Note:- To claim the concessions/benefits under the above policy, the bidder is required to submit

Manufacturing Entrepreneurs Memorandum issued by the Industries Department Haryana in

respect of the quoted item or Udhyog Aadhaar Memorandum (UAM) of Haryana based

manufacturing enterprises in respect of the quoted item (Ref. Industries & Commerce Department

Haryana Memo No.TS/DS&D/11389-A Dated 03.07.2018) and further subject to fulfillment of

eligibility criteria as provided in the said Policy of 2016 and amendments from time to time.

23. Purchase Preferences for approved Sources

HSSPP reserves the right to allow purchase preference to the approved sources,

including Central or Haryana State Public Sector Undertakings/Enterprises, provided that such

approved source takes part in the bidding process and the quoted prices of the approved source is

within 10% of the lowest acceptable price, other things being equal. However, such purchase

preference would be available to the approved source only at the lowest acceptable price. The

latest list of Approved Source is contained in Government Order no. 6/03/2007-4IB-II dated: 14-

02-2008 of the Industries Department and is subject to further amendment from time to time.

24. Grievance Redressal Mechanism for dealing with the representations/ complaints/ letters of the

participating bidders/ firms:

A time bound Grievance Redressal Mechanism for dealing with the representations/ complaints/

letters of the participating bidders/ firms in the tendering process in the State Public Procurement will

be governed by State Government Policy issued vide G.O No.2/2/2016-4I-B II of dated 25.07.2016

(Annexure-VIII). All the bidders/ firms who want to make any representation/ complaint against any

issue related to their technical scrutiny of the bids may do the same within 5 working days (up to

05:00 P.M. of the Fifth Working day) of the date of issue of letter/ intimation. They have to ensure

that their communication is delivered/ reached within 5 working days and delay in postal will not be

counted as a valid reason. No representation/ complaint in whatsoever manner from the bidders/ firms

will be entertained after the opening of Financial Bid.

25. Procurement of Stores through Rate Contract System : Wherever competent authorities considers

expedient that more than one supplier/ manufacturers should be kept on rate contract, it may so decide on case to

case basis.

26. All Annexures, as mentioned above are available at website i.e. www.hsspp.in.‖

27. Warranty

Warranty of equipments should be ensured by the successful bidder.

28. MINIMUM ELIGIBILITY CRITERIA

The following shall be the minimum eligibility criteria for selection of bidders technically.

a. Legal Valid Entity: The biddershould be a firm/ Organization/ Institute/ Company/

Corporation/ Society/Registered Trust/Incorporated in India and should be registered as

Manufacturer/supplier of material/equipment/machinery for any skill viz. Retail, Security,

Automobile, Beauty & Wellness, Physical Education & sport, Health Care, Banking

Finance Insurance Services, Apparel and Fashion, Travel and Tourism & Agriculture.

b. Registration: The Bidder should have a registered number of GST for the location where

business is located income tax/pan number and TIN/GST number.

c. Certification: The Bidder must possess a valid ISO certification as on date of

submission of bid. Relevant proof in support shall be submitted.

d. Experience: The Bidders should have experience of 5 years in the similar field i.e.

providing and installation of tools and equipments of Agriculture skill to Government

Departments/Public Sector/Undertakings (Central or State)/ reputed Organizations and has

to submit the relevant experience certificate to the tune of 03 works of each 30% estimated

value or 2 works of each of 45% of estimated value or 1 work of 60% value of the

estimated cost in last five years..

e. The bidder should have minimum average turnover of Rs.3.00 Crore for the last 3

financial years i.e. 2015-16, 2016-17 & 2017-18.

Documents supporting the Minimum Eligibility Criteria:-

(i) In proof of having fully adhered to the minimum eligibility criteria at 28(a), attested

copy of Certificates of Incorporation issued by the respective registrar of

firms/companies.

(ii) In proof of having fully adhered to minimum eligibility criteria at 28 (b), attested

copies of Certificate be attached.

(iv) In proof of having fully adhered to minimum eligibility criteria at 28 (d), attested

copy of experience certificates for completed work be attached.

(v) Attested copy of the Audited Balance Sheets along with audit report signed by the CA

having CA‘s Registration No. /Seal for the last three financial year i.e. for 2015-16, 2016-

2017 and 2017-18 shall be acceptable, as per 28 (e).

29 Forfeiture of EMD

Earnest money deposit may be forfeited:

i. If the bidder withdraws his bid during the period of bid validity specified by the

bidder in the bid form; or

ii. In case of successful bidder, if the bidder

Fails to sign the contract in accordance with the terms of the tender

document.

Fails to furnish required performance security in accordance with the terms

of tender document within the time frame specified by the Client.

Fails or refuses to honor his own quoted prices for the services or part

thereof.

30. VALIDITY OF BIDS:

Bids shall remain valid and open for acceptance for a period of

6 m o nt h s ( 1 8 0 d a ys ) from the last date of submission of Bids.

In case Client calls the bidder for negotiation then this shall not amount to cancellation

or withdrawal of original offer which shall be binding on the bidder.

The Client may request for extension of validity period of bid for another period of 60

days, without any modifications and without giving any reasons thereof.

31. SUBMISSION OF BIDS:

The Bid cannot be submitted after the last date of bid submission. However, the competent

authority of the office of the state Project Director, Haryana School Shiksha Pariyojna

Parishad, Shiksha Sadan, Sector-5, Panchkula reserves the right to extend the date/time for

receipt of bids, before opening of the Technical bids.

The tender documents along with the required eligibility documents have to be scanned and

kept ready for uploading on the e-procurement portal.

The documents are to be saved in the PDF format.

The tender document along with eligibility documents have to be scanned and saved as

Technical documents. The Technical document saved in the PDF format is to be uploaded

on the e-procurement portal in the Technical Document Folder.

As per Section 10, Financial Bid is to be filled online in the given online form on the e-

procurement portal.

32. BID OPENING PROCEDURE

The Technical Bids shall be opened on prescribed date by the Committee

authorized by the competent authority of the office of the State Project Director,

Haryana School Shiksha Pariyojna Parishad.

The date fixed for opening of bids, if subsequently declared as holiday by

the Government, the revised date of schedule will be notified. However, in

absence of such notification, the bids will be opened on next working date,

time remaining unaltered.

33. CLARIFICATION ON TECHNICAL BID EVALUATION

The technical bids shall be evaluated based on the available documents submitted

by the bidder. To assist in the examination, evaluation, and comparison of the

bids, and qualification of the bidders, the Client may, at its discretion, ask any

bidder for a clarification of its bid. Any clarification submitted by a bidder that is

not in response to a request by the Client shall not be considered. The Client‘s

request for clarification and the response shall be in writing.

If a bidder does not provide clarifications of its bid by the date and time set

in the Client‘s request for clarification, his bid will be rejected.

Client also reserves right to seek confirmation/clarification from the issuing

agency, on the supporting documents submitted by the bidder.

34. TECHNICAL BID EVALUATION (SEGREGATED TYPE)

The Client shall follow two bid system where the Technical bid and financial bid

shall be evaluated separately.

The Technical bids basic evaluation shall be based on the following

Responsiveness of the bid i.e. receipts are duly filed, signed and accepted with

documents in complete form, including authorization letter.

Documents in proof of meeting the minimum eligibility Criteria.

Any other documents as required to support to responsiveness of the bidder as per

the bid document.

35. FINANCIAL BID OPENING PROCEDURE:

The Financial Bids of all the technically qualified Bidders shall be opened, as decided

by committee.

36. RIGHT OF ACCEPTANCE:

The State Project Director, Haryana School Shiksha Pariyojna Parishad, Shiksha Sadan,

Sector -5, Panchkula reserves all rights to reject any bid including of those bidders who

fail to comply with the instructions without assigning any reason whatsoever and does

not bind itself to accept the lowest or any specific bids. The decision of competent

authority in this regard shall be final and binding.

Any failure on the part of the bidder to observe the prescribed procedure and any attempt

to canvass for the work shall render the bidder‗s bids liable for rejection.

Higher authority reserves the right to award any or part or full contract to any successful

bidder/agency(s) at its discretion and this will be binding on the bidders.

In case of failure to comply with the provisions of the terms and conditions mentioned, by

the agency that has been awarded the contract, competent authority reserves the right to

award the contract to the next higher bidder or any other outside agency and the

difference of price shall be recovered from the defaulter agency who has been

awarded the initial contract and this will be binding on the bidders.

The competent authority of Haryana School Shiksha Pariyojna Parishad Shiksha Sadan,

Sector -5, Panchkula may terminate the Contract if it is found that the Contractor is black

listed on previous occasions by any of the Government Departments / Institutions /

Local Bodies / Municipalities / Public Sector Undertaking etc.

37. NOTIFICATION OF AWARD BY ISSUANCE OF „LETTER OF ACCEPTANCE‟

After determining the successful evaluated bidder, Client shall issue a Letter of

Acceptance (LoA) in duplicate, who will return one copy to Client duly acknowledged,

accepted and signed by the authorized signatory, within Three (3) days of receipt of the

same by him.

The issuance of the Letter of Acceptance to the bidder shall constitute an integral part

and it will be a binding to the contract.

The time taken between the date of issue of LoA and Notice to Proceed shall not

prevent the contractor to mobilize the resources for providing the required Tools and

Equipments for Agriculture skills.

various Schools will only commence once the sample products/material submitted by the

Contractor are approved by the nominated committee authorized by the State Project

Director, HSSPP.

38. PEROFRMANCE BANK GUARANTEE /SECURITY DEPOSIT:

The successful bidder within 10 days of the acceptance of the LoA shall execute a

Performance Bank Guarantee (PBG) in the form of bank guarantee of any nationalized

bank, on the ordered value of the contract, as per clause-19 of bid document. The

Performance bank Guarantee (PBG) should remain valid for one year, to be reckoned from

the date of issuance of LOA.

The Bank Guarantee shall be forfeited by order of the competent authority of the client in

the event of any breach or negligence or non-adherence of any terms/conditions of

contract or for unsatisfactory performance or non-acceptance of the work order

If the contractor is called upon by the competent authority of the client to deposit security

and the contractor fail to provide the security deposit within the period specified such

failure shall constitute a breach of contract and contract shall be terminated. In that case,

the client shall be entitled to make other arrangement at the risk, cost and expense of the

contractor.

On due performance and completion of the contract in all respects, the security deposit

will be returned to the contractor without any interest.

39. NOTICES TO PROCEED

After the acceptance of the LoA and securing Performance Bank Guarantee from the

successful bidder, Client shall issue the ‗Notice to proceed‘, to the contractor authorizing

to commence supply only once the sample of the material equipment is approved by the

Authorized Committee at specified locations.

40. SIGNING OF CONTRACT AGREEMENT

The successful Bidder shall enter into contract and shall execute and sign the Contract

Agreement in accordance with the Articles of Agreement before commencement of the

services.

Client shall prepare the draft Articles of Agreement in the Performa included in this

Document, duly incorporating all the terms of agreement between the two parties and

send the same in duplicate to the successful Bidder for their concurrence.

The successful Bidder shall return the duly concurred copies of the draft Articles of

Agreement within Two (02) days, duly printed on the correct amount of stamp

paper, duly adjudicated by the registrar of stamps where the contract is proposed to be

executed.

The Client shall sign the Contract Agreement and return a copy of the same to the successful

bidder.

41. RETURNING OF EARNEST MONEY DEPOSIT

The Earnest money Deposit of the unsuccessful bidders in the technical bid shall be

returned o n award of contract/supply order to the Successful bidder.

The Earnest money deposit of all the bidders shall be returned, in case of cancellation of

Tender after the opening of Technical Bids and prior to opening of financial bids.

For the successful bidders, Earnest money will be discharged upon the bidder signing the

contract form and after furnishing the requisite performance security in the form of Bank

Guarantee which will got verified by Parishad.

SECTION-6

GENERAL CONDITIONS OF

1. DEFINITIONS

GENERAL

In this Contract including the Schedules the following words and expressions shall

(unless the context requires otherwise) have the meaning assigned to them in this Schedule.

―Agreement‖ The word ―Agreement‖ and ―Contract‖ has been used interchangeably.

"Contractor" The word "Contractor" and the "Successful Bidder' has been used interchangeably.

Client The word "Client" shall mean the Office of the State Project

Director, Haryana School Shiksha Pariyojna Parishad Shiksha

Sadan, Sector -5, Panchkula

Party The word ―party‖ means the Successful Bidder to whom the work of

providing Tools and Equipments for Agriculture Skills has been awarded and the Client.

Shall mean the notice of Termination given by either Party to the

other Party Contractor Shall mean the successful bidder to whom the work of providing

mechanized housekeeping services in Client‘ premises have been

CONFIDENTIALITY

The Contractor shall take all precautions not to disclose, divulge and / or disseminate

to any third party any confidential information, proprietary information on the Client‘s

business or security arrangements (including but not limited to the Assignment

Instructions, Schedules and other subsequent Agreements) and/or business of the

Client. The obligation is not limited to any scope and the Contractor shall be held

responsible in case of breach of the confidentiality of Client‘s information.

If the Contractor receives enquiries from Press / News / Media/ Radio / Television

or other bodies / persons, the same shall be referred by the Contractor to Client

immediately on receipt of such queries.

2. SERVICES REQUIRED BY THE CLIENT

The Contractor shall provide/supply Tools and Equipments for Agriculture Skills at

Client‘s specified location as per the details given in the tender document, or at any

other location as required by the Client to be read with the Special Conditions of

Contract, Assignment Instructions and Schedule of Requirements.

The Contractor shall provide/supply required equipment and machinery to the Client‘s

as given in the tender and it is the sole responsibility of the Contractor that the work is

executed in all respects in accordance with the Contractor‘s obligations.

3. COMMENCEMENT OF SERVICES

The Contract shall become legally binding and in force only upon:

The successful Bidder within 10 days of acceptance of LoA shall execute and furnish Bank

Guarantee from a Commercial Bank/Nationalize Bank in an acceptable form in favour of the

State Project Director, HSSPP, Panchkula.

The Performance bank Guarantee (PBG) should remain valid for one year, to be reckoned

from the date of issuance of LOA.

The Contractor shall commence supply of items/material to the Client‘s within 60 days

from the date of samples are approval by the committee appointed by HSSPP.

4. CONTRACTOR‟S OBLIGATIONS:

The Contractor shall provide the required tools and equipments to the Client‘s as per

Schedule o f R e q u i r e m e n t S ection-7 which may be amended from time to time by

the Client during the Contractual period and it shall always form part and parcel of the

Contract. The Contractor shall abide by such assignments, as provided by the Client

from time to time.

All rates quoted must be F.O.R destination where the Tools and Equipments for Agriculture

Skills items are to be supplied and shall include all incidental charges include GST. HSSPP

will not pay any cartage or transportation charges.

The Contractor/Bidders must agree for immediate free replacement in case any discrepancy

is found with regard to quality/quantity of the material to be supplied by them under the

Contract/Tender.

school authorities along with stock register entry to HSSPP, Head quarter under this tender

after completion of 60 days (60 days to be reckoned from the date after receipt of inspection

note from HSSPP).

5 CONTRACTOR‟S LIABILITY

The Contractor shall completely indemnify and hold harmless the Client and its employees

against any liability, claims, losses or damages sustained by it or them by reason of

any breach of contract, wrongful act or negligence or accident by the Contractor or any of

its employees engaged in the supply and installation of the required Equipments to the

Client. The Client is not responsible for any compensation or otherwise.

The Contractor shall not be liable in any way whatsoever and the Client hereby expressly

waives any right to, any loss, injury, damage, cost or expense of whatsoever nature

directly or indirectly:

Caused by, resulting from or in connection with any Act of Terrorism or any Biological

or Chemical Contamination or any Nuclear Risks.

Consisting of, caused by, resulting from or in connection with any loss, damage,

destruction, distortion, erasure, corruption or alteration of Electronic Data from any

cause whatsoever (including but not limited to Computer Virus) unless such loss, damage,

destruction, distortion, erasure, corruption or alteration of Electronic Data was due to the

negligence or default of the Contractor or any of its employees engaged in the provision

of Tools and Equipments for Agriculture Skills to the Client.

The Contractor shall not Sub-Contract or Sub-let, transfer or assigns the contract or any

other part thereof. In the event of the contractor contravening this condition, Client shall

be entitled to place the contract elsewhere on the contractors risk and cost and the

contractor shall be liable for the loss or damage, which the Client may sustain in

consequence or arising out of such replacing of the contract.

6. CLIENT‟S OBLIGATIONS

Except as expressly otherwise provided, the Client shall, at its own expense,

provide timely all the required facilities to enable the Contractor to carry out the

assigned task.

7. VALIDITY OF RATE CONTRACT

The accepted rates shall come in force from the date of signing of Contract Agreement

and will be valid for one year. In case of breach of conditions of Contract or in the event of not

fulfilling the minimum requirements / statutory requirements, the Client shall have the right to

terminate the contract forthwith in addition to forfeiting the performance security amount

deposited by the contractor and initiating administrative actions for black listing etc. solely at the

discretion of the competent authority of the office of the Client.

8. PAYMENTS

100% payment shall be made on receipt of bills from Contractor after successful

completion of job and in proof, he will submit the delivery challan from school authorities

along with stock register entry to HSSPP, Head quarter in the format given at the time of

supply order.

The rate contract shall be valid for the period of a period of one year.

Client shall be entitled to deduct in accordance with Applicable Law, Income Tax at

source (TDS) or withholding tax or other deductions (as the case may be), from any

payments made to the Contractor, and the amount so deducted shall be deemed to be a

payment made to the Contractor. Client shall provide a certificate certifying the

deduction so made.

No payment shall be made in advance on the basis of the order of award of work.

Discount if any applicable should be mentioned in the quoted price list. Discount mentioned

separately will not be considered. This should be a part of Financial Bid.

9. PENALTIES

Penalty clause for rejected samples/ material offered by the Bidder:

In case, the material offered for inspection by the firm fails to meet the

specifications stipulated in NIT/Order/Contract and the samples are rejected by the

Inspecting Committee, the HSSPP will have the right to levy a penalty at 0.1% of the total

order value. In case, the material offered for inspection fails during the 2nd

inspection also,

the HSSPP will have the right to increase the penalty to 0.25% of the total order value. In

case, the material offered fails during the 3rd

and final inspection also, the firm will be liable

for penal action including forfeiture of performance security, risk purchase, debarring/

blacklisting in future, no further opportunity for inspection would be provided to the supplier

firm.

Penalty to firm on Delay in delivery: The Contractor shall commence supply &

installation of all tools & equipments and submit the delivery challan from school

authorities along with stock register entry to HSSPP, Head quarter under this tender within

60 days (60 days to be reckoned from the date of receipt of inspection note from

HSSPP, Head quarter) failing which a penalty of @1% per day for ordered value of

said work for first 30 days shall be imposed. The penalty amount will be deducted

from the invoice/bill of the Contractor. If the Contractor is not able to meet the

requirement of supply of material after 30 days, the contract shall liable to be

terminated, Security Deposit Performance Bank Guarantee shall be forfeited and Bank

guarantee will be encashed. The Client will have the power to award work to any other

Agency for supply of the material at the risk and cost of the Contractor.

10. FORCE MAJEURE - OBLIGATIONS OF THE PARTIES

“Force Majeure” shall mean any event beyond the control of Client or of the

Contractor, as the case may be, and which is unavoidable notwithstanding the reasonable

care of the party affected, and which could not have been prevented by exercise of

reasonable skill and care and good industry practices and shall include, without

limitation, the following:

(i) War, hostilities, invasion, act of foreign enemy and civil war;

(ii) Rebellion, revolution, insurrection, mutiny, conspiracy, riot, civil commotion

and terrorist acts;

(iii) Strike, sabotage, unlawful lockout, epidemics, quarantine and plague;

(iv) Earthquake, fire, flood or cyclone, or other natural disaster.

As soon as reasonably practicable but not more than 48 (forty-eight) hours

following the date of commencement of any event of Force Majeure, an

Affected Party shall notify the other Party of the event of Force Majeure

setting out, inter alia, the following in reasonable detail:

The date of commencement of the event of Force Majeure;

The nature and extent of the event of Force Majeure;

The estimated Force Majeure Period,

Reasonable proof of the nature of such delay or failure and its anticipated effect

upon the time for performance and the nature of and the extent to which, performance of

any of its obligations under the Contract is affected by the Force Majeure.

The measures which the Affected Party has taken or proposes to take to

alleviate/mitigate the impact of the Force Majeure and to resume performance of such

of its obligations affected thereby.

Any other relevant information concerning the Force Majeure and /or the rights

and obligations of the Parties under the Contract.

11. TERMINATION

This Contract may be terminated forthwith by the Client by giving written notice to the Contractor

if :

The Contractor is in material breach of its obligations under this Agreement

and or, in the case of such breaches capable of being remedied, fails to

remedy that breach within thirty days of receiving notice of such breach; or

The Contract may be terminated forthwith by the Client by giving written

notice to the Contractor, if:

In case of breach of any of terms and conditions of the Contract by the Contractor, the

Client shall have the right to cancel/terminate the Contract without assigning any reason

thereof, and in such a event the security deposit in the form of performance Bank

Guarantee shall be forfeited and encashed.

The Contractor does not provide material and equipment as per the requirements of the

Client or / and as per the Schedule of Requirements within scheduled time.

If Contractor fails to perform any other obligation under the contract.

If Contractor as found by Parishad, has engaged in fraud and corruption, in competing for or

in executing the contract or has committed gross violation of the terms and condition of the

tender.

12. Any point not covered under The Terms and Conditions of the Tender

For any point not covered under the provisions of the tender, SPD, HSSPP, Panchkula shall be the

competent authority, whose orders in this regard shall be final and binding upon the bidders.

13. DISCLAIMER

The relatives / near relatives of employees of the Client are prohibited from participation in this

bid. The near relatives for this purpose are defined as:

a. Members of a Hindu Undivided Family.

wife, sister(s) and sister‘s husband (brother-in-law)

14. INSOLVENCY

The State Project Director, Haryana School Shiksha Pariyojna Parishad Shiksha Sadan,

Sector -5, Panchkula may at any time by notice in writing summarily terminate the

contract without compensation to the contractor in any of the following events, that is to

say:-

If the contractor being an individual or if firm, any partner in the contractors firm

shall at any time be adjudged insolvent or shall have receiving order or orders for

administration of his estate made against him or shall take any proceedings for liquidation

or composition under any insolvency not for the time being in force or shall make any

inconvenience an assignment of his efforts of enter into any arrangements or composition

with his creditors on suspended payment of if the firm is dissolved with partnership act;

or

(i) If the contractor being a company shall pass a resolution or the court shall make

an order for the liquidation of the affairs or a receiver or Manager on behalf of

the debenture holder shall be appointed or circumstances shall have arisen which

entitled the court or debenture holders to appoint a receiver or Manager.

(ii) If the contractor commits any breach of this contract not herein specifically

provided for: Provided always that such determination shall not prejudice

any right of action or remedy which shall have accrued or shall accrue

thereafter to the Client and provided also that the contractor shall be liable to

pay the Client for any extra expenditure, he is thereby put to but shall not

be entitled to any gain on re-purchased

15 CURRENCIES OF BID AND PAYMENTS

The Bidder shall submit his price bid / offer in Indian Rupees and payments under this

contract will be made in Indian Rupees.

16 RISK AND COST

In case the contractor fails to execute the work or left the work in between or shows his

inability to complete the work then the Parishad shall terminate the contract and allot the work to the

other contractor on the risk and cost of the original contractor (to whom the contract was given

earlier). In such a case the amount incurred in excess of the sum which would have been paid to the

original contractor that will be borne and paid by the original contractor. In addition to the above, the

performance security of the original contractor shall also be forfeited by the Parishad.

17. BLACKLISTING :

Without prejudice to the terms & conditions mentioned in the bid document, SPD will have discretion

to take necessary action for blacklisting the firm / agency on the following grounds :-

i) In case of termination of contract on any ground

ii) In case of breach of terms & conditions of contract agreement

iii) In case of late delivery of equipments.

iv) In case contractor fails to execute/ complete the work.

18 PSSE/ACS (SE), HARYANA SHALL HAVE THE POWER:

(i) To increase the quantum of penalty specified in this tender as deemed fit.

(ii) To impose penalty in case of nature of mistakes not covered in this tender.

(iii) In case the payment of the bill has already been made, the recovery of amount of penalty

can be made from other bills of the firm.

(iv) A contractor may make a representation against any order of the Parishad within thirty

days from the date of passing of such order to the PSSE whose decision will be final and

binding upon the appellant firm and further there is no provision for the second appeal in

this regard.

19. GOVERNING LAWS AND SETTLEMENT OF DISPUTE

Any claims, disputes and or differences (including a dispute regarding the existence,

validity or termination of this Contract) arising out of, or relating to this contract

including interpretation of its terms shall be resolved through joint discussion of the

Authorized Representatives of the concerned parties.

However, if the disputes are not resolved amicably by the discussions as

aforesaid within a period of 60 days, then the matter will be referred for adjudication

to the arbitration of a sole arbitrator in accordance with the provisions of the

Arbitration and Conciliation Act, 1996 ( a m e n d e d f r o m t i m e t o t i m e ) . The

Sole Arbitrator shall be nominated/ appointed by the Principal Secretary

In this Schedule of Requirements, the details of supply of Tools and Equipment for

Agriculture Skill to be supplied by the Contractor and also other information, instructions of the

Client and instructions to the Contractor and all such other aspect of the Contracts are to be

mentioned.

1. SCOPE OF WORK

All rates quoted must be F.O.R destination (at school level) where the tools & equipments, is to

be supplied. The Procuring entity will not pay any cartage or transportation charges.

The bidders are required to quote the basic rates, the delivery/ transportation costs/ applicable

GST and duties etc, under online price bid.

No separately charges for packaging and forwarding will be paid.

Name of Supplier/Manufacture should be mentioned on the supplied material/items.

The quantity of tools & equipments (Stores) can be increased or decreased, as per the guidelines

issued by Government.

Name and number of schools may vary. Bidders will supply the ordered material within 60 days after approval of samples by the committee

in full quantity.

The rates and the contract will be valid for one year from the date of award of the contract.

Where ISI marked items are available in the market, only those (ISI marked) must be

quoted/supplied.

Inspection will be carried out by the Inspection Committee formed by the HSSPP prior to

commencement or supply material to various schools and random sampling after supply may be

carried out.

Successful Bidder has to provide user manual of tools and equipment along with

operational training to vocational teacher of each school.

List of equipments with quantity to be provided to all respective schools shall be considered as

Single kit (year-wise), whose price is to be quoted by bidder under online price bid. However, L1

will be decided on total bid value of all kits.

2. TENTATIVE REQUIREMENTS

The bidder shall supply/ provide the required number of items to the Client. The Contractor is required to quote prices in the Price Schedule, which is uploaded

online.

Year wise List of equipments along with specifications is at „Appendix-B‟.

3. Any changes/modifications/amendments required to be incorporated in the

Contract Agreement at a later stage shall be discussed and mutually agreed to

by both the parties and such supplementary agreements shall be binding on both

the parties and shall form the part of this contract agreement.

4. This Contract shall be governed by and construed in accordance with the laws

of India. Each Party hereby submits to the jurisdiction as set out in the

Dispute Resolution Procedure in the Conditions of Contract.

claimed by the Owner in such Demand. The Owner shall have the right to make an

unlimited number of Demands under this bank guarantee provided that the aggregate of all

sums paid to the Owner by the Bank under this bank guarantee shall not exceed the

Guaranteed Amount. In each case of demand, resulting to change of PBG values, the

Owner shall surrender the current PGB to the bank for amendment in price.

(ii) However, the Bank‘s liability under this bank guarantee shall be restricted to an amount

Contract.

(v) The guarantee herein contained shall not be affected by the liquidation or winding up,

dissolution, change of constitution or insolvency of the Contractor but shall in all respects and

for all purposes be binding and operative until payment of all money due to the Owner in

respect of such liability or liabilities is effected.

(vi) This bank guarantee shall be governed by and construed in accordance with the laws of

the Republic of India and the parties to this bank guarantee hereby submit to the jurisdiction

of the Courts of Panchkula/Chandigarh for the purposes of settling any disputes or

differences which may arise out of or in connection with this bank guarantee and for the

purposes of enforcement under this bank guarantee.

(vii) All capitalized words used but not defined herein shall have the meanings assigned to

them under the Contract.

(viii) NOT WITH STANDING anything stated above, the liability of the Bank under this bank

guarantee is restricted to the Guaranteed Amount and this bank guarantee shall expire
