HON. PRESIDENT’S MESSAGE

Dear Members,

I am very pleased to inform all esteemed IMPPA members that with their co-operation and support my team of Office Bearers and Executive Committee members have been able to ensure that IMPPA be-sides being the largest and oldest association of film producers in India is amongst the most respected associations whose members can rely on IMPPA whenever they are in any kind of difficulty or need any help for solving any dispute besides prompt and efficient service in terms of grant of Membership as also registration of Titles.

I am proud to say that during the past year besides regular work we have been able to do lot of work for the benefit of IMPPA members some of which I would like to mention which include; (a) Dur-ing the period 2021-2022 we have granted 731 normal membership and 95 life membership as well as registered 16023 titles belonging to the members of IMPPA; (b) IMPPA Welfare Trust is providing fi-nancial help of Rs. 2,000/- to all members whose financial condition is not good and also to the retired members every month from the Trust; (c) IMPPA is providing emergency medical aid directly in name of the hospital to all members who have approaches it in times of medical emergency; (d) IMPPA has renewed the Accidental insurance policy which now covers each and every member of IMPPA who are all now eligible for making claims in case of accidents; (e) IMPPA has settled and passed Awards in many dispute matters; (f) IMPPA is the only association which has 2 self owned office premises in Mumbai i.e. in Bandra, Andheri and one branch office in Ahmedabad located at 412/B, 4th Floor, Rat-na Business Square, Old Natraj Cinema Building, Opp. H.K. Collage, Ashram Road, Ahmedabad – 380 009, Gujarat ; (g) IMPPA Home Theatre has been fully up graded by the new committee and is today favourite for all our producers because they are getting best service possible at negligible rates; (h) The committee is also proposing to provide free education for all girl child of economically weak members.

Besides the above I, am very proud to declare that the financial position of the association is very good and we are now planning to purchase new property which will result in regular income to enable us to give more benefits to our members. I am very grateful to all my fellow Office Bearers and Executive Committee members as well as all members at large and staff because without their whole hearted support and co-operation the above would not have been possible. The future is really bright for the entertainment industry and I and my entire team look forward to serving the interest of our members in future also.

EIGHTY THIRD ANNUAL REPORT FOR THE YEAR 2020-2021

Friends,

Your Committee has pleasure in presenting this 83rd Annual Report of Indian Motion Picture Producers’ Association (IMPPA) along with the Audited Balance Sheet and Statement of Accounts for the year ended 31st March 2022. Subjects dealt with by the Committee being of varied and important nature, have been grouped under different heads.

EIGHTY SECOND ANNUAL GENERAL MEETING

The 82nd Annual General Meeting of the Association was held on Tuesday, the 28th September 2021 at 10:30 a.m. on Zoom Video Conference wherein it was clearly informed that the Annual Elections as already notified and resolved by the EC cannot be held in the present circumstances due to Covid 19 restrictions and also due to banquet halls not having capacity to enable us to follow the SOP’s regarding social distancing and hence the EC shall continue to occupy the office along with the Office Bearers till the elections are held and new committee is appointed.

An Extra Ordinary General Meeting of IMPPA was held on 22nd February 2022 due to Court cases filed by Shri Ashok Tyagi & Shri Rajeev Chaudhari in which matter the Court had restrained IMPPA from carrying out elections by implementing Article 38A which stated “a person shall not be capable of being appointed a member of the committee if he has attained the age of 75 years”. The EOGM as per advice of the EC deleted Article 38A as per the Court order and following resolution was passed:-

“RESOLVED that Clause: 38A of Articles of Association to be deleted as per The Bombay Civil Court order dated 22nd September, 2021”.

Thereafter the postponed elections were held on 9th April 2022 in which the following members were elected to be members of the Executive Committee for the year 2022-2024.

IMPPA is the only association amongst all producers associations in Mumbai which has 2 office premises in Bandra (W) & Andheri (W) where it is having its own Home Theatre for screening films of its members at minimum rates in its Sophisticated Corporate office in Andheri (W) which is the heart of the Indian Entertainment Industry. We are proud to announce that the new committee has totally revamped and upgraded the Home Theatre which can now screen various formats 4K, 2K, DCP, H264, MOV, MP4 and Web series direct streaming also available & the same was available to members at negligible rates of Rs. 6,000/- + GST for 150 minutes & Rs. 2,500/- for 60 minutes. More and more members have started taking benefit of the best projection and sound system and we are sure all the members will be benefited by the up gradation.

VARIOUS OTHER ACTIVITIES DURING THE YEAR

Achievements of the Executive Committee for the year 2021-2022

1. In the EOGM dt. 22nd February 2022 IMPPA has amended the MOA & AOA as per the approval from Registrar of Companies in 2017 & City Civil Court order dt. 22-9-2021 for deletion of Clause 38-A i.e. E.C. member above the age of 75 years has the right to contest the elections.

2. IMPPA had attended meeting with the Hon. Labour Commissioner on 12th July 2021 after which a circular was issued by the office of the Labour Commissioner making it very clear that producers were free to work with any one of their choice at the agreed payment subject to it being not less than the minimum wages and the same would be mutually decided & recorded in an agreement & no union or association has any authority to recover payments for workers under any circumstances & the same should be deposited directly into the workers bank account.

3. The new Executive Committee in the 1st meeting itself declared that IMPPA has been embroiled in various unnecessary litigations and the new committee would like to start with clean slate for which we shall endeavor to settle the cases and or get the same withdrawn as the cases have been filed by our members and we can settle the same amicably across the table which process has already started and number of cases have been withdrawn.

4. After the elections legal cases have been filed against IMPPA by Ex-President Shri T.P. Aggarwal & 3 cases by Shri Naresh Mohnot challenging the elections & working of IMPPA which cases are also in the process of being withdrawn.

5.The Home Theatre has been fully up graded by the new committee and is today favourite for all our producers because they are getting best service possible at negligible rates.

6. The Ahmedabad office which was earlier in a very small place has been shifted to a better and spacious premise by the new committee.

7. After a gap of 2 years where meetings were not possible due to Covid 19 IMPPA Arbitration meetings have been started once again to take up and settle various matters and complaints.

8. The committee is also proposing to provide free education for all childrens of economically weak members.

9. The committee is pleased to inform that we have renewed the Group Personal Accidental Policy of Rs. 1 lakh each for all the members of IMPPA who will now be eligible for making claims in case of accidents.

Home Theatre

IMPPA is successfully running for the benefit of its members a Luxurious well equipped Home Theatre in its office premises which contains the following:- 37 Luxurious push back seats, Dolby Atmos 11.2 system and supporting the following formats 4K, 2K, DCP, H264, MOV, MP4 and Web series direct streaming also available. IMPPA has kept very reasonable rates for its members i.e. Rs. 6,000/- + GST for 2 ½ film, for 3 hour film Rs. 9,000/- + GST and for films of shorter length charges will be Rs. 2,500/-+ GST per hour. Members can also book the Home Theatre for Press Conference, Music release, Trailer release or any other function at the above mentioned rates. The Home Theatre is also available for screening films of Non Members at Rs. 10,000/- + GST for 150 minutes film and for films of shorter length up to 60 minutes Rs. 5,000/- per hour.

Financial Position

The Financial status of the Association continues to be robust. The Committee has taken all steps for minimizing the expenses and maximizing the revenue. As a result of the Committees’ initiatives for the growth of revenues the financial position of the Association is very comfortable & we have adequate funds for helping our members in need.

IMPPA Bandra office on lease

It is a matter of pride that IMPPA is the only producer’s association in Mumbai to have 2 self owned office premises in Mumbai and since our Andheri (West) office is more than sufficient for our working requirements our Bandra office premises known as IMPPA House at Dr. Ambedkar Road, Near Pali Naka, Bandra (W) has been given on lease to our member Mr. R. Balki of M/s Hope Production renowned film maker who has fully renovated and rejuvenated the entire premises and are operating from there. Besides this IMPPA has one branch office also in Ahmedabad located at 412/B, 4th Floor, Ratna Business Square, Old Natraj Cinema Building, Opp. H.K. Collage, Ashram Road, Ahmedabad – 380 009, Gujarat.

Matters in FFI

The Committee is very happy to report that various matters relating to Governments were taken up through Film Federation of India where your Committee is represented by Hon. President - Shri Abhay Kumar Sinha, Sr. Vice President - Shri Ashoke Pandit, Vice President - Shri Tinu Verma alias Surendra Verma, Joint Secretary – Shri Atul Patel, E.C. member Shri Yusuf Shaik & FMC - Gen. Secretary – Shri Nishant Ujjwal.

Membership

During the year under review IMPPA has granted Normal membership to as many as 731 applicants and Life Membership to 95 applicants. Application forms and Rules & Regulations of membership have been made available on the IMPPA website www.imppa.info.

During the year under review, Title Registration Committee of FMC has registered¬¬¬¬¬ approx. 16023 ¬¬¬¬titles belonging to the members of IMPPA. We have taken steps to make application forms for title registration and renewal available on the IMPPA website www.imppa.info.

Group Personal Accidental Insurance policy for IMPPA members

During the year IMPPA has renewed Group Personal Accidental Insurance policy taken from M/s Oriental Insurance Co. Ltd. further for period 2022-2023 for all the members of IMPPA.

IMPPA remains the first Association facilitating Trademark & Copyright registration for its members.

In these days it is very essential to safeguard the creative and intellectual property rights to protect the producer members and the members of IMPPA are having the facility of registering the copyright/trademark of their titles, story, script, literary work, audio songs etc, through IMPPA. During the year IMPPA has helped various members register their above mentioned works through M/s Consulta Legal who have been appointed as IMPPA’s Consultant for doing this work.

IMPPA Welfare Trust

IMPPA Welfare Trust continues to extend financial aid to those who approach the Trust for monetary assistance and the committee is happy to state that the Trust has been helpful to many members who were in need of funds to undergo even life saving medical treatment and any member facing any medical emergency can approach the trust for immediate help.

Court Matters

The committee has resolved to end all litigations and has taken various steps to implement its resolve to begin with clean slate as far as legal matters are concerned for which many attempts have been made and number of cases have been withdrawn / settled like Ex-President Shri T.P. Aggarwal has withdrawn his case and Shri Naresh Mohnot has withdrawn the 3 cases filed by him besides Shri Vinod Chhabra has also withdrawn one case filed by him and work is in process to ensure that all other cases and litigations are also withdrawn and settled amicably.

FUTURE

With the advancement of technology the film as well as television and entertainment industry is changing every day and film has given way to digital media and even exploitation and exhibition has changed from prints to digital exhibition and besides television content most producers are today producing web series, short films & documentaries for various online platforms. Your Association, IMPPA will always play a key role in maintaining the creative and commercial balance between the new mediums, i.e. films, television, web series and internet for digital exploitation on various platforms like Netflix, Hot Star, Sony Liv, Alt Balaji, Amazon and various other platforms. It is noteworthy that the name of IMPPA itself includes films, television, web series and all other entertainment based content as all these contents are based on motion pictures i.e. picture of things in motion which is why the name of Indian Motion Picture Producers’ Association includes all activities of entertainment industry.

Post Covid 19 the entertainment industry is gearing up for the future and we are sure entertainment knows no boundaries and with development of new technology the sky is the limit for which IMPPA will be always available for the benefit of all members.

Emphasis of Matter

As more specifically explained in Note 2 to the financial statements, the Company has made a detailed assessment of its liquidity position for the next year and the recoverability and carrying value of its assets comprising property, plant and equipment, investments, inventory and trade receivables. Based on current indicators of future economic conditions, the Company expects to recover the carrying amount of these assets. The Company continues to evaluate them as highly probable considering the orders in hand. The situation is changing rapidly giving rise to inherent uncertainty around the extent and timing of the potential future impact of the COVID-19 pandemic which may be different from that estimated as at the date of approval of the financial results. The Company will continue to closely monitor any material changes arising of future economic conditions and impact on its business.

Our opinion is not modified in respect of this matter.

Management’s responsibility for the financial statements

The Company’s board of directors are responsible for the matters stated in section 134(5) of the Act with respect to the preparation of these financial statements that give a true and fair view of the financial position, financial performance and cash flows of the Company in accordance with the accounting principles generally accepted in India, including the accounting standards specified under section 133 of the Act. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statement that give a true and fair view and are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, management is responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

The board of directors are also responsible for overseeing the Company’s financial reporting process.

Auditor’s responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

• Identify and assess the risks of material misstatement of the financial statements, whether due to fraud

or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances. Under section 143(3)(i) of the Companies Act, 2013, we are also responsible for expressing our opinion on whether the company has adequate internal financial controls system in place and the operating effectiveness of such controls

• Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.

• Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Company to cease to continue as a going concern.

• Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

Materiality is the magnitude of misstatements in the financial statements that, individually or in aggregate, makes it probable that the economic decisions of a reasonably knowledgeable user of the financial statements may be influenced. We consider quantitative materiality and qualitative factors in (i) planning the scope of our audit work and in evaluating the results of our work; and (ii) to evaluate the effect of any identified misstatements in the financial statements.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards. From the matters communicated with those charged with governance, we determine those matters that were of most significance in the audit of the financial statements of the current period and are therefore the key audit matters. We describe these matters in our auditor’s report unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.

Report on other legal and regulatory requirements

The Companies (Auditor’s Report) Order, 2020` (“the Order”), issued by the Central Government of India in terms of sub-section (11) of section 143 of the Companies Act, 2013, is not applicable to the company.

As required by Section 143(3) of the Act, we report that:

(a) We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit;

(b) In our opinion, proper books of account as required by law have been kept by the Company so far as it appears from our examination of those books;

(c) The balance sheet, the statement of profit and loss, and the cash flow statement dealt with by this report are in agreement with the books of account;

(d) In our opinion, the aforesaid financial statements comply with the accounting standards specified under section 133 of the Act, read with rule 7 of the Companies (Accounts) Rules, 2014, as amended from time to time;

(e) On the basis of the written representations received from the directors as on March 31,2022 taken on record by the board of directors, none of the directors is disqualified as on March 31, 2022 from being appointed as a director in terms of Section 164 (2) of the Act;

(f) Since the Company’s turnover as per last audited financial statements is less than Rs.50 Crores and its borrowings from banks and financial institutions at any time during the year is less than Rs.25 Crores, the Company is exempted from getting an audit opinion with respect to the adequacy of the internal financial controls over financial reporting of the company and the operating effectiveness of such controls vide notification dated June 13, 2017;

(g) The Company being registered under section 8 of the Companies Act, 2013, the other matters to be included in the Auditor’s Report in accordance with the requirements of section 197 (16) of the Act, as amended, in respect of whether the remuneration paid by the Company to its directors during the year is in accordance with the provisions of section 197 of the Act is not applicable; and

(h) With respect to the other matters to be included in the Auditor’s Report in accordance with Rule 11 of the Companies (Audit and Auditors) Rules, 2014, in our opinion and to the best of our information and according to the explanations given to us;

a. The Company does not have any pending litigations which would impact its financial position;

b. The Company did not have any long-term contracts including derivative contracts for which there were any material foreseeable losses; and

c. There has been no delay in transferring amounts, required to be transferred, to the Investor Education and Protection Fund by the Company

d. The management has represented that, to the best of its knowledge and belief, other than as disclosed in the notes to the accounts,

i. no funds have been advanced or loaned or invested (either from borrowed funds or share premium or any other sources or kind of funds) by the company to or in any other person(s) or entity(ies), including foreign entities ‘Intermediaries’, with the understanding, whether recorded in writing or otherwise, that the Intermediary shall, whether, directly or indirectly lend or invest in other persons or entities identified

in any manner whatsoever by or on behalf of the company ‘Ultimate Beneficiaries’ or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries; and

ii. no funds have been received by the company from any person(s) or entity(ies), including foreign entities ‘Funding Parties’, with the understanding, whether recorded in writing or otherwise, that the company shall, whether, directly or indirectly, lend or invest in other persons or entities identified in any manner whatsoever by or on behalf of the Funding Party ‘Ultimate Beneficiaries’ or provide any guarantee, security or the like on behalf of the Ultimate Beneficiaries.

iii. Based on audit procedures carried out by us, that we have considered reasonable and appropriate in the circumstances, nothing has come to our notice that has caused us believe that the representations under sub-clause (i) and (ii) contain any material misstatement.

e. The Company has not declared or paid any dividends during the year and accordingly reporting on the compliance with section 123 of the Companies Act, 2013 is not applicable for the year under consideration.
