Chairman’s Message
Dear Astute Members,
“The best way to find yourself is to lose yourself in the service of others.” - Mahatama Gandhi
This beautiful quote has inspired me to start my stint as Chairman of the most vibrant Chapter which has won accolades as the National Best Chapter several times by the Institute. Drawing an inspiration from such quote which etched deeply into my heart has infused an aim to contribute at my best in translating the vision of ICSI into reality.
With such an inspiration, I had taken over the reins of ICSI Hyderabad Chapter with a passion coupled with enthusiasm to endeavor the continuous inspirational growth of the Chapter with earnestness and committed to make it more dynamic in enriching our CS profession. It gives me immense pleasure for having the opportunity to give back the Institute by serving as Chairman of the Chapter.
At this instance, I would like to acknowledge that, your unstinted support and suggestions in the affairs of the chapter has propelled us in achieving excellence and to fly high the reputation of our Hyderabad Chapter. I sincerely appreciate your contribution towards our mission. With tremendous courage, commitment and dedicated team work of the Managing Committee of our Chapter, we have been successful in implementing the vision of ICSI especially in achieving professional excellence. I have drawn inspiration from the Vision 2020 of ICSI and have been putting my best efforts in driving the activities of Chapter in this direction. I believe in the saying “Leadership is the capacity to translate vision into reality -नेतृत्व वास्तविकता में दृष्टि का अनुवाद करन ेकी क्षमता है।”Under the proficient guidance of our visionary President and persistant efforts of the Central Council, our Institute is reviewing Vision 2020 so as to revise it by Vision 2022 to cater to the needs of our profession and Industry. I take this opportunity on this occasion to share the happy moment and congratulate the ICSI for achieving the milestone of 50,000 Members. With this colossal strength we can make our presence heard in all corners of the country.
National Best Chapter Award and Best Chapter Award under A+ Category
It gives me great pleasure to inform that the ICSI Hyderabad Chapter has been adjudged as National Best Chapter for the year 2015 and I congratulate CS Issac Raj, Chairman for the year 2015 for his best efforts for achiveing the same. I also thank in this occassion, CS. Ahalada Rao V- Council Member, CS. R. Ramakrishna Gupta and CS. P.S. Sastry, Regional Council members for their support and guidance.
Role of ICSI Hyderabad Chapter towards vision ICSI and building Brand image of ICSI
The visibility of our Chapter has always been perceptive and far-sighted with innovative programs and unique concepts. We have adopted the 360 degrees approach in serving the ICSI, its members, students

and other stakeholders in designing and organizing our programs. Our Chapter has always been ahead in introducing innovative ideas and out of the box concepts to the ICSI which have also contributed towards the tremondous growth of CS profession and visibility of ICSI.
It is evident that during the previous year, our Chapter has pioneered an innovative concept of initiating the proposal by ICSI for observing a day in a year as “International Corporate Governance Day” and organised International Congruence to elevate this exceptional concept to UNO through Government of India. It gives me great satisfaction that our former Chairman CS. Mahadev Tirunagari and our Council member CS Ahalada Rao V. have played a key role in conceptualising, developing the theme for which i was also part of the team in driving the concept and orgnaising the International Congruence on ICGD by our Chapter. It gives me great pleasure to share that our Chapter is also instrumental in drafting of the “International Corporate Governance Code (ICGC)” which would be a universally acceptable uniform code for governance, if accepted and adopted by various nations. This is not only enhances the brand image of ICSI but will also elevate India in International Corporate arena.
Opportunities for CS and Role of Chapter for professional developmentThe activities of our chapter for this year has significantly focussed on ‘Capacity Building’ for our members and students. Majority of the programs are designed enhance the skill sets of the Members and students and to build capacity.
The scope and opportunities for CS profession has been expanding multi-dimensionally. Since the introduction of the Companies Act, 2013 the role of CS in corporate has been positioned as a KMP and Secretarial Audit has given a new identity to the profession.
Introduction of the Goods and Service Tax Act, Insolvency and Bankruptcy Code, National Company Law Tribunal and National Company Law Appellate Tribunal has opened new avenues for the Company Secretaries and now we have wide range of opportunities not only to serve the corporate or business entities but also to serve our nation at large.
Bank Concurrent Audit and other Audits in banking sectorDuring the year 2016-17 our Chapter has made its efforts to explore new avenues for Company Secretaries. One such avenue is in the Banking Sector i.e., Bank Concurrent Audit and our Chapter has brought the same to the attention of the ICSI Head Quarters to take it forward with RBI and Indian Banks Association. We hope that, we would get this recognition also and our professional colleagues will take up this new challenge as our Company Secretaries are already dealing with Internal Audit under the Companies Act, 2013.
The role of our Chapter is to enhance the skills of our members by impart thorough training to equip ourselves in enriching the knowledge and ability to conduct such audit.
Other innovative programs for serving the members and studentsHealth Risk Assessment Program and CSBF Benefit ShowOur Chapter has been serving the members and students not only on professional front but also on personal front. We had taken a new and innovative initiative in association with Care Hospitals in organizing Health Risk Assessment program by conducting free medical tests and Blood investigations etc.. for our CS members and their families (30 people per day) every Friday and Saturday for a period of 6 months from which approximately 1500 people will avail the benefit. We had also contributed an amount of Rs.30,000/- for CSBF by organizing a special CSBF benefit show at IMAX theatre with CS members and their families and other contributions.

Since 18th January 2017, our Chapter has adopted trend setting approach in orgnaising various programs with the object to provide practical exposure to build the skill set of participants to independently handle professional work.
• Organising ‘In house Capacity building Training programs at corporate hubs’ which will help our members at various corners of city to attend the programs conveniently at their workplaces.
• Organising ‘Research Atelier Programs’ for making threadbare discussion on provisions, Rules and Regulations of various corporate laws.
• Organising ‘Discusssion Meetings’ with the members on various corporate law matters by providing a platform to members as speakers and also for sharing their experiences in handling major corporate tasks and to create awareness on various concerns that may a rise while handling such challenging tasks.
• Organising special programs in the fields of legal, finance, human resource and labour law matters to acquiant members for working on new emerging areas which help in exploring new avenues and opportunities.
Upcoming programsWe would also like to conduct programs in areas of communications and technology etc. for the overall development of students and members. We aim to provide as many takeaways as may be possible for participants.
During the past 6 months we have organized 30 of programs and we have also planned for organizing various skill development programs not only in the academic perspective but also in the areas of soft skills, etc. and overall professional development of members. Keeping in view the number of programs, we have introduced attractive and most beneficial Annual Participation Scheme for members and students. The members and students may make the best use of same.
Professional Development programs and achievements Our Chapter has conducted a one day seminar on Insolvency and Bankruptcy code with the gracious presence of Shri Vinod Kumar B, Hon’ble member of Parliament, also member of Parliamentary Joint Committee on IBC and Shri Ravikumar Duraisamy, Hon’ble member, NCLT- Technical and our beloved Former President CS (Dr.) U.K Chaudhary.

of Insolvency & Bankruptcy Code, 2016 & NCLT Ü 11th Residential Programme on “Spark the Elegant Smile with Helthy Breathe Ü Workshop on Corporate Resolution Process Ü Seminar on Emerging Areas for Practicing Company Secretaries, “Four Square Audit”.
Our core object in designing programs is to create every opportunity to CS members for enriching their knowledge and improving their skills, adhering to the objects of ICSI.
Our Chapter also looking forward to provide the Campus Placements and placement services for our members, in view of incresing job opportunities in the Corporate.
Hyderabad Chapter Building ConstructionThe Managing Committee of the Chapter is presently working on priority basis on our dream project of constructing a new Building for the Chapter in place of the existing premises. We had overcome several hurdles and had taken abundant precausionery measures through public notice for the construction of the building without any obstacles. We are putting our best efforts to complete our dream project.
During the year the Infrastructure Committee for Hyderabad Chapter Building Project of ICSI and Managing Committee of Hyderabad Chapter have taken necessary steps for the building project and Chapter has forwarded the building plans to the SIRC for its recommendation to HQ. The SIRC has also granted its approval for the same and agreed part contribution towards the cost of building project.
I am hopeful that the construction of new building would be completed during the term of this committee.

REPORT OF THE MANAGING COMMITTEE FOR THE YEAR 2016-2017
The Managing Committee of The Institute of Company Secretaries of India – Hyderabad Chapter has pleasure in presenting the 36thAnnual Report and the Audited Accounts of the Chapter for the financial year ended 31st March, 2017 together with Auditors’ Report thereon.
During the year under review (the Financial Year 2016-2017), the Chapter generated a surplus of Rs.32,52,101/- as against Rs.27,84,236/-for the year 2015-16 after meeting the cost of maintenance of the Chapter, which, in our opinion, was possible only with the support from all concerned Members of the Hyderabad Chapter, APS and APS+ members, the Leadership Team of the Chapter, Sponsors, the staff and all other patrons who have been associated with the Hyderabad Chapter. We take this opportunity to once again thank all the members and students for their continued and consistent support.

IMPORTANT PROGRAMMES / ACTIVITIES DURING THE YEAR 2016-17
PAN India Program on ‘Whirlwind Plenary on Evangelizing the International Corporate Governance Day [ICGD] – 16.04.2016
As a part of PAN India programs, on 16th April, 2016 the Chapter organized ‘Whirlwind Plenary on Evangelizing the International Corporate Governance Day [ICGD]’ at ASCI whereat Shri Bandaru Dattatreya, Hon’ble Minister for Labour and Employment (I/C), Government of India was Chief Guest. The program was attend by a large number of Members and dignitaries of other sister institutes and regulatory bodies. On this occasion, Shri Bandaru Dattatreya in presence of the Managing Committee and other members, released a Special Postal Stamp on ICGD followed by hoisting of ICSI-ICGD Flag depicting the International Corporate Governance Day Logo and also released ICSI-ICGD balloons in the air. Further, Hon’ble Minister released a book on ‘Challenging Opportunities for PCS in Labour Law’ published by the ICSI. The Program was followed by Panel Discussions by various dignitaries of the other bodies, sister Institutions and Universities.
‘Embarking upon the Voyage of Research’ Jointly with CCGRT - 19.05.2016 to 21.05.2016 [Series-I] and 24.06.2016 - 25.06.2016 [Series-II].
Chapter organized a research seminar titled ‘Embarking upon the Voyage of Research’ jointly with ICSI CCGRT at Ni-msme, Hyderabad under the coordination of CS Ahalada Rao V, Council Member, the, ICSI. Shri K K Balu, Ex Chairman, CLB; Hon’ble Justice [Retd.) Shri TNC Rangarajan, CS Atul H Mehta & CS Makarand Lele, Council Members, The ICSI actively participated in the program apart from the Research Scholars from Hyderabad and various parts of the Country who have contributed a lot for the First Edition of ‘Premier on Company Law [Volume-I]’.
Joint Seminar on Insolvency and Bankruptcy Code 2016 and Companies (Amendment) Bill 2016’- 28.05.2016
Chapter organized one day seminar jointly with FTAPCCI on ‘Insolvency and Bankruptcy Code 2016 and Companies (Amendment) Bill 2016’ at FTAPCCI premises. Youth Skill Fest- Yuva Kaushal – 15.07.2016
On 15th July, 2016 Chapter organized Youth Skill Fest- Yuva Kaushal at JNTU. Swami Bodhamayanandaji Maharaj, Director Vivekananda Institute of Human Excellence was the Chief Guest, Smt. Amala Akkineni & Co-founder, Blue Cross of Hyderabad, CS (Dr.) Shyam Agrawal, Vice President (2016), the ICSI and CS C Ramasubramaniam, Council Member, the ICSI were the Special Guests in the Inaugural Session of the program.
Shri K Taraka Rama Rao, Hon’ble Minister for IT, Municipal Administration & Urban Development, Industries & Commerce, Public Enterprises, Sugar, Mines & Geology, NRI Affairs, Government of Telangana was the Chief Guest for the Valedictory Session. Shri Bontu Rammohan, Mayor of the Municipal Corporation of Hyderabad; Shri M Krishna Rao, MLA, Dr. A. Govardhan, Principal, JNTU, Dr. N.Yadaiah, Registrar, JNTU have also graced the program as special guests. The Program was attended by around 1000 students from various colleges and 400 members apart from various dignitaries from the Industry and sister institutions.
The Youth Skill Fest program was associated by many other Professional Institutions; Professional Bodies; Universities Viz. Osmania University; NALSAR University; Institute of Public Enterprises; Hyderabad Management Association; Institute of Directors; Institute of Cost and Management Accountants of India; Indo American Chamber of Commerce; T-HUB; TIE; NSDC, Skill India, HMTV etc.,
Wide publicity among all educational institutions not only restricting to commerce but also extended to engineering, medical and other non commerce colleges and addressed a large number of students about our Institute and also about this innovative program.
The motto of the program is to meet the objectives of Make-in-India, Skill India, Start up and Stand up India, by inviting the creative ideas from the students which are capable of putting into economic usage.

On 4th August 2016 Chapter organized meeting on ‘Income Declaration Scheme-2016’ at Income Tax Towers. Shri B. GST, CSR 5K WALK – 21.08.2016
On 21st August, 2016 Chapter organized ICSI- GST, CSR 5K WALK at Necklace Road. Dr. K Laxman, President, Bharatiya Janata Party [BJP], Telangana State& MLA; Shri Chintala Ramachandra Reddy, MLA; Shri N Ramachandra Rao, MLC, Shri M. The ICSI- Hyderabad Chapter was awarded as National Best Chapter and also Best Chapter Award under A+ grade category Award for the year 2015 and the Award was received by CS. Issac Raj P G, Chairman (2015) along with CS Mahadev Tirunagari, Chairman (2016) and other Managing Committee members from the hands of Smt. Smriti Z Irani, Union Minister of Textiles, Government of India in the 44th National Convention of ICSI held in November 17-19, 2016 at Gandhinagar, Gujarat.

accepted corporate governance norms across the world is proposed by CS Mahadev Tirunagari, the then Chairman of the Chapter and a great momentum was bought into it by CS Ahalada Rao V, Central Council Member by taking it up as the Institutes’s focused priority item.
To congregate the consensus from the International world for ICGD, the 1st Global Congruence is conducted at HICC, Hyderabad by the Headquarters and the chapter has facilitated the entire proceedings and support to the program. Various speakers from abroad as well as within the country have spoken on the topic and tried to clear the delirium over the concept of ICGD.
The Global Congruence has spread over two day i.e, 8-9 of December 2016 and a resolution with absolute majority for having a Day as ICGD was passed at the end.

The objective behind this program is to bring consensus in the form of solutions to the following critical aspects of corporate governance:

More than 312 Students have undergone oral coaching at the classes conducted by the Chapter during the year under review.

Programmes Viz. ICGD, Youth Skill Fest, Pedal the Peace Cycle, 5K Walk and Month long Foundation day celebrations and invited speakers and dignitaries from various fields viz., Corporate; Professionals; Industry, Academics and Regulators.
Practicing Company Secretaries:
The Chapter conducted Various Programmes / Interactive Meetings for the benefit of practicing members on topics of professional interest and relevance.
Training & Placement:
Chapter conducted Three (3) 2 Days Induction, Two(2) 3 Days e-Governance, Two (2) 5 Days Skill Development, One (1) 5 day Entrepreneurship, Two (2) Executive Development Program (EDP) and Three (3) Management Skills Orientation Program (MSOP).
The Chapter regularly receives requests from various companies/placement agencies for providing placement opportunities for Company Secretaries and the Chapter had forwarded the same to the Companies/Agencies concerned. Details about placement opportunities/conduct of training programmes were uploaded on the ICSI Website from time to time. Chapter had also initiated a display of placement opportunities published in various newspapers on the Chapter’s Notice Board. Information relating to placement opportunities was also emailed to members from time to time.
Information Technology:
Computers in the Chapter office were inter-connected through LAN connection for administrative convenience. Data relating to various activities of the Chapter and details of the Managing Committee Members of the Chapter were uploaded on the web page of the Hyderabad Chapter for dissemination of information amongst its Members, Students and the general public. All other activities of the Chapter have been fully computerized. During the year, CCTV cameras have been installed in the chapter premises.
Investors’ Clinic:
The Institute was authorized by the Ministry of Corporate Affairs to conduct Investor Awareness Programmes to educate the investors throughout the country utilizing the Investors Education Protection Fund created by it. The Chapter conducted successfully Four (4) Investors Awareness Programs in Khammam & Hyderabad

Internal Audit:
As per the ICSI guidelines, the chapter engaged M/s. S. Samba Siva Rao & Associates, Chartered Accountants as internal auditors and the reports were forwarded along with the Quarterly Reports to the ICSI HQ.
CSBF Initiatives:
The ICSI- Hyderabad has pioneered the concept of building CSBF for the benefit of Members & their families and became torch bearer for other Chapters in the Country. We have initiated many good programmes in spreading the cause of CSBF in the past. During the year with the support of members, Chapter was able to support the CSBF Corpus by transferring good amount to the fund.
Contribution to Chapter Building:
An amount of Rs.7,18,705/- shown under the head of ‘Other Non-Current Assets’ as against contribution to Chapter Building was being carried on from the year 1992 in the books of accounts maintained by the Chapter every year.
It is to bring to the notice of the members that there is a communication from the Head Quarters that thesaid amount has to be maintained on permanent basis.

Report on the Financial Statements
We have audited the accompanying financial statements of INSTITUTE OF COMPANY SECRETARIES OF INDIA – HYDERABAD CHAPTER, which comprise the Balance Sheet as at March 31, 2017, and the Statement of Income and Expenditure Account for the year ended, and a summary of significant accounting policies and other explanatory information.
Management’s Responsibility for the Financial Statements
Management is responsible for the preparation of these financial statements that give a true and fair view of the financial position and financial performance of the Institute in accordance with accounting principles generally accepted in India. This responsibility includes the design, implementation and maintenance of internal control relevant to the preparation and presentation of the financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error.
Auditor’s Responsibility
Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with the standards on Auditing issued by the Institute of Chartered Accountants of India. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement.
An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatements in the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of the accounting estimates made by management, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

In our opinion and to the best of our information and according to the explanation given to us, the financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India:

Accounting policies and Notes to accounts
A. Accounting Policies
The Financial statements of the Institute have been prepared on historical cost convention on accrual basis, except to the extent indicated elsewhere, and based on applicable accounting standards.
1. Revenue recognition
a. Fees
Class Room Teaching, Induction Programme (IP), E-Governance Programme(EGP), Skill Development Programme(SDP), Entrepreneurship Development Academic Programme(EDAP), Executive Development Programme (EDP), Management Skills Orientation Programme (MSOP) and other fees received from students & members at the chapter are accounted for on ‘Receipt Basis’ and no accrual thereof is created.
b. Grant/ Reimbursement of Expenses
Grants received / Reimbursement of expenses from Headquarters / Regions are accounted for on Cash Basis.
c. Revenue from sale of publications
Revenue from sale of publications is recognized at the time of preparing the sale bill, i.e., when the property in goods as well as the significant risks and rewards of the property gets transferred to Buyer.
d. Commission on sale of Publications
Commissions received on sale of publications are accounted for on accrual basis.
e. Income from Investments
Income on interest-bearing securities and fixed deposits is recognized on a time proportion basis taking into account the amount outstanding and the rates applicable.
2. Investments
a. Long term Investments are carried at cost and diminution in value, other than temporary, is provided for. b. Current investments are carried at lower of cost or fair value.
3. Fixed Assets/Depreciation and Amortisation
a. Fixed Assets are stated at historical cost less depreciation.
b. Depreciation is provided on the Written Down Value method at the following rates as approved by the Council, based on the useful life of the respective assets :
c. Depreciation on additions to fixed assets is provided on pro-rata basis. No depreciation is charged in the year of sale.

d. Fixed Assets costing Rs 5,000 or less are fully depreciated.
e. Library books are depreciated at the rate of 100% in the year of purchase.
4. Inventories
Inventories of Papers, Consumables, Publications, Study Materials, etc. are valued at lower of cost or net realizable value. The cost is determined on FIFO basis.
5. Provisions
A provision is recognized when an enterprise has a present obligation as a result of past events; it is probable that an outflow of resources will be required to settle the obligation, in respect of which a reliable estimate can be made.Provisions are not discounted to its present value and are determined based on best estimate required to settle the obligations at the Balance Sheet date .These are re-viewed at each Balance Sheet date and adjusted to reflect the current best estimates.

4. Other commitments-
A building namely “Centre of Excellence” is being built at Uppal, Hyderabad and payments are made/expenses are incurred by the Chapter on behalf of Head Office and later on these payments/expens-es are reimbursed by the Head Office.
An amount of Rs 1,50,000/- has been received from Head Office towards payment of VAT for the work done by NJR Constructions .This amount is yet to be remitted by the Chapter to the VAT author-ities as on 31.03.17.

5. Building Reserve Fund:-
During the year an amount of Rs 10,00,000/-has been appropriated from the Surplus arisen out of Income and Expenditure account to the Building Reserve Fund as per the approval by the Finance Committee.

7. Stock of Head Office
The method of accounting for Stock of Publications received from ICSI, New Delhi has been changed to Consignment stock method from 1990-91. Therefore, the closing stock of publications as well as study material held on account of ICSI, New Delhi, as on 31.03.2017 have not been shown in finan-cial statements. The details of publications received from HO, sold/issued by chapter during the year 2016-17 and lying in stock as on 31.03.2017 are as under.

8. Details of Depreciation
Depreciation on Fixed Assets for the year 2016-17 comprises of two components, namely
(1) Depreciation at normal rates stated in Para 3(b) of Part A above,
(2) Items costing Rs.5,000 or less bought during the year and depreciated at 100%.
(3) Items with Written Down Value less than Rs.250 as on 01st April, 2016 was fully depreciated in the current year.

9. Andaman Residential Program was canceled and the receipts received from Members were refunded. But the service tax on such receipts was already paid to Service Tax Dept and subsequently utilized against output service tax payable. Total amount of service tax paid on cancellation of Anadaman pro-gram is Rs.2,27,740 and the amount adjusted against service tax liability for the period November,16 to March,17 is Rs.1,34,996. The balance of Rs. 92,744 is showing as a cenvat credit in the books of accounts.
10. An amount of Rs.4,04,155 is receivable from Head Office subject to confirmation from Head Office.
11. Fixed Deposits of Rs.79,77,303/- having maturity period of less than one year from 31st March 2017 are classified under Current Investments and remaining fixed deposits of Rs,1,88,52,808/- are classified under Non Current Investment.
