The Congressional Task Force on Economic Growth for Puerto Rico, is responsible for identifying impediments to economic growth in the territory and recommending changes, announced it is seeking input from stakeholders to identify what reforms are needed to grow the Puerto Rican economy and promote prosperity on the island and to remove current barriers to growth. One way to promote growth is to reduce waste and cost to Puerto Rico’s agency operations, to improve efficiency, increase productivity and obtain economies of scale. We have identified a way to reduce at least $200,000,000 to half a billion dollars by providing a comprehensive fleet and fueling management program; including the maintenance and repair of all government vehicles, emission testing, DOT/BIT inspections; maintenance, operation and program management of fueling infrastructure and hazardous material disposal. We can also identify other opportunities to improve current processes; to further and significantly reduce operational costs and to run an economically cost effective fleet operation; and have an to available and reliable fleet. We are confident that the Task Force will agree to move forward with a comprehensive review and analysis of outsourcing all Puerto Rico’s fleet management services.

Mech-Tech intends to provide the management, maintenance, and repair of Puerto Rico’s fleet, fuel site and car wash maintenance, and other fleet advisory services. Mech-Tech ’s main objective in this proposal is to reduce fleet downtime and cost, while increasing reliability and protecting the governments overall investment in it’s fleet.

Puerto Rico agencies have an estimated vehicle fleet in excess of 15,000 units (including Public Corporations). The official fleet is a “full service city” and is composed of a wide range of vehicles for its 134 government agencies. From police and fire protection; to animal control; to emergency medical aid; to building safety regulation and inspection; to street lighting; to housing and community development; to maintenance and improvement of streets and related structures; to traffic safety maintenance and improvement; and full range of sports, recreational and cultural programs and still don’t have a fleet management software, not a single strategy to reduce cost or key performance metrics to improve. Services provided by Mech-Tech in the Fleet Management Integrated Approach includes: preventive maintenance; remedial repairs; collision repairs; other repairs need due too abuse, and vandalism; mobile service; wheels service; towing; welding and fabrication; vehicle preparation (make ready); vehicle disposal processing; motor pool (loaner vehicle) management; and other related services required to assure the effective and economical operation of the government’s fleet. Taskforce, respectfully; because the Government of Puerto Rico has been incompetent and does not have the capability, technical knowledge, software, specialized personnel and equipment and knowhow among others their lack of operational excellence and operational efficiency Mech-Tech proposes for a new Fleet Strategy that will allow us to achieve a Consolidation of Puerto Rico Fleet Account.

In summary, the government shall reduce fleet downtime and cost while increasing reliability and assuring protection of the overall investment in it’s fleet, which now has an approximate current replacement value of over millions of dollars.

EXECUTIVE SUMMARY

Answering Taskforce RFP: General Services Administration (GSA) and Public Corporations are ineffective and inefficient in lowering their own government cost. The Government of Puerto Rico has been incompetent and does not have the capability, technical knowledge, software, specialized personnel and equipment and know how; among others in addition to their lack of operational excellence and operational efficiency and that is why us, at Mech-Tech answered the Taskforce Request for Proposals by proposing a major cost reduction for government by implementing a New Fleet Management Strategy to Consolidating it. Background & Objectives: The Government of Puerto Rico is composed of 134 agencies and public corporations. For the purpose of this proposal, we are using 74 government agencies excluding 60 public corporations. These 74 agencies 1 have 12,513 vehicles registered to the Government Vehicle Fleet and have over 150 facilities dedicated for vehicle services, storage, tools, mechanics, staff personnel, and contracts and subcontracts to serve it, which is a very costly operation for the government. When we investigated their facilities, we found waste in productivity, facilities, personnel, inventory, and identified many cost reductions opportunities. The Task Force needs us (Mech-Tech) to:

1. Collect and consolidate “truckloads” of vehicles cost and transaction data, 2. assist in fleet administration and compliance activities, 3. respond to ad-hoc management queries, 4. keep the fleet under control, 5. timely accurate information to make decisions, 6. develop Improved Fleet Management Strategies.

We propose to the Task Force a Fleet Management Improvement Methodology in a 4 phase program:

SCOPE: Fleet Management Adhering to the principle of best practices — in partnership with mayor players including best worldwide standard, is the way for this proposal success, we will consider each agency as our business partner and are interested in its prosperity and

sustainable development. We not only will offer management and service but also act as a partner in solving fleet management problems and guaranty to a lower cost. REPORTING TO THE TASKFORCE - Mech-Tech will perform a periodic report motor vehicle fleet data using the Federal Automotive Statistical Tool (FAST), a web-based reporting tool used to publish motor vehicle fleet inventory, cost, and use data from annual submissions, and the resulting data tables will be available in datasets. Such reports will be provided to promote accountability and support transparency in the government fleet. II. SECTION 2: INTRODUCTION Mech-Tech can reduce the Puerto Rico budget approximately $200,000,000 (in savings) by managing the government vehicle fleet. The Task Force shall know many situations that could turn into a catastrophic event in the Island at any time: 1) on November 2014 a home in Ciales (town) was consumed by fire since the fire truck that would meet the emergency could not be reached due to mechanical problems; 2) recently the Police Department and the Department of Natural and Environmental Resources official vehicles could not drive their fleet because they were without tags, labeling the situation as an ''administrative unacceptable irresponsibility; 3) on August 4th, 2016 the Director of Operations of the Electric Energy Authority (AEE, in Spanish) explained to the press that 15% of it’s fleet (3,600 vehicles) were out of service due to lack of repair services and maintenance. While writing this proposal, Puerto Rico had it’s biggest electric blackout on September 21, 2016 and by the day we submit this, electricity is still not fully operational. The cost from this blackout to our society is unknown but some economists estimate that it will surpass one billion dollars. On a personal interview to GSA personnel in charge of half the government fleet account, they told us that the government does not have a fleet management software and do not know how much the Government of Puerto Rico spent in their 12,000+ vehicle fleet account, (excluding public corporations), this is outrageous. How the government can control its cost if it does not measure it properly? What you don’t measure, you can’t improve. A few days later, on September 22, 2016 the GSA Director resigned from its position due to a fraud allegation.

The Puerto Rico Government has issued different laws regarding the integration of its vehicle fleets on August 2014. The law requires that Highway Authority transfer all operations, assets, duties and liabilities including the light train, collective transportation vehicles including busses and maritime vehicles to a new Authority of Integrated Transportation (better known as for ATI, the Spanish acronym). In 1993, a Law was created, the Fleet Maintenance, putting the Fire Department, Police Department, Civil Defense Agency fleet under one roof at the General Services Administration which duplicate workshops, inventory, space and repair personnel in each government dependency, creating operational inefficiencies and impeding scale economies and requiring duplication of documentation. This law does not cover for

public corporations (corporaciones públicas2) which can account for double the size of the government fleet3. The General Services Administration is the local agency that regulates and supervises all (except public corporations) transportation fleets (including, train, maritime and land) as established in Regulation No. 12 of the General Services Administration. Their goal is training, supervise and control the use of the fleet, as provided in the regulations, but as you we were told, they do not have a Fleet Management Information Software in order. GSA and Public Corporations are not in compliance with the law. Taskforce with respectfully; because the Government of Puerto Rico has been incompetent and does not have the capability, technical knowledge, software, specialized personnel and equipment and knowhow among others. Their lack of operational excellence and operational efficiency Mech-Tech proposes for a new Fleet Strategy by let us make a Consolidation of Puerto Rico Fleet Account.

There is a misconception that fleet management is not important and that is not complicate. Fleet operation is a cost, not a revenue or profit producer. Fleet management usually is an internal support (back office) function whose immediate customer are fellow employees. Fleet cost are often small in relative, enterprise-wide terms, even if large in absolute terms, the contribution of the fleet to the fulfillment of organizational-wide mission often is not clear or well understood and fleet management is not viewed as a “real” burden cost, but fleet management could contribute to the bottom line if it’s well managed. Fleet management is complicated and a real cost to operations because it involves two distinct but interdependent types of activities: 1) asset management and 2) organization management. For that reason, we have designed a well defined path to success as shown below. PATH #1 As seen in the chart below the asset management process for a cost effective sound vehicle performance:

Activities like budgeting, finance and accounting, asset management, sourcing, human resource management, information technology management, risk management and facility management could have a big impact on fleet management practices but specially on hidden cost. There are 134 agencies in the Government of Puerto Rico and only a handful of agencies are under the GSA fleet management umbrella. Believe it or not, at GSA they do not even have a Fleet Management Information System Software, yet to manage any of the best practices, improving process, procedures also reducing 8 types waste identified a lean environment: time, transportation, motion, waiting, inventory, overproduction, over processing, defects and skills.

The Task Force needs us (Mech-Tech) to:

Our software optimizes data capture and processing; turning data into information and information into insights, using information to foster accountability – upward, downward and outward and articulate a sound return on employee investment. Savings will come in several ways; from monitoring vehicle use, to forming a car pooling system, to optimizing the fleet size and optimizing the fleet mix. Fleet Maintenance Services Supplier Management We will take the burden of recruiting, personnel development, training; certifying and retaining qualified technicians and key fleet human resources. We will treat agencies like customers, understanding customers assets and services need and meeting them, minimizing and standardizing regulation of fleet behavior, demonstrating cost reduction and providing information and technical guidance to PROMESA/Task Force.

OBJECTIVES: REDUCE COST (APPROXIMATELY $200,000,000) OF FLEET BUDGET Mech-Tech has been an active player of the take-care vehicle industry and logistics since our inception. The Integrated Strategic Management of this proposal will be performed by of our specialized team for logistics at Mech-Tech Management Group For us to meet our objectives once we have finished with Phase 1, we will then focus on reducing cost to government fleet management operations. That’s why we need to perform in what we do best: taking care of vehicles — this is a comprehensive proposal for the government fleet management that includes:

consider each Agency as our business partner. We not only will offer management and service but also act as a partner in solving fleet management problems and guaranty to lower cost. PREVENTIVE MAINTENANCE A preventive maintenance (PM) program will be established for all vehicles and equipment that are the responsibility of the government. The PM program will be designed in accordance with recognized industry standard fleet management practices and will meet the terms and conditions necessary to comply with the Original Equipment Manufacturer's (OEM) specifications, or other specific warranties and recommendations. At a minimum, we (or any of our designates) will perform a preventive maintenance inspection on each vehicle and piece of equipment every 4,000 miles or 3 months of service, whichever occurs first.

SCHEDULING IS KEY To save unnecessary queue time, unnecessary motions, cost of transportation, etc PM activities should interfere minimally with the operator’s normally required work schedule. Therefore, vehicle and equipment PM’s should be scheduled at times mutually agreed. We will develop and provide an automated PM schedule with sufficient lead-time that any Agency can give ten (10) working days notice to the vehicle user. A purchase order will be issued for such services. The service rendered will be incorporated into the fleet tracking database, and become a permanent record for that vehicle’s service history. PERFORMANCE The timely performance of preventive maintenance will be obligatory for all fleet vehicles. It will be Mech-Tech’s responsibility to schedule, notify and perform the Fleet Management and Maintenance scheduled preventive maintenance in a time frame that minimizes fleet downtime. Fleet downtime for vehicles shall not exceed 4 hours if the vehicle is delivered to the shop in the designated time frame as requested for PM-A and PM-B schedules. ANNUAL INSPECTION Mech-Tech will inspect all vehicles in the fleet annually. Vehicles deemed beyond normal service life, as defined by standardize operational procedures (SOP) will be transferred out of the fleet, or, at request, will be repaired.

Mech-Tech shall make specific repairs to vehicles and equipment that are identified through PM, by users, and by breakdown or malfunction. Repairs will be made as required within the criteria of good fleet maintenance, saving budget and reducing cost.

MAJOR COMPONENT FAILURE Major components that may require replacement or overhaul during the contract term, i.e. engines, transmissions, and differentials or any component with a replacement cost of $1,000.00 or more shall be considered to be serviced as defined by standard operating procedures established in accordance in the contract, to be disclosed.

ROAD CALLS Mech-Tech shall provide emergency road service calls, including towing service, for vehicles fleet. We will have a 24/7 Call Center to expeditiously handle vehicle breakdowns. This will include to tow any government vehicle requiring service, regardless of whether or not the cause is an authorized repair or another incident. QUICK FIX Mech-Tech will provide a Quick Fix function for minor repairs of less than one hour duration when the vehicle operator chooses to wait for the service. Vehicles repaired under Quick Fix are to be moved to top priority. Example quick fix repairs include fluid replenishing, windshield wiper service, and headlight replacement. PM’s will not be conducted as a Quick Fix function.

OUTSIDE REPAIRS Mech-Tech will control and be responsible for arranging and managing the conduct of outside Repairs that cannot be performed economically or expeditiously within our facilities. An example of these outside repairs may include, but not limited to bodywork, painting, glass replacement, or radiator work.

VEHICLE PREPARATION AND DISPOSAL Mech-Tech will prepare newly acquired vehicles for service. Preparation shall include inspections, installation of special equipment (if qualified and equipped to do so), and coordination of parts installation. Vehicles to be sold by the government shall be prepared for disposal by Mech-Tech . Preparation shall include removal of tags, decals and special equipment, and other paper work. When a vehicle is taken out of operation and listed as surplus we will notify the Procurement Department. The disposal of surplus vehicles shall adhere to the Government Purchasing Resolution. Mech-Tech shall assist the Procurement

Department with vehicle(s) disposal when necessary. We will prepare and submit a 4 year fleet replacement analysis, to be incorporated into the Fleet Improvement Plan. ACCIDENTS Mech-Tech will be responsible for processing accident repairs including appraisals, obtaining repair bids, transportation of vehicle to/from repair site, repair quality and timeliness, and shall be responsible for administration, including coordination of insurance settlement with the Government Risk Management Department. We will use a data visualization tool5 that enables a more robust look into the inventory and operating costs of government vehicles. This tool pulls data from the Federal Automotive Statistical Tool (FAST), allowing users and fleet managers to dive into the data in an effort to make better management decisions. We will be following the US Federal Government best practices that uses a systematic approach to identify opportunities to further encourage cost savings for their fleet6 including using telematics, referring to technology that combines telecommunications and information processing to send, receive, and store information related to remote objects, such as vehicles7. The GAO indicated that the experts consulted agreed that, telematics could facilitate cost savings by providing fleet managers with information needed to reduce fleet size, fuel use, misuse of vehicles, and unnecessary maintenance. GPS tracking – our fleet managers will monitor the location of the government vehicles in real-time by logging on to a user accessible website. Engine diagnostics – our fleet managers will setup to have engine diagnostics reports delivered to their email showing the current condition of the vehicle, odometer readings, idle time, emissions information and speed data, among others. Vehicle monitoring and drive identification - Fleet manager will be able to track every driver of every vehicle. Via the usage of key fobs for the drivers or in-vehicle devices, our fleet manager will track who is, or was, driving any given vehicle at any particular time, as well as limit who can operate which vehicles. Instant driver feedback – This system provides an immediate, private, in cabin indication via light activation within the driver’s line of sight. MTC knows vehicles, period. MTC also has its own fleet that is in constant use and that is provided repair and maintenance service with 100% of accuracy and minimum downtime. Police Department, Municipal Police Departments, the Fire Department, Maritime units from the Coast Guard, as well as rescue and first response vehicles and ambulances. We are in the Vehicle Business MTC is the largest vehicle mechanic provider in the Island. Our strategy lies in the development of a new format of managing the government fleet, which can be confidently called the new format fleet cost reduction. It will allow the government to focus on doing their business while our system and professionals take care of all vehicles issues in our dedicated centers. At present, we estimated that the government has many facilities with the general area of more than 500,000 square meters.; it is more than 175 service centers, which provide maintenance to about 10 vehicles a day. We need to do a facility assessment and consolidate them and still maintain:

Free and convenient choice — each agency can make its own choice and our where to go, depending on their geographic area, avoiding extensive trips and transportation cost. Saving time — Everything is located in the same territory; thus, there is no need to waste time and money on getting around. Saving on maintenance costs — this is what is all about. Well management of the fleet.

Mech-Tech workforce is composed of over 250 direct employees; categorized among full-time, salaried senior and key management; full-time and part-time staff and faculty, and contracted professional servicers. Consultants and subcontractors represent the additional indirect employee headcount. MTC enrolls an average of 3,000 students among all campuses each year in programs of study that are 12, 15, and 24 months in length. In the past 3 years, MTC has graduated an average of 1,200 students per year out of which at least 70% have constantly been able to begin working immediately after completing the program of study. MTC is governed by local and federal regulations. Mech-Tech Actual Facilities At present, Mech-Tech is the official Snap-on repair center in Puerto Rico and the Caribbean with thousands certified technicians all over the Island. We are also the #1, with more mechanics and technical assistant in the country, including USA. We are the industry leaders and we have a whole service complex ecosystem, including official service, accessories and spare parts. We are a premium service provider in everything about vehicles. We are a real One Stop Shop Vehicle Center!

With eight (8) training sites in Puerto Rico, MTC operates from a Central Administration based in the Main Campus in Caguas which was established in 1984. There are two (2) branch campuses and one (1) auxiliary classroom in Mayagüez; as well as one (1) branch campus in each one of the following cities: Bayamón, Vega Baja, Ponce, and Rio Piedras. The site located in Orlando, Florida is also a branch campus linked to the centralized Puerto Rico operations. PROPOSED FACILITIES:

The government owns many maintenance garages located at over 100 different agencies. For this proposal this conditions shall be attained:

1. The government will allow Mech-Tech to lease for one dollar ($1.00) a year all garage facilities to perform the fleet services specified in this RFP. Included in the lease will be all maintenance and repair equipment, tools, service vehicles, furniture, and other assets that are located at these garages and are currently used by the existing personnel.

2. Government most warrant against the possibility that safety or environmental hazards or potential hazards may exist at these garages. This will be accomplished by conducting an environmental assessment and an occupational, health, and safety inspection of these garages acceptable to Mech-Tech . The Government will be responsible for arrangements for the conduct of the assessment and inspection and will pay for the cost of these services.

One of the main objectives is to search and manage for a one strategic stop shop and it may require the construction, remodeling of new, modern logistics centers using already government facilities in operation. We have identified such facilities that are well undermanage and underused. To be discussed once additional commitments have been made between PROMESA BOARD and Mech-Tech. We propose to operate as many shops per region as needed. Our cutting-edge technologies, staff professionalism and service centers will allow us to provide high-quality service to up to 500 automobiles a day without queues at a lower cost.

Also for this proposal we proposed to establish a 24/7 calling center, a 165,000 square meters state of the art ONE STOP SHOP, located in proximity to principal highway with excellent access. On an area of 40,000 square meters will be located the metropolitan area, with our conceptual 3S-autocenters (bays, parts and service) that we will be able to add service up to 1000 vehicles daily. It is worth noting that the new ONE STOP SHOP will provide employment to about 300 specialists.

V. SECTION 5: POLICIES, FEEDBACK, PERFORMANCE, AND REPORTING We propose to create an Internal Motor Vehicle Executive Council (IMVEC) to attain our cost savings commitment: The I Motor Vehicle Executive Council (IMVEC) will performs activities to establish a long-term strategic vision for the management of government wide motor vehicles. Motor vehicles are an integral tool for agencies to use in meeting their missions. With the size, complexity and cost of the government fleet, as well as the numerous laws impacting fleet operations, it is imperative that it be managed as effectively and efficiently as possible. The IMVEC consist of representatives from government agencies or activities, at the national level, that manage and operate government motor vehicle fleets, and other members as agreed to by the IMVEC membership. As necessary, the IMVEC may establish work groups to examine specific issues. Fleet Policy Council Enrollment The council will consists of representatives and alternates from agencies or activities operating a government motor vehicle fleet. It will also have representatives of affiliates with an interest in government fleet management, but do not directly manage or operate a motor vehicle fleet, such as part distributors, vehicle dealers, vehicle manufacturers, and others. Note: This Council purpose is to establish a long-term strategic vision for the management of government wide motor vehicles and develop interagency planning within the government fleet. REPORTING Puerto Rico Fleet Report - Mech-Tech will perform a periodic report motor vehicle fleet data using the Federal Automotive Statistical Tool (FAST), a web-based reporting tool used to publish motor vehicle fleet inventory, cost, and use data from annual submissions, and the resulting data tables will be available in datasets. Such reports will be provided to promote accountability and support transparency in the government

The tool pulls data from the Federal Automotive Statistical Tool (FAST), allowing users and fleet managers to dive into the data in an effort to make better management decisions.

RECORDS Access at all reasonable times to all electronic and hard data, Fleet Management Information System books, records, correspondence, instructions, plans, drawings, receipts, vouchers, and memoranda of every description related to the fleet management and maintenance services for PROMESA/TASKFORCE. FILES Mech-Tech will maintain a complete file of service manuals, service bulletins, lubrication charts and other information needed to properly service and repair the fleet vehicles. This folder will contain, in chronological order, all work orders generated on the vehicle. The folder shall also contain the vehicle’s make, model, year, Vehicle Identification Number (VIN), and unit number along with invoice information. Information will be updated monthly, and in no instance, shall be older than 45 days. Current files of the Fleet Vehicle history will be supplied to Mech-Tech prior to commencement of this proposal. All electronic data will be made available to the Government of Puerto Rico at any time during the contract. The software is owned by Mech-Tech . WEEKLY REPORT We have the capacity to generate a weekly report for delivery to PROMESA / TASKFORCE before noon each Monday. The weekly report shall be in memo format and shall include from the previous week’s activity:

- A listing of vehicles not delivered for a scheduled PM. The listing shall include the assignee’s name if known.

- Repair activity - A status report on vehicles that failed the maximum four (4) hours of downtime

for scheduled PM-A’s and PM- B’s - A status report on vehicles out of service for more than seven (7) days. - Number of work orders processed - Fleet Management and Maintenance Request - Number of re-work work orders, and total shop time devoted to re-work - Summary Work Order with detailed cost figures for each vehicle repaired - Fleet Readiness/Availability statistical information, as a percentage overall fleet.

MONTHLY REPORT Mech-Tech will provide a consolidated monthly management report to be delivered to the PROMESA/TASKFORCE on or before the 10th calendar day of the month following the reporting period. This report shall include, but not be limited to:

- Maintenance costs for the month - Costs for accidents - Discovery or indication of abuse by the vehicle user in excess of normal wear

and tear. - Number of service calls. - Number of vehicle PM’s scheduled/completed. - Downtime and in total. - Cumulative records of sub-contracted work. - Total labor hours expended. - Total parts cost. - Problem/accident summary.

ANNUAL PERFORMANCE REPORT Mech-Tech will provide the PROMESA/TASKFORCE with a written annual performance report, which summarizes the year’s activity, within thirty (30) days following the end of the contract year. The annual performance report should include yearly data for those categories presented in the monthly reports, as well as any additional performance information Mech-Tech believes should be included. Mech-Tech will be prepared to present this report upon request from the PROMESA/TASKFORCE.

spindles 3. Inspect, service, and repair transmission, which includes but is not limited to,

adjustment, fluid and filter change as required 4. Inspect, service, and repair front end alignment 5. Inspect, service, repair and tune engine to include, but not limited to

replacement of spark plugs, ignition wires, distributor cap, rotor, and any other items necessary for a complete tune-up (if so equipped)

6. Drain, flush, and replace differential gear lubricant (limited slip differentials must have special lubricant added.)

7. Inspect, service, repair, and perform complete diagnostic engine analysis, including Electronic Control Module and all related sensors and control devices. (Printout analysis must be attached to work order and retained in vehicle file.)

8. Drain, flush, and replace engine coolant (ethylene glycol) 9. Remove all wheels; inspect all brakes (replace linings/pads, rotors/drums at

manufacturer’s recommended specifications), measure drums and rotors (measurements must be noted on work order), replace all seals, etc. NOTE: Every brake job shall include a new brake hardware kit, which includes springs, hold-downs, rollers, etc.
