Characteristics of a Corporation: Artificial being Created by operation by law Enjoys the right of succession It has powers, attributes and properties expressly authorized by law or incident to its existence. 3. A Corporation Can Be: Stock or Non-stock Corporation Public and Private Corporation Domestic or Foreign Corporation 4. A Corporation Can Be: Stock Corporation- capital stock divided into shares; and authorized to distribute profits. Non-Stock Corporation- According to the Corporation Code of the Philippines, it is one where no part of its income is distributable as dividends to its members, trustees, or officers, subject to the provisions of this Code on dissolution. 5. A Corporation Can Be: Public Corporation (Open Corporation) A corporation whose shares are publicly traded and are usually held by a large number (hundreds or thousands) of shareholders. (Source: businessdictionary.com) Examples: Jollibee Foods Corp.; ABS-CBN Corp.; GMA Network Inc.; Private Corporation (Close Corporation) Corporation whose shares are not publicly traded, and are held by a small number of stockholders (shareholders). Difference Between the GOCCs and Public Corporations Government Owned and Controlled Corporations are basically maintained by the government and basically dont sell their shares to the public. Whereas, Public Corporations are private corporation that sells their stocks to the public (through the Philippine Stock Exchange). 7. A Corporation Can Be: Domestic Corporation A corporation that is conducting business an d is based in the country in which it is establis hed Foreign Corporation A corporation that is chartered under the laws of one country but is operating in another county. 8.
