CONTRACT OF SERVICES

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT made and entered into this 18th day of February, 2015 at Legazpi City, by and between:

EMBARCADERO LAND VENTURES, INC., a corporation duly organized and existing by virtue of the laws of the Republic of the Philippines, with principal office at 3rd Floor Bldg. 9, Embarcadero De Legazpi, Port Area, Legazpi City, represented in this transaction by its General Manager, ANELYN N. SUMAÑGA, hereinafter called the “FIRST PARTY”;

NAME, of legal age, Filipino Citizen, and a resident of ADDRESS called the “SECOND PARTY”;

Witnesseth:

WHEREAS, the FIRST PARTY is in need of a ___________________ who shall oversee the ________________of the FIRST PARTY;

WHEREAS, the SECOND PARTY has offered its services and represented that he is willing and able to implement the scope of work specified in this Contract of Services.

WHEREAS, the FIRST PARTY accepted the offer of the SECOND PARTY.

NOW, THEREFORE, for and in consideration of the foregoing premises the parties have hereunto entered into a Contract of Services under the following terms and conditions:

I. SCOPE OF WORK:II. WORK SCHEDULE

The SECOND PARTY shall report for work __________ in a week.

III. TERM:

This Agreement shall be effective for a period of one year beginning __________ until ____________ subject to renewal as may be mutually agreed by both PARTIES.

IV. PAYMENT

The SECOND PARTY shall receive a monthly payment of _____________ and should be net of tax.

V. NO EMPLOYER-EMPLOYEE RELATIONSHIP

SECOND PARTY acknowledges that this engagement is established for the provision of the consulting services by him as an independent job contractor and not as an employee or agent of the FIRST PARTY. Nothing contained therein shall be construed as establishing or creating an employer – employee relationship between FIRST PARTY and the SECOND PARTY.

There being no employer-employee relationship, the SECOND PARTY shall have no obligation to deduct the mandated government deductions such as but not limited to SSS, PhilHealth, and Pag-Ibig. Said deductions shall be paid by and shall be for the account of the FIRST PARTY.

VI. TERMINATION

This Agreement shall terminate at the occurrence of any of the following events:a. When all the contractual and legal obligations have been complied with under this Agreement;b. When either party commits substantial breach of any of the provisions of this Agreement;c. When the duration or term provided in this contract has lapsed.

VII. CHANGE OF AGREEMENT:

The FIRST PARTY reserves the right to order work changes in the nature of additions, deletions, or modifications of the results of the works to be performed.

The other provisions of this Agreement may be modified or amended through an addendum or appendix which shall become an integral part of this Agreement provided the parties have been made aware of and agreed to the terms therein. Said addendum or appendix shall not be binding unless dated and signed by both parties.

SUMAÑGA represents.
