The meeting was called to order at 3:00 p.m. by Citizens’ Oversight Committee Chair William van Dyk.

II. PUBLIC COMMENT

Governing Board member Greg Enholm commented that he has contacted the Contra Costa County Advisory Council on Aging and is pleased to report that there is a member of that council who is planning on applying for the vacant Senior Citizens’ representative position on the committee. Dr. van Dyk asked if that was the only vacant position currently on the committee and Mr. Enholm said that there are three vacant slots which also include the Diablo Valley College (DVC) Student Representative and the Los Medanos College (LMC) Support Organization Representative.

III. WELCOME AND INTRODUCTIONS – COMMITTEE AND GUESTS Dr. van Dyk welcomed everyone to the meeting and asked everyone to introduce themselves. John Nahlen introduced himself as the interim Vice President of Administrative Services at DVC representing President Peter Garcia. Chief Facilities Planner Ray Pyle thanked committee members Ana Marie Bustos, Enrique Ruiz and Mauna Wagner for attending the campus tour prior to the meeting.

B. Approval of minutes of January 15, 2014

The January 15, 2014, minutes were unanimously approved by the following vote:

C. Approval of proposed meeting dates for 2014-15 Dr. van Dyk noted that he will be out of the county on July 16, 2014. The committee agreed to reschedule the July meeting date. Ms. Chellew will follow up with the committee to reschedule the July meeting date. Mr. Pyle noted that the tours have been proposed to occur after the meeting instead of before and asked if that would be more convenient for the committee. The committee agreed that it would be more convenient to conduct the campus tours after the meeting. Ms. Wagner asked why the January 14, 2015, meeting was scheduled from 3:00pm – 6:00pm. Ms. Chellew explained that the meeting had been extended to include the annual training on the Brown Act. Mr. Huff asked if the October date conflicted at all with campus accreditation deadlines and the Presidents confirmed that the date scheduled was after accreditation so there was no conflict. The proposed meeting dates for 2014-15 were unanimously approved, pending the July 16, 2014, meeting to be rescheduled, by the following vote:

A. Review committee membership chart for terms ending on June 30, 2014 Dr. van Dyke directed the committee’s attention to the membership chart included in the agenda packet. He noted that Mr. Bhambra, Mr. Ross and Ms. Wagner were concluding their second terms on June 30, 2014, eligible to apply for third terms and Mr. Ruiz will be concluding his first term June 30, 2014, eligible to apply for a second term. He added that hard copies of the membership applications would be available after the meeting. The committee agreed to review membership terms as a standing item at the January meetings to allow enough time to find replacements if members do not plan on applying for a subsequent term. Dr. van Dyk asked Mr. Ruiz and Ms. Wagner if they plan on applying for a subsequent term; Mr. Ruiz said yes, Ms. Wagner said maybe; and Mr. Bhambra and Mr. Ross were absent.

Mr. Huff noted that the approved resolution placing a Bond Measure on the June 2014, ballot for voter approval was in the agenda packet for information.

ii. Measure E Bond Citizens’ Oversight Committee

Mr. Huff said that the District Governing Board will begin to discuss options for an Oversight Board for the new Measure E 2014 Bond if passed at the June 2014, election. Mr. Huff explained that he would like to hear from the committee about overseeing the new bond if it passes in June. The committee was in agreement that there was a large learning curve when appointed to the committee and it would make sense to have the current committee assigned to the upcoming bond if passed to have members who have already served for a term helping orient new committee members. Ms. Bustos noted that she did receive an orientation from District staff after being appointed to the committee which was very informative and helpful; however, it was beneficial to have veteran members overlapping with new members to continue the education of the appointment and responsibilities. Mr. Huff said he will make a recommendation to the Board that the committee is willing to provide oversight to the new bond.

iii. Committee chair succession Dr. van Dyk asked the committee for feedback on how long the chair should serve and whether or not there should be a succession. Ms. Wagner commented that she served for one year, but thought previous chairs had served for longer terms. Mr. Pyle clarified that in the past a member has served as Chair until terming out. The Committee discussed the advantages and disadvantages of having a Vice Chair and succession in place; however, the committee ultimately felt having a Vice Chair and succession would be too restrictive and not allow all members an opportunity to be Chair if desired. Dr. van Dyk noted that his first year as chair has been a learning experience and would find it beneficial to serve as Chair for at least two years. He said the benefits of being Chair are working closely with District staff, attending the CalBOC meetings, and reporting to the District Governing Board The committee agreed to update the bylaws with language explaining that the chair will serve for a minimum of two years with no succession coinciding with committee membership terms and then it would be up to the committee to decide if the chair would like to continue for another two year term or to appoint another member to chair for two years. Mr. Huff said the bylaws will be updated with draft language for the Committee to review at the July meeting before sending to the Governing Board for final approval.

C. Measure A 2002 and 2006 quarterly report

2002 Bond District Overview Mr. Pyle noted that there were no significant changes and no budget adjustments at the program level during this reporting period. He added that there were only two main projects left funded through the 2002 bond. 2002 CCC Mr. Pyle reminded the committee that the gym annex elevator project schedule was modified by a month due to an unknown time frame of the Division of the State Architect’s code review and approval of design documents that were submitted. He noted that this project is currently out to bid and will use the remainder of the 2002 bond funds in addition to campus funds. Mr. Pyle reviewed the minor budget adjustments stating that the Contra Costa College (CCC) 2002 bond should be closed out soon as the remainder of the 2002 bond funds are at LMC for HVAC mechanical repair projects. He noted that the budget for the music building remodel has been closed out. Mr. Pyle reminded the committee that the budgets are moved between projects within the same campus not between campuses. He clarified that the allocations are decided by District leadership and the Board. Dr. van Dyk expressed the opinion that bond funds should act as District funds not be confined to the campus they were allocated. He felt that if there were funds left over from a project that left over funds should be allowed to move to another campus project that may need them. Mr. Pyle said that he does not expect there to be any funds remaining and if there are it will be used on other projects still needed within the same campus. 2002 DVC Mr. Pyle reminded the committee that the Measure A 2002 bond program for DVC is now closed. 2002 LMC Mr. Pyle reminded the committee that the mechanical systems upgrades project is the only main active project left at LMC within the 2002 program which includes the HVAC unit replacements and mechanical repair. He noted that a design contract was recently awarded for this project. Mr. Pyle stated that the campus contingency budget was moved to the mechanical systems upgrades project budget.

2006 Bond District Overview Mr. Pyle highlighted the interest actual to date noting that it should be updated soon to reflect a more accurate number. He said that the electrical distribution assessment project schedule was changed to “TBD” until the proposals are reviewed, negotiations are complete and an accurate timeline is developed. He added that the IT infrastructure project schedule was adjusted by approximately two months, but almost complete with work currently being done at LMC. He noted that there is language in the new bond to include IT infrastructure upgrades Districtwide. He stated that there were no budget adjustments made at the program level during this reporting period. 2006 CCC Mr. Pyle reminded the committee that the physical education annex renovation project was delayed due to lack of a state bond on the November 2012 election ballot, and the earliest funding fiscal year will be 2015-16 as the Department of Finance recently said there will be no project funding in 2014-15 even if there is a November 2014 state school construction bond. Mr. Pyle reviewed the minor budget adjustments noting that the ADA improvement project was complete so the remaining budget was moved to future projects which acts as a holding area for over/under budget issues. 2006 DVC Mr. Pyle stated that the engineering technology project received eighteen architecture proposals last week which is the largest number of proposals received on one project in quite a while. He noted that there is language to continue with the engineering technology project in the 2014 bond project list if approved. Mr. Pyle stated that there were no budget adjustments for this reporting period. 2006 LMC Mr. Pyle explained that the student services project is still on schedule; however, the schedule may be adjusted slightly in the near future as staff is moved back into the core complex building. He said that there is language for this project in the 2014 bond project list if approved. Mr. Pyle said the new Brentwood center project is being placed on hold for either state funding or passage of the new bond. Mr. Pyle reminded the committee that the new physical education complex consolidated several separate smaller projects because the college decided to forego state funds and move the project forward. He said he will be meeting with the college president to develop the scope and that language is included in the 2014 bond project list if approved to continue physical education upgrades.

Mr. Pyle stated that there were no budget adjustments for this reporting period.

D. L-612 student services remodel project detail budget report Mr. Pyle summarized the project detail budget report and answered questions from the committee. He noted that this is a very large project that was split into six “sub-projects” separated by departments that were temporarily relocated due to renovations. Ms. Wagner asked how the line items hit the report that comes to the committee. Mr. Pyle explained that the budget is inputted into a database which is downloaded into the multi-year project reporting system which is what runs the report for the committee. Dr. van Dyk asked how the total project is still on budget with the multiple change orders that are shown. Mr. Pyle explained that it is known in the beginning of every project that there will changes throughout the life of the design and construction phases which is why there are always campus level contingencies, project level contingencies and program level contingencies to allow for the changes due to unknown variables. He added that due to the scope and size of the student services remodel project there were many more variables with this project as compared to other bond projects which leads to more unknowns. Dr. van Dyk said his main concern was how to explain this dynamic budget process to the public with a new bond coming out.

E. Cost-saving measures

i. District-deferred maintenance Mr. Pyle stated that there was nothing to report under cost-saving measures other than reminding the committee that the District will be fully funded this year on scheduled maintenance. He added that the District will receive $360k from state funding and the District is only required to match those funds, but the District is projected to spend $1.2M which is well over the required amount. He reminded the committee that the District has established a scheduled maintenance policy and procedure which will go into effect next fiscal year which requires a minimum site contribution that will increase year over year.

VI. REPORTS

A. Chancellor

Chancellor Benjamin was not able to attend.

B. CCC

President Noldon reported that a steering committee is meeting weekly regarding the new college complex project alongside the construction management team, contractor and DSA representatives. She said there was a recent emergency on campus requiring an evacuation, which went very well. She said the emergency was not as bad as initially thought. She added that the evacuation also engaged

the campus community in a learning experience of how to deal with a crisis on campus. She said that campus leadership will be meeting tomorrow morning to debrief regarding the emergency evacuation. She noted that the impact to the college community due to construction does not seem to be as great as the college was expecting. She reported that the rest of the projects are moving right along and is excited to see the gym annex elevator project coming to fruition which is currently being negotiated as it will be completed during football season and the safety of the student athletes is of upmost importance. She concluded with reiterating the excitement of watching pieces of the new college complex project coming up above ground and said that classes are anticipated to begin in the new buildings Fall 2016.

C. DVC Mr. Nahlen reported that DVC is very excited to see the commons area development project almost complete with phase four and the scheduled move in date is June 6th. He said the weekly project team meetings are becoming more intense as they are already inundated with tour requests and events being scheduled, including an event by Congressman Miller. He said once the move in is complete the next phase will begin with demolition of the old culinary facility and creating the open commons space. He also reported that he and Mr. Pyle will be meeting to review the RFP’s that were received for the engineering technology building project.

D. LMC President Kratochvil thanked the committee for participating in the tour of LMC and was excited to report that the student services project is on time and on budget. He expressed his gratitude to the construction crew and Mr. Pyle’s staff for their continued efforts to keep the disruption on campus to a minimum. He also said way finding has continued to work well for students and staff. He anticipates a slight disruption in the summer months as construction crews will be blocking off one or more entrances into the core building; however, the summer will have a lower attendance hindering fewer students. He reported that meetings have begun with the architects to begin the physical education projects which he said is exciting considering the current mobile units were moved to the campus used in 1974. He said that there is language in the 2014 bond project list for a student activity center or union building on the east side of the college complex which would increase the synergy on campus. He also said if the bond passes the Brentwood Center will be able to be built at its new location and will be four times larger than the current Brentwood Center. He added that this new center is needed with the growing head count at the current Brentwood Center due to the swift expansion of the City of Brentwood.

VII. COMMENTS FROM COMMITTEE MEMBERS

Mr. Ruiz said he was amazed at how far the LMC campus has come from his memories of the 1970’s LMC campus. Dr. van Dyk said he sees the students excited to watch their community colleges become more like college campuses and he is excited to see the work being done on the physical education facilities as athletics is where many of the students develop ties to their community college as well as learning leadership skills.

RESOLUTION NO. 5-A BEFORE THE GOVERNING BOARD OF THE

CONTRA COSTA COMMUNITY COLLEGE DISTRICT

RESOLUTION DECLARING RESULTS OF SCHOOL BOND ELECTION HELD JUNE 3, 2014

WHEREAS, by proceedings duly had and taken, a school bond election (the “election”)

was held in Contra Costa Community College District (the “District”) within the County of Contra Costa (the “County”), State of California, on June 3, 2014, pursuant to a resolution and order duly passed by this Governing Board on February 26, 2014 (the “Resolution”), and notice duly given, at which election there was submitted to the electors of the District a measure authorizing the District to incur bonded indebtedness; and

WHEREAS, the Registrar of Voters of the County has duly canvassed the returns of the election as required by law and the Resolution and has filed with this Governing Board a statement of all votes cast at the election showing the whole number of votes cast in the District and the whole number of votes cast for and against said Measure E in the District and in each of the respective consolidated election precincts therein and by absent voters, and also filed, attached to said statement, an official certificate as to the correctness of said statement; and

WHEREAS, a form of certificate describing all proceedings had and taken in the election has been submitted to this Governing Board, and is on file with the Clerk of the Board;

NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BOARD OF THE CONTRA COSTA COMMUNITY COLLEGE DISTRICT, AS FOLLOWS:

1. All of the above recitals are true.

2. At the election, a measure for incurring bonded indebtedness was submitted to the electors of the District. The Measure E as summarized pursuant to Elections Code Section 13247; the official summary of the measure appears below.

The undersigned Superintendent of the Contra Costa Community College District (the “District”), on behalf of and as directed by the Governing Board of the District (the “Governing Board”), does hereby certify to the Board of Supervisors of the County of Contra Costa all proceedings had for the authorization of school bonds of the District, as follows:

WHEREAS, this Governing Board of Contra Costa Community College District (the

“District”), located in the County of Contra Costa, California (the “County”), duly called an election, and an election was regularly held, in the District on June 3, 2014, at which a proposition summarized as follows was submitted to the electors of the District:

WHEREAS, as required by the laws under which such election was conducted, at least 55% of the votes cast on said proposition were in favor of issuing said bonds, and the proposition was declared approved; and

WHEREAS, none of said bonds have heretofore been issued and sold; and WHEREAS, a community college district is authorized by Sections 53506 and following

of the Government Code of the State (the “Government Code”) to issue and sell its bonds at public or private sale; and

WHEREAS, this Governing Board of the District (the “Governing Board”) deems it

necessary and desirable to authorize the sale of said bonds by a negotiated (or private) sale to Morgan Stanley & Co., LLC and Raymond James & Associates, Inc. (the “Underwriters”) pursuant to one or more Bond Purchase Contracts (each, a “Bond Purchase Contract”), and pursuant to Section 15146 of the Education Code, has found and determined the following reasons therefor: (1) provide more flexibility in the timing of the sale of the Bonds, (2) provide more flexibility in the debt structure; (3) allow the District to work with participants familiar with the District; and (4) increase the opportunity to pre-market the Bonds for sale to local residents and other investors; and

WHEREAS, Section 53508.7 of the Government Code provides that a private sale is limited to bonds sold pursuant to Sections 15140 or 15146 of the Education Code; and

WHEREAS, in accordance with Education Code Section 15146, estimates of the costs

associated with the issuance of said bonds are attached hereto as Exhibit A; and WHEREAS, Section 15140(b) of the Education Code provides that the board of

supervisors of a county may authorize the governing board of a community college district over which the county superintendent of schools has jurisdiction to issue and sell its own bonds without the further action of the board of supervisors or officers of the county if said community college district has not received a qualified or negative certification in its most recent interim report; and

WHEREAS, the Superintendent of Schools of the County of Contra Costa (the “County”)

has jurisdiction over the District; and WHEREAS, in accordance with Section 15140(b), the District now wishes to request the

County to adopt a resolution permitting the District to sell bonds on its own behalf; and WHEREAS, Orrick, Herrington & Sutcliffe LLP serves as bond counsel and disclosure

counsel to the District (“Bond Counsel”) and will serve in such capacities in connection with the bonds authorized hereby; and

WHEREAS, Keygent LLC, serves as financial advisor (the “Financial Advisor”) to the

District and will serve in such capacity in connection with the bonds authorized hereby; and WHEREAS, there have been submitted and are on file with the Secretary of the

Governing Board proposed forms of a Bond Purchase Contract; the Preliminary Official Statement describing said bonds; a form of Continuing Disclosure Certificate; and a Paying Agent Agreement, providing for the terms of issuance and repayment of the bonds; and

WHEREAS, the District desires that the County Auditor-Controller annually establish tax

rates on taxable property within the District for repayment of said bonds, pursuant to Sections 29100-29103 of the Government Code of the State of California (the “Government Code”), and that the County Board of Supervisors annually approve the levy of such tax, and that the Treasurer-Tax Collector of the County (the “County Treasurer”) annually collect such tax and apply the proceeds thereof to the payment of principal of and interest on the bonds when due, all pursuant to Sections 15250 and 15251 of the Education Code; and

WHEREAS, the County Treasurer has consented to the appointment of The Bank of

New York Mellon Trust Company, N.A. (the “Paying Agent”) to act as an agent of the County Treasurer as paying agent, registrar and transfer agent with respect to bonds of the District;

NOW, THEREFORE, THE GOVERNING BOARD OF THE CONTRA COSTA

COMMUNITY COLLEGE DISTRICT DOES HEREBY RESOLVE, DETERMINE AND ORDER, AS FOLLOWS:

Section 1. Recitals. All of the above recitals are true and correct.

Section 2. Authority for Issuance. The bonds described herein are hereby authorized to

be issued pursuant to Section 15140 and following of the Education Code, and other applicable

provisions of law, and shall be issued in an aggregate principal amount not to exceed $120,000,000.

Section 3. Designation of Bonds. The bonds shall be sold in one or more series, to be provisionally designated the “Contra Costa Community College District General Obligation Bonds, Election of 2014, 2014 Series A” (herein called the “Bonds”), with such additional designations as may be necessary to distinguish between Bonds of different payment mechanisms or features, as authorized hereby.

Section 4. Method of Sale of Bonds.(a) Authority to Sell Bonds by Negotiated Sale: The Bonds or any portion thereof shall be sold by negotiated sale to the Underwriters. The Board of Supervisors of the County has been requested to authorize the District to sell its Bonds at a negotiated sale pursuant to Education Code Sections 15140(b) and 15146 without further action by the Board of Supervisors or officers of the County. No bonds shall be sold by the District until such authorization is granted.

(b) Negotiated Sale of Bonds; Bond Purchase Contract: The Chancellor, the Executive Vice Chancellor, Administrative Services, or the Associate Vice Chancellor, Chief Financial Officer of the District, or such other officer of the District designated for the purpose (each an “Authorized District Representative”), is hereby authorized, upon consultation with the Financial Advisor, to sell the Bonds to the Underwriters on terms consistent with this Resolution. The Bond Purchase Contract, in substantially the form on file with the Secretary of the Governing Board, is hereby approved, and the Authorized District Representative is hereby authorized and directed to execute and deliver one or more Bond Purchase Contracts to the Underwriters, subject to such changes or revisions therein as may be acceptable to the Authorized District Representative, and the District’s approval of all such changes shall be conclusively evidenced by the execution and delivery of the Bond Purchase Contract. The Bond Purchase Contract shall provide: (i) that the aggregate purchase price of the Bonds sold thereunder shall be no less than the principal amount of such Bonds; (ii) that the Underwriters’ discount shall not exceed 0.5% of the aggregate principal amount of the Bonds sold; and (iii) that the Bonds sold thereunder shall otherwise conform to the limitations specified in this Resolution, including specifically those terms prescribed by Section 5 hereof.

Section 5. Terms of the Bonds and Interest Payment. The Bonds shall be issued in the form of current interest Bonds as provided in this section.

(a) Maturity: No Bond shall mature prior to August 1, 2015, nor later than permitted by law.

(b) Maximum Rate of Interest: The Bonds shall bear interest or accrue in value at a nominal annual rate not to exceed the statutory limit of 8.0% per year, and shall yield no more than such limit per year to maturity.

(c) The maximum true interest cost for the Bonds shall not be in excess of 8.0% or the legal maximum.

(d) The Bonds shall bear interest computed on the basis of a 360-day year of twelve 30-day months payable on such initial and periodic interest payment dates as shall be set forth in the Bond Purchase Contract or other sale document, until maturity or prior redemption.

(e) Recital of Terms of Bonds: The Bond Purchase Contract shall recite the terms of the Bonds sold under such document in accordance with this section as determined in the sale thereof, and such terms shall be memorialized in the Paying Agent Agreement described in Section 7 hereof.

Section 6. Tax Treatment of Bonds. All or any portion of the Bonds may be issued as exempt from federal income tax, as the Authorized District Representative shall determine upon consultation with the Financial Advisor, and according to the terms and conditions Bond Counsel to the District shall advise are appropriate to and necessary for the issuance of tax-exempt bonds.

Section 7. Approval of Paying Agent Agreement. The Paying Agent Agreement relating to the Bonds between the District and The Bank of New York Mellon Trust Company, N.A., as paying agent/registrar and transfer agent (the “Paying Agent”), in substantially the form on file with the Secretary of the Governing Board, including the form of Bonds included therein, is hereby approved. The Authorized District Representative is hereby authorized to execute and deliver one or more instruments in substantially said form, completed with the terms of the Bonds determined upon the sale thereof, and with such other changes thereto as the Authorized District Representative may require or approve, and the District’s approval of the Paying Agent Agreement shall be conclusively evidenced by the execution and delivery thereof.

Section 8. Approval of Official Statement. The Official Statement relating to the Bonds, in substantially the form on file with the Secretary of the Governing Board, is hereby approved with such changes, additions and corrections as the Authorized District Representative may hereafter approve. The Authorized District Representative is hereby authorized to certify on behalf of the District that the preliminary form of the Official Statement was deemed final as of its date, within the meaning of Rule 15c2-12 promulgated under the Securities Exchange Act of 1934 (except for the omission of certain final pricing, rating and related information as permitted by said Rule). The Underwriters are hereby authorized to distribute copies of such Official Statement in preliminary form to persons who may be interested in purchasing the Bonds. The Authorized District Representative is hereby authorized and directed to sign said Official Statement in its final form, including the final pricing information, and the Underwriters are hereby authorized and directed to deliver copies of such Official Statement in final form to subsequent purchasers of the Bonds. The Authorized District Representative is authorized to deliver one or more Official Statements, as may be necessary or desirable.

Section 9. Approval of Continuing Disclosure Certificate. The Continuing Disclosure Certificate relating to the Bonds, in substantially the form on file with the Secretary of the Governing Board, is hereby approved. The Authorized District Representative, or the designee thereof, is hereby authorized on behalf of the District to execute and deliver one or more Continuing Disclosure Certificates in substantially said form, with such changes thereto as deemed necessary in order to permit the purchaser of the Bonds to comply with the requirements of Securities and Exchange Commission Rule 15c2-12. The District hereby covenants and agrees that it will comply with and carry out all of the provisions of such Continuing Disclosure Certificate as finally executed and delivered.

Section 10. Request for Tax Levy. The Board of Supervisors and officers of the County are obligated by statute to provide for the levy and collection of property taxes in each year sufficient to pay all principal and interest coming due on the Bonds in such year, and to pay from such taxes all amounts due on the Bonds as provided by law and in the Paying Agent

Agreement. Pursuant to Education Code Section 15252, the District hereby requests the Board of Supervisors to annually levy a tax upon all taxable property in the District sufficient to redeem $120,000,000 of bonds authorized by District voters at the election held June 3, 2014, the sale of which is authorized by this Resolution, and which, in this Board’s belief, will be sold before the next tax levy, and to pay the principal thereof, redemption premium, if any, and interest thereon as and when the same become due, and to provide for any mandatory sinking fund payments or set-asides that may be required, as Bond Counsel shall advise.

Section 11. Approval of Actions. The President of this Governing Board, the Secretary of the Governing Board, the Chancellor or Executive Vice Chancellor of the District, the Associate Vice Chancellor, Chief Financial Officer of the District, and any other officer of the District to whom authority is delegated by one of the named officers for the purposes of the Bonds, are hereby authorized and directed to execute and deliver any and all certificates and representations, including signature certificates, no-litigation certificates, certificates concerning the contents of Official Statements, representation letters to The Depository Trust Company, tax certificates and any other certificates proposed to be distributed in connection with the sale of the Bonds, and to enter into any agreements, including depository agreements, commitment letters and agreements with bond insurers, agreements providing for payment of costs of issuance of Bonds, and any other agreements, letters, or representations, which any of them deem necessary or desirable to accomplish the transactions authorized herein. If in order to sell the Bonds in separate series, the District is required to prepare and deliver additional official statements, paying agent agreements, bond purchase agreements, official notices of sale, continuing disclosure certificates, or other authorized documents, preparation and delivery of such additional documents substantially in the forms presented herewith and subject to the terms set forth herein is hereby authorized. Actions of the Authorized District Representative heretofore taken to accomplish the purposes of this Resolution and consistent herewith are hereby ratified.

Section 12. Filing with County. The Authorized District Representative is hereby authorized and directed to report to the Auditor-Controller of the County the final terms of sale of the Bonds, and to file with the Auditor-Controller and with the County Treasurer a copy of this Resolution, and the schedule of amortization of the principal of and payment on the Bonds, and this Resolution shall serve as the notice required to be given by Section 15140(c) of the Education Code and as the District’s request to the Auditor-Controller of the County and the Board of Supervisors of the County to propose and adopt in each year a tax rate applicable to all taxable property of the District for payment of the Bonds pursuant to law; and to the other officers of the County to levy and collect said taxes for the payment of the Bonds, to pay in a timely manner to the Paying Agent on behalf of the Owners of the Bonds the principal, interest, and premium, if any, due on the Bonds in each year, and to create in the County treasury to the credit of the District a building fund and an interest and sinking fund pursuant to Section 15146 of the Education Code.

Section 13. Indemnification. The District shall indemnify and hold harmless, to the extent permitted by law, the County and its officers and employees (“Indemnified Parties”), against any and all losses, claims, damages or liabilities, joint or several, to which such Indemnified Parties may become subject because of action or inaction related to the adoption of a resolution by the County Board of Supervisors providing for the issuance and sale of the Bonds, or related to the proceedings for sale, award, issuance and delivery of the Bonds in accordance therewith and herewith. The District shall also reimburse any such Indemnified

Measure E Allocation Discussion and Recommendation July 23, 2014

Review of Bond Program Funding Allocations Board Report No. 8-C includes information on the size and age of the District’s three colleges, as well as the allocations of capital outlay funding for previous capital improvements programs. Staff’s recommendation for the allocation of Measure E resources seeks to account for the differences in the size and age of the physical plant at Contra Costa College (CCC), Diablo Valley College (DVC), and Los Medanos College (LMC). Information related to these differences has been presented to the Governing Board in the past, but the differences have not been discussed in detail. The information below was provided as a part of the special Board report on bond polling results and the draft Measure E project list at the December 11, 2013, Governing Board meeting:

“These [2002 and 2006 capital improvements] programs combined represent total capital outlay for the colleges’ physical plant over the program timeframe, as shown in Table 3.

Although there is a peak for DVC’s combined funding, the college peaks because of the $39M spent on the [San Ramon Campus] project. When that amount is excluded from the calculations, approximate expenditures at the end of both programs are expected to be $150M at LMC, $130M at CCC, and $117M at DVC. When analyzed purely from a physical plant investment perspective, this does not represent an allocation strategy that recognized the size of the plant at DVC or the age and condition at CCC.” (Emphasis added.)

Review of Facilities Age and Condition The following information regarding the physical plant of the three colleges was also provided at the December 11, 2013, Governing Board meeting as a part of the Governing Board’s discussion about the size of the Measure E bond:

”Whatever amount is chosen for a potential bond, the following discussion highlights the current state of facilities at each college. CCC • This is the District’s oldest campus. The average age per square foot at CCC is 39 years, despite the improvements in the first two bond programs. This represents a lack of success in appropriating state-funded projects, in part due to the planning challenges associated with the seismic issues on the campus.

DVC

• The average age per square foot at DVC is 27 years. This number has just recently been reduced by the demolition of the two oldest buildings on campus and the construction of two

LMC • The average age per square foot at LMC is 21 years. • As noted above in the discussion of what has been done in the capital improvements programs at LMC, of the 392,000 square feet of campus space, approximately 116,000, or almost 30 percent of the space has been added after year 200[7]. An additional 83,000 square feet is being renovated or has been renovated in the past five years. This represents significant investments in over 50 percent of the campus square footage in the past six years.”

Measure E Allocation Discussion The last bit of information staff wants to emphasize from the December 11, 2013, Board report relates directly to the subject of this Board action item. Since the major portion of discussion in December centered on the size of Measure E, the information above and below were not addressed in detail at that meeting.

“Allocation During the long range development of a college campus, facilities are constructed to meet the teaching and administrative space needs that match the requirements. These requirements are primarily driven by the number of students the college serves. Thus, the space and renovation needs can be correlated to, among other things, the number of students at each college. This is roughly the same model used to develop District operational fund budgets. Certain costs are taken off the top of the total District allocation, and then the remaining funds are distributed to the colleges on a percentage of full-time equivalent student basis. The percentages below under the site allocation, are the current distribution numbers used in the 2013-14 adoption budget. This allocation option could be used regardless of the amount of the bond, and would be consistent with the current allocation of resources in the District. Option for using Business Procedure 18.01 as a basis for a bond allocation model:

July 23, 2014 Capital Improvements Overview The Measure A 2002 capital improvements program, with funds from the state and interest included, is about $218M. It is 99 percent complete, with only a small amount of interest remaining to be spent on two small active projects. The Measure A 2006 capital improvements program, with funds from rebates, interest, and some campus funding included, is about $306M. It is approximately 50 percent complete, with several large active projects currently expensing over $1M per month each. The 2006 program also has many small projects underway, with some still in planning and development.

The Measure E capital improvements program, bond funds only, was approved by voters on June 3, 2014, and is $450M. No funds have been spent to date, although staff time has been expended on the next steps for Measure E implementation, including planning to integrate the remaining workload of Measures A 2002 and 2006 into a comprehensive program. Staff has been evaluating staffing models and developing individual project kickoff plans with each of the colleges. This report discusses these subjects.

Measure E Staffing Since passage of Measure E nearly doubles the funding in the capital improvements programs, staffing adjustments need to be made in order to implement Measure E. Clearly a college could not double its FTES workload without changes to its non-faculty management and administrative staffing, and the same goes for capital improvements workload if the District wants to execute the program in a time effective manner. This was also true when Measure A 2006 was established. On November 19, 2008, the Board approved the staffing model for the Measure A 2006 Facilities Planning team shown below.

However, since the independently developed model above has been the basis for program staffing, staff has pulled it back out to evaluate its strengths and weaknesses and is proposing adjustments to manage a larger workload than what was originally designed. Adjustments to the model are proposed to increase the speed and effectiveness of design, implement professional development and succession planning, and to increase program coordination as a result of initiatives developed under Measure A 2006 that will be used with Measure E as well. The proposed organizational model for facilities planning is shown below.

Operations under the remaining Measure A and the new Measure E workload would benefit from correcting this staffing shortfall now.

The position shaded in a darker gray is the only new position being proposed to increase the speed and effectiveness of program execution. If approved by the Governing Board, staff expects to develop this job description and bring it to the Governing Board at its September meeting.

1. One of the struggles under the Measure A 2006 program has been the ability to get projects scoped, planned, and designed. This has slowed the execution of the program beyond its initially projected timeframe. By creating the position of Design Director immediately under the Chief Facilities Planner, the program will have someone dedicated to working with colleges and consultants to initiate and design major college and District projects while other staff focus on projects under construction. This is a critical element for time effective implementation of Measure E. Staff expects this position will be classified at or near the M10 level of the management salary schedule given its responsibilities for the planning and design development of the remaining Measure A 2006 projects and all of the new Measure E projects.

2. In addition to the changes above, some additional consultant support will be needed. Over the course of managing the Measures A 2002 and 2006 programs, a significant number of best business practices and initiatives have been developed by staff. Some of these include the creation of construction contract templates, architectural and professional services contract templates, inspection and testing contract templates, as well as processes that better manage control and close-outs of contracts and projects. Previously, most contract documents were “retreads” of past projects and often included inappropriate information and requirements from same. Development and use of templates have solved this problem. Staff has also increased the effectiveness and transparency of the consultant selection process.

Current management of contract templates and selection documents largely rests with the Chief Facilities Planner, while the Director of Construction Operations (the position that will be realigned and renamed the Associate Facilities Planner) manages day-to-day execution of the work. Staff will be seeking support from a construction industry paraprofessional capable of managing the documents, and inputting changes which are required by code or directed by the Chief Facilities Planner. The position would also support all team members by modifying templates to match new requirements as projects are developed and released for bid or selection.

A comparison of the annual costs under the plan approved by the Board in 2008, and the current proposal, is shown below. The cost projections would be allocated each year to Measure A 2006 and Measure E in their ratio of projected work-in-place for the next fiscal year.

Measure E Project Kickoff There has been considerable interest, both from within and outside of the District, regarding the start of projects. As noted, some type of schedule and spending plan was also required to initiate the first bond sale. Until additional staff is hired, current staff has to manage current workload and new expectations. Additionally, a California Environmental Quality Act review of the program needs to be conducted and undergo public review and comment prior to review and approval by the Board. Shortly after passage of the bond, staff evaluated projects underway either in design or construction in the Measure A 2006 program, and began to develop strategies for effectively beginning new projects under the Measure E program. As can be expected, each college is in a bit of a different situation with respect to project initiation. Accordingly, project plans for each site that will be used in the first bond sale under Measure E will be discussed below by site.

The New Brentwood Center A program of building spaces for the Brentwood Center was developed when the project was initially submitted in 2012 to the state with a request for approximately $24M in state capital outlay funding. This funding request is still in the state capital outlay program as an approved but unfunded project. If a statewide bond is approved within the next two-year timeframe, the District could expect at least $20M to offset Measure E expenses and free up those funds for other projects that may not be fundable within the Measure E allocation. In order to remain eligible for state funding, the building space program needs to remain unchanged from that which was developed for and approved by the state in 2012. Given that the building space program has already been developed and approved, staff plan to get a request for qualifications for design services out no later than August. The preliminary project schedule used in the Measure E three year spending plan was for two years in design and two years in construction, all beginning in the third quarter of calendar year 2014.

Contra Costa College (CCC) The first major project that could be developed for CCC could be the physical education annex modernization project. A program of building spaces for the annex was developed when the project was initially submitted to the state with a request for approximately $5.5M in state capital outlay funding. This funding request is still in the state capital outlay program as an approved but unfunded project. If a statewide bond and this project are funded within the next two-year timeframe, the District could expect at least $3.4M to offset Measure E expenses and free up those funds for other projects that may not be fundable within the Measure E allocation. In order to remain eligible for state funding, the building space program needs to remain unchanged from that which was developed for and approved by the state in 2012. Given that the building space program has already been developed and approved, staff plan to get a request for qualifications for design services out no later than September or October, depending upon the college’s project priorities which need to be reviewed when faculty return in August. The preliminary project schedule used in the Measure E three year spending plan was for 1.5 years in design followed by the same duration for construction, all beginning in the fourth quarter of calendar year 2014 if college governance approves this approach. The next major project CCC can expect to be fully fundable under their Measure E allocation is its flagship science and allied health center project. The initial review of the project scope reveals that to get it within a budget of approximately $60M, the building space program needs to be developed based on current educational plans and projections. This will require consultation with college leaders and faculty under a contract to evaluate current and future needs and develop a space program that fits those needs. The need for programming a large project also exists at DVC and staff is researching the possibility of combining both efforts under one contract in order to achieve cost and management savings. A preliminary estimate for completing the programming work is approximately four to six months following contract approval and award, depending upon staff and faculty availability during this time frame. Following programming, there will be several months associated with soliciting architectural team proposals, conducting evaluations, and conducting contract negotiations. Conservatively, this puts programming start in the fourth quarter of calendar year 2014 and design start in the third quarter of calendar year 2015. Diablo Valley College (DVC) The first project using Measure E funds at DVC will be the engineering technology renovation project. Partially funded in the Measure A 2006 program, architectural selection is underway. Selection of a design firm is expected in August of this year. The three-year spending plan anticipates a 1.5 year design effort to start in the third quarter of this year, followed by a construction duration of the same amount of time. The next major project at DVC is likely to be their flagship science and classroom complex project. A compilation of several master plan projects, the scope of this project is not fully developed. The building space program needs to be developed based on current

educational plans and projections. This will require consultation with college leaders and faculty under a contract to evaluate current and future needs and develop a space program that fits those needs. A preliminary estimate for completing the programming work is approximately four to six months following contract approval and award, depending upon staff and faculty availability during this time frame. The Measure E three-year spending plan assumes a design delay while the programming effort is completed, and then a two-year design duration with construction starting soon after the engineering technology renovation is completed. Los Medanos College (LMC) Measure E is already underway at LMC. Architectural selection and contract award for the Measure A 2006 physical education (PE) complex project has been complete for several months, and user group meetings were underway before faculty and staff left for the summer. The LMC facilities master plan also discusses its Measure E student activities building in relation to the PE complex project, and notes that the “addition of a P.E./Fitness Complex will activate the eastern portion of the campus and create a focus on health for the college and community. [These two projects] will bring opportunities for student interaction…” Since these two projects are adjacent to each other, and can share common spaces and foster student interaction, District and college leaders believe the projects should move forward together under the same design team and project executive steering committee. The Measure E three year spending plan combines both projects with design beginning in the current quarter. District Projects The highest priority for the District allocation is the seismic retrofit of the District Office building. Staff expects to request a proposal in July or August from the firm that has already modeled the building performance in a design earthquake. The same firm also developed the preliminary retrofit concept and program level cost estimate that was used in Measure E program development. The three-year spending plan assumes a nine-month design effort, followed by a six-month construction duration. The three-year spending plan also projects design of the new CCC and LMC police buildings to start in the first quarter of 2015.

GENERAL OBLIGATION BONDS

CITIZENS’ BOND OVERSIGHT COMMITTEE PROCEDURES, POLICIES AND GUIDELINES BYLAWS

Introduction

Measures A 20021 and /20062 and Measure E 20143 were approved by at least 55% of the voters of the Contra Costa Community College District pursuant to the provisions of the Strict Accountability in Local School Construction Bonds Act of 2000, codified at Sections 15264 and following of the Education Code. The Act requires the Board of Trustees (the “Board”) to appoint a Citizens’ Oversight Committee (the “Committee”) after the successful bond election. Legal authority for formation and duties of the Committee is found in Sections 15264 and 15278 to 15282 of the Education Code. The purpose of these Procedures, Policies and Guidelines is to direct the formation and actions of the Committee by reference to the statutory requirements. Where the statutory direction is insufficiently specific, the Board has furnished missing details. In addition, the Board sets forth below its expectations, suggestions, and desires for the operations of the Committee. (All references below to the provisions of law are to the Education Code of the State of California, unless otherwise specified in context.) I. Establishment

The Board is required to appoint members to an independent citizens’ oversight committee as a result of the passage of Measure A at the elections conducted on March 5, 2002, and Measure A at the elections conducted on June 6, 2006 and Measure E at the elections conducted on June 3, 2014. Education Code §15278(a)

II. Purpose

A. Statutory Purposes. The Committee is charged by statute with the following purposes: 1. to promptly alert the public to any waste or improper expenditure of construction bond

money (Education Code §15264(c)); 2. to inform the public concerning the expenditure of bond revenues (Education Code

§15278(b)); 3. to ensure that bond revenues are expended only for the purposes described in the

California Constitution (“Constitution”); that is, for the construction, reconstruction, rehabilitation, or replacement of college facilities, including the furnishing and equipping of college facilities, or the acquisition or lease of real property for college facilities (California Constitution, Article XIIIA, §1(b)(3); Education Code §15278(b)(1)); and

4. to ensure that no funds are used for any teacher or administrative salaries or other college operating expenses (California Constitution, Article XIIIA, §1(b)(3)(A); Education Code §15278(11)(2)).

B. Committee Charge. In addition to the statutory purposes, the Committee’s purpose includes facilitating understanding between the Board and the residents of the District, as a complement to the Board’s own regular public meetings and citizen outreach efforts. The Committee will best serve its statutory purposes and the interests of the community by: 1. responsibly reviewing Board plans with regard to bond projects; 2. communicating the community’s concerns or satisfaction to the Board with regard to

those projects and the District’s overall building and renovation plans; and 3. communicating the Board’s intentions with respect to bond projects to the community.

C. Role of the Committee. The Committee serves in an advisory capacity to the Board.

III. Members

A. Minimum Size. The Committee shall be comprised of at least seven members, which members shall meet the criteria as noted in Section III.B.1-5 (Education Code §15282(a)), and not more than eleven members.

B. Required Members. Pursuant to statute, the Board shall appoint to the Committee the following

members (Education Code §15282(a)): 1. one member active in a business organization representing the business community

located within the District (one member per college – total three members); 2. one member active in a senior citizens’ organization (total one member); 3. one member active in a bona fide taxpayers’ organization (total one member); 4. one member shall be a student who is both currently enrolled in the District and active

in a community college group, such as student government (one member per college – total three members); and

5. one member shall be active in the support and organization of a community college or the community colleges of the District, such as a member of an advisory council or foundation (one member per college – total three members).

C. Board Procedures for Appointment of Committee.

1. Appointment a. Persons, at least 18 years of age, who are interested in serving as members of

the Committee shall submit a written application (see Attachment A) to the chief administrative services officer, specifying such information as the chief administrative services officer shall reasonably require. Such information shall include, at a minimum: (i) the specific position or positions listed in Section III. B above, for which

the applicant qualifies; and (ii) such information as may be necessary to verify that the applicant

meets that qualification requirement. b. The chief administrative services officer shall forward the names and

applications of those applicants meeting the qualification requirements to the chancellor. The chancellor will forward to the Board the names and applications of those applicants.

c. The Board, or any member thereof, may request additional information about any applicant, including a personal interview. All such information shall be public, and any such interviews shall be conducted at a public Board meeting.

d. Applicants shall be nominated by motion of a member of the Board. e. Members shall be appointed by a majority vote of the Board. The appointment

shall specify which of the specific positions listed in Section III.B the appointment fulfills.

2. Failure to Appoint a. Willful failure to appoint the Committee is grounds for legal action by any

taxpayer against the Board. Education Code §15284(a)(4) b. The Board will make a good-faith effort to appoint the Committee and fill

vacancies to ensure that the Committee is fully constituted and functioning. No

vacancy, at initial appointment or otherwise, will prevent the Committee from meeting and conducting its business.

c. In the event that acceptable applications from the public to fill all of the positions specified in Section III.A above are not received, or if at any time there is a vacant position on the Committee, the chief administrative services officer shall: (i) notify the Governing Board of the vacancy; and (ii) cause a notice of the vacancy to be posted in a conspicuous public place

(e.g., where regular public notices of the Board are posted), specifying the eligibility requirement for the vacant position and that a written application must be submitted to the chief administrative services officer and such notice shall remain posted until the vacancy is filled. The chief administrative services officer in her/his discretion, may advertise the vacant position in a newspaper reasonably expected to be circulated among interested persons, and may contact organizations to request nomination of interested persons to fill the positions that require active membership in such organization.

D. Additional Eligibility Restrictions. The following persons are not eligible to serve on the

Committee (Education Code §15282(b)): 1. any employee of the District; 2. any official of the District4; and 3. any vendor, contractor or consultant of the District5.

E. Ethics – Conflicts of Interest. By accepting appointment to the Committee, each member

agrees to comply with Articles 4 (commencing with Section 1090) and 4.7 (commencing with Section 1125) of Division 4 of Title 1 of the Government Code. Additionally, each member shall comply with the Committee Ethics Policy shown as “Attachment B” to these Procedures, Policies, and Guidelines.

F. Term. 1. Each of the members specified by statute is appointed for a term of two years.

Education Code §15282(a) 2. No member shall be appointed to more than three consecutive two-year terms.

Education Code §15282(a) 3. The Board hereby further establishes the following provisions on the terms of members:

a. Any member appointed to meet any of the criteria of categories 1— 5 described in Section III.B above, shall serve only so long as such member continues to fulfill the requirement of the position to which appointed.

b. Notwithstanding the two-year term required by statute, the term of any member shall terminate upon: (i) death of the member; (ii) written resignation of the member; (iii) disability or illness of the member, upon a finding by the Board that the

member is unable to effectively continue to serve on the Committee; (iv) the sale or provision of any goods or services to the District, or entry

into any contract with the District for such sale or provision, whether or not related to the bond program, such that the member becomes a “vendor, contractor, or consultant” within the meaning of Section III.D.3, above;

4 For purposes of this limitation, any elected or appointed member of the Board is an “official of the district” within the meaning of Section Education Code §15282(b). No member of any other citizen committee of the District appointed by the Board to serve without pay is an “official of the district” within the meaning of Section Education Code §15282(b).

5 No person is a vendor, contractor or consultant of the District prohibited from serving on the Committee within the meaning of Section 15282(b) unless such person, or any company of which such person is an owner or part owner, agrees or has agreed to perform services or furnish goods or supplies to the District under any agreement or contract that has not been fully performed. Prior contractual relationships with the District do not disqualify a person from serving on the Committee.

(v) the employment, appointment or election of such member to a position with the District, such that the member becomes an “employee of the District” or an “official of the District” within the meaning of Section III.D.1 or 2, respectively; and

(vi) failure of the member to participate in two consecutive meetings without prior approval of the Committee. The Committee chair should keep the Board informed regarding the status of other members, so that the Board can take appropriate action to replace or reappoint Committee members in a timely manner.

4. The term of any member appointed to succeed a member whose term has been terminated pursuant to Section III.F.3.b shall be two years, or such lesser time as remains in the term of the departing member, as the Board shall determine.

5. In order to provide for consistency and continuity in the Committee’s operations and deliberations, and to establish a Committee whose entire membership does not turn over every two years, the Board may request the resignation of one or more, but fewer than all, members after one year, in order to reappoint such member, or any other person meeting the requirements for the seat that has been vacated by such resignation, to a two-year term.

G. Compensation. Members serve without compensation. Education Code §15282(a)

IV. Authorized Activities

In furtherance of its purposes, the Committee is authorized by statute to engage in the following activities (Education Code §15278(c)): A. receiving and reviewing copies of the annual, independent performance audit required by the

Constitution5;

B. receiving and reviewing copies of the annual, independent financial audit required by the Constitution6;

C. inspecting college facilities and grounds to ensure that bond revenues are expended in

compliance with the requirements of paragraph (3) of subdivision (b) of Section 1 of Article XVI of the California Constitution;

D. receiving and reviewing copies of any deferred maintenance proposals or plans developed by

the District; and

E. reviewing efforts by the District to maximize bond revenues by implementing cost-saving measures, including, but not limited to, all of the following: 1. mechanisms designed to reduce the costs of professional fees; 2. mechanisms designed to reduce the costs of site preparation; 3. recommendations regarding the joint use of core facilities; 4. mechanisms designed to reduce costs by incorporating efficiencies in college site

design; and 5. recommendations regarding the use of cost-effective and efficient, reusable facility

plans. V. Meetings

A. Initial Organization: Officers. In order that the Committee serve effectively and fulfill the purposes for which it is established, the Committee shall organize and conduct meetings as follows:

1. Initial Meeting. At the initial meeting of the Committee, the chancellor or a person designated by the chancellor should open the meeting and facilitate the selection by the Committee members of a presiding officer. Thereafter, selection of a chair and any other officers of the Committee should be by whatever means the Committee determines.

2. Chair. The Committee should designate a member as chair to preside over meetings of the Committee and to represent the Committee at public meetings of the Board and make reports thereto on a regular basis as the Committee shall determine or as the Board may request. The Committee Chair will serve a minimum term of two years or until terminated pursuant to Section III.F.3.b. The Committee shall designate a new Chair at the last regular meeting preceding July 1, to begin serving July 1.

3. Secretary. The Committee should designate a member as secretary to keep accurate minutes of the Committee’s meetings and actions, in order to fulfill the legal requirement that such minutes and documents and reports be entered into the public record.

B. Reports: Meetings.

1. Reports. The Committee shall issue regular reports on the results of its activities at least once a year. Education Code §15280(b)

2. Annual Meeting of the Committee. The Committee is required to conduct at least one annual meeting, the purpose of which is to receive the reports and documents required to be provided to the Committee by the Board, and to approve a report of the Committee. Education Code §15280(b), 15278(c)

3. Other Meetings of the Committee. The Board recommends that the Committee meet as often as necessary, at least quarterly, in order to effectively perform its duties.

4. Quorum. A majority of the appointed committee members shall constitute a quorum for conducting a meeting. The minimum quorum shall consist of four members present. Assuming there is a quorum, the committee may act by a majority of the members present.

C. Notice of Meetings: Minutes.

1. The Committee’s meetings are governed by the Ralph M. Brown Act, commencing at Section 54950 of the Government Code. Education Code §15280(b) a. All Committee proceedings shall be open to the public. b. Notice to the public of any meeting of the Committee shall be provided in the

same manner as the proceedings of the Board. 2. Minutes of the proceedings of the Committee and all documents received and reports

issued by the Committee are a matter of public record. Education Code §15280(b) 3. The District shall maintain and make available to the Committee an Internet website for

publication of proceedings of the Committee. Education Code §15280(b) 4. All documents received and reports issued by the Committee shall be made available to

the public on the District website. Education Code §15280(b) 5. In order to publicize and make available the Committee’s proceedings, the Committee

secretary shall provide to the chief administrative services officer any documents received by, and reports issued by, the Committee, in whatever form received or issued, and minutes of the meetings of the Committee or any subcommittees created by the Committee.

6. District staff is directed by the Board to assist the Committee in publicizing its meetings, in complying with the requirements of the Brown Act, and in posting documents and reports on the website maintained by the District for the Committee. District staff will assist the Committee in these and the other activities of the Committee as provided in Section V.D.

D. Technical Assistance.

1. The Board is required to provide the Committee with any necessary technical assistance and shall provide administrative assistance to the Committee in furtherance of its purpose. Education Code §15280(a)

2. The Board is required to provide sufficient resources to publicize the conclusions of the Committee. Education Code §15280(a)

3. No bond funds shall be expended on any activities or technical assistance provided to the Committee. Education Code §15280(a)

4. The District shall expend General Fund monies to provide the administrative and technical assistance reasonably required by law. The District shall not be required to prepare reports for, or attend meetings of, the Committee beyond what is required by statute and what is prepared for the Board.

About Measures A 2002 and /2006 and Measure E 2014 Measure A 2002 is a facilities bond measure passed on March 5, 2002, by the voters of the Contra Costa Community College District (District). Measure A 2002 authorizes the District to issue up to $120 million in general obligation bonds for the purpose of repairing, rehabilitating, and improving existing facilities, and adding new educational facilities. The Governing Board entered the election results in the minutes of the April 24, 2002, meeting. Measure A 2006 is a facilities bond measure passed on June 6, 2006, by the voters of the Contra Costa Community College District. Measure A 2006 authorizes the District to issue up to $286.5 million in general obligation bonds for the purpose of repairing, rehabilitating, and improving existing facilities, and adding new educational facilities. The Governing Board entered the election results in the minutes of the July 26, 2006, meeting. Measure E 2014 is a facilities bond measure passed on June 3, 2014, by the voters of the District. Measure E 2014 authorizes the District to issue up to $450 million in general obligation bonds for the purpose of repairing, rehabilitating, and improving existing facilities, and adding new educational facilities. The Governing Board entered the election results in the minutes of the July 23, 2014, meeting. Attachment B Ethics Policy Statement

This Ethics Policy Statement provides general guidelines for Committee members to follow carrying out their roles. Not all ethical issues that Committee members face are covered in this Statement. However, this Statement captures some of the critical areas that help define ethical and professional conduct for Committee members. The provisions of the Ethics Policy Statement were developed from existing laws, rules, policies and procedures, as well as from concepts that define generally accepted, good business practices. Committee members are expected to strictly adhere to the provisions of this Ethics Policy Statement.

POLICY

CONFLICT OF INTEREST. A Committee member shall not make or influence a District decision related to: (1) any contract funded by bond proceeds or (2) any construction project which will benefit the committee member's outside employment, business, or a personal finance or benefit an immediate family member, such as a spouse, child or parent. OUTSIDE EMPLOYMENT. A Committee member shall not use his or her authority over a particular matter to negotiate future employment with any person or organization that relates to: (1) any contract funded by bond proceeds, or (2) any construction project. A Committee member shall not make or influence a District decision related to any construction project involving the interest of a person with whom the member has an agreement concerning current or future employment, or remuneration of any kind. For a period of two (2) years after leaving the Committee, a former Committee member may not represent any person or organization for compensation in connection with any matter pending before the District that, as a Committee member, he or she participated in personally and substantially. Specifically, for a period of two (2) years after leaving the Committee, a former Committee member and the companies and businesses for which the member works shall be prohibited from contracting with the District with respect to: (1) bidding on projects funded by the bond proceeds; and (2) any construction project. COMMITMENT TO UPHOLD LAW. A Committee member shall uphold the federal and California Constitutions, the laws and regulations of the United States and the State of California (particularly the Education Code) and all other applicable government entities, and the policies, procedures, rules and regulations of the Contra Costa Community College District. COMMITMENT TO DISTRICT. A Committee member shall place the interests of the District above any personal or business interest of the member.
