LETTER OF INTENT TO ESTABLISH A MEMORANDUM OF UNDERSTANDING

ON A SISTER PROVINCE – STATE COOPERATION RELATIONSHIP BETWEEN

THE STATE GOVERNMENT OF QUEENSLAND, AUSTRALIA AND

THE PROVINCIAL GOVERNMENT OF CENTRAL JAVA, REPUBLIC OF INDONESIA

The Provincial Government of Central Java, Republic of Indonesia, and the State Government of Queensland, Australia, hereinafter referred to as “the Parties”; Desiring to promote better goodwill and understanding, and favourable cooperation between the peoples of Province Central Java, Republic of Indonesia and the State of Queensland, Australia; Recognizing the importance of the principles of equality and mutual benefits; Do hereby declare their intention to establish a Memorandum of Understanding on a Sister Province – State Cooperation Relationship as a basis for further development, in accordance with their prevailing laws and regulations, in the following fields : 1. Agriculture; 2. Urban and Rural Development; 3. Transportation and Tourism; 4. Industry; 5. Trade and Investment; 6. Education, Science and Technology; and 7. Other fields that will be mutually agreed upon by the Parties. The implementation of such cooperation shall be concluded in appropriate measures in due course. Done in Semarang, Central Java on the 10 day of July, 1991, in four original copies, two of each in Bahasa Indonesia and English.

LETTER OF INTENT ON ESTABLISHING A FRIENDLY COOPERATION

BETWEEN THE PROVINCIAL GOVERNMENT OF GUANGDONG,

PEOPLE’S REPUBLIC OF CHINA AND

THE PROVINCIAL GOVERNMENT OF NORTH SUMATRA, REPUBLIC OF INDONESIA

The Provincial Government of North Sumatra, Republic of Indonesia and the Provincial Government of Guangdong, People’s Republic of China – hereinafter referred to as “the Parties” – have the desire to promote the goodwill and mutual understanding as well as favorable cooperation between the two provinces. Recognizing the importance of the principles of equality and mutual benefits, the two parties, hereby, declare their intention to confirm the agreement on a bilateral cooperation as a basis of further development, in accordance with their prevailing laws and regulations, in the following fields: 1. To promote the fellowship between the two parties; to create a better

understanding as well as to encourage the friendly links between the governments of the provinces.

2. To encourage relationship among small and medium scaled enterprises and to have various kinds of economic cooperation and exchanges.

3. To explore the exchanges and cooperation in agriculture, information technology, culture, education health and other fields.

4. To develop real cooperation in an active way; exploring all possibilities of establishing sister province relationship between the two provinces on the basis of substantive cooperation.

The Provincial Government of North Sumatra assigns the North Sumatra Industry and Commerce Chamber and the Provincial Government of Guangdong assigns the Chairman of Guangdong People’s Friendship Association With Foreign Countries, as liaison officers, to be in charge of the promotion of a friendly relationship between the two provinces. The implementation of this cooperation shall be concluded in appropriate measures in the Memorandum of Understanding (MOUs) to be signed by both parties. Done in Medan, North Sumatra Province on December 11th, 1999 in three authentic copies each of which is in Bahasa Indonesia, Chinese and English.

DAN PEMERINTAH KOTA SEMARANG

PROPINSI JAWA TENGAH, REPUBLIK INDONESIA Kota Brisbane, Queensland, Australia dan Pemerintah Kota Semarang, Propinsi Jawa Tengah, memperbarui perjanjian atas Hubungan Kota Persaudaraan dengan Persetujuan antara Dewan Kota Praja Brisbane dan Pemerintah Kota Praja Semarang. Kedua kota akan bekerja bersama dengan semangat persahabatan dan kooperasi untuk mamejukan hubungan pariwisata dan hubungan ekonomi antara Indonesia dan Australia. Kedua kota akan bekerja untuk mengembangkan kesempatan di perusahaan yang timbal-balik dan investasi perdagangan, usaha bersama dan hubungan ekonomi antara kedua masyarakat. Kedua kota menyetujui eksplorasi kooperasi di berbagai bidang yang luas, khususnya, pertanian, pembangunan lingkungan hidup, pembangunan daerah kota, pengangkutan dan kepariwisataan, industri dan pertukangan, perdagangan dan investasi, pendidikan, ilmu pengetahuan dan teknologi, kesenian dan budaya. Kedua kota menyetujui pembangunan saling mengerti dan menyadari tentang berbagai olahraga di kota-kota kita yang berbeda. Pemerintah dari kedua kota akan memajukan pengertian yang lebih besar tentang masing-masing budaya dan memudahkan pertukaran kebudayaan. Ini adalah penegasan yang tersebut diatas, dokumen resmi ini akan ditandatangani oleh Lord Mayor Jim Soorley dan Walikota Bapak Sukawi Sutarip yang mulia, untuk menegaskan kembali Hubungan Kota Persaudaraan di Kota Brisbane pada tanggal hari Senin, 9 September 2002. SISTER CITY AGREEMENT BETWEEN

THE CITY OF BRISBANE, QUEENSLAND AUSTRALIA

AND THE GOVERNMENT OF SEMARANG CITY,

PROVINCE OF CENTRAL JAVA, REPUBLIC OF INDONESIA The City of Brisbane, Queensland, Australia and The Government of Semarang City, Province of Central Java, Republic of Indonesia, hereby renew their commitment to the Sister Cities Relationship with the approval of the Brisbane City Council and The Government of Semarang City. Both cities will work together in a spirit of friendship and cooperation to promote closer economic and tourism relationship between Indonesia and Australia. Both cities will work to create opportunities in reciprocal business and trade investment, joint ventures and economic ties between the two communities. The Governments of both cities agree to continue staff exchange programs. Precise details of the exchange to be confirmed by both parties in letters of exchange. Both cities agree to explore cooperation, in a while range of diverse fields, specifically in the areas of agriculture, urban and environmental development, transportation and tourism, industry and handicrafts, trade and investment, education, science and technology, art and culture. Both cities agree to encourage understanding and awareness of our cities and nations different sports. The Government of both cities will encourage a greater understanding of each others respective cultures and facilitate cultural exchanges. It is for the confirmation of the above that both Lord Mayor Jim Soorley and His Excellency Mayor Sukawi Sutarip hereby affix their signatures to re-confirm the Sister Cities Relationship at Brisbane City on Monday, 9th September 2002. MEMORANDUM OF UNDERSTANDING BETWEEN

THE MUNICIPAL GOVERNMENT OF MEDAN, THE PROVINCE OF NORTH SUMATERA,

THE REPUBLIC OF INDONESIA AND

THE GOVERNMENT OF METROPOLITAN CITY OF CHENGDU THE PEOPLE'S REPUBLIC OF CHINA

CONCERNING SISTER CITY COOPERATION The Municipal Government of Medan, the Province of North Sumatera, the Republic of Indonesia and the Government of Metropolitan City of Chengdu, The People's Republic of China, hereinafter referred to as the "Parties"; Desiring to promote favorable relations of partnership and cooperation between the people's of the two Parties; Recognizing the importance of the principles of equality and mutual benefit; Referring to the Letter of Intent signed between The Municipal Government of Medan, Province of North Sumatera, The Republic of Indonesia and the Government of Metropolitan City of Chengdu, The People's Republic of China in Chengdu on September 14th, 2001; and Pursuant to the prevailing laws, regulations and administrative procedure in the respective countries; Have agreed as follows :

ARTICLE 1 OBJECTIVE AND SCOPE OF COOPERATION

The Parties shall establish Sister City Cooperation to promote and expand an effective and mutually beneficial cooperation in the development of both cities, in the following fields : 1) Economy and Trade; 2) Culture and Tourism; 3) Education; 4) Science and Technology; 5) Financing; 6) Other fields agreed upon by the Parties.

ARTICLE 2 FUNDING

The activities pursuant to this Memorandum of Understanding, as subject to availability of fund and personal of the Parties, and other available resources which are agreed by the Parties.

ARTICLE 3 TECHNICAL ARRANGEMENTS

The implementation of the cooperation sets forth in articles I of this Memorandum of Understanding shall be carried out through special arrangement to be concluded by the Parties.

ARTICLE 4 WORKING GROUP

1) The Parties shall establish a joint Working Group for activities within the terms of

this Memorandum of Understanding, which will take care of activities and evaluate the progress of cooperation and the need for further elaboration or negotiation;

2) The Joint Working Group shall prepare and recommend short and medium term

of activities; 3) The joint Working Group shall meet annually, alternately in Medan or Chengdu,

otherwise, in certain circumstances where the meeting could not be held, documents shall be exchanged in lieu of such meeting.

ARTICLE 5

SETTLEMENT OF DIFFERENCES Any differences arising out of the interpretation or implementation of this Memorandum of Understanding shall be settled amicably through consultation or negotiation between the Parties.

ARTICLE 6 AMENDMENT

The Memorandum of Understanding can be amended or revised. Either Party may request in writing a revision or amendment. Any amendment or revision agreed to by the Parties shall form an integral part of this Memorandum of Understanding. Such revision or amendment shall come into effect on such a date as may be determined by the Parties.

ARTICLE 7 ENTRY INTO FORCE, DURATION AND TERMINATION

(1) This Memorandum of Understanding shall enter into force on the date of its

signing; (2) This Memorandum of Understanding shall be in force for a period of 5 (five)

years, and may be extended by mutual concern of the Parties; (3) Should this Memorandum of Understanding be terminated, the arrangements or

activities made under this Memorandum of Understanding shall remain in force until the completion of such arrangements or activities.

IN WITNESS WHEREOF, the undersigned, being duly authorized thereto by their respective Governments, have signed this Memorandum of Understanding.

DONE in duplicate in Medan, Indonesia on the day of seventeen December, in the year two thousand and two in the Indonesian, Chinese, and English languages, all texts being equally authentic. In case of any divergences on the interpretation of this Memorandum of Understanding, the English text shall prevail.

MEMORANDUM OF UNDERSTANDING BETWEEN

THE STATE OF QUEENSLAND, AUSTRALIA AND

THE PROVINCIAL GOVERNMENT OF CENTRAL JAVA, REPUBLIC OF INDONESIA REGARDING

A SISTER STATE CO-OPERATION The State of Queensland, Australia, and the Provincial Government of Central Java, Republic of Indonesia, hereinafter referred to as the parties, Desiring to promote favourable relations of partnership and co-operation between the peoples of the State and the Province, and Recognizing the importance of the principles of equality and mutual benefit, Have agreed as follows :

ARTICLE 1 The Parties shall establish a Sister Province Co-operation to promote and expand an effevtive and mutually beneficial co-operation in the development of both State and Province within the limits of their financial, material and personnel capabilities and in conformity with the prevailing laws and regulations in their respective countries.

ARTICLE 2 The co-operation under the terms of this Memorandum of Understanding shall cover: (1) Agriculture; (2) Urban and Rural Development; (3) Transportation and Tourism; (4) Industry; (5) Trade and Invesment; (6) Education, Science and Technology; and (7) Other fields that will be mutually agreed upon by the Parties.

ARTICLE 3 (a) To implement the co-operation as stated in Article 2. the Parties shall formulate a

Technical Arrangement, which will constitute an integral part of this Memorandum of Understanding and shall be evaluated every two years.

(b) In the implementation of the Technical Arrangement as stated in Paragraph (a) of

this Article, as and when necessary, the Parties may at any time hold consultations.

ARTICLE 4 Any dispute arising out of the interpretation or implementation of this Memorandum of Understanding shall be settled amicably by consultation or negotiation between the Parties.

ARTICLE 5 This Memorandum of Understanding may be modified by mutual consent between the Parties, which modification will be in writing.

ARTICLE 6 (a) This Memorandum of Understanding will come into force on the date of its signing

and will be in force for a period of 5 (five) years consecutively, unless either Party wishes to terminate such Memorandum, in which case the terminating Party shall give six months’ advance notice in writing.

(b) Should this Memorandum of Understanding be terminated, the arrangement shall

remain in force until such time as the implementation of the programs of co-operation has been carried out to its completion.

ARTICLE 7

The designated organizations who will co-ordinate the activities within this co-operation are: In Central Java : Secretariat of the Provincial Government of Central Java. In Queensland : The Department of the Premier, Economic and Trade

Development (Trade and Invesment Development Division) IN WITNESS HEREOF the undersigned, being duly authorized thereof by their respective Governments, have signed this Memorandum of Understanding; Signed in Brisbane, Queensland on the 23rd day of September in the year 1991, in four original copies, two of each in the Indonesian and English Languages, both texts being of equal authenticity.
