CONSTITUTION

OF THE

CINCINNATI SOCIETY OF NATURAL HISTORY.

ARTICLE I. .

The society shall be called the Cincinnati Society of NaturalHistory.

ARTICLE II.

It shall consist of resident members, corresponding and honorarymembers, and patrons.

ARTICLE III.

ARTICLE IV.

Resident members only shall be entitled to vote, to hold office, or totransact business. Corresponding and honorary members and patronsmay attend the meetings and take part in the scientific discussions ofthe society.

The officers of the society shall be a president, two vice-presidents,a corresponding secretary, a recording secretary, a treasurer, a libra-rian, a custodian, and curators, who together shall form a board for themanagement of the concerns of the society, and be called the council.

ARTICLE VI.

Officers shall be chosen by ballot, and a majority of votes shall besufficient for a choice.

ARTICLE VII.

By-laws for the more particular regulation of the society shall fromtime to time be made.

ARTICLE VIII.

The constitution may be altered or amended in any of the preceding

articles by a vote to that effect of three fourths of the members pres-ent at any two consecutive meetings of the society, the membershaving been first duly notified of any proposed alteration, but the arti-cle which immediately follows this shall be unalterable.

ARTICLE IX.

The consent of every member shall be necessary to a dissolution ofthe society. In case of a. dissolution the property of the society shallnot be distributed among the members of the society, but donors mayclaim and receive such donations as they have made to the museum,and the remainder shall be given to some public institution, on suchconditions as may then be agreed on, and the faithful performance ofsuch conditions shall be secured by bonds with sufficient penalties forthe non-fulfillment thereof. /

ARTICLE I.—OF MEMBERS.

SECTION 1. Any person of respectable character and attainmentsresiding in the city of Cincinnati, or its immediate neighborhood, shallbe eligible as a resident member of the society. Elections shall beheld at the regular meetings of the society. Nominations must bemade in writing, by three members, at least one month previous to thetime of elections. Such nominations shall be made to a committee,consisting of the president, recording secretary and treasurer, whoshall report upon the same before balloting. Every person electedshall, within six months from the date of his election, pay into thetreasury an initiation fee of five dollars, and subscribe an obligationpromising to conform to the constitution and by-laws of the society ;and, until these conditions are fulfilled, he shall possess none of therights of membership, nor shall his name be borne upon the roll ofmembers.

SEC. 2. Corresponding members shall consist of persons residing ata distance from the city who may be interested in the study of naturalhistory, or desirous of promoting the interests of the society. Hon-orary members may be selected from persons eminent for their attain-ments in science, on whom the society may wish to confer a compli-ment of respect, • Neither shall be required to pay an initiation fee orcontribution.

SEC. 3. Persons who have been unsuccessful candidates for admis-sion shall not be again proposed as members until after one year.

SEC. 4. Any member may withdraw from the society by givingwritten notice of his intention, and paying all arrearages due from him.Any member who shall neglect to pay his dues during the year forwhich the same are payable, upon being notified by the treasurer at theend of the year, and not paying within one month thereafter, shallforfeit membership.

SEC. 5. Members may be expelled from the society by a vote ofthree fourths of the members present at a stated meeting, by a noticegiven at least one month previous.

ARTICLE II.—OP OFFICERS AND THEIR DUTIES.

SECTION 1. The president shall preside at meetings of the societyand of the council, shall preserve order, regulate debates, and conductall business proceedings.

SEC. 2. The vice-presidents shall perform the duties of presidentin his absence, in the order of seniority in office.

SEC. 3. The corresponding secretary shall conduct the correspond-ence of the society and shall keep a record thereof, shall keep thecommon seal, acknowledge all donations, notify corresponding membersof their election, and receive and read to the society all communica-tions which may be addressed to him.

SEC. 4. The recording secretary shall take and preserve correctminutes of the proceedings of the society and council, in books to bekept for that purpose, shall have the charge of all records belongingto the society, shall notify resident members of their election, andcommittees of their appointment, shall call special meetings whendirected by the president, and shall notify resident members of allmeetings, and officers of all matters which shall occur at any meetingrequiring their action.

SEC. 5. The treasurer shall have charge of all money and otherproperty of the society, excepting the museum and its contents, andexcepting also such property as may be placed by the council in thehands of trustees, shall collect all fees and assessments, and receive alldonations in money which may be made to it, shall pay all accountsagainst the society when the same shall be approved by a vote of thecouncil, shall keep a correct account of all receipts and expenditures,in books belonging to the society, and shall at each. annual meeting,and at other times when required by the council, make a detailedreport of the same.

SEC. 6. The librarian shall have charge of the books belonging tothe society, or deposited for its use, and of the publications of thesociety; he shall observe and enforce such regulations as the councilshall from time to time make for the use of the books.

SEC. 7. The custodian shall be a person of acknowledged scientificattainments; he shall have general charge of the building and itscontents, shall have free access to all the collections at all times, andshall act in concert with the curators, to whom he shall bear the relationof adviser and assistant; in case of the absence or neglect of curators,he shall act in their stead, and perform their duties ; he shall prepareand read at the annual meeting a report of the state of the museum,compiled from the special report made to him by the curators; heshall keep a book to be called the donation book, in which shallbe recorded, under their respective departments, all donations to themuseum, with the date and name of donor; and he shall performsuch other duties as may be prescribed by the council, and mutuallyassented to.

SEC. 8. The curators shall be intrusted with the care of themuseum. They shall, as soon as possible, after a donation is made, orsjoecimens received, deposit them in their respective cabinets ; eachcurator shall have his particular department allotted to him at thetime of his election, shall arrange the specimens in that departmentaccording to some system approved by the custodian, and, so far aspracticable, label them with the names they bear in such system ; heshall, also, as far as is practicable, keep a correct catalogue of articlesin his care, and shall be authorized to select duplicate specimens fromthe cabinet, and, with the assent of the custodian, effect exchange there-with; each curator shall make a written report to the custodian amonth previous to the annual meeting, concerning the collection underhis charge, the additions made during the year, and the importantdeficiencies which exist.

SEC. 9. The council shall control all expenditures of money, makerules for the use of the library and museum, and special rules for thedirection of the librarian and custodian, and shall elect annually acommittee of five members, to be called the publishing committee;the council shall have full power to act for the interests of the societyin any way not inconsistent with the constitution and by-laws.

SEC. 10. The council shall annually appoint three trustees, one ofwhom shall be treasurer ez-officio, to whose charge shall be intrusted allthe funded property of the society, with power to sell and re-investaccording to their judgment.

ARTICLE III.—OF ASSESSMENTS.

SECTION 1. Every resident member shall be subject to an annualassessment of five dollars, payable on the first Tuesday of April ineach year, but no assessment shall be required of any member duringthe six months succeeding his election.

SEC. 2. The president and treasurer shall be empowered to exempt{sub silentio) a member from assessment, when, from peculiar circum-stances, they may deem it for the interest of the society so to do.

ARTICLE IV.—OF THE LIBRARY. .

SECTION 1. Members and patrons of the society only shall haveaccess to or take books from the library, but the council may, byspecial vote, extend the use of books to others than members, specifyingthe conditions under which they may be taken.

SEC. 2. The rules and regulations of the council, for the use ofthe library, shall be printed and exposed in the library rooms, and adigest of them affixed to the volumes themselves.

ARTICLE V.—OF THE MUSEUM.

SECTION 1. Members of all classes, and the public generally, shallhave access to the museum, at such times as the council shalldetermine.

SEC. 2. No specimens shall be removed from the museum, withoutthe leave of the custodian and the curator of the department toAvhich they belong, who shall take a receipt for the same, and beresponsible for their restoration in good order.

ARTICLE VI.—OF COMMITTEES.

SECTION. 1. The committee on publications shall, from time to time,• cause to be published, and superintend the publication of such papersread to the society, and such portions of the records of the proceedings,as may seem to them calculated to promote the interests of science, sofar as the funds appropriated by the council shall permit, it beingunderstood that the committee shall not be held responsible for anyopinion expressed in said publications. The said committee shall alsohave authority to effect exchanges for other scientific publications.

SEC. 2. The council shall, previous to every annual meeting,appoint a committee whose duty it shall be to audit the accounts ofreceipts and expenditures of the corporation.

ARTICLE VII.—OF LECTURES.

SECTION 1. Public lectures, when adjudged expedient by thecouncil, may be given under the auspices of the society.

ARTICLE VIII.—OF MEETINGS.

SECTION 1. A meeting shall be held on the first Tuesday in April,annually, for the choice of officers and other general purposes ; at thismeeting an annual report, embodying the several reports of thecurators and librarian shall be read by the custodian, and a report

on the state of the funds by the treasurer, who shall also present anestimate of the necessary expenses of the ensuing year.

SEC. 2. Regular meetings of the society shall be held on the firstTuesday evening of every month, unless when suspended by a vote ofthe society.

SEC. 3. Nine members shall form a quorum for business.SEC. 4. The order of proceeding at meetings shall be as follows :

1. Record of the preceding meeting read.2. Candidates for membership proposed.3. Balloting for members.4. Written communications read.5. Verbal communications made.6. Business called up by special resolution or otherwise.7. Donations announced.8. Adjournment.

ARTICLE IX.-—CHANGE OF BY-LAWS.

SECTION 1. The by-laws of the society may be altered or amendedby a majority vote of the members present at any meeting, providedthat the members of the society shall have been duly notified onemonth previous of an intended change.
