CONSTITUTION AND BY-LAWS OF THE AMERICAN ASSOCIATION OF TEACHERS OF GERMAN

I. NAME

The name of this Association shall be the American Association of Teachers of German.

II. PURPOSE

The object of this Association shall be to promote and improve the teaching of German, to publish a journal in the interests of the teaching and of the teachers and students of German, and to encourage the spirit of cooperation and good-fellowship among its members.

III. MEMBERSHIP

*1. Any teacher of German or anyone interested in the teaching of German may become a member of the Association on the pay- ment of the annual dues as defined by the by-laws and may con- tinue a member by the payment of the annual dues each year.

2. The annual dues, which shall include subscription to the official organ of the Association, shall be payable in January and no member in default shall be qualified to exercise any privilege of membership.

*3. Honorary members may be elected to the Association. *4. Local chapters may grant associate memberships to teachers

who teach no more than two full courses of German. The amount to be paid annually as dues by such associate members is defined in the by-laws. Associate members are entitled to vote in the local and national meetings and elections but shall not receive the GERMAN QUARTERLY.

IV. OFFICERS

1. The officers of the Association shall be a President, three Vice- Presidents, and a Secretary.

t2. These officers shall be elected by ballot at the regular annual meeting on the basis of nominations made by a nominating com- mittee. The President and the Vice-Presidents shall be elected for one year; the Secretary for three years.

t3. In making up the ballot, due consideration shall be given, so far as possible, to the representation of the several regions, to the representation of teachers from the several schools and colleges, and to the representation of the women members of the Association.

V. OFFICIAL PUBLICATION OF THE ASSOCIATION

1. The official publication of the Association shall be known as the GERMAN QUARTERLY.

*2. The editorial staff of the GERMAN QUARTERLY shall consist of a Managing Editor, eight Associate Editors, and a Business Manager. The Business Manager shall be appointed by the Execu- tive Council for such terms as the Committee shall determine. The Managing Editor shall be appointed by the Executive Committee for a term of three years and the Associate Editors shall be appointed by the Managing Editor for terms of three years.

VI. ADMINISTRATION *1. The administration of the Association shall be in the hands

of an Executive Council, consisting of the President, the Vice- Presidents, the Secretary, the Managing Editor of the GERMAN

QUARTERLY, the Business Manager of the GERMAN QUARTERLY and six other members, of whom two shall be elected by ballot at each annual meeting of the Association for the term of three years in the manner prescribed in the by-laws. The outgoing President of the Association shall be a member of the Executive Committee for two years succeeding his term of office.

2. The Business Manager of the GERMAN QUARTERLY shall also be the Treasurer of the Association.

*3. The Executive Council, of which the President of the Asso- ciation shall be chairman, shall administer the affairs of the Asso- ciation and shall take such actions as may be necessary to carry out its purpose and promote its interests. It shall make a report of its activities at each annual meeting.

VII. MEETINaS The Association shall hold an annual meeting in connection with

the annual meeting of the Modern Language Association, or at such time and place as the Executive Council may select, and the mem- bers shall constitute a quorum.

VIII. BY-LAWS

By-Laws may be adopted at any annual meeting of the Associa- tion by a majority vote of the members present or voting, provided they are previously published in the GERMAN QUARTERLY at least two months prior to the time at which final action is to be taken.

IX. CHANGE OF CONSTITUTION

*The Constitution may be amended by a two-thirds vote at any annual meeting. Such amendment or amendments may be proposed by the Executive Council or by written notice sent to the Executive Council by at least ten members of the Association six months in advance of the annual meeting at which action is to be taken. The Secretary shall publish in the GERMAN QUARTERLY such proposed amendment or amendments at least one month prior to the time at which final action is to be taken and the report of the Executive Council thereon.

BY-LAWS

*1. NOMINATION FOR OFFICE.-At each annual meeting the President shall appoint a committee of five, not officers of the Asso- ciation, to present nominations for candidates to fill the offices which will become vacant in the course of the year. There shall be one nomination for President, one for Secretary, and two nominations for each of the other offices to be filled at the next annual meeting. These nominations shall be published in the GERMAN QUARTERLY in the form of a ballot at least one month before the date of election. Blank spaces shall be provided for each office under the names of the candidates nominated by the Committee, upon which additional names may be entered. Active members of the Association who do not attend the annual meeting at which the election takes place may mail the Secretary these ballots, which, when properly executed, shall be counted with those cast at the meeting.

*2. MEETINGS OF THE EXECUTIVE COUNCIL.-There shall be a regular meeting of the Executive Council held in connection with the annual meeting of the Association. Special meetings may be held at the request of the President or three members of the Execu- tive Council.

*3. DuEs.-The annual dues of regular members shall be $2.50, which amount includes subscription to the GERMAN QUARTERLY.

Associate members shall at least pay 75 cents per annum, of which 25 cents shall be forwarded to the Treasurer of the Association.

4. LOCAL CHAPTERsT.-Local chapters of the Association may be organized by ten or more members of the Association in good standing, provided that the constitution of any such chapter shall not be inconsistent with the purpose of the National Association and shall have been approved by the Executive Council of the general organization.

Whenever a local chapter is organized it shall have the right to withhold fifty cents of the $2.50 collected from its members for the sole use of the chapter, but the remaining $2.00 shall be sent to the Treasurer of the Association.

5. PAYMENT OF OFFICERS.-All officers of the Association shall serve without pay except the Business Manager of the GERMAN QUARTERLY, who shall be compensated for his work as the Executive Council shall decide. But necessary expenditures incurred by its officers may be authorized by the Executive Council, subject to audit at the annual meeting.

6. OFFICIAL NOTICES.-All official notices of the Association shall be furnished by the Secretary simultaneously to the editors of both the GERMAN QUARTERLY and the Monatshefte fiir Deutschen Unterricht.
