EXECUTIVE SUMMARY

Systel is pleased to provide the BJ’s Wholesale Club, Inc., a response to “Request for Proposal (RFP): Information Technology Contractors,”

Systel understands that the BJ’s Wholesale Club, Inc. is seeking vendors to gather information from firms providing IT contractors to evaluate and select a set of preferred partners. We understand that the BJ’s Wholesale Club, Inc. intends to select firm(s) that shall provide support for the IT Professional Services, augmenting the efforts of the State team. The firm(s) shall supply IT Professionals with experience in various skill set and technologies. In response to the requirements of this RFP, Systel shall be interested in providing the Agency with resources for the above mentioned categories.

Systel feels that it is capable and has all the qualifications needed to provide IT Professional Services to the BJ’s Wholesale Club, Inc. Our Professional IT Consultants includes but not limited to Project Management, Business Analysts, Developers, Technical Writer, Enterprise Data Architect and DBA. Systel staffs functional application specialists who can assist with the design and configuration of application functionality and technical specialists who can assist with customizations, building interfaces to other systems and technical troubleshooting. We also staff DBA’s who can perform a full range of technical services including performance tuning, database administration, web and application server administration, installations and operating system configuration.

Systel have performed similar tasks as requested under the scope of this RFP including but not limited to, temporary staffing of IT Professionals with experience in various skill set and technologies.

Systel’s consultants on average have about 7-10 years of overall industry experience, with at least 3-5 years of hands on experience working on various technologies with private and government agencies. Not only are our resources at Systel technically qualified and much superior to resources available in the market today but also our costs are significantly lower than the average provider of similar services.

Systel has been a world-class provider of IT consulting services to major companies throughout the world. Systel's clients are blue chip companies and also value its relationship with clients, and strive to build long-term relationships.

SYSTEL’S WORK PLAN

Systel’s work plan, objectives are to support the BJ’s Wholesale Club, Inc. which would be in the interest of the company and would ensure good Return of Investment. In the recent past we have had strategic consultant work with various institutions, financial / investment banks to provide resources and direction in various projects including development and support. Systel intends to provide similar quality resources which would enable them to implement and support on-going changes and to achieve successful completion of the project in accordance with the scope of work.

SYSTEL’S PROGRAM PLAN AND MANAGEMENT APPROACH

Systel approach for the current needs of the Agency shall involve working with the Agency remotely from its offices in Atlanta, Georgia and out of its support center in Hyderabad, India. To ensure consistency in quality and continuous partnership with our Clients, such as the Agency, Systel shall assign an Account Manager to work exclusively with the account as a front-end interface to requirements and requirement fulfillment. Before being assigned to a particular Client, Systel ensures that there is an appropriate fit between the Client and the employment Candidate. In connection with the consideration of a possible transaction between the undersigned BJ’s Wholesale Club, Inc. (“BJ’s”) and _Systel Inc of Delaware_____ (the “Company”), BJ’s may provide certain confidential, proprietary and trade secret information relating to BJ’s business to the Company. Any such information (“Confidential Information”), whether furnished before, on or after the date of this Agreement and disclosed in any form (e.g., verbally, in writing, or in graphic or machine readable format), including without limitation, information and data concerning BJ’s business, operations, finances, customers, assets and liabilities shall be deemed confidential and covered by this Agreement. Confidential Information shall be deemed to include any notes, analysis, compilations, studies, memoranda or other documents prepared by the Company or its Representatives (as defined below) based on, containing or otherwise reflecting the Confidential Information. As a condition to BJ’s providing the Confidential Information, the Company, intending to be legally bound, agrees on behalf of itself and its Representatives to treat such Confidential Information in accordance with the provisions of this Agreement.

Confidential Information shall not include information that (i) becomes generally available to the public

other than as a result of a disclosure by the Company, (ii) the Company can establish by competent proof was available to the Company on a non-confidential basis prior to its disclosure to the Company by BJ’s, (iii) becomes available to the Company on a non-confidential basis from a source other than BJ’s provided that such source is not bound by a confidentiality agreement with BJ’s, or (iv) was developed by employees or agents of the Company independently of and without reference to such Confidential Information.

Except as otherwise stated herein, the Company agrees that the Confidential Information will be used by the Company only for the purpose of considering the transaction referred to in the first sentence of this Agreement and for no other purpose. The Company agrees that the Confidential Information will be kept confidential and shall not be disclosed to any third party; provided however, that the Confidential Information may be disclosed to directors, officers, employees, legal and financial advisors and consultants of the Company (collectively, the “Representatives”) to the extent such individuals need to know such information for the purpose of evaluating a possible transaction between the Company and BJ’s and provided that such Representatives are informed by the Company of the confidential nature of the Confidential Information and are directed to treat such Confidential Information in accordance with the provisions of this Agreement.

The Company and its Representatives shall protect the Confidential Information by using at least the same degree of care as is used by the Company to protect its own confidential information, but no less than a reasonable degree of care, to prevent the unauthorized use, dissemination, or publication of the Confidential Information. Notwithstanding the foregoing, the Company may disclose Confidential Information to the extent it is required to do so by law, regulation or court order provided that the Company provides BJ’s with prompt written notice of any such legal requirement or any efforts to compel disclosure so as to permit BJ’s a reasonable opportunity to seek a protective order or other similar remedy. In such case, the Company agrees to reasonably cooperate with BJ’s lawful attempts to prevent disclosure and/or to obtain a protective order or similar remedy.

The Company agrees to take reasonable measures to restrain its Representatives from unauthorized disclosure or use of the Confidential Information, which shall include, without limitation, immediate notice to BJ’s of any breach of the confidentiality obligations herein and cooperation with BJ’s in limiting further use or dissemination of the Confidential Information.

Without the prior written consent of BJ’s, the Company will not disclose to any person either the fact that discussions or negotiations are taking place concerning a possible transaction between the Company and BJ’s or any of the terms, conditions or other facts with respect to any such possible transaction, including the status thereof. The term "person" as used in this Agreement shall be broadly interpreted to include without limitation any corporation, company, partnership and individual.

Upon the earlier of BJ’s request or twelve (12) months after the Company has been provided with the Confidential Information, the Company agrees to return or, with BJ’s written consent, destroy all Confidential Information received from BJ’s and, except as required by law or judicial or investigative process, shall not retain any copies or extracts of the returned or destroyed Confidential Information. Notwithstanding the return or destruction of the Confidential Information, the Company and its Representatives shall continue to be bound by their obligations of confidentiality and other obligations hereunder.

Although the Company understands that BJ’s has endeavored to include in the Confidential Information,

information known to it which it believes to be relevant for the purpose of the Company’s consideration, the Company further understands that BJ’s does not make any representation or warranty as to the accuracy or completeness of the Confidential Information. The Company agrees that neither BJ’s nor its Representatives shall have any liability to the Company resulting from the use of the Confidential Information by the Company.

Each party understands and agrees that unless and until a definitive agreement between the parties with respect to any transaction has been executed and delivered, neither party shall be under a legal obligation of any kind whatsoever with respect to such a transaction by virtue of this Agreement or any written or oral expression with respect to such a transaction, except for the matters specifically referred to herein. Each party reserves the right, in its sole and absolute discretion, to reject any and all proposals and to terminate discussions with, or involving, the other party at any time.

The Company agrees that monetary damages would not be a sufficient remedy for breach of the terms of this Agreement and that BJ’s shall be entitled to equitable relief, including injunction and specific performance, in the event of any breach or threatened breach of the provisions of this Agreement, in addition to all other remedies available at law or in equity.

This Agreement and the obligations imposed hereunder shall continue for so long as the Confidential Information provided hereunder continues to constitute Confidential Information as defined herein.

All additions or modifications to this Agreement must be made in writing and must be signed by both parties. This Agreement shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, excluding choice of law provisions, and the parties hereby consent to the jurisdiction of the courts located in the Commonwealth of Massachusetts for the purposes of any disputes arising out of or related to this Agreement. No failure or delay by BJ’s in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder.

Any notice required or permitted hereunder shall be in writing and shall be delivered or mailed by United States Postal Service, postage prepaid, registered or certified mail, return receipt requested or by recognized overnight courier to the address of the party as specified herein, or as subsequently specified by said party by written notice to other:

This Agreement constitutes the entire agreement between the Company and BJ’s with respect to the

subject matter hereof, and supersedes all previous agreements, promises, proposals, representations, understandings and negotiations, whether written or oral, between the parties respecting the subject matter hereof. No modification, amendment, supplement to or waiver of this Agreement or any of its provisions shall be binding upon the parties hereto unless made in writing and duly signed by both parties.
