Due to inclement weather, the regularly scheduled Board Meeting on January 18, 2018, was

rescheduled for Thursday, January 25, 2018. The Cobb County Board of Education met at 514 Glover

Street on Thursday, January 25, 2018, at 1:00 p.m. with the following members present: Messrs. Banks,

Chastain, Morgan, Scamihorn, Sweeney, Wheeler, Mrs. Thayer and Chris Ragsdale, Executive

Secretary.

Annual Disclosure of Board Member Compliance – Mr. Wheeler

o All Board Members confirmed their compliance with Policy BH (Board Code of Ethics)

WellStar Birth-5 Initiative Update – Mr. Morgan

o Ms. Jennifer Lawson, Interim Chief Academic Officer, reported to the Board last year’s

progress of the Birth-5 Initiative partnership between the Cobb County School District

and WellStar Health System.

SUPERINTENDENT’S REPORT

Annual School District Independent Financial Audit (June 30, 2017)

o Mr. Brad Johnson, Chief Financial Officer and Mr. Adam Fraley, Mauldin & Jenkins

Certified Public Accountants, LLC presented highlights of the Annual Independent

Financial Audit Report and Comprehensive Annual Financial Report (CAFR). Mr.

Fraley stated that the audit was clean with no compliance or financial findings.

Professional Learning Center (PLC) and Oakwood Updates

o Ms. Alice Stouder, Deputy Superintendent of Leadership & Accountability, Dr. Phillip

Page and Mr. Ed Wagner, High School Level Assistant Superintendents, and Dr. Ehsan

Kattoula, Assistant Superintendent of Accountability and Research presented to the

Board new design changes that are forthcoming for the Academic Alternative Academy

that will open in the Fall of 2018. The District will combine the current PLC and

Oakwood Digital Academy into Oakwood High School offering a unique, personalized

learning experience with a focus on helping students graduate who are currently two or

more years behind.

Superintendent Ragsdale made the following announcement to the community regarding the

recent inclement weather days:

“The Cobb County School District will not be adding days to the school year, extending

school days by adding minutes to the day, or taking any days away from upcoming breaks. We have

great teachers and leaders in our District, and I have full confidence in their ability to meet the

academic needs of our students.”

APPROVAL OF AGENDA Without objection, the Board approved the agenda as presented

RECESS TO EXECUTIVE SESSION A motion was made by Mrs. Thayer, seconded by Mr. Sweeney, and unanimously approved by the

Board to recess at 3:23 p.m. and reconvene in Executive Session at 5:30 p.m. for land, legal, and

personnel matters. Motion carried 7-0.

TOPIC:

AGENDA ITEM #1 – Recommendation for Approval of School Properties Disposal per District

Administrative Rule DO-R

BACKGROUND/RATIONALE:

Through normal operations, the district generates surplus property and equipment due to damage and

obsolescence on a regular basis. Items that are no longer needed by a school or department but are still in

good condition and re-usable are made available to other schools and departments at no charge. Items that

are no longer usable in the District are declared surplus. State Law requires School Board approval for

District Property to be designated as surplus under §20-2-520 of the Georgia Code of Laws. The need

to dispose of these items in an efficient, cost effective and expeditious manner is imperative to the district.

Items are currently stored in the District warehouse that have been deemed surplus. A complete list of

current surplus items is on file in the Superintendent’s office or on the District’s website under Meeting

Agenda Items. All items listed are no longer of use by the District.

Methods available to dispose of surplus items include:

Public auction

Sealed bid or private sale

The State of Georgia Department of Administrative Services on-line and public auction services

Sale to other public school districts at costs equal to previous auction results

On line auctions

Negotiated contracts

Upon Board approval of the attached lists, the Business Services Division will dispose of this surplus in a

manner that is the most cost effective and efficient for the district as outlined in Administrative Rule DO-

R. Acceptable methods of disposal will be continually reviewed to maximize our return on investment.

SUPERINTENDENT'S RECOMMENDATION:

Approve the recommendation for authorization of School Properties Disposal as detailed in the lists on file

in the Superintendent’s office.

COST: The District will receive revenue for the disposal of these items. The revenues received will assist in

deferring labor costs for management of the disposal process

BACKGROUND/RATIONALE: In response to the re-structuring of the Board’s meeting schedule, the need for conforming changes and

updates to various ‘B’ policies has occurred. Additional updates have also been recommended regarding

other aspects of board meetings. As part of the district’s professional learning communities, district

leadership has reviewed Policy AC with regard to the district’s core values, beliefs, mission, and vision. As

a result, the labeling of our mission and vision has been updated as well as the language of Cobb’s vision

for student success.

The members of the Cobb County Board of Education (Board), at a special meeting typically held 1 on Tuesday of scheduled during the first week prior to the of January work session following 2 Winter Break, shall elect new Board officers and set the meeting schedule for the following 3 twelve months (February through the following January). 4 5 The officers of the Board shall be a Chair and a Vice-Chair, elected by a majority of the 6 membership of the Board in attendance at the meeting when the vote is taken. The 7 Superintendent shall serve as Executive Secretary of the Board, ex officio. 8 9 Every member of the Board is eligible to be elected Chair except the outgoing Chair. The Chair 10 and Vice-Chair shall be elected for a term of one year. No Chair shall serve two consecutive 11 years. Every member shall be considered eligible to be elected as Vice-Chair. The Vice-Chair shall 12 not necessarily advance to Chair. 13 14 An election shall be conducted by the outgoing Chair. A. AGENDA: 1 A proposed agenda for the meetings of the Cobb County Board of Education (Board) will be 2 prepared by the Superintendent with input and approval of the Board Chair and will be 3 delivered via email to the Board at least four business days prior to its agenda work session. 4 In addition, the agenda will be placed at the School District Central Office for pick up by Board 5 members. Items may be placed on the work session agenda by the Superintendent, the Board 6 Chair, and any Board member with approval of the Chair, or through a request by any two 7 four Board members. To submit a work session agenda item, a Board member should first 8 make reasonable efforts to contact the Chair or Superintendent orally, after which the Board 9 member submitting the agenda item shall confirm the request via email to the Chair and 10 Superintendent, with a copy to all Board members. Every agenda should contain an item for 11 discussing district progress toward strategic plan goals and objectives. 12 13 The work session agenda shall be closed to Board members five three business days 14 preceding the agenda work session chairman agenda prep unless the addition of a late item 15 is approved by the Chair or three Board members. Any items which are changed or added 16 within four two business days before the agenda work session chairman agenda prep will 17 be accompanied by an explanation for the change or addition. A final agenda shall be set by 18 the Board during its agenda work session. Prior to placement on the regular voting meeting 19 session agenda, a Board member initiated item must be approved for placement on the that 20 agenda by the Chair, or by the agreement of three Board members. 21 22 A consent agenda may be created for consideration of routine items not in need of further 23 discussion. The consent agenda may then be approved with one vote by the Board without 24 discussion at the next regularly scheduled voting meeting. 25 26 If any member objects to an item on the consent agenda, that item shall be removed from the 27 consent agenda and handled as a separate item. 28 29 New items shall not be placed on the agenda following the conclusion of the agenda work 30 session without the unanimous consent of the Board. 31

32 B. MEETINGS: 33

1. Regular Meetings: 34 Regularly scheduled meetings are typically held on the third Thursday of each 35 month. 36 a. 1. Agenda Work Sessions: 37 Agenda work sessions (work sessions) are typically held as a day meeting on the second 38 Wednesday of each month. Work session business includes, but is not limited to, setting 39 consent and discussion agenda items for the regularly scheduled voting meeting session, 40 discussing district business, and reviewing Administrative Rule changes. If action is 41 needed on an emergency or time-sensitive item, specific action may be taken. 42 b. Executive Session: 43

In accordance with State law, the Cobb County Board of Education shall conduct the 44 following matters in Executive Session: 45 (1) Personnel; 46 (2) Land/Real Estate; 47 (3) Litigation; 48 (4) Student Discipline; or 49 (5) Other matters allowed by law. 50

c. 2. Regularly Scheduled Voting Meetings Session: 51 Regularly scheduled Voting meetings sessions (evening meetings) are typically held 52 as an evening meeting on the fourth Thursday of each month. Evening meetings are 53 designed to allow the Board to conduct district business. 54

2. Called and Special Emergency Meetings: 55 a. A called meeting for any purpose or purposes may be convened by the Chair of the 56

Board or by Board members who constitute a majority of the total number of positions 57 on the Board as specified by Georgia law (i.e., four of seven). 58

b. Notice of a called meeting shall be delivered to each (i.e., all seven) Board member at 59 least twenty-four hours prior to the called meeting. Notice to Board members of called 60 meetings shall state clearly the place, date, hour and the purpose of such meeting. 61 Notice shall be considered properly served if: 62 (1) Delivered in person by the Chair, Executive Secretary, or their designee; 63 (2) Contact is made with the members by phone at the direction of the Chair or 64

Executive Secretary; or 65 (3) Written notice is sent (via first-class mail or e-mail) at least four days and not more 66

than eight days prior to the called meeting. 67 c. In the event of an emergency or when time is of an essence, a Special Meeting an 68

emergency meeting may be called by the Chair, and the members notified by 69 telephone not less than four hours prior to such meeting. 70

d. Where practicable, the requirements set forth in Section A of this policy 71 regarding agendas shall apply to called meetings; the agenda requirements 72 shall not apply to emergency meetings. 73

e. An executive session may be convened at any time as needed and in 74 accordance with law. 75

3. January Meeting: 76 a. A special meeting, typically scheduled on Tuesday of during the first week prior to the 77

of January work session following Winter Break, shall be held in order to elect new 78 Board officers and to set the meeting schedule for the following twelve months 79 (February through the following January). 80

b. Where practicable, the requirements set forth elsewhere in this policy 81 regarding agendas shall apply to the January meeting. 82

96 C. MINUTES OF MEETINGS: 97

The Executive Secretary shall keep and maintain complete written records (minutes) of all 98 meetings of the Cobb County Board of Education (Board). These minutes shall include: 99 1. A record of all actions taken by the Board, with the names of members casting affirmative 100

and negative votes and abstentions recorded except in cases of unanimous votes; 101

2. Resolutions and motions in full involving the names of members making and seconding 102 them; reports and documents relating to formal motion may be omitted if they are 103 referred to and identified by title and date; 104

3. A record of the disposition of all matters on which the Board considered, but did not take 105 action. 106 107 Copies of the minutes shall be made available to all Board members before the meeting at 108 which the minutes are to be approved. The minutes shall become permanent records of 109 the Board and shall be in the custody of the Executive Secretary. 110

111 D. RULES OF ORDER: 112

1. Parliamentary Procedure: 113 All meetings of the Cobb County Board of Education (Board) shall be conducted according 114 to parliamentary procedure as stated in Robert's Rules of Order Newly Revised, with the 115 exceptions set forth in these policies. Robert's Rules of Order Newly Revised shall govern 116 only matters pertaining to parliamentary procedure and any conflicts between Robert's 117 Rules of Order Newly Revised and state law or these policies shall be resolved in favor of 118 state law or these policies as the case may be. 119

2. Proxies: 120 There shall be no representation by proxy of any member of the Board at any meeting. 121

3. Quorum: 122 A majority of the total positions on the Board, as provided by Georgia law (i.e., four of 123 seven), shall be considered a quorum for the transaction of business. 124 125

E. VOTING: 126 1. Voting: Except as otherwise set forth in these policies, the affirmative vote of a majority 127

of the total number of positions on the Board rather than a majority of the members of the 128 Board present at a meeting, shall constitute the official action of the Board. 129

2. Abstentions: For all purposes of these policies, a member of the Board who abstains from 130 voting on a question before the Board shall be deemed to have voted in favor of the 131 majority of the votes cast. Thus, if votes cast in the affirmative outnumber votes cast in 132 the negative, an abstention will be deemed an affirmative vote. If votes cast in the 133 negative outnumber votes cast in the affirmative, an abstention will be deemed a negative 134 vote. 135

The votes of a majority of the members present shall be necessary for the 136 transaction of any business or discharge of any duties, provided that there is a 137 quorum present. 138

A. BOARD EXPECTATION 1 The Cobb County Board of Education (Board) will hear public commentary from any interested 2 resident of Cobb County outside the City of Marietta; Cobb County School District (District) 3 student or parent/guardian of a District student; non-resident owner of property within the 4 geographic boundaries of the District; and/or employee of the District pursuant to the 5 guidelines outlined in this Policy. Students under the age of 18 must be accompanied by the 6 student’s parent/guardian. 7 8

B. BOARD PRACTICE 9 1. Public Comment Session: The Board provides a 30 minute public comment session at 10

each Board work session and regular Board meeting to allow individuals, as identified in 11 Section A of this Policy, an opportunity to address the Board. This public comment session 12 shall be held: 13 a. Immediately following the Board Recognitions portion of the agenda; or 14 b. Prior to the beginning of the meeting when no recognitions are scheduled. 15

2. Procedures for Speaking During the Public Comment Session: 16 a. Before addressing the Board, individuals are urged to seek a solution to their concerns 17

through the proper staff and administrative channels. 18 b. Individuals desiring to appear before the Board must first complete a sign-in sheet 19

which should be available 30 minutes prior to the convening of the Board meeting or 20 the public presentation session, whichever occurs first. Speaker information must 21 contain: 22 (1) Name; 23 (2) Full physical address and no Post Office boxes. Cobb County property owners not 24

residing in Cobb County must provide both their Cobb County property address as 25 well as their mailing address; 26

(3) Telephone number; 27 (4) E-Mail address; 28 (5) Discussion topic and which, if any, Board agenda item is related to their topic; 29 (6) Whether they are a resident of Cobb County outside the City of Marietta; a District 30

student or parent/guardian of a District student; a non-resident owner of property 31 within the geographic boundaries of the District; and/or an employee of the 32 District; 33

(7) Whether or not they have materials to submit to the Board. 34 c. Speakers must present any materials brought for the Board, i.e., letters, photos, 35

petitions, written comments or other documentation, etc., to the District representative 36 at the sign-in table when signing-in. Speakers are asked to provide 10 copies of these 37 materials. The District representative shall provide a copy of these materials to each of 38 the following: 39 (1) Each Board Member; 40 (2) Superintendent; 41 (3) Board attorney; and 42 (4) The District’s records representative. 43 If 10 copies are not available, the District representative shall deliver the material to 44 the Board Chair for distribution. 45

d. Speakers will have an allotted amount of time, with a minimum of two minutes up 46 to a maximum of five minutes to speak before the Board, with the time for speaker 47

being determined by the Chair, depending on the number of speakers, with a 48 maximum of 15 speakers. 49

e. At the Board’s discretion, the Board may make additional time, up to 30 minutes 50 available for public comment immediately following the Board Meeting. 51 f. Speakers will be scheduled on a first come, first served basis. However, the Chair 52 may give priority to those discussing Board agenda items being considered during the 53 Board meeting. 54

f. g. Individuals will not be denied the opportunity to address the Board on the basis of 55 their viewpoint. The Board requests that speakers maintain appropriate decorum and 56 that comments remain focused and respectful. Speakers may comment on issues 57 scheduled for consideration at the Board meeting or other concerns pertinent to the 58 operation of a school or the District. In addition to the guidelines in this Policy, public 59 commentary will not be permitted if: 60 (1) The topic is excluded by the Open Meetings Act (O.C.G.A. §§ 50-14-1 et seq.); 61

(This includes, but may not be limited to, certain land, legal or personnel items); 62 (2) The speaker makes obscene, profane, vulgar, defamatory, slanderous, or 63

threatening gestures/remarks during his/her public commentary; 64 (3) The speaker discusses a student by name, or shares other information that could 65

lead to the personal identification of a student (See, for example, Family and 66 Educational Rights Privacy Act, 20 U.S.C. § 1232g); 67

(4) The speaker makes untrue, slanderous or defamatory comments or other 68 unsubstantiated claims about an identified or identifiable employee (While general 69 comments are appropriate for the public comment session, concerns about specific 70 individuals should be addressed privately with the appropriate District 71 administrator.); or 72

(5) The speaker disrupts or attempts to the disrupt the Board meeting (See, for 73 example, O.C.G.A. § 16-11-34). 74

g. h. Speakers may not gain an additional opportunity to speak by reserving or dividing 75 their allotted time for another speaking occasion, and may not pass their allotted time 76 to other speakers. 77

h. i. Speakers must: 78 (1) State their name to the Board prior to beginning public commentary; 79 (2) End their remarks when their allotted time expires; 80 (3) Direct public commentary to the Board as a body and not to an individual Board 81

Member. 82 i. j. Speakers should be aware that their public commentary may be broadcast live, 83

filmed, photographed or recorded by the District or other non-District media sources. 84 The District may rebroadcast public commentary on Cobb-24 Educational Access 85 Channel COBB edTV or on the District or school Web sites. Any portion of the public 86 commentary that is not in compliance with this Policy (such as prohibited in Section 87 B.2.g. above) and/or applicable broadcast authority may be edited prior to broadcast. 88

j. k. Any person who willfully violates these guidelines may forfeit the remainder of their 89 speaking time and the Board may, in consultation with the Board Attorney, issue a 90 written notice prohibiting the speaker from appearing before the Board for up to sixty 91 (60) days. 92

k. l. Board Members and/or the Superintendent may ask questions for clarification. 93 l. m. If requested during his/her remarks, a speaker will receive a written response from 94

BACKGROUND/RATIONALE: In January 2008, the Cobb County School District Administration developed an RFP to select an Alternative

Education Provider for services to middle and high school students who have suspension issues due to

behavioral problems, and to provide short-term services to meet the needs of students with disabilities who

have been suspended or expelled. In 2013 the contract was amended for one year with the option to renew

up to four additional years. The current contract period is July 1, 2017, through June 30, 2018.

SUPERINTENDENT'S RECOMMENDATION:

Approve the Ombudsman contract renewal for an additional year.

AGENDA ITEM #4 – Approval of a Resolution Ratifying and Confirming the Acceptance of the

Best Bid for the Purchase of $40 Million of Short Term Construction Notes and Documents

BACKGROUND/RATIONALE:

Construction and other SPLOST projects are currently scheduled and paid using SPLOST funds

that are collected on a monthly basis throughout the year.

It is estimated that construction costs in Cobb County are increasing 4%-5% each year. By

borrowing funds in advance of receipt of monthly SPLOST collections and starting projects at the

beginning of a calendar year, it is estimated that construction projects could be accelerated and be

less expensive resulting in substantial savings to the school district. Approval will allow SPLOST

IV construction projects to be bid earlier to capture savings in the current construction market. The

acceleration plan proposes the issuance of $40 million in the District’s Short-Term Construction

Notes (the “Notes”) for calendar year 2018. The Notes will be due on December 20, 2018.

On January 25, 2018, the Board approved a resolution approving the issuance of a request for bids

for the purchase of the Notes. Pursuant to such authorization, on February 6, 2018 the District

distributed an Official Notice of Sale and a Preliminary Official Statement to financial institutions

and requested bids for the purchase of the Notes to be received by the School District on February

15, 2018. The Board of Education will be asked to approve the winning bidder for the purchase of

the Notes, ratify the use of the Official Notice of Sale and the Preliminary Official Statement, and

approve the preparation and use of a final Official Statement (containing the final terms of the

Notes) and a Continuing Disclosure Certificate of the School District.

The District’s financial advisor, Public Financial Management, Inc., and the District’s bond

counsel, Murray Barnes Finister LLP, have prepared documentation relating to the short term

construction Notes offering for the solicitation of competitive bids for the sale of the Notes.

SUPERINTENDENT'S RECOMMENDATION:

Approve the resolution ratifying and confirming the acceptance of the best bid for the purchase of

$40 Million of the School District’s Short Term Construction Notes, ratifying and approving the

form of the Official Notice of Sale and the Preliminary Official Statement, and approving the

Official Statement and the Continuing Disclosure Certificate.
