Annexure - A

SCOPE OF SERVICES

a) To supervise and oversee the Erection, and Construction of the Civil Work at theSite of the Employer to ensure timely and proper performance of the 1X10 MWPower Plant being set up by the Owner at (India).

b) To provide services for repair /rectification of all the Work at Site of the Ownerduring the Defect Liability period.

SCOPE OF WORK OF CIVIL , STRUCTURAL AND ARCHITECTURAL WORKS

GENERAL

This description covers the Technical particulars for the design & construction/erection of all Civil,Structural and architectural Works of the complete Power Plant.. The required buildings, Structuresand foundations etc. are those necessary for the complete and proper execution of thecontract.

SCOPE OF WORK

This section sets out the scope of necessary surveys and investigations, studies, design, supply,construction/installation, to be carried out under this contract. The scope also includes supply of alllabour, technical personnel, materials and equipment for execution of work and getting all materialstested at site laboratory or approved laboratory outside, submitting test reports, arrangingsupervision of manufacturer for specialized items. After award of work detailed quality assurances

programme, for all the materials and types of works will be submitted by the contractor for approvalof owner/Consultant. The contractor will also submit the detailed list of construction machinery,equipment to be deployed by the contractor for execution of various items of works after award. Thecivil works shall also include those works required for installation, commissioning testing,operating and maintenance of the power plant.

The scope will cover but not limited to the following building/structure / system/facilities:

1. Site survey and soil investigation works.

2. Power House Building/Control Room/Electrical Bay structures including TG foundation.All fabrication drawing for steel structure are to be prepared by the Contractor, roof slab and

any other RCC member and support of Main Power house A-B & B-C bay are in the Scopeof Contractor.

3. Civil and architectural works related to elevators for boiler and Main Power House Building

4. Coal/Biomass Fuel bunker Building

(a) Foundation drawings of all columns, structural Steel Columns, Primary Beams,secondary beams, Runners Drawings of coal/Biomass fuel bunker Building

(b) Bunker supporting structures including coal/biomass fuel bunker.

All fabrication drawing for steel structure are to be prepared by the Contractor. All RCCmember and support of fuel bunker Building are in the scope of Contractor,

5. Transformer yard structures with RCC road.

6. CW & ACW, Pump House and auxiliary building.

7. Cooling Tower including basin, and associated work

8. RCC. Chimney

9. All civil works associated with LP and small diameter piping including pedestal, Metalsupports and embedment.

10. Raw Water associated with LP and small diameter piping including pedestal, metalsupports and embedment.

11. ESP column foundation and related civil works.

12. All civil works for the Fuel Oil Handling system including Fuel oil pressurizing pump house,Equipment foundations, pipe supports, pedestal, sumps. Etc.

14. All civil works of ash Handling Plant.

15. DM water storage tank and foundation, neutralizing pit, all pipe support and equipmentand tank foundations.

16. CW Chemical Treatment Plant

17. Switchyard structures foundations and associated civil works.

18. D.G. set building, air compressors House,

19. Control/Switchgear rooms as required.

20. Boiler foundations and associated civil works.

21. All RCC paving works in Chimney area, Boiler area, ESP area, Transformer yard andcooling tower and other areas as per functional requirement.

22.I.D. Fan, S A Fan, P.A. Fan and Boiler feed pump foundation.

23. All Pumps, Tanks and miscellaneous equipment foundations.

24. Pipe & Cable rack Trestle supports, pipe/cable trenches, Duct bank.

25. All civil work related to Fire fighting system

27. All civil related to plant illumination and communication

28. Roads, Culverts, & Drainage System.

29. Effluent treatment plant civil works.

30. Potable water system

31. Storm water drainage.

32. Plumbing and Sanitary works.

33. Construction Enabling Works.

It is not the intent to specify here in all the works in the scope of this contract. The scope ofworks also includes all other structure and civil works necessary which are not specificallymentioned here but required for construction, operation and maintenance of the power plant aredeemed to be included in the scope of the contractor.

All fabrication drawing for steel structure are to be prepared by the Contractor, all RCC designof all floor slabs, roof slab and any other RCC .Member and support of Main Power House andbunker building and architectural elevation drawing, toilet, door-window architectural detailsand finishing details of power House and building developed by contractor.

Annexure- I

TERMS OF PAYMENT

The broad Terms of Payment shall be as follows:

a) Advance Payment -Ten percent (10%) of the Contract Price shall be paid as

interest free advance payment after signing of the Contract against equivalent

amount of bank guarantee.

b) Other Payments

80% of Contract Price along with taxes and duties on pro-rata on mutually agreed

progressive milestone basis.

c) 0% of Contract Price shall be released on submission of

Performance Bank Guarantee.

PROFORMA FOR PERFORMANCE BANK GUARANTEE1. This Performance Guarantee is issued by XYZ Bank Limited (the "Ban ") in

respect of a contract no dated between---------------., having its Registeredoffice .(the "Supplier") and M./s A2Z Maintenance & Engineering Services Pvt. Ltd.,having its Regd. Office at 0-116,First Floor,DLF Shopping Mall,Arjun Marg,Phase-1,Gurgaon-122002,Haryana , India (the "EmployerOwner") covering the entireresponsibility for Engineering, Procurement, Supply, and successful performanceof the Project for 1X10 MW Power Project being set up at Lancaransar, BikanerRajastahan (India) by the supplier (the " Supply Contract").

2. The Bank do hereby agrees and IRREVOCABLY ANDNCONDITIONALLY NDERTAKES to pay on written demand, the amount

demanded by the Employer up to but not exceeding the Relevant Amount statingthat the Supplier has not performed its obligations under the Contract;

"Relevant Amount" means being 10% of the Contract Price until the expiry of oneyear from the date of Trial Operation of nit 2 or full plant whichever is later.

3. The Bank shall make payment to the Employer immediately upon service of theEmployer's notice in writing:

(a) without regard to any information or instructions which the Bank may thenhave received or may thereafter receive from any other source and the Bankshall not be entitled to inquire into or require proof of the facts stated in thecertificate which, as between the Bank and the Employer, shall beconclusive; and

(b) notwithstanding any dispute between the Supplier and the Employer; itbeing the intention of the parties hereto that the event upon which paymentmust be made hereunder is the service of the Employer's certificate withoutany right on the part of the Bank to raise any objections, irrespective of thevalidity and effectiveness of the Contract and the obligations arisingthereunder and irrespective of the underlying facts or their significanceunder the Contract.

4. This Performance Guarantee shall not be affected by

(i) any disability, incapacity or change in the constitution of the Supplier and/orthe Employer and/or the Bank;

(ii) the granting of any time by the Employer to the Supplier and/or anyforbearance or indulgence on any account shown by the Employer to theSupplier;

(iii) any change in the terms and conditions of theContract;

(iv) any action lawfully taken by the Employer to determine the Contract

(v) the liquidation, dissolution or insolvency of, or any receivership,

administration, moratorium, composition of creditors, claims and otheranalogous events affecting, the Supplier and/or the Employer and/or theBank or any of their property or assets; and/or

(vi) any failure or delay to assert any of the Employer's rights under thisGuarantee or any other Guarantee or guarantee provided by the Bank.

5. The Employer's rights under this Guarantee are cumulative and not exclusive ofany rights provided by law or the Contract and may be exercised from time to timeand as often as the Employer deems expedient.

6. Any waiver by the Employer of the terms of this Guarantee or any consent or

approval given by the Employer shall only be effective if given in writing and thenonly for the purpose and upon the terms and conditions if any on which it is given.

7. This Guarantee will be effective from the date of receipt of the advance paymentand shall

be valid for a period of ________________ i.e. (Date) after which date the liabilityofthe Bank shall cease and the Guarantee shall be forthwith returned to the Bank.

8. The total liability of the Bank hereunder shall not exceed the sum of INRMillions.

9. The obligations of the Bank hereunder are primary and not by way of surety onlyand the Bank shall not be entitled as against the Employer to any right of set off orcounterclaim whatsoever or however arising.

LIQUIDATED DAMAGES

The following Liquidated Damages are payable and / or deductable /adjustable from

Bank Guarantee on various accounts, separately and cumulatively with ceiling values
