The complainant, LeeAnn M. Pelham, Executive Director of the Los Angeles City Ethics Commission ("Commission"), and Respondents Deron Williams ("Williams") and the "Deron Williams for City Council" committee ("Committee") (collectively, "Respondents"), hereby agree that this Stipulation will be submitted for consideration by the Commission at its next regularly scheduled meeting, and that the agreements herein are contingent upon the approval of this stipulation and the accompanying Decision and Order by the Commission.

The parties agree to enter into this Stipulation to resolve all factual and legal issues raised in this matter and to reach a final disposition without the necessity of holding an administrative hearing to determine the liability of the Respondents.

Respondents understand, and hereby knowingly and voluntarily waive, any and all procedural rights under Los Angeles City Charter ("Charter") !j 706 and Los Angeles Administrative Code ("LAAC") $9 24.1.2(d) and (e), including but not limited to the issuance and receipt of an accusation, the right to personally appear at any administrative hearing held in this matter, to con£i-ont and cross-examine all witnesses testifying at the hearing, to subpoena witnesses to testifjr at the hearing, and to have the Commission or an impartial administrative law judge hear the matter.

Respondents stipulate that they have violated the Los Angeles Municipal Code ("LAMC") as described in Exhibit 1, attached hereto and incorporated herein by reference, and that Exhibit 1 is a true and accurate summary of the facts in this matter.

Respondents agree to the issuance of the attached Decision and Order and imposition by the Commission of administrative penalties in the amount of $9,720 to be paid in the form of a cashier's check, payable to the "General Fund of the City of Los Angeles," upon the signing of this Stipulation. The payments submitted herewith are to be held by the Commission until the Commission issues its Decision and Order in this matter.

The parties agree that in the event the Commission refuses to accept this Stipulation, it shall become null and void. The parties further agree that within ten business days after the Commission meeting at which the Stipulation is rejected, all payments tendered by Respondents in connection with this Stipulation shall be returned to Respondents. Respondents further stipulate and agree that in the event the Commission rejects the Stipulation and a full evidentiary hearing before the Commission becomes necessary, no Commission board members or staff, nor the Executive Director, shall be disqualified because of prior consideration of this Stipulation.

EXHIBIT 1

Deron Williams ("Williams") was a candidate for City Council District Ten in the primary election held on March 4,2003. His controlled committee was called "Deron Williams for City Council" (the "Committee"), and Renita L. Smith (aka Renita Lloyd- Smith) ("Treasurer") served as the Committee's treasurer. Williams, the Committee, and the Treasurer are identified collectively hereafter as "Respondents."

Williams selected Smith as his treasurer in October 2001 and hired her fm Campaign Finance Management Services ("CFMS") to deposit checks, pay campaign related expenses, prepare filing reports, and maintain all financial records. In February 2003, Smith entered into an agreement to sell CFMS to Applegate Consulting, Inc. ("Applegate"); however, she reclaimed her interest in the firm seven months later, alleging breach of contract by Applegate. Smith then entered into a partnership with Sandra R. Domingue ("Domingue") and began doing business as The Simon Group. They hired Delancey Street Movers to relocate boxed CFMS documents and client files fiom a downtown Los Angeles storage facility to a new secure location. In October 2003, The Simon Group moved into new offices in Culver City and again hired Delancey Street Movers to move all files and furniture remaining in CFMS' Los Angeles office.

In January 2005, pursuant to Charter § 470(n)(2) and LAAC § 24.6, the Commission's Audit Division began conducting a routine, mandatory audit of the Committee. The Committee filed campaign statements with the CEC reporting total cash receipts of $368,357 and total cash disbursements of $367,657 between January 1,2001 through December 3 1,2004~; however, during the audit, Respondents were unable to provide CEC staff with copies of the majority of the contribution instruments received by the campaign or to provide contracts, invoices, or receipts corresponding to the expenditures made by the campaign. On August 17,2005, the Audit Division completed the audit, finding that the Committee failed to maintain original source documentation for a very large number of contributions and expenditures.

A subsequent investigation by the Enforcement Division corroborated the audit findings. Staff issued a Probable Cause Report, presenting evidence that, at the time the Commission completed its audit of the Committee, the Respondents had no supporting original source documents in their possession for the contributions or expenditures identified in this action. During a Probable Cause Conference held on April 18,2007, Respondent Treasurer admitted that she has been unable to find those documents since relocating her office prior to the Commission's campaign audit.

Respondents Williams and the Committee admit herein to having violated the Charter as follows by:

Failing to retain and provide supporting documentation for 486 contributions totaling $176,075, in violation of Charter section 470(i); [486 counts]; and Failing to retain and provide supporting documentation for 324 expenditures totaling $194,4 1 8.96, in violation of Charter section 470(i); [324 counts].

APPLICABLE LAW

Article IV of the Charter, the Los Angeles Campaign Finance Ordinance, Los Angeles Municipal Code ("LAMC") 849.7.1 et seq., the LAAC, and the California Political Reform Act ("PRA"), Cal. Gov. Code $8 8 1000-9 10 1 4 ~ govern campaign finance in the city of Los Angeles.

Pursuant to Charter §470(i), a candidate, his or her controlled committee, andlor the committee's treasurer shall i) "maintain such detailed accounts, records, bills and receipts as are necessary to prepare campaign statements;" ii) "retain the detailed accounts, records, bills and receipts for the periods specified in the Political Reform Act of 1974 as a~nended;"~ and iii) "make available on demand to any public officer having legal authority to enforce this section, details of checking and financial accounts of each committee controlled by the candidate and all records supporting such details." Therefore, under Charter §470(i), the candidate, the committee, and the treasurer have a threefold recordkeeping obligation.

The PRA requires candidates, treasurers, and elected officers to maintain detailed information and original source documents4 for four years fiom the date of the campaign

Under Charter §470(b)(l), definitions of terms set forth in the PRA, Cal. Gov. Code 9 81000 et seg., and its regulations, Cal. Code of Reg. 4 18 109 et seq., apply to Los Angeles City campaign finance and disclosure provisions unless the terms are otherwise defined.

This time period is four years from the filing date of the campaign statement to which the records relate. Cal. Gov. Code 484104, Cal. Code Regs., tit. 2, §18401@)(2).

Under state law, original source documentation consists of For a contribution or expenditure of less than $25: "all bank statements, check registers, check stubs, bank or passbooks, and any other records reflecting a continuous computation of campaign account balances in any savings or checking account, money market account, certificate of deposit, credit card account, or any other campaign account, in any bank or other fmancial institution," Cal. Code Regs., tit. 2, section 18401(a)(l). For a monetary contribution of $25 or more, but less than $100: all of the information required in the preceding paragraph, as well as "copies of contributor checks, cashier's checks, money orders, wire transfers, deposit or duplicate deposit slips, and any other documents, reflecting all items deposited, and all deposits made, to any campaign account, in any bank or other financial institution," plus "contributor cards, letters of transmittal, and notices received from contributors." Cal. Code Regs., tit. 2, section 18401(a)(2)(B). For contributions made via credit card, original source documentation includes "all credit card receipts, transaction slips or other writings signed by the contributor, credit card vouchers, and other documentation of credit card transactions, including credit card confirmation numbers and itemized transaction reports, as well as any other information collected when debiting the contributor's account. Ibid. For contributions of $1 00 or more: all of the information required in the two preceding paragraphs, as wells as "all communications caused to be sent by the candidate, treasurer, elected officer, or committee in order to secure this informationy' Cal. Code Regs., tit. 2, section 18401 (a)(3)(B).

statement to which they relate is filed. Cal. Gov. Code $ 84104, Cal. Code Regs., tit. 2, $ 1840 1 (b)(2). These requirements enable auditors and other persons to verifl, among other things, that the candidate and treasurer have accurately reported contributions to andlor expenditures by the committee.

VIOLATIONS

COUNTS 1 - 810: FAILURE TO RETAIN AND PROVIDE ORIGINAL SOURCE DOCUMENTATION^

[In Violation of Charter 5 470(i)]

Obligation to Maintain Documents

The Committee filed campaign statements covering contributions received and expenditures made between January 1,2001 through December 3 1,2004. Since the act of filing these campaign statements necessarily requires the compilation of information from committee financial accounts, records, bills, and receipts, Respondents, at least initially, appear to have met their obligation under Charter $470(i) to "maintain such detailed accounts, records, bills and receipts as are necessary to prepare campaign statements."

Obligation to Retain Documents

Charter $470(i) further requires that the Respondents "retain the detailed accounts, records, bills and receipts for the periods specified in the Political Reform Act of 1974 as amended." The requisite retention period is four years fiom the filing date of the campaign statement to which the records relate. Cal. Gov. Code $84104, Cal. Code Regs., tit. 2, fj 18401(b)(2). Respondents failed to meet their obligation under Charter $470(i) to retain all records supporting the information reported in the Committee's campaign statements for four years after the statement filing dates, because only slightly more than three years passed between the date of the earliest campaign statement filed by the Committee (July 3 1,2002) and the date the committee's audit was concluded (August 17,2005).

Obligation to Provide Documents

Lastly, Charter $470(i) requires the Respondents "make available on demand to any public officer having legal authority to enforce this section, details of checking and financial accounts of each committee controlled by the candidate and all records supporting such details." Since Respondents did not provide all requested documents to CEC audit and investigative staff, Respondents failed to meet their obligation under Charter $470(i) to provide requested documents to authorized individuals.

For expenditures of $25 or more: "cancelled checks, wire transfers, credit card charge slips, bills, receipts, invoices, statements, vouchers, and any other documents reflecting obligations incurred by the candidate, elected officer, campaign treasurer, or committee, and disbursements made from any checking or savings account, or any other campaign accounts, in any bank or other fmancial institution." Cal. Code Regs., tit. 2, section 1840 1 (a)(4)(B).

Respondents Williams and the Committee stipulate that they have violated Charter 5 470(i)'s requirement to retain and provide original source documents, as detailed in the following 8 10 counts, for contributions accepted by and expenditures made by candidate and his controlled-committee.

COUNTS 1 - 486: By failing to retain and provide copies of original source documents, such as contributor checks, cashier's checks, money orders, or wire transfers, for 486 contributions accepted by the candidate and his controlled-committee, totaling $1 76,075, for four years from the date of the campaign statements reporting those contributions, Respondents violated Charter $470(i).

COUNTS 487 - 810: By failing to retain and provide copies of original source documents, such as cancelled checks, wire transfers, credit card charge slips, bills, receipts, invoices, statements, vouchers, or other documents, for 324 expenditures made by the candidate and his controlled-committee, totaling $194,418.96 for four years from the date of the campaign statement reporting those expenditures, Respondents violated Charter 5 470(i).

CONCLUSION

Pursuant to Charter §470(n)(2), the CEC must conduct audits of reports and statements filed by candidates and committees supporting or opposing candidates for elective City office. The CEC must audit each City candidate who raises $100,000 or more in contributions or who spends $1 00,000 or more in expenditures in connection with his or her campaign for a primary and/or general election. LAAC 5 24.6(A). CEC staff must also audit every candidate receiving public matching funds. Charter §702(d). The purpose of the CEC audits is to determine if a candidate, his or her treasurer, and the candidate's campaign committee complied with the limitations, prohibitions, record keeping, and disclosure requirements of (1) Charter $470; (2) the Political Reform Act of 1974, as amended; and (3) applicable City ordinances.

In addition to the Respondents' obligation to maintain detailed campaign records for a sufficient period of time to prepare campaign statements, retention of these detailed records for the specified four-year period is necessary to permit a full and complete audit, whch in turn helps assure the public that the committee fully and accurately disclosed its campaign activity. To that end, Commission staff must have access to all campaign finance information required to be maintained and retained pursuant to Charter §470(i) in order to assess, for the public record, the committee's degree of compliance with all applicable laws.

Williams raised $368,357 in cash receipts and spent $367,657 between January 1, 2001 through December 3 1,2004 in connection with the March 4,2003 primary election. Williams' cash receipts for his campaign included almost $98,855 in public matching funds. Due to the absence of supporting documentation for all but 69 contributions received by the Williams campaign and the absence of any supporting contracts, invoices,

or receipts corresponding to expenditures made by the Committee, CEC audit staff could not verify the accuracy of information reported in Respondents' campaign statements and could not determine whether public matching funds were appropriately awarded or if all expenditures by the Committee were made for campaign purposes.

Through the exercise of the agency's subpoena power, CEC investigative staff ultimately managed to verify the accuracy of all contributions reported by the campaign. Combined efforts by staff and Respondents to locate documentation which would validate the Committee's expenditures were less successful. Approximately 53% of the Committee's expenditures continue to lack sufficient documentation to enable CEC staff to verify their accuracy and campaign-related purpose. Without that documentation, the public can never be fully assured that Respondents complied with the limitations and prohibitions upon the use of campaign funds. Respondents should be penalized for this harm to an important public interest.

Charter §706(c)(3) sets out the penalty formula to which the agency must adhere: "up to five thousand dollars ($5,000) for each violation or three times the amount which the person failed to report properly or u n l a w l y contributed, expended, gave or received, whichever is greater." In the instant case, potential maximum penalties range from $583,256.88 [3 x $194,418.96 (total expenditures lacking sufficient supporting documentation to verify their accuracy)] to $4,050,000 (8 10 counts x $5,000). However, LAAC $24.1.2(e)(7)(E) provides, in all cases, the agency must consider all relevant circumstances in assessing penalties.

In proposing a penalty for the Board's consideration, staff noted a number of unusual exigent factors we determined to be mitigating and worthy of special consideration:

(1) Respondents Williams and the Committee hired Smith to serve as the custodian of Williams' campaign records and entrusted those records to her safekeeping. Williams' trust in Smith was based upon her experience and reputation as a professional treasurer of almost 20 years.

(2) Respondent Smith served as treasurer for eleven other City candidate-controlled committees during the 2001 to 2005 elections. CEC audits conducted on those candidate- controlled committee contained no audit findings pertaining to treasurer responsibilities.

(3) Re'spondent Smith provided Commission staff with cancelled checks corresponding to the 324 expenditures remaining at issue in this matter, which, although they did not confirm that the amounts paid by the Committee corresponded to invoiced amounts, did verify that the checks were payable as reported in the Committee's campaign statements.

(4) To the extent that CEC staff was able to obtain or Respondents were able to provide supporting documentation, investigation found no evidence of misuse of campaign

funds. This fact along with Respondent Treasurer's past audit record and compliance efforts appear to belie a conscious effort to ignore or circumvent the law.

(5) Smith informed investigators that she was discontinuing her work as a professional treasurer effective July 3 1,2007. CEC staff has been unable to physically locate or communicate directly with Smith since early October 2007.

(6) Respondents Williams and the Committee fully cooperated with the CECYs investigation and had no prior enforcement history at the time the violations were committed.

(7) Respondent Williams did not, in actuality, serve as custodian of his own campaign records. He, therefore, relied upon Smith, as his Committee's professional treasurer, to ensure compliance with Charter §470(i)'s recordkeeping and disclosure requirements. Nevertheless, he and the Committee admit their individual liability and assume full responsibility for the transgressions described herein.

With all of these factors in mind, staff proposed and Respondent agreed to present a proposed penalty of $9,720 for the Board's consideration. This amount is five percent of all expenditures reported by the Committee whose accuracy and campaign-related purpose could not be verified, despite the cooperative efforts of Respondents Williams and the Committee. This penalty has a direct link to monies reported by the campaign and thereby underscores the public's interest in accurate reporting, but the penalty is a nominal one in recognition of 1) the combination of unusual circumstances surrounding Respondents' failure to retain and provide necessary documents to CEC staff, 2) the absence of evidence indicating misuse of campaign funds, 3) Respondents Williams and the Committee's dependence upon hired custodian of records Smith, and 4) Respondents Williams and the Committee's inability to produce copies of records entrusted to Smith.
