§ 16.1 In General Exhibitions of one kind or another are very numerous, ranging

from the simple county fair or street carnival to the large state or interstate fairs and expositions. There are certain forms of agreement that are commonly used by the promoters or proprietors of such exhibitions and a few typical forms are given here.

§ 16.2 Exhibit Space Contract This agreement, made this ___ day of __ _, 19_, between

the ___ Fair, of ___ hereinafter designated as the Lessor, and __ _, of __ _, hereinafter designated as the Lessee, witnesseth:

1. Term. The Lessor hereby leases to the Lessee space upon the ___ Fair Grounds, for the purpose of exhibiting the articles de-

5. Default. The violation of any part of the terms hereof, or any of the rules and regulations adopted by the Lessor, shall at the election of the Lessor, cause the whole amount of this agreement to become due and payable forthwith, and work a revocation and forfeiture of all rights and privileges herein granted, and, in the event of such breach by the Lessee and such election by the Lessor, all sums paid or contracted to be paid under the terms of this agreement, shall be forfeited to the Lessor as liquidated damages thereof.

6. Unoccupied Space. Space assigned and not occupied for the purpose, as hereinbefore set out, before eight o'clock A.M. on Saturday, the opening day of the fair, shall revert to the Lessor, to be relet and occupied in such manner and for such purposes as the Lessor may see fit; in which event this agreement shall become null and void, and all payments therein forfeited to the Lessor, ~ liquidated damages.

7. Assignment. No part of the space covered by this agreement can be assigned, sublet or otherwise disposed of without the consent of the Lessor.

RULES AND INSTRUCTIONS

1, PRICE OF EXIDBITS. All exhibits will be located in the [de­scribe area of convention center]. Booth spaces will be laid out in 10 by 10 foot sizes and the price per space will be $---· This will include uniform booth equipment, consisting of rear background, rear support­ing columns, side dividers and a sign 44 inches wide, 9 inches high, carrying your name. Any additional services or equipment which are used such as electrical connections, plumbing connections, furniture and decorations, etc. will be charged to the exhibitor. Also included in the booth price are: general overhead lighting, janitorial service that entails daily sweeping of area inside booths, except those with carpeting or tile, and the aisles, (service for special cleaning of tile and/ or vacuuming of carpeting can be contracted for through Convention Center) and, a fire guard will be on duty from 5:00 p.m. to 8:30 a.m. 2, TERMS. Deposit fee of $, ___ per booth must accompany space contract. The balance must be paid on or before [Date ]. Exhibit spaces will be released if full payment is not received by that date. In case of cancellation, no refunds can be made. 3. ASSIGNMENT OF SPACE. The ___ will acknowledge re-ceipt of each deposit and assignment of space will be made at a later date. The ___ reserves the absolute right to assign all booths so as to best meet the needs of all the exhibitors. The ___ reserves the absolute right to reassign space upon which final payment has not been received by [date]. 4. INSTALLATION AND DISMANTLING OF EXHIBITS. Your exhibit may be set up beginning ___ morning [date]. Exhibits must be completely set up by 8:30 a.m. [date]. Dismantling may not commence before 5:00 p.m. [date] and all materials must be completely repacked and ready for shipment by 12:00 (midnight) of that same day unless Convention Center and ___ Service Company grant permis-sion for longer storage or special handling. No guard will be on duty after 12:00 midnight on ___ so it is imperative that breakdown occurs at this time, since neither the League nor the Convention Center will be liable for your belongings.

5. DISPLAY REQUIREMENTS. All decorative material shall be flame proofed. Electrical wiring must conform with the National Electrical Code Safety Rules. The ___ reserves the right to cancel all or part of any exhibit for non-compliance, and there would be no refund or payment to such exhibitor. In addition, exhibitors must comply with all City fire regulations. Exhibits must not obstruct the view or otherwise block or interfere with neighboring exhibits. When planning your exhibit, keep in mind that each space is only 10 by 10 feet. The curtain side dividers between each booth are only 3 feet in height. The back wall is 8 feet high. If you plan to have a panel or other solid display extending along the sides of your booth, we ask that it be no taller than 4 feet and that it does not extend from the back wall any more than 9 feet.

6. RESTRICTIONS. No space or any part thereof be assigned or sublet without written consent of the ___ Exhibit Manager. Noisy exhibits, odor producing exhibits, or those in bad taste, will not be permitted. Air operated equipment is absolutely prohibited. Cash or over-the-counter sales are not permitted. All aisle space is under the control of the ___ and shall not be used for exhibit or demon-stration purposes. The ___ reserves the absolute right to remove, relocate or eliminate any objectionable exhibits, persons, advertise­ments, or any feature which detracts from the decorum of the Confer­ence. No attachments (including stick-on matching tags to be worn by delegates) are to be made to the walls or booth rental equipment without written permission from the ___ Exhibit Manager and Convention Center. In the event of such restriction or eviction, the ___ and the Convention Center are not liable 'for any refunds. See the ___ Exhibit Manager for any assistance required in connection with this ruling.

7. LIABILITY. Neither the __ _, the employees thereof, the owners of Convention Center, City of __ _, nor their representa-tives, or employees or representatives of ___ Service Co., will be responsible for any injury to any delegate, exhibitor, his employees, agents or property, or for loss by fire, theft, damage, delay, mechanical failure, labor trouble or any cause whatsoever, while exhibits and merchandise are in transit, within Convention Center or while being moved into or out of Convention Center. Exhibitor shall, and does by means of this contract covenant and agree to indemnify and save harmless the __ __, its members, and the owners of Convention Center, City of __ _, of any and all liability that may arise out of bodily injuries or property damage resulting from the use of the premises by the exhibitor, as well as any and all equipment, devices of every kind, make and description. The exhibitor, as further evidence of compliance with this provision, agrees that he will carry comprehensive insurance covering property damage, and public liability with mini­mum limits of $20,000 and $30,000 for the property damage, and $50,000 and $100,000 for public liability. Exhibitor further agrees to furnish the ___ with a current-up-to-date Certificate of Insurance evidencing such coverages. This certificate must be received in the ___ office no later than [date].

§ 16.4 Floor Space Contract

This agreement, made this ___ day of __ _, 19_, between the ___ Fair, Lessor, and __ _, of __ _, Lessee, witnesseth:

1. Space. The Lessor hereby leases to the Lessee certain space, hereinafter described, at the Fair, for exhibition purposes during the time of the ___ Fair, __ _, 19_ [space to be described here]. Space No. __ _, Machinery Hall, ___ to be used for the follow-ing purpose: [Describe character of exhibit ].

2. Rental. The Lessee agrees to pay to the Lessor, or his duly authorized representative, for the space herein contracted for $ __ _, one-fourth, or $ __ _, to be paid on the execution of this contract, the balance to be paid not later than the ___ day of __ _, 19_.

3. Subletting of Space. This contract for the space and privi­leges granted herein, or any part thereof, cannot be assigned, sublet or otherwise disposed of without the written consent of the Lessor.

4. Exhibition Period. The Lessee agrees to have exhibit in place and ready for public inspection by 9 o'clock a.m. Friday, __ _, 19_, and no part of said exhibit will be removed before 4 o'clock p.m. Friday, ---, 19_.

5. Signs. Signs in this building must be uniform in size, either in shape of box around steel columns, each face 2½ X 4 feet, or shields the same size. The bottom of these signs to be ten feet above the exhibition

6. Structures. Wooden structures, partitions, fences or tents for office purposes will not be permitted on exhibition platforms.

7. Breach. The violation of any part of the terms and agree­ments hereof shall at the election of the Lessor cause the whole amount of this contract to become due and work a revocation and forfeiture of all rights and privileges herein granted to the Lessee, and in event of such breach by the Lessee and such election by the Lessor, any and all sums paid or contracted to be paid under this contract to the Lessor shall be and become the property of the Lessor as liquidated damages for such breach.

8. Acceptance. This contract must be accepted and returned to the Lessor within ___ days of the date hereof, or space will not be held.

9. Rules and Regulations. It is further understood and agreed that in addition to the express terms and conditions hereof, the Lessee shall be bound by all the rules, regulations and requirements of the ___ Fair and of the International Association of Fairs and Exposi-tions as published in the premium list of the said ___ Fair, and which are hereby made an integral part of this contract in like manner as if set forth at length and in full herein.

§ 16.5 Concession Contract This agreement, made this ___ day of __ _, 19_, between

the ___ Fair, Lessor, and __ _, [address], [state], ___ street No. __ _, Lessee, witnesseth:

1. Term. Lessor grants and leases to the Lessee certain rights, privileges, and space, during the period of the ___ Fair, __ _, 19_, to ___ 19_, to conduct, operate and sell upon said premises, such business and articles as are set out below, and no other.

2. Nature of Concession. Privilege granted under this contract gives the Lessee permission to conduct, or sell, ___ and for no other purposes.

3. Space. The use of premises or space granted to the Lessee under this contract are described as follows: Lot __ _, block __ _, Building __ __, space No. in building · space build-ing not platted ___ ; unplatted outside space, ___ in accor-dance with latest space or ground plats in use by the fair management.

4. Rules of Fair Board. The Lessee covenants and agrees to abide by all the terms of this contract and rules of the governing board of the ___ Fair which include the rules and regulations of the International Association of Fairs and Expositions.

5. Payment of Price. The price for the privilege and space granted to the Lessee under the terms of this contract is the sum of ___ Dollars, to be paid by the Lessee to the Lessor, as follows:

If amount is $50 or less, total payment must be made on date of purchase. If amount is between $50 and $100, at least $50 must be paid on date of purchase and balance before --~ If over $100, not less than $100 must be paid on date of purchase and balance before 12 o'clock noon Tuesday, the fourth day of the fair. All payments are due and payable at the office of the superintendent of concessions.

6. Access to Premises. Any representative of the Lessor shall have access to premises at all times.

7. Construction of Temporary Buildings. All temporary build­ings, tents or other inclosures which the Lessee proposes to erect, must first have the approval of the Lessor. Positively no stands or buildings will be permitted to be erected out of old lumber or metal. All stands and buildings must be neat in appearance, and any structure put up not complying with this term, may be ordered torn down and contract forfeited as Lessor may elect.

8. Removal of Temporary Buildings. All temporary structures put up by the Lessee must be taken down and grounds cleaned prior to

9. Occupation of Space. Lessee will not be permitted to occupy leased premises prior to Saturday preceding the opening day of the fair. Should the Lessee want to erect his temporary structure before that date, permission to do so must be secured from the secretary, but in no event will permission be granted to operate said privilege before the time first above set out.

10. Conduct of Lessee. Lessee agrees to conduct privilege grant­ed by this contract without infringement upon the rights of others; not to handle or sell any commodity for which an exclusive right has been sold, or engage in any business, or sell any commodity upon the Fair Grounds, other than that expressly stipulated in this contract, and will confine all his operations to the space and privilege as hereinbefore set out.

11. No Intoxicating Liquor. No ale, beer, or intoxicating liquor of any kind, shall be kept or sold by the Lessee or any of his employees within said leased premises or upon the Fair Grounds.

12. Control of Sales. Lessor is granted the privilege to stop and forbid the sale of any commodity or drink by the Lessee or any of his employees, which in the judgment of the Lessor is considered unwhole­some or detrimental to health.

13. Posting of Prices. Lessee shall post in a conspicuous man­ner at the front or entrance of place of business on the opening day, a sign showing price of meals, lunches, drinks, and all other articles of

14. Assignment. This contract, or any part thereof, cannot be assigned or otherwise disposed of without the written indorsement of the Lessor upon the face of same. Subletting of any part of space herein granted is not permissible.

15. Rules and Regulations. The rules and regulations printed on the back hereof are a part of the stipulations and terms of this contract and concessionaires are respectfully requested to read them over carefully as provisions contained therein will be strictly enforced.

16. Cancellation. The Lessor reserves the right to cancel this agreement upon receipt of notice from the Board of Appeals of the International Association of Fairs and Expositions, or from any fair holding membership in said Association; that the Lessee stands sus­pended or expelled, for violation of contract or rules and regulations of any member, by said member or by the Board of Appeals of the International Association of Fairs and Expositions.

17. Utilities. Application for, and all contracts for electric lights and gas must be made in accordance with provisions contained in general rule No. ___ of the ___ Fair.

Rules and Regulations

1. The board of governors and superintendent of concessions will use every precaution to guard against extortion in any form practiced upon the patrons of the fair. Any extortion practiced by a concession­aire will cause the forfeiture of contract money paid, or expulsion from the grounds, or both, as the management or superintendent may direct.

2. The board of governors authorizes the letting of only such privileges or concessions as are required to supply the necessary wants of the people, or that may add to their comfort, convenience and pleasure; but under no circumstances will privileges of a questionable nature or of a demoralizing tendency be let or in any manner tolerated upon the grounds or in the buildings, nor will any privilege be permit­ted where the business is conducted in other than a legitimate manner.

3. All dining halls, lunch booths, refreshment pavilions or other stands must be substantial in structure and neat in appearance. They must be supplied with and sell only good, wholesome food, and pure, honest goods, at reasonable prices.

4. On the opening day of the fair, all concessionaires shall cause to be posted in a conspicuous manner at the front or entrance to his

place of business, a neatly printed or painted sign, plainly readable at a distance of thirty feet, showing price of meals, lunches and all articles of food and drink to be sold and services performed under this contract. The size of sign or bill of fare and place of posting to be approved by Lessor. They shall also keep displayed in plain view of the public their concession contract number, which will be furnished by the superinten­dent upon application at his office.

5. All ground leases or space contracts, unless otherwise specified, will expire with the close of the fair each year, and all temporary buildings, frames, booths, etc., must be removed prior to __ _, 19_, following; otherwise, they will become the property of the __ _ Fair.

6. The sale of alcoholic liquor and games of chance are strictly prohibited. Any violation of this rule will be dealt with severely.

7. No ticket of admission will be given to Lessee of any concession. All who desire to remain on the grounds overnight must provide themselves with tickets.

8. Purchasers of concessions must keep their spaces in a sanitary condition, by removing therefrom any filth and refuse, placing the same in the garbage can, which may be rented from the sanitation depart­ment, where employees of the latter may get it with ease. All empty ice cream packing cases and cans must be removed from place of business and not left on walk or street, or in front of stand. Emptying salt water from the ice cream packing cases is strictly prohibited.

9. Concessionaires must not throw any refuse, or empty any water, or other fluids in the streets and gutters. The first violation of this rule may cause concession to be closed and the forfeiture of all fees paid.

10. Each concessionaire must confine himself to the space as­signed. Failure to do so will subject him to forfeiture of his privilege, without reimbursement.

11. Concessionaires and their help must be neat and tidy in their dress. Persons found working at any concession, not complying with this section, may be ordered off the grounds.

12. No officer or employee in any department of the fair shall have any concession or privilege, or any interest or connection, directly or indirectly, with any concession or privilege pertaining to the fair.

13. No subscription agents for newspapers or periodicals of any kind will be allowed on the grounds, unless the publishers desiring such agents have permanent buildings on the grounds, and subscriptions may then be taken only from locations within said buildings.

14. A violation of any of the terms and stipulations of the conces­sion contract shall cause the full amount of contract to become due, and work a revocation and forfeiture of all rights and privileges therein

15. The Lessor shall have a lien upon all property being kept, used or situated upon leased premises, on Fair Grounds, whether such property be exempt or not, for any unpaid rents, and any damages sustained by breach of contract by the Lessee. The Lessor shall have the right to distrain such property without process of law and appropri­ate said property to the use of the Lessor to satisfy all claims.

§ 16.6 Concession Contract-Photographic Concession

The concessionaire shall be given the sole and exclusive privilege within said concession of taldng and selling photographs of individuals, as well within said studio as without the same, in front of the buildings and panorama.

§ 16. 7 Concession Contract-Restriction on Competing Con­cessions

The Lessor covenants and agrees with the Lessee that it will not, during the existence of this contract, grant like or similar privileges hereby granted to any other person, persons, or corporations.

§ 16.11 Band Contract This agreement, made this ___ day of __ _, 19_, between

1. License to Operate Shows. No substitutions from the list of shows and riding devices as submitted by Company at the aforesaid meeting shall be permitted, unless the written consent of Fair is given, and Company does hereby promise and agree to operate its said shows and rides upon the grounds of Fair during all of the period herein provided.

2. Restrictions. Fair reserves the absolute right to prohibit Company from bringing into the ___ Fair Grounds or operating thereon any show, riding device, or attraction which may be by Fair deemed objectionable, immoral, or unsafe to operate, it being distinctly understood that all immoral shows, human freaks, unsafe riding de­vices, or other objectionable shows or attractions are strictly prohibited under this contract, as are also any wheels or other games of chance.

3. Supervision. Fair, by its officers or duly authorized agents, shall at all times have free access to all shows and riding devices operated under this contract, and are hereby clothed with power to immediately close any exhibition that may be deemed objectionable, immoral, degrading, or which may be in violation of the laws of the state of ___ All passes issued must be mutually agreed upon by both parties hereto.

4. Police Protection. Fair shall furnish ample police protection for the locality in which shows may be located, and tickets and ticket takers for all shows, riding devices, or other amusement devices.

5. Utilities. Feed wires for electric current necessary for lighting and power will be run by Fair to the show fronts only, Company to pay Fair for all electric current consumed for either light or power at the

8. Admission to Grounds. Fair agrees to furnish such daily ground admissions to Company as may by it be deemed necessary for its employees and performers to carry on the business of Company under this contract.

9. Force Majeure. In case of railroad accidents, fire, or other acts of providence, neither party shall be held liable for any loss or damage resulting therefrom.

10. Liability. Company further agrees to assume all liability for damage to property, person, or persons arising from accidents or other causes incidental to movement and operation of the shows and riding devices, and does hereby release Fair from any liability whatsoever.

11. Free Tickets. It is agreed that each party hereto shall be furnished with, and may use as necessity may require, ___ free admission tickets to each and every show covered by this contract, unless otherwise mutually agreed.

12. Rules and Regulations. It is further agreed that, in addi­tion to the express terms and provisions hereof, Company shall be bound by all rules, regulations and requirements of Fair, and all rules, regulations and requirements of Fair are hereby made an integral part of this contract, in like manner as if set forth at length and in full herein.

13. Compliance With Laws. It is further agreed that Company shall in all respects comply with the laws in force at any time during the existence of this contract, and that if anything required by this contract to be done shall be contrary to any law now in force or hereafter enacted, then this contract shall, as to those things, be void, and that if by reason of any such law this contract cannot be legally performed, the parties shall not be bound by the terms hereof.

Fair agrees to furnish the grounds known as __ _, same to be at least ___ feet, drained, cleared, seated and inclosed; also to procure and defray the cost of all licenses, permits, revenue or other tax that may be required, to provide ___ arc electric lights and poles during each night of this engagement, same to be placed in position as desired, to furnish and install all electrical wire and wiring, current required for the calcium and all electrical effects furnished by Corpora­tion, a good band of not less than twenty pieces to play before and during each performance, and, if required, to play for any parades that may be arranged during the engagement, to do thorough and extensive newspaper advertising in all the principal newspapers, at least two weeks in advance and during the period of entertainment, same not to be less than average of ___ inches per day in each paper, and to see that general writeups and general notices are put in all the papers; also to do all posting and distributing of lithographs, window work, stands, eight sheets, three sheets and heralds that are supplied to them by Corporation, in prominent positions throughout the city and locali­ty-in fact, to do all the advertising in a thorough, generous, first-class manner; bill posting and distributing to be begun at least two weeks before the first performance. Fair also to provide the necessary police and police protection during the engagement; to pay express or freight on paper furnished by Corporation; to furnish ticket takers, ushers; to provide band and electric lights for rehearsals, three nights before opening performance, if so desired by Corporation; to provide electric lights throughout the last night of this engagement [or until Corpora­tion has moved all scenery and effects off the grounds]; and to do the local hauling of picture, inclosure, fireworks and paraphernalia, from the train to the exhibition grounds upon the arrival, and from the grounds to the train upon the departure, of the spectacle.

7. It is further agreed that nothing in this contract shall be construed or interpreted to mean a partnership, both parties thereto being responsible only for their separate and individual debts and obligations.

8. The parties mutually and severally guarantee the terms, condi­tions and payments of this contract; these articles to be binding upon the parties themselves, their heirs, executors, administrators, personal representatives, successors and assigns.

§ 16.17 Contract for Space in Radio and Television Exposi­tion

This agreement, made this ___ day of ___ 19_, between the ___ Radio and Television Trade Association, (hereinafter "As-sociation"), and ___ (hereinafter "Exhibitor"), witnesseth:

The Exhibitor hereby covenants and agrees to pay for the right to use the said premises the total sum of $ ___ in lawful currency of the United States, and agrees to pay 25 per cent thereof for show space rent, upon signing this agreement (check herewith present­ed), and the balance on or before __ _, 19_. § 16.18 Contract for Space in Radio and Television Exposi­tion-Rules and Regulations

The following rules and regulations governing the ___ annual ___ Radio and Television Exposition are agreed to be a portion of the contract for space. To insure the comfort, convenience, safety and equitable treatment of exhibitors, it is necessary that they conform strictly to the following rules:

1. Use of Nails and Tacks. The use of nails or tacks in connec­tion with the floors or walls of the Auditorium is prohibited. Exhibi­tors will be held responsible for any damage to any part of their booth space.

2. Night Watchman. The management will provide a night watchman at all hours from ___ to __ _, inclusive. No other persons will be permitted on the premises after the hour of closing.

3. Arrangement of Exhibits. Goods will be received at the Auditorium on and after ___ It is expected that all exhibitors will arrange their stands or booths and have their exhibits ready for public inspection at the opening of the show at 10 o'clock a.ni., ___ 19_. No carpentry or other noisy work will be allowed after that hour.

4. Signs and Lights. All booth signs are to be of uniform style and will be contracted for by the management. Each booth will be provided with an electrical outlet.

5. Care of Exhibits. Exhibitors must have their stands and exhibits cleaned and otherwise put in proper shape between the hours of 12 p.m. and 10 a.m. each day. The management reserves the right to

reject any exhibit not considered by it as being advisable or appropri­ate.

6. Insurance. The management will not be responsible for the safety of exhibits against theft, fires, accident or any other cause. If insurance is desired, it must be obtained by exhibitor.

7. Removal of Goods. Exhibits must be moved from the Exposi­tion by 12 noon, __ _, 19_, and the exhibitor must leave his space clean and free from all rubbish, as upon his entrance.

8. Exhibitors' Tickets. The show will open to the public at 12 noon, __ _, __ __, 19_, and will remain open each day for the balance of the week, from 12 noon to 11 p.m. Out-of-town dealers, jobbers and manufacturers and radio trade at large will be admitted from 10 to 12 a.m. each day by admission tickets. Sufficient passes for all necessary employees of exhibitors will be provided.

9. Loud Speakers. Will not be allowed to operate in the main space of the show, but they may be operated in any of the private demonstration booths we are providing. If found desirable, the man­agement will install loud speakers in different parts of the building. The quiet running of entirely inclosed sets, using ear phones only, is permissible in the individual booths. No visible aerials or grounds will be allowed.

§ 16.19 Contract for Space at Automobile Show

This agreement, made this ___ day of __ _, 19_, between the ___ Automobile Trade Association, hereinafter described as the Lessor, and __ __, of ___ hereinafter described as the Lessee, witnesseth:

That the Lessor, for and in consideration of the covenants and agreements herein contained and the faithful performance by the Lessee of all such covenants, hereby grants to the Lessee the right to use the space designated on the diagram of the ___ Automotive Exposition, said space to be equipped by the Lessor as provided by the rules and regulations attached hereto, commencing at 8 o'clock a.m., __ __, 19_, and terminating at noon, __ __, 19_, the said prem­ises to be used by the Lessee for the following purposes and no other, viz.: From ___ at 8 a.m., for preparation of exhibit; · at 10 a.m. to ___ at 10:30 p.m. during the hours the exhibition is open for the exhibition of __ _

This agreement is made and entered into upon the following special terms and conditions which are mutually agreed to by the parties hereto:

First. The rules and regulations attached hereto shall be and are hereby made a part of this agreement.

that may arise or come to the Lessee or his [or their] employees, or to goods from any cause whatever.

Third. The Lessee hereby covenants and agrees to pay for the right to use the said premises and equipment the sum of __ _ Dollars. One-fourth of space value to be paid at the date of drawing, and the balance on or before __ _, 19_. All checks for space on out of town banks must be certified.

Fourth. In case said premises shall be destroyed by fire or the elements, or by any other cause, or in case any other circumstance shall make it impossible for the lessor to permit the said premises to be occupied by the Lessee for the uses herein specified, then and thereup­on this lease shall terminate and the Lessee shall and does hereby waive any claim for damages or compensation, except the return of the amount paid for space rental, should said lease be so terminated.

Fifth. The name of the representative of the exhibitor, who will have charge of the space and exhibit is ___ Said representative is the only person authorized to represent the Lessee in transactions relative to the exhibit or exhibits.

This agreement shall bind the parties hereto, their successors, heirs, executors, and administrators.

RULES AND REGULATIONS

The following rules and regulations shall govern the Automotive Exposition, to be held at the ___ Building, commencing on __ _, 19_, and are a pa.rt of the application for space:

1. Allocation of Space. The motor truck and commercial car section will occupy the first floor of said building.

The automobile section will occupy the first floor and part of second floor of said building.

The accessories and industrial section will occupy the second floor of said building.

2. Official Diagram. The space will be divided as shown by the official diagram, but the right is reserved by the management to divide between two or more applicants such space as may be necessary, in the event that the number of applicants exceeds the number of spaces available.

3. Execution of Contract. Each exhibitor must execute a con­tract, a copy of which is hereto attached, for the right to use the allotted space, and must forward said contract, accompanied by check, for one-fourth of the total money for space rental on or before __ _

19_. If any space is allotted after __ _, 19_, the contract must be signed and returned, accompanied by the full payment of space rental, by first mail.

4. Payment for Space. Payment in full for all space must be made on or before __ _, 19_, and under no circumstances will an exhibit be admitted to the building until all money due for space has been fully paid.

5. Subletting of Space. No lessee shall assign, sublet, or appor­tion the whole or any part of the space allotted.

6. Failure to Make Payments. Any applicant who shall fail to make full, initial, or final payment as aforesaid, whether such applicant desires to exhibit or not, shall thereby and thereupon forfeit his rights in and to the use of such space and forfeit the money already paid, if any, and the management shall have the right to dispose of such space in such way as they consider to the best interests of the show without liability of any kind on its part or on the part of the ___ Automo-bile Trade Association.

7. Admissible Exhibits. The management will not be responsi­ble for the admission of any exhibit which does not come within the dimensions and capacities of the entrances of the building, elevators and aisles as now installed.

8. Uniformity of Exhibits. The management will so prepare the spaces that no attention on the part of the exhibitor will be necessary, except to place his exhibit in position. No decoration, electric lighting or other equipment except that provided by the management may be used, save as provided in the rules, nor will furniture or other material likely to destroy the uniformity of the exhibition be permitted. No box, crate or packing case will be allowed to remain in any space.

9. Counters and Railings. In the accessories and industrial section, if the exhibitors desire counters, these will be furnished by the management, if sufficient notice is given as to just what size and shape they should be. The tops, sides, and ends of such counters, visible from the aisle, must be covered with denim or other suitable material, to produce harmony of effect; but a charge of $ ___ will be made for each lineal foot for the installation of said counters, denim, etc. No railings of any description will be permitted on any floor or any part of building, except in the accessory and (industrial) section, where narrow railings thirty-four inches in height will be furnished by the manage­ment to separate the spaces. In the spaces located in the middle section of the accessory and industrial exhibition rooms, counters three feet high will be permitted, but the exhibit itself must not be built up to exceed five feet in height. In other spaces in these rooms, a counter not to exceed thirty-four inches in height will be permitted and the exhibit may be built up to not to exceed six feet in height in the rear of the space, providing exhibit is against wall only.

Ch. 16 EXHIBITIONS AND SHOWS § 16.19 10. Removal of Disharmonious Exhibits. The exhibition is

intended to be educational in character, to show goods manufactured by the industry and to be used as an advertising medium only through such display. Any exhibit, or part ofan exhibit, or proposed exhibit, or any exhibitor or employee which, or who, in the opinion of the manage­ment, is not in keeping with the character of the exhibition, is prohibit­ed. This reservation covers persons, things, conduct, signs, printed matter, souvenirs, catalogues, and all matters which affect the charac­ter or constitution of the exhibition. The right is reserved by and is expressly granted to the management to remove from any exhibition space and from the building, with or without notice, any article or person which or who, in its opinion, is not in keeping with the character of the exhibition or is an infraction of any rule. The lessor may also, at its option, at any time without assigned cause, and with or without notice, cancel this agreement and remove the lessee, his agents and property from an exhibition space and from the building. In the event of such cancellation the lessor shall repay to the lessee upon request thereafter, an amount of the contract price for each show proportionate to the unexpired duration of said show at the time of such cancellation, together with the additional sum of $ __ _

11. Moving Devices. No exhibitor may show any goods in opera­tion, if same are noisy or objectionable to surrounding exhibitors; nor apparatus that is mechanically operated or illuminated without special permission of the management. Demonstration of shock-absorbing and other moving devices may be made only after such demonstration has been approved by the management and such approval may be revoked at any time. No storage battery may be connected with any sign, motor or other article until such use has been approved by the manage­ment, and such approval may be revoked at any time. No moving parts may be operated until they have been adequately protected and until such protection has been approved by the management.

12. Advertising. No exhibitor may use or exhibit apparatus which has painted thereon any advertising matter, trade-mark, or name, whether the same be painted upon the apparatus direct or upon separate plates except as hereinafter provided.

13. Special Sections. The management may set apart for any organization or for a special section such space as it may consider desirable and delegate to such organization the power to allot such space among its owner members.

14. Price of Space. The price of space in all parts of the building will be $ ___ per square foot. This price includes rent, heat, sign for each exhibit, sign hanging, general decorations, police, watchman, and janitor service.

15. Special Connections. Exhibitors desiring special connec­tions in their spaces for additional lights or operating electric motors must notify the management not later than __ _, 19_, and advise

accurately the number and size of lamps and the horsepower of motors. Such connections will be charged for at standard prices and a special application must be signed for such extras. Prepayment in full must be made at the time of signing the order. No additional electrical work will be undertaken until the order has been signed by an authorized member of the firm requiring such work and the above-mentioned. payment made. The standard current for lighting is 110-volt 60-cycle alternating current. Motors of less than one horsepower can also be supplied from the 110-volt alternating current circuit. All motors of one horsepower to three horsepower inclusive should be 220-volt 60-cycle single-phase alternating current. Motors above three horsepower should be 220-volt 60-cycle three-phase alternating current. All mo­tors requiring any other than the above currents must be especially arranged. for with the management not later than __ _, 19_. Direct current can be furnished in limited quantities providing exhibi­tors advise the management not later than __ _, giving full particu­lars regarding their apparatus and the amount of current required. The supply of direct current, however, is not guaranteed except by special agreement.

16. Shipment of Goods. Goods must be plainly marked with the name of the exhibitor and the number of space and addressed. to the exhibitor in care of the ___ Automotive Exposition, ___ Build-ing, ___ Goods on which there are express or freight charges will not be permitted to leave the show room until such charges have been paid.

17. Exculpatory Clause. The management will not be responsi­ble for any loss or damage to goods consigned to its care.

18. Receipt of Goods. The receiving room will be closed at 1 p.m. on the opening day, and at 10 a.m. daily thereafter. Goods arriving at later hours will not be received until the following morning.

19. Restrictions on Receipt. Exhibits will be placed in the spaces at the expense of the management, subject, however, to the provisions of rule 7 and to reasonable limitations of weight and bulk. No boxes or crates will be permitted to enter the building after noon on the opening day. Boxed or crated goods received. after that time must be unpacked. before entering. No car will be admitted after the Sunday following the opening day after 9 a.m., and then only on approval of the management.

20. Watchmen. The show management will provide all neces­sary watchmen and no other person will be permitted. to enter or remain in the building after the closing hour, without the written permission of the management.

21. Submission of Signs. Signs may read name of firm or name of car or other article exhibited, but not both. Each exhibitor will be required to send in written copy of sign in required. time and in case of

22. Restriction on Signs. No "Sold" or other signs, except those provided by the management, pictures of factories, stories, cars, or persons will be permitted, except as follows: An exhibitor of cars may display on each car one sign 9 by 12 inches, bearing only the name and price of the car. An exhibitor of accessories may display two descrip­tive cards or its equivalent, not larger than 12 by 18 inches, on which no lettering shall exceed one inch in height; such cards, however, to be first submitted to the management and stamped as having been ap­proved. A picture of some article made but not shown by an exhibitor or of a process is permissible, but must be stamped "Approved" by the management. The applicant hereby authorizes and instructs the man­agement or its agent to remove any other sign without notice.

23. Exhibitors' Admission. Each automobile and truck exhibi­tor will be allowed four admission tickets daily for each 100 square feet of space occupied or fraction thereof. Each exhibitor will be allowed one demonstrator's badge. This particular rule covers automobiles, trucks, commercial cars, and such other exhibitors as, in the discretion of the management, are entitled to same. Each motorcycle exhibitor will be allowed four admission tickets daily and one demonstrator's badge. Accessory and industrial exhibitors will be allowed four admis­sion tickets daily for 50 square feet or fraction thereof. Any abuse of the demonstrating privilege will cause cancellation of such privilege to that exhibitor.

24. Admission Fee. The admission fee to the public will be the established price of $ __ _

25. Special Tickets. Exhibitors will be furnished with a limited supply of special admission tickets at an established price of $, __ _ for the purpose of supplying their trade, but under no conditions are these reduced-rate tickets to be resold by exhibitors.

26. Precautionary Measures and Insurance. Neither the ___ Automobile Trade Association, the owners of the Building nor the management of the show shall be held responsible for any injury that may occur to an exhibitor or his employees, nor for the safety of any exhibit or other property against robbery, fire, accident, or any other destructive causes. If insurance is desired, it must be placed by the exhibitor at his own expense.

27. Damage to Building. No exhibitor may allow any article to be brought into or any act done upon the premises which will vitiate or increase the premiums on the policies of insurance held by the owners of any of the buildings, nor injure nor deface any part of the building, nor permit anything to be done by employees by which the premises may in any manner be injured, marred or defaced. Violation of this rule will annul the lease and the tenant will forfeit to the management

all moneys which may have been paid for rental and reimburse the owners of the building or buildings for the cost of repairing such damages.

28. No Inflammable Material. No gasoline, acetylene, explo­sives, or inflammable material will be allowed in any part of the buildings. No metal polish, rubber cement, or other goods that conflict with the rules of the fire departments may be exhibited or brought into the buildings.

29. No Smoking. Smoking will positively not be permitted in any part of the building. Infraction of this rule shall be sufficient cause for the eviction of the offender.

30. No Flash Pictures or Videos. No flash, video, movie or moving picture will be permitted. Photographs may be made only by persons appointed by the management.

31. Care of Spaces. No boxes, crates or packing cases will be allowed to remain in any space during the show. The management will arrange for sweeping and cleaning the building and exhibition spaces, but exhibitors must, at their expense, keep their respective spaces suitably arranged and their exhibits dusted and in good order. Exhibi­tors' employees are prohibited from sweeping dirt and from throwing waste paper, packing material, etc., into the aisles after they have been cleaned by the janitor service of the show. At such times attendants must remove waste material to a place provided in the building.

32. Removal of Coverings. All coverings of exhibits must be removed before the opening hour each day. Failure to comply with this requirement will result in the removal of coverings by employees of the show.

33. Removal of Goods. To prevent loss of goods the manage­ment \\ill not permit any exhibit or any portion of one to pass out except at the main entrances. The person in charge of removal will be required, if unknown to the clerk in charge, to present a written order from the exhibitor for the removal of the goods. Exhibits will not be permitted to leave the building at any time after the installment until after the close of the show, unless special permission is obtained from the management.

34. No Sales. No goods exhibited shall be sold for delivery during the continuance of the show.

35. No Changes. No change of cars or other goods may be made after the Sunday following the opening day except upon written permis­sion from the management.

36. Time Limit for Removal. Exhibits must be entirely re­moved from the building by 12 o'clock, noon, __ ___, 19_, unless the management serves written notice to the exhibitors specifying other­wise. Furthermore, in order to minimize theft or other disappearance of goods, no exhibit will be allowed to leave the building on Saturday

Ch. 16 EXHTBlTIONS AND SHOWS § 16.19 night, __ _, except for a good and substantial reason, and upon special permission from the management; otherwise, all exhibits will remain in place until official notification of removal is served by the management, at which time each exhibitor must take charge and be responsible for his exhibit until removed from the building.

37. Name of Representative. Each exhibitor must set forth in his contract for space the name of the person who will be in charge of the exhibit. The management will not accept or issue any order or transact any business on account of an exhibitor, except upon the written or personal request or application of such representative.

38. Hours of the Show. The exhibition will open to the public on __ _, 19_, at 10 a.m. and daily thereafter at 9:30 a.m. until and including 19_, and will close each evening at 10:30 p.m.

39. Arrangement of Goods. The arrangement of exhibits must be completed at 1 p.m. on the opening day of the show. Noisy or unsightly work will be prohibited after that hour. Goods received after the opening day must be arranged in the space before 9:30 a.m.

40. Homs and Other Alarms. No horn, bell, whistle or alarm of any kind may be exhibited, whether as part of the equipment of an automobile or as an independent exhibit, unless special permission is contained in the contract for space. No such permission will be given except upon the undertaking of the exhibitor that reeds shall be removed or such other alterations be made as to render the production of sound by the instrument, either by the exhibitor or the public, impossible. The management may, through its agents, make such examination of alarms as it may think fit at any time and immediately remove any which may be found to infringe this rule.

41. Lamps. Lamps may be lighted by electricity only. Rays of lamps must be continuously directed upon some stationary object in the space of the exhibitor. No lamps upon vehicles may be lighted without permit from the management.

42. Unoccupied Space. The management may, should any rented space remain unoccupied on the opening day, or at any time thereafter, rent said space to any other applicant, but this clause shall not be construed as affecting the obligation of the original lessee to pay the full amount of rental agreed upon in case the space shall not be relet.

43. Furniture. Exhibitors desiring desks, tables, chairs or rugs will furnish same at their own expense. If exhibitors will advise the management of their needs, every possible assistance will be given to secure same.

44. Application Blank. Each applicant must furnish the infor­mation and assurances provided for on the face of the application blank, and agree, by his signature thereto, to be bound by these rules and regulations.

45. Deposit. The management may demand of any applicant a deposit of the full amount of the rental of the number of square feet of space applied for, and in the event of failure of the applicant to make such deposit upon request, refuse an allotment.

46. Tire Changes. The management expressly declines to be responsible for any tire changes made upon cars. No such changes will be permitted after the Sunday following the opening day.

47. Catalogues. Catalogues, souvenirs, etc., approved by the management, may be distributed by exhibitors from their spaces, but in no other way.

48. Attendants. Uniformed attendants must be confined to the spaces occupied by their employers.

49. Bureau of Information. A bureau of information will be located in the main entrance of the building. A representative will be in charge at 9 a.m. on the day preceding the opening of the show, and continuously thereafter until the close. Any information desired by the exhibitors may be obtained there or at the manager's office.

50. Office. The office of the management of the ___ Auto-motive Exposition will be ___ until the opening of the show, __ _, and then at the ___ Building for the period of the show.

51. Matters Not Covered by Rules. All points not definitely covered by the rules are subject to the decision of the officials.
