1. INTRODUCTION

Cold Land Ltd. is a partnership business entity. Five shareholders own the company. 2. MARKET RESEARCH

Fruit and vegetable consumption have been growing rapidly in recent years in Bangladesh, as the economy grows and consumers diversify their diets. This trend is likely to continue in the future. Furthermore, domestic agricultural markets have undergone modernization due to rapid urbanization, agro-industrialization, rise of super markets and trade liberalization, and the procurement system is gradually shifting from traditional wholesale markets toward vertically

Page 3: business plan by lost history..docx

coordinated supply chains. At present, Bangladesh’s agricultural marketing system is often accused in the popular press of being inefficient. In the case of vegetables, aratdars and beparis have been found to be critical players in the market. Their margin was between 17-18% of the retail value and their return on working capital was found to be exceptionally high, although it is possible that the high margins are due to high marketing costs, which are in turn due, for example, to poor infrastructure. Inefficient marketing systems reduce demand from consumers and participation by farmers, who face significant challenges in seizing opportunities to participate in growing markets for high value, nutritious crops like fruits and vegetables. Marketing constraints include both high costs and risk. High marketing costs often stem from poor transportation networks, lack of market information, and sometimes from lack of competitiveness in the market. Production of fruits and vegetables can be very susceptible to pest outbreaks, and spoilage after harvest is an important problem due to the highly perishable nature of most fruits and vegetables. These factors in turn can lead to highly variable prices. If these constraints can be removed, farmers will earn more by specializing in crops for which they have a comparative advantage. Given the increased importance of fruits and vegetables in nutritionally balanced diets, it will be important to have efficient marketing systems that reduce risk and allow higher prices for farmers and lower prices for consumers.

2.1 FRUITS & VEGETABLES

2.1.1 MARKET SIZE AND DEMAND Bangladesh has a general sub-tropical monsoon climate The country is endowed with favorable soil and climate for cultivation of many

horticultural crops, yet total production is far less enough. One of the reasons for low production, despite of vary favorable climate condition, is the absence of commercial cultivation of fruits and vegetables.

Domestic consumption of fruits and vegetables has grown rapidly. Data indicate that per capita Consumption of vegetables increased by 11,5 % between 1995/96 and 2004/05. Fruits consumption increased a whole 25 % in the same period.

Growth in fruit and vegetable production has been steady in the last 10-15 years. Potato productions have more than triple since 2004/05.

Various initiatives has been taken since the early 1990s to promote exports, but export value of fruit and vegetable are still relatively low: For 2009-10 it was US$ 114.68 million and for 2008-09 it was US$ 83.85 million (equivalent to 0,78% and 0,60% respectively of total export earnings).

2.1.2 TRENDS AND CHALLENGES

A strong urbanization income and population growth suggest that demand for fruits and vegetables will continue to rise sharply on the local market in the years to come

Farmers are handicapped by inadequate knowledge of efficient harvest and storage practices leaves ample room for productivity imprudent.

Page 4: business plan by lost history..docx

Fruit and vegetable exporters, for the most part, have not taken advantages of opportunities to improve supply chain integration, improve product quality and packaging, develop new markets or sufficiently explored alternative modes of transportation.

Bangladesh is still far behind its potential in exploiting the benefit from the agricultural resources, especially within fruit, vegetables, fish.

2.1.3 OPPORTUNITIES

Investment in improving post-harvest technology, alternative modes of transportation as well as addressing basic productivity issues at the farm level would have a tremendous effect and could realize higher prices on the national and international market E.g. mango or pineapple, which are found in huge quantities and are underutilized in high seasons, could in form of e.g. juice be excellent for export purposes. Investment in processing facilities would be needed

Focus on dry and canned food for export could also be relevant. Strawberry is a new fruit coming up in Bangladesh and gain popularity among farmer Production of potatoes and processing for chips and/or starch products could also be an

opportunity. Another aspect of agricultural production is the potential to export equipment

technology, thereby improving processing and cooling facilities for storage purposes.

2.2 Fish (Hilsa)

2.2.1 DEMAND ANALYSIS

As the national fish, hilsha is popular through the country. The demand for this fish prevails all over the year. Especially during the pahela boishak, the demand for hilsa reaches the apex.

2.2.2 SUPPLY ANALYSIS

During the hilsha season the supply of the fish is enough and the price is normal. But in the off-season the supply is low but demand is high and as a result price reaches to its peak. 2.2.3 MARKETING SYSTEMS

In terms of volume, value and employment, the fish market in Bangladesh is large. The fish marketing systems are traditional, complex, and less competitive but play a vital role in connecting the fishermen and consumers, thus contributing significantly in the value adding’ process. The market chain from fishermen to consumers encompasses mainly primary, secondary and retail markets, involving sales agents, suppliers, wholesalers and retailers. Fishermen are the primary producers in the fish marketing chain. Fishermen work on their own boat or operate other people’s (locally known as mahajans) boats. The boat owners have full control over the fishermen as they have extended credit for the purchase of nets and other fishing equipment. Fishermen often feel exploited by the boat owners – that the prices they receive for their catch do not adequately reflect the prices paid for hilsa in the wholesale or retail markets where they are

Page 5: business plan by lost history..docx

subsequently sold.Fishermen tend to sell their catch at the landing centers to suppliers (locally known as baperies) with the help of commission-based sales agents (known as aratdars). As soon as the fishermen land the fish in the primary market, the sales agent takes care of landing, handling, sorting and auctioning by size-groups. In general, sales agents follow the incremental price system. In general, suppliers are tied to a limited number of sales agents. Suppliers commonly use boats, trawlers, micro-buses, buses and trains to transport hilsa from coastal areas to the wholesalers at urban fish markets who then sell to retailers.

2.2.4 Opportunity: high demand and weak marketing system open of a profitable business for cold land ltd.

3.1 RISK ANALYSIS

3.1.1Internal Risk

Financial risk

Managing enough cash during the inventory buying season. Most of the investment goes to technology and perishable inventory. Any problem

in technology and inventory may cause huge loss Buying through cash from farmers Credit sales Collection of account payable

Technological risk

The whole business is dependent on the high technology. Anytime technology problem may happen.

To run the technology electricity is must. Handling the heavy machineries is risky task.

Management Risk

Lack of real business experiences Lack of technological knowledge regarding cold storage business Dependency on the hired work forces

3.1.2 External Risk

Political risk

Political instability Local politics Local goons Attitude of local people

Environmental risk

Page 6: business plan by lost history..docx

Atmosphere of the country Floods and drought and other natural disasters.

3.1.3 Decision

From our market research and risk analysis we can conclude:

There is a growing market of vegetables, fruits and fish. Because of the health issues people are showing more interest in natural foods. Our market is expanding fast as more and more super shops are being opened every day. During off-season price of our target products are very high. One of the cause of this high

price is improper distribution channel All the internal risks can be overcome easily. External risk can also be minimized by building relationship with others and by taking

proper initiatives.

4. MARKETING:

4.1 Product:Initially Cold Land will be in the business with three kinds of products:

Fruits Vegetables Fish

4.1.1 Fruits:In Bangladesh most of the fruits are seasonal. At the season we can find a lot of fruits like mango, litchi, water melon, strawberry, banana, and some others. But these fruits are in the markets for a very short time. Cold Land will buy these fruits especially mango and litchi in the season from fields and process them and after that it will preserve all the fruits in the way so that our customer can get all these fruits in the off- seasons.

cold landpriceplacementpromotionproduct

Page 7: business plan by lost history..docx

4.1.2 Vegetables: Vegetables are our main product. As most of the vegetables are now-a-days grown all over the years, people usually don’t think to preserve the vegetables. This conception of the general people is our advantages. Because our research has shown us that some vegetables are in the market in the off seasons but in a very small quantity and with very high price. General people usually face budget constraints to buy those products. Cold Land will collect the vegetables in the seasons when those are abundant in the market and as a result the farmers do not get the real price, from the farmers directly with justified price. Cold Land will then preserve them and sell them in the market when the demand side will increase. This process has three direction effects;

Farmers will get a higher price Customers will get fresh vegetables in the off-seasons and with minimum of expense Cold Land will earn a healthy prof

4.1.3Fish:Fish is another crucial product for cold land. Among all the fish our special target is Hilsa fish. The reason is clear- Hilsa is only fish that is found in the river once in a year. Preservation of Hilsa fish is a very big profitable business in our country. A many cold storage businesses are preserving this fish and selling in the market in the off-seasons when the price is skyrocketing. Some of the businesses are exporting this fish in foreign markets. So Hilsa is a great potential for us to expand our business in the international arena.

There are also some controversies about the preservation of Hilsa fish. Many of the cold storages are accused to use formalin in preservation process. But cold land is very much aware of the health issues of the consumers. It will collect the fresh fish from the rivers and using modern technology it will preserve these fish in the best possible ways to ensure the highest quality

Shrimp is also a very attractive product for cold land.

Page 8: business plan by lost history..docx

4.2 Pricing:

Pricing policy for cold land will be demand as well as cost based. Depending on the demand and cost of the of the product price of all the product will be determined. General formula for determining the price of a specific item is as follows;

Price = buying price + cost of logistics + cost of preservation + 50% mark up.

e.g: price of 1 kg Hilsha may be..(150+ 20 + 50 + 110) = BDT.330

As cold land is committed to the growth of the business as well as to the consumers to provide them with the best possible quality foods with the minimum of cost, its pricing policy will not be strict all the time. Depending on the socio-economic condition of the country the pricing policy of the cold land will be always changing.

4.3 Placement:

Proper placement is very crucial for our business. Cold Land wants to make the placement the strength of the company. By maintaining proper distribution channel we will create a strong supply – chain management system to ensure the best market for our product with the minimum of cost. To do this we will collect all our products from field of farmers by our transportation system. Then we will also send our products to our customers by our own distribution channel. Our supply – chain management system will add extra value to our products.

Figure: Supply-chain management

4.4 Promotion:

For our business, we do not need much promotional activities. Our sales team will market our product to our target market directly. Maintaining a good relation with the customers is our priority. To create a customer base for our product we will also do some promotional activities.

6.5 Transport

The most challenging aspect of fish, vegetable, fruits transportation by road, river is the maintenance of the cold chain, for fresh, chilled and frozen products and the optimization of the packing and stowage density. Maintaining the cold chain requires the use of insulated containers or transport vehicles and adequate quantities of coolants or mechanical refrigeration. Continuous temperature monitors are used to provide evidence that the cold chain has not been broken during transportation. Excellent development in food packaging and handling allow rapid and efficient loading, transport and unloading of fish, vegetables, fruits products by road or by river. Also, transport of fish, vegetables, and fruits by river allows for the use of special containers that carry fish under vacuum, modified or controlled atmosphere, combined with refrigeration.

6.6 Quality

Whatever we deliver, no matter where, when or what the quantity, the quality is our trademark. Regardless of the points on the compass from which the products have come. We place high demands on our goods, just as we do on our suppliers. We select them with care and cultivate a personal relationship. We believe this to be a condition to doing good business: working together on the basis of trust, and undertaking ventures side by side. This way, we know exactly what we are getting, from where it has come, and under what circumstances it has been produced. “The best possible balance between supply and demand” This is our aim. Naturally, we have to react quickly to all the whims of the market, but speed is also extremely important when it comes to transport. A delay would mean a loss. Cold land has perfect facilities for providing fast, efficient transport. This way, we are literally and figuratively right in the middle of the market, we know how to get any place on earth, and we are always able to transport products under the very best conditions. Quickly, safely and responsibly.

the walls. White panels inside the cold room ensure more light inside the cold room. Doors: as the number of doors increase, the flow of operations is faster and the heat& moisture load increase. Vis-a-vis, as the number of doors reduces, the flow of operations slow down and the heat load increase. Hence, equilibrium has to be maintained for the two.Air Flow: ducting is critical in a cold store. However they also consume a lot of cold store space. Hence the duct has been placed on the gabel side of the cold room so that your valuable cold store space is not eaten up.Height of the Cold Room. : The more the cold room is of the shape of a cube the lesser is the heat load on the cold room. Also considering the windloads, fork lift operations, safety, the dimensions of the cold room has been designed.

6.8 Packaging and labeling

Cold land also handles Package and labeling. Our Package and labeling can be described as a coordinated system of preparing goods for transport, warehousing, logistics, sale, and end use.

The purposes of packaging Packaging typesPhysical protection Primary packagingBarrier protection Secondary packagingContainment or agglomeration Tertiary packagingInformation transmissionMarketingConvenienceSecurity

Physical protection: The objects enclosed in the package may require protection from, among other things, mechanical shock, vibration, electrostatic discharge, compression, temperature, etc.

Barrier protection: A barrier from oxygen, water vapor, dust, etc., is often required.

Containment or agglomeration: Small objects are typically grouped together in one package for reasons of efficiency. For example, a single box of 1000 Litchi requires less physical handling than 1000 single Litchi.

Information transmission: Packages and labels communicate how to use, transport, recycle, or dispose of the package or product.

Marketing: The packaging and labels can be used by marketers to encourage potential buyers to purchase the product.

Security: Packaging can play an important role in reducing the security risks of shipment. Packages can be made with improved tamper resistance to deter tampering and also can have tamper-evident features to help indicate tampering.

Convenience: Packages can have features that add convenience in distribution, handling, stacking, display, sale, opening, reclosing, use, dispensing, and reuse.

Primary packaging: Primary packaging is the material that first envelops the product and holds it.

Secondary packaging: Secondary packaging is outside the primary packaging, perhaps used to group primary packages together.

Tertiary packaging: Tertiary packaging is used for bulk handling, warehouse storage and transport shipping.

7. Management, organizational structure & HRM

The organization structure is going to be designed as to a top to bottom structure. This is to ensure the decision making and flow of control remains at the top. The company is going to be designed as such that the flow of control and management is very clear, such that the individual level of authority is going to be very visible.

The level of authority is going be very noticeable so that everyone knows their distinctive job and command in their individual field or duty. Every level of authority is going to have a superior level of management to answer to, thus responsibility for failure or success is clearly visible.

At the top, the five shareholders or owners are going to represent the company as their directors. Amongst the five directors are going to be elected a managing director in according to major shareholding or by anonymous voting system. The managing director will act as the head of the company to whom all the inferior levels of management are going to report to.

Thus the role of the managing director becomes very significant. The managing director will influence the well being and the direction of the company. Therefore the other directors will have to be careful in selecting him. But the managing director is definitely have to answer to the board of directors who will have authority to take that power away and re-elect a new managing director in case of any dissatisfaction.

The rest of the company will follow the same sort of order of authority. Right under the managing director is going to be the general manager, who in turn is going to head all the managers under him. The general manager is hereby responsible for all the managers and their respective results, and all the managers responsible for their subordinates. They will all report to their immediate superiors.

This ensures there is no excuse available for failure to complete duties. This is will also ensure that all orders are followed out as per commanded. The immediate superiors therefore can concrete on their individual duties which will result to better productivity and effective methods of utilization.

This way the company can achieve the perfect synergy it requires to perform effectively and proficiently. Concentrating on their individual duties and department, one can be sure of what

Page 17: business plan by lost history..docx

they are to achieve and gain greater knowledge and experience. Of course, once in a while training programs or seminars may be required to clearly show all the subordinates what they are expected to do and how collectively their excellences in respective fields create a greater product and service.

Through this Cold Land Ltd. will control that the objectives set are met through close control and chain of order.

Like we have mentioned before Cold Land is customer driven company. Without knowing what our customers’ needs and wants are, we don’t exist. To achieve our mission objective we need to provide our customers with the products at the right price, at the right place and at the right time. This is where our organization synergy counts the most.

In order to fulfill our promise, all our departments need to work together and for each to meet the demand. First and fore mostly, it is important to figure out what we need to deliver our customers with.

This is where all the departments contribution come together to contribute to the final product. Under all the supervision of the Managing Director who decides the right direction for the company which is in the best interest of all the directors, stakeholders and the company itself. The marketing team through various research techniques tells the production department what the market demands.

Through various and careful screening and reviewing results, the company then evaluates the items Cold Land Ltd. will be willing to store. Then again the production department tells the higher management which ones are possible and which ones are not possible to be bought and supplied at the right quality and time given the technological and chemical existing advancements. Here again the finance department do their work and show which ones are feasible.

Meanwhile, the research and development team work their magic and make things possible and help the company achieve their goals at a more profitable manner. That is up to the sales and marketing team to push the sales and image of the company to its intended target.

This process hereby takes on repeatedly and in various combinations to achieve Cold Land Ltd.’s goals and objectives. Thus the organization chart is designed in such method that the best possible outcome can be achieved.
