MANAGEMENT REPORT - BRIGHT CAP MOMENTUM 2018

The investment strategy of the fund is to invest in listed European stocks, selected for their outperformance against the Eurostoxx 50 index over time horizons of 15 days, 1 month, 2 months, and 3 months. The portfolio of 80 stocks selected is then systematically hedged to neutralize exposure to stock market fluctuations. The 2018 financial year had two major phases: until August, the fund delivered a slightly positive, fairly regular performance. From the end of August 2018, the sudden return of risk perception by stock investors (rising trade tensions (China-United States), European concerns over the euro zone (Brexit), economic slowdown in China and indebtedness companies) has resulted in a sudden and profound change in their sectoral allocations, seeking to reduce their risk exposures as quickly as possible until the end of the year. In this context, the stock selection model requiring 2 to 3 months to readjust the portfolio to this violent sectoral reallocation, the Fund experienced a concentrated decline between September and December 2018, ending the year 2018 with a decline of 6, 1%.

In Q1 2018, the fund grew + 0.9% against -4.1% for the Euro Stoxx 50 and + 2.4% for the bond rate index (JP Morgan EMU 10-15 Y). In Q2 2018, the fund posted a performance of + 0.2% versus 0.1% for the Euro Stoxx 50 and -2.2% for the bond index (10-15 years). In Q3 2018, the fund fell -1.3% while the Euro Stoxx 50 rose 2.5% and the bond index (10-15 years) was down 0.5% Finally, in Q4 2018, the fund declined by -5.8% while the Euro Stoxx 50 dropped -13% and the bond index rose by + 1.4% (10%). -15 years). In the end, the fund's performance in 2018 was -6.1% against -14.3% for the Euro Stoxx 50 and + 1.1% for the bond index (10-15 years), with a NAV of 10,834 euros per share. Despite this negative performance, the Bright Cap Momentum Comfort Fund was able to weather these major market turmoils with low volatility (7.4%) compared to that of the Euro Stoxx 50 index (13.6%). The fund's investment policy is to buy quoted shares when they are on technical support after having dropped significantly, and to hedge this portfolio by selling futures on the Euro Stoxx 50 index. This strategy has been heavily affected by last quarter when investors accelerated sales on stocks that had already fallen significantly to not display them in their portfolios on December 31: an aggressive capitulation phase. As an example we can cite Iliad and Atos. For the full year of 2018, the fund posted a decline of 13.6% against a backdrop of a sharp drop in the Euro Stoxx 50 to -14.3%, despite a net limited exposure to the market. In Q1 2018, the fund gained 0.7% against a decline of -4.1% in the Euro Stoxx 50 and a 2.4% rise in the bond index (JP Morgan EMU 10 -15 Y). In Q2 18, after having withstood the Q1 downturn, the fund recorded a -4.9% decline while the Euro Stoxx 50 rose by 0.1% and the bond index (JP Morgan EMU 10-15 Y) decreased by -2.2%. In Q3 18, the fund was down 3.4% against a rise of 2.5% for the Euro Stoxx 50 and 0.5% for the bond index (JP Morgan EMU 10-15 Y) . Finally, in Q4 18, the fund held up better than the Euro Stoxx index (-13%) but did not register a positive performance (-6.6%). Over the same period, the bond index rose by 1.4%. In total, the fund declined by 13.6% over the year and at 31.12.18 the fund's NAV was € 882.03 per unit. The new list of securities selected for 2019 is now in place and we expect it to perform as well as the historical lists which, over a long period of time, have been able to deliver a relative performance of 8 to 10% per year compared to the previous year. This new list has a rather defensive profile and should behave better now that cyclical stocks have made a major move and that the continued rise in indices should be fueled by defensive stocks. The new list of securities selected for 2019 is now in place and we expect it to perform as well as the historical lists which, over a long period of time, have been able to deliver a relative performance of 8 to 10% per year compared to the previous year. The fund is a mixed securities fund, which grew since inception by +40% in two years, then went down this year by 13% as of now. Since year end 2018 the fund catched up and reached +38% since inception in three years time, receiving the 5 Stars rating from Morning stars. The fund is a mixed fund which chose not to invest into any future/options/derivatives of any kind, and not make any leverage, so it is a pure mixed securities 50% equity 50% bonds. For the Fall 2018 the stock markets were terrible for equities, as well as the bond markets due to the interest rates risen up by US Fed. We made the choice of keeping all assets in temporary unrealized losses, and to sell all the ones in profit. Why ?

- we locked the so called “acquis de croissance” and you can see in the accounts “portfolio

valuation” that we made 1,689,086.76 euro in realized gains on equities, while we have a large

unrealized loss in Bonds for instance.

- we kept almost all bonds with a temporary unrealized loss, because our strategy is to buy and

hold all bonds until final reimbursement, if shareholders remain invested this strategy

guarantees that the bonds will be reimbursed at PAR (100%), which means that the fund will

mechanically and progressively in the next 3 years on average gain back all unrealized losses

on capital, while it continues to receive interests via the coupons at a rate of 6% which is far

higher than the administrative fees of the fund (around 0,5% for share class A).

This strategy works of course only if investors do not redeem. We continue to receive regular

subscriptions from private investors, while the large institutional investor who subscribed 20 mio is

redeeming progressively its assets as the BCP EI was a temporary parking of cash for its private equity

investments. When we sell some assets to honor redemptions, we apply to large amounts an exit fee

which is the rounding up of the transaction costs and difference between bid/ask on prices of

securities, so that each large redemption sustains mechanically the NAV price, so redeemers subsidize

the remaining shareholders. We prefer to apply this methodology rather that gating the large

institutional investor.

Most investors trust that the long term buy and hold strategy will work, and the fund does not want

to pay broker fees to cover a temporary drop down of the NAV price linked to stock markets, as this

would then be a waste of cash. So the fund continues the strategy to receive much more cash (via

dividends and interests) than to pay (mgt and transaction fees), therefore the fund is in permanent

net cash recipient position structurally.

Some other competitors use massively the derivatives to cover their fund against temporary downside

of the stock market curve, but if they once make the wrong choice, then their performance sinks

massively with a leverage downwards. And apart from the Nasdaq bubble for GAFAM, all stocks

markets worldwide suffer from turmoil, same for bonds markets, raw materials and metals, including

emerging markets. So keeping them until maturity involves receiving the Yield to maturity which will

be above 6% per year. A potential risk could have been the currency risk, this is why we kept only

Euro-based assets (1 single asset in PLN in Poland), and only companies we know. We also avoid back

and forth and lots of trading, to reduce the fees to the bare minimum; The assets chosen are

strategically chosen in areas where we know that the real value of the company is far above the stock

price, with a growth expectation which is clear and almost automatic due to their situation in terms

of product cycle or market positioning, generally high quality on exporting sectors.

Several large financial institutions did reference our fund in France for distribution (Allianz, Axa,

Société Générale/MFEX, Nortia, HEts, Vitis Life, Wealins etc…) and the positive impact on subscription

will be experiencedlater in 2019, as they all wait the fund to be 3 years old (conditions to sell openly

funds are 3 years+ 10 mio min + positive net perf since inception, we do not yet meet the condition of

the 3 years as we started in April 2016). The sub fund will continue this strategy and continue also to

enlarge the scope of the distributors wishing to offer the product, so that the numerous subscriptions

of small investors and the increase of our own investments secures the fund above a threshold that

guarantees its future.

The bond market underwent a difficult year in 2018 mainly because of a pick up in credit spreads.

Over the course of the year, we saw volatility picking up in the market and a slowdown of the economic

activity especially in Europe. We thereforce decided to sell the bonds we considered the riskiest and

to increase our holdings in cash, money market and sovereign bonds. As of december 31st 2018 the

fund was 87% invested in bonds, 8% in cash / money market and the remaining in diversified products

During 2018, BRIGHT CAP – GLOBAL BALANCED (B share) NAV went from 1,025.09 euros on

31/12/2017 to 1,009.55 euros on 31/12/2018 which is a 1.5% decrease. The fund outperformed the

bonds bencmark ; Indeed, the Ibox High yield euro fell 3.37% and the Ibox investment grade euro fell

1.74% during the same period.

The fund’s assets went from 16.2 to 18.6 million euros during the same period.

For 2019 we think the world economy will continue to deteriorate and we have therefore decided to

keep a conservative allocation to navigate safely through these uncertain times.

The sub-fund had been active from 22nd June 2016 to 8th of August 2018.

Currently there is no investor, no asset, no NAV calculation, so that no performance can be calculated

and disclosed at year-end.

The sub-fund will be reactivated later in 2019 and is therefore considered as dormant for now.

This sub fund was launched in December 2015 and is under umbrella fund Bright Cap in Luxembourg.

The strategy of the Fund is to invest directly or indirectly in units or shares of bond related Investment

Funds, as well as financial instruments (including financial derivative instruments and ETFs) related to

debt market. The fund shall be able to invest directly into bonds. Targeted bonds will be issued by

governments, governmental bodies and corporates from around the world.

The proportion of the Sub-Fund invested in bonds, units or shares of Investment Funds, financial

derivative instruments is not fixed and may vary.

Over the year 2017, the exposure on US treasuries long and High Yield Europe increasing our

involvement in Emerging Markets bond instrument, reducing thereby level of cash. Over 2018, the

investments shifted towards European funds following implementation of new regulations.

This sub fund was launched in December 2015 and is under umbrella of Bright Cap SICAV Fund in

Luxembourg.

Our strategy is to invest directly or indirectly in units or shares of equity and bond related Investment

Funds, as well as financial instruments (including financial derivative instruments and ETFs)

representing financial indices globally. The fund shall be able to invest directly into bonds. Targeted

bonds will be issued by governments, governmental bodies and corporates from around the world.

The proportion of the Sub-Fund invested in equities, bonds, units or shares of Investment Funds,

financial derivative instruments representing financial indices is not fixed and may vary.

In 2016, the proportion between bond instruments and equities instruments was close to a fifty-fifty

balance. Over 2017, the focus was marginally shifted towards equities including instruments with

short exposure to the main European and US equity markets. Over 2018, the investments shifted

towards European funds following implementation of new regulations.

We have audited the accompanying financial statements of BRIGHT CAP, which comprise the combined

statement of net assets and the statement of net assets of each of its compartments, the statement of

investments as at December 31, 2018, and the combined statement of operations and changes in net assets

as well as the statement of operations and changes in net assets for each of its compartments for the year

then ended and notes to the financial statements, including a summary of significant accounting policies.

In our opinion, the accompanying financial statements give a true and fair view of the financial position of

BRIGHT CAP and of each of its compartments as of December 31, 2018, and of the results of its operations

and changes in its net assets for the year then ended in accordance with Luxembourg legal and regulatory

requirements relating to the preparation of the financial statements.

Basis for Opinion

We conducted our audit in accordance with the Law of 23 July 2016 on the audit profession (“Law of 23

July 2016”) and with International Standards on Auditing (“ISAs”) as adopted for Luxembourg by the

Commission de Surveillance du Secteur Financier (“CSSF”). Our responsibilities under those Law and

standards are further described in the « Responsibilities of “Réviseur d’Entreprises agréé” for the Audit of

the Financial Statements » section of our report. We are also independent of the Fund in accordance with

the International Ethics Standards Board for Accountants’ Code of Ethics for Professional Accountants

(“IESBA Code”) as adopted for Luxembourg by the CSSF together with the ethical requirements that are

concern and using the going concern basis of accounting unless the Board of Directors of the Fund

either intends to liquidate the Fund or to cease operations, or has no realistic alternative but to do so.

The objectives of our audit are to obtain reasonable assurance about whether the financial statements

as a whole are free from material misstatement, whether due to fraud or error, and to issue a report of

“Réviseur d’Entreprises agréé” that includes our opinion. Reasonable assurance is a high level of

Note 1 - Activity BRIGHT CAP (formerly Aria SICAV, the "Company") is an open-ended investment fund and has been incorporated on 28 October 2009 for an unlimited period of time and is organised as a société d’investissement à capital variable (a multiple compartment investment company with variable share capital). The Company is registered in the Grand Duchy of Luxembourg pursuant to part I of the Luxembourg Law of 17 December 2010 on collective investment undertakings, as amended (loi relative aux organismes de placement collectif) (“the Law of 2010”) The Board of Directors of the SICAV may authorise the creation of additional sub-funds/sub classes in the future. As of 31 December 2018, the following sub-funds are active:

- MOMENTUM COMFORT - GLOBAL BALANCED - SELECTION V ZEN (since 14/11/2017) - EUROPE INCOME - IFM GLOBAL CAPITAL ACCUMULATION - IFM GLOBAL ACTIVE ALLOCATION

Note 2 – Principal accounting policies 2.1 Presentation of the financial statements The financial statement is prepared in accordance with Luxembourg legal and regulatory requirements relating to investment funds. 2.2 Dividend and interest income Dividends are shown net of withholding tax deducted at source, and are recorded as income on the ex-dividend date. Interest income is accrued on a daily basis. 2.3 Foreign currency translation The accounts are maintained in EUR and the financial statement is expressed in that currency if not specified otherwise. The acquisition cost of securities expressed in a currency other than the reference currency of the respective sub-fund is translated at the exchange rates prevailing on the date of purchase. Income and expenses expressed in currencies other than the reference currency of the respective sub-fund are converted at exchange rates ruling at the transaction date. Assets and liabilities expressed in currencies other than the reference currency of the respective sub-fund are converted at exchange rates prevailing at year-end. The realized or unrealized gains and losses on foreign exchange are recognised in the statement of operations and changes in net assets. NOTES TO THE FINANCIAL STATEMENTS AS AT 31 DECEMBER 2018 (CONTINUED) 2.4 Valuation of investments in securities a) Standard valuation policy Securities listed on a recognised stock exchange or dealt in on any other regulated market that operates regularly, is recognised and is open to the public, are valued at their last available closing prices, or, in the event that there should be several such markets, on the basis of their last available closing prices on the main market for the relevant security. Certain investments of the Fund may, depending upon market conditions, trade in relatively thin markets that experience significant volatility. As a result of these conditions, the prices used to value securities may differ from the value that would be realized if these securities were sold, and the differences could be material. In the event that the last available closing price does not, in the opinion of the Board of Directors, truly reflect the fair market value of the relevant securities, the value of such securities is defined by the Board of Directors based on the reasonable foreseeable sale proceeds determined prudently and in good faith. Securities not listed or traded on a stock exchange or not dealt on another regulated market are valued on the basis of the probable sale proceeds determined prudently and in good faith by the Board of Directors of the Fund. Short term investments of sufficient credit quality are valued at amortized cost, which approximates market value. In the event of material changes in market conditions, the valuation basis of the investment is adjusted to market yields. Investments in open-ended UCIs are valued on the basis of the last available NAV of the units or shares of such UCIs. b) Additional information – year-end valuation The financial statements are presented on the basis of the latest NAV calculated during the financial year (i.e. 31 December 2018). In accordance with the Prospectus the NAV was calculated using the latest market value and exchange rates known at the time of the calculation. 2.5 Swing pricing / dilution levy No swing pricing or dilution levy are applicable to this sub-fund. 2.6 Realized gains and losses on sales of investments in securities Investments in securities are accounted for on a trade date basis. Realized gains and losses on sales of investments in securities are usually determined on the average cost basis and include transaction costs. 2.7 Short positions on investments The valuation of short positions on investments is determined following the same rules as those applicable to investments in securities (long positions) detailed in note 2.5 above and is presented on the liability side of the statement of net assets, under “Investments at market value”. The change in unrealized appreciation / (depreciation) resulting from these short positions is presented in the statement of operations and changes in net assets under the item “Change in net unrealized appreciation / (depreciation) on investments”. Any realized gain (loss) is presented in the statement of operations and changes in net assets under “Net realized gains / (losses) on investments.”

2.8 Mortgage related securities – To Be Announced securities (TBAs) The fund entered into no mortgage related securities or TBA securities during the financial year. 2.9 Options Outstanding options traded on a regulated market are valued based on the closing price or the last available market price of the instruments. OTC options are market to market based upon daily prices obtained from third party pricing agents and verified against the value from the counterparty. The market value of options is included in the statement of net assets under the heading “Options bought/(written) at market value”. The realized gains / (losses) and change in unrealized appreciation / depreciation on options are disclosed in the statement of operations and changes in net assets respectively under the headings “Net realized gains/ (losses) on options” and “Change in net unrealized appreciation/depreciation on options”. 2.10 Futures contracts Futures contracts provide for the delayed delivery of the underlying instrument at a fixed price or for a cash amount based on the change in the value of the underlying instrument at a specific date in the future. Upon entering into a futures contract, the Fund is required to deposit with the broker, cash or securities in an amount equal to a certain percentage of the contract amount which is referred to as the initial margin account. Subsequent payments, referred to as variation margin, are made or received by the Fund periodically and are based on changes in the market value of open futures contracts. The unrealized appreciation/(depreciation) on future contracts is disclosed in the statement of net assets under “Unrealized appreciation/(depreciation) on futures contracts”. Changes in the market value of open futures contracts are recorded as unrealized appreciation/(depreciation) in the statement of operations and changes in net assets under “Change in net unrealized appreciation/(depreciation) on futures contracts”. Realized gains or losses, representing the difference between the value of the contract at the time it was opened and the value at the time it was closed, are reported at the closing or expiration of futures contracts in the statement of operations and changes in net assets under “Net realized gains/ (losses) on futures contracts”. Securities deposited as initial margin account are designated in the statement of investments and cash deposited is recorded in the statement of net assets. A receivable and/ or a payable to brokers for the daily variation margin is also recorded in the statement of net assets. 2.11 Forward foreign exchange contracts Forward foreign exchanges contracts are remaining open at closing date are valued by reference to the forward foreign exchange rate corresponding to the remaining life of the contract. Realized gains / (losses) and change in unrealized appreciation / depreciation resulting therefrom are included in the statement of operations and changes in net assets respectively under the headings “Net realized gains/ (losses) on forward foreign exchange contracts” and “Change in net unrealized appreciation/depreciation on forward foreign exchange contracts”.

2.12 Securities lending, repurchase and reverse repurchase agreements a) Securities lending The fund may lend securities included in its portfolio to a borrower. To guarantee this transaction, the fund receives collateral. Securities lending attracts remuneration for the fund according to the contracts. This remuneration is accounted for in the statement of operations and changes in net asset under “Other income”. Securities on loan are delivered to a third-party broker, the assets of which continue to be valued as part of the portfolio of the fund. b) Repurchase and reverse repurchase agreements A repurchase agreement is an agreement under which, on payment of the purchase price, the fund receives (purchases) securities from a seller who agrees to repurchase them at or within a specified time at a specified price. 2.13 Credit Default Swaps (CDS) A CDS is a credit derivatives transaction in which two parties enter into an agreement, whereby one party (the protection buyer) pays the other (the protection seller) a fixed periodic coupon for the specified life of the agreement in return for a payment contingent on a credit event. If such an event occurs, the protection seller will then make a payment to the protection buyer and the swap will terminate. CDS are marked to market based upon daily prices obtained from third party pricing agents and verified against the value from the counterparty. Realized gains / (losses) and change in unrealized appreciation / depreciation resulting there from are included in the statement of operations and changes in net assets respectively under the heading “Net realized gains / (losses) on swap contracts” and “Change in net unrealized appreciation / depreciation on swap contracts”. 2.14 Other swap contracts The fund completed no other swap contracts during the financial year. 2.15 Formation expenses Formation expenses are amortized on a straight-line basis over a period of five years.

Note 3 – Management fees

The Investment Manager is entitled to a fee payable at the end of each quarter and calculated on the average NAV of the sub-fund during the month.

The detail of the management fees applied for each sub fund is available in the prospectus of the fund.

Note 4 – Administrative and domiciliary agent fees The administrative and domiciliary agent is entitled to receive fees and commissions for its services rendered to the fund. The specific details for each sub fund are available in their dedicated annex of the prospectus.

The exact value of the fees paid during the financial years is also detailed in the respective statement of operations of each sub fund previously in this document.

Note 5 – Investment management/advisory fees The investment manager is entitled to a maximum fee of 1.75% payable at the end of each quarter and calculated on the average NAV of the sub-fund during the month.

The detail of the management fees due by each sub fund is available in the prospectus of the fund.

Note 6 – Custodian fees The custodian receives a fee at the end of each quarter which is chargeable against the NAV of the sub-fund. The fee is determined with a percentage specific to each sub fund directly linked to its complexity. A minimum fee is also defined case by case.

The details are defined in the prospectus.

Note 7 – Transfer agent fee The Fund pays a fee to the transfer agent. This is currently incorporated into the administrative and domiciliary fees charged to the fund.

Note 8 – Distribution fee No active share classes are currently subject to distribution fees.

Note 9 – Taxation Under legislation and regulations prevailing in Luxembourg, the fund is subject to the “taxe d’abonnement” (subscription tax) at the rate of 0.05% per annum. The “taxe d’abonnement” is calculated on the basis of the NAV of the sub-fund on the last day of the quarter and payable quarterly to Luxembourg authorities. The portion of the assets of each sub-fund invested in other Luxembourg UCI already subject to the “taxe d’abonnement” is not subject to the aforesaid tax.

Note 12 – Dividends The Board of Directors decided not to distribute dividends for the financial year to date.

Note 13 – External Asset Manager or Investment Advisor The Asset Manager of Global Balanced is Victory Asset Management S.A. domiciled at 28 Avenue Marie-Thérèse, 2132 Luxembourg, a Management Company regulated in Luxembourg.

Note 14 – Events subsequent to the financial statements The Board of the Bright Cap Fund take notes regarding the resignations of Mr. Maciej Waloszyk of 11th January 2019, Mr. Gerry Salucci of 26th March 2019 as directors of the Fund. Mr. Christian Denizon tendered also on 16th March 2019 his resignation, considering that he continues to act as Chairman of Finexis SA, which is the management company of the fund.

The Board of the Bright Cap Fund take notes regarding the appointment Mr. Franck Bergeot as Chairman of the Board of Directors.

FINEX HONG KONG LTD will be acting as asset manager for Bright Cap Selection V, subject to the formal prior and approval from the CSSF.
