Page 3 of 5 4‐97: AUTHORIZING THE APPOINTMENT OF ZONING BOARD OF ADJUSTMENT MEMBER – RICARDO ALONSO CONSENT Moved by Councilman Cascarano, seconded by Councilman Brown. Discussions Ensued. COUNCIL COMMITTEE REPORTS: Councilman Brown reported that the Environmental Commission raised a question about the recent oil spill on Forest Avenue and the concern is if there is any discussion about testing in regards to that spill and if there is any type of contamination and Bill Frint responded that there is no contamination in the water. Essex Fells was required a safe drinking water act several years ago and they had to survey all their wells and they are not under the influence of surface water which meaning something washing over cannot enter the wells that is close to the area and there are no wells located near Forest Avenue area. Councilman Brown continued his report the Environmental Commission has applied for ANJEC Grant if they do get the funding which would be $1500.00, they would be putting that towards the Personette Street Park. The Sustainable day will be on May 2nd in between Community Center and Borough Hall. There is an Earth Day and Arbor Day contest for grades K-8, high school, college and adult’s to participate. The information is on the website and the date for submission is Friday, April 24th 8:30 – 4:30PM at Borough Hall and Saturday, April 25th by 12PM at the Caldwell Public Library. Councilman Hauser reported that the Open Space Committee had their meeting and there was a lot of discussion on the use of the funds that were collected and some questions that were asked. At the Senior Transportation meeting there was a gentleman from a bus company that talked about what is available and there are no diesel buses that are viable for the same type of bus we currently have which is a 16 seat bus that will hold 20 without the wheel chair use. They talked about Hybrid and electric and essentially there is no option due to the cost. On April 20th there is a public meeting with CDBG to approve the grant for the bus. Councilman Cascarano reported on the Planning Board and they have considered a resolution by the University to switch the traffic pattern on one of their roads by changing the parking in order to allow more parking for students. It was passed unanimously with minor issues concerning trees and fire hydrants. The Personnel committee has distributed the draft Employee manual and they look forward to any comments from Council. OLD BUSINESS: Historic Commission Ordinance /Discussion Greg Mascera reported that a red line copy of the existing ordinance and the proposed modifications to that ordinance was distributed to the Council. The ordinance can be reintroduced at the next meeting. David Cowell 29 Brookside Avenue, the Historical Preservation Commission is having a walking tour Parsonage Hill on Saturday, April 11th at noon. NEW BUSINESS: Public Meeting Conduct / Discussion Council President O’Donnell reported that he attended the Zoning Board meeting where the attorney’s in two applicants in his opinion and the opinion of most people attending is they misbehaved to the point that the Police were called and he thought their conduct was threating, aggressive to these Board members and whatever we decide and resolve should apply to Council meetings. He would like to come up with a procedure that these boards can follow in the event this occurs again and it should include contacting the Police Department and have them removed. Greg Mascera responded that we can create by ordinance or resolution a procedure. Right now the Mayor conducts the meeting and the Mayor now has the authority to request the removal of any participant for reason the Mayor believes is actions that are disruptive. As far as the Planning and Zoning Boards those Boards can adopt and we can ask the Board to please consider but we can’t make those rules because they are autonomist but we can ask them to consider creating bi-laws. Greg will speak to Ms. Durkin and Mr. Trembulak and see if they can come up with a policy that is consistent with this Council and the two Boards.

Page 4 of 5 REPORT OF MAYOR: Mayor Dassing reported that she was contacted by A Salt & Buttery their formal opening is on May 2nd at 9AM and the owner has commented on what a warm welcome she has received from Caldwell. The Mayor thanked Ann Marchioni and the Environmental Commission for putting together a grant to ANJEC for the Personette Street property. A question was brought up by Councilman Hauser about combining the Environmental Commission and Open Space and Greg Mascera responded that by statute we need the Environmental Commission and he is not sure but will find out if by statute about an Open Space Committee. Ann Marchioni responded that she contacted ANJEC and there are some instances in New Jersey where the Open Space has merged with the Environmental Commission. REPORT OF BOROUGH ADMINISTRATOR Paul Carelli reported on the following:

• The Sewer plant clarifier reinforcement is underway. The footings were poured and Greg Seaman is keeping an eye on that

• Borough Hall improvements are moving along. The Court office has been remediated basically gutted. There is electric wiring being done with new lights and outlets.

• We opened proposals on March 31st for the revaluation and we received two proposals one from Appraisal Systems, Inc. for $169,985 and one from Professional Property Appraisers for $177,558 and will be evaluated in the same matter as we did with the sewer plant. There is a committee and a check list that needs to be reviewed.

• We did the final draft of our employee manual it was presented to the department heads at our safety meeting and it was also given to the JIFF for their review. He would like to put it on the next meeting to adopt it.

• There is a meeting at the sewer plant on Thursday morning at 10AM with PSE&G for the 2nd meeting for the solar panel project.

• Last week’s safety meeting we received an award for $1000.00 with a new plaque that is hanging in the hallway. That’s an award we get for conducting meetings and the Chief and Fred Arnold are instrumental in going to the meetings as with Lisa handling all our claims in a timely matter.

• He will be sending out information about refunding our bonds. The bonding company had looked at our debt service for our 2005 General Improvement Bonds and our sewer bonds. We have ten years left on those and it’s basically a refinance which the State encourages that we refinance when it’s beneficial to the town. Anything over a 3% saving they don’t want approval you can go ahead with that. He believes it’s almost and 8% savings based on refunding these bonds we will save about $275,000 present value savings.

Councilman O’Donnell asked about the open invoice with Hatch Mott that we are disputing and is that still being negotiated with and Paul responded that it has been negotiated to being cut in half. REPORT OF BOROUGH ATTORNEY: Greg Mascera reported that Mr. Ingris has filed a motion in Federal Court trying to consolidate every one of his dismissed State Court actions into a Federal Court action. Mr. Kenny who is the JIFF appointed attorney on our behalf wrote a lengthy letter to the Federal Court Judge. REPORT OF POLICE CHIEF: James Bongiorno reported that April is nationwide Distracted Driving Awareness month which started April 1st through April 21st no cell phones or texting. On April 18th the Smull Lot will be closed between noon and 10PM the Lincoln School is having the Italian Culture Festival. OPEN PUBLIC MEETING: Moved by Council President O’Donnell seconded by Councilman Cascarano to open meeting to the Public. Richard Basta, Historic Preservation thanked the Mayor and Council for sending the Historic Preservation Committee to a training session. On a motion made by Councilman Brown and seconded by Councilman Capozzoli, unanimously affirmed, the Council moved into Executive Session at 9:10P.M. This Executive Session shall continue for an indefinite period of time and upon termination of the Executive Session, the Governing Body may choose to resume the public portion of the meeting. The discussion, which shall be conducted in closed session, shall be disclosed upon termination of litigation or contractual matter, upon resolution of the personnel matter with consent of said person or persons and as provided by N.J.S.A. 4-12 but in no case later than two (2) years from this date. These minutes shall be available as soon as the matter is resolved or not later than two years hence. The Executive Session will be discussion of contracts and agreements in regards to 14 Park Avenue Building. The Executive Session was adjourned and upon a motion by Councilman Capozzoli seconded by Council President O’Donnell, the Council Business Conference Meeting was opened to the public and the press at 9:33P.M. BEITORDAINEDbytheCounciloftheBoroughofCaldwellasfollows:ThatChapter130,oftheBoroughofCaldwell,isherebyrepealedinitsentiretyandsubstitutedwiththefollowing:Chapter130,SHALLGOVERNTHEHISTORICALPRESERVATIONCOMMISSIONANDSHALLSETFORTHTHEREGULATIONSGOVERNINGTHEOPERATIONOFTHECOMMISSIONasfollows:Chapter130Section130–1FindingsTheBoroughgoverningbodyfindsthatthehistorical,cultural,architecturalandsocialheritageoftheBoroughisgivenintrustfromgenerationtogenerationtobeused,enrichedandthenpassedon;thatthecharacter,lifestyleandthequalityoflifeintheBoroughdependingreatmeasureuponprotectingthisheritageofthepast;thattheongoingpresenceofhistoricstructures,landmarksanddistricts,asanessentialelementofmunicipalcharacterandidentity,isanimportantfactorintheeconomyofthemunicipalityandthepropertyvaluestherein;thatsuchstructures,landmarksanddistrictsarevitaltotheeducationandcivic‐mindednessofthemunicipality'syoungpeople;thatcertainfactorssuchasinattention, deterioration and redevelopment threaten such structures and districts; and that thewelfareofthemunicipalityisdependentuponthepreservationofhistoricheritage.Section130‐2PurposesThepurposeofthisarticleistoprovideamethodbywhichtolocateandidentifyhistoricalstructures,landmarks and districts within the Borough of Caldwell and to regulate the repair, alteration,replacement,removalanddemolitionofhistoricalstructuresandtootherwisepreventtheabuse,loss,removalanddestructionofhistoricalstructuresandlandmarkswithinthecommunitybyreasonofneglect,improperrepairandalterationanddevelopment;totherebypreservethehistorical,cultural,architecturalandsocialheritageofthecommunity;andtotherebyfostercivicprideandtheeconomic,socialandeducationalwell‐beingofthecommunity.Section130‐3InterpretationsA.ItistheintentionoftheCaldwellgoverningbodytocreateanagencytoassistintheidentificationofhistorical siteswithin themunicipalityand to createa systembywhich toadminister regulationsdesignedtopreserveandregulatehistoricalsitesbaseduponarationalplanandobjectivewhichwillcomplementexistinglanduselegislation.B.Nothinghereincontainedshallsupersedethepowersofotherlocallegislativeorregulatorybodiesorrelieveanypropertyownerofcomplyingwiththerequirementsofanyotherstatestatuteormunicipalordinanceorregulation.C.Intheeventofanyinconsistency,ambiguityoroverlappingofrequirementsbetweenthisarticleandanyotherrequirementenforcedbythemunicipality,themorerestrictiveordinanceorrequirementshallapply,totheextentthatstateorfederallegislationpermits.D.Thisarticleshouldnotbeviewedasrequiringorprohibitingtheuseofanyparticulararchitecturalstyle.Instead,theintentionofthisarticleistopreservethepastbymakingthepastcompatiblewiththepresent.Tothatend,newconstructioninornearalandmarkneednotnecessarilyduplicatethestyleofthelandmark;butsuchnewconstructionshouldbecompatiblewithandshouldnotdetractfromthelandmark.Section130‐4DefinitionsAsusedinthisarticle,thefollowingtermsshallhavethemeaningsindicated:

ADDITIONTheconstructionofanewimprovementaspartofanexistingimprovementwhensuchimprovementchangestheexteriorappearanceofanylandmark.ALTERATIONAnyworkdoneonanyimprovementwhichisnotanadditiontotheimprovementandwhichchangestheappearanceoftheexteriorsurfaceofanyimprovement.DEMOLITIONTherazingofanyimprovementortheobliterationofanynaturalfeatureofalandmark.HISTORICDISTRICTOneormorehistoricsitesandinterveningorsurroundingpropertysignificantlyaffectingoraffectedbythequalityandcharacterofthehistoricsiteorsites.HISTORICSITEAnyrealproperty,man‐madestructure,naturalobjectorconfigurationoranyportionorgroupoftheforegoingofhistorical,archeological,cultural,scenicorarchitecturalsignificance.IMPROVEMENTAnystructureorpartthereofconstructedorinstalleduponanyrealpropertybyhumanendeavorandintendedtobekeptatthelocationofsuchconstructionorinstallationforaperiodofatleast60days.LANDMARKAnyhistoricsiteorhistoricdistrictwhichhasbeendesignatedbyordinancepursuanttoN.J.S.A.40:55D‐65.1 orwhich has been identified in any component of theMaster Plan. As used in this chapter,"landmark"maybesubstitutedfor"historic,""historicpreservation"and"historicsite."MAJORAPPLICATIONAny application for a permit required by this article which involves demolition or removal of alandmark,additiontoalandmarkorconstructionofanewstructureinanhistoricaldistrictandwhichwill substantiallyaffect thecharacteristicsof the landmarkor, in thecaseofastructurewithinanhistoricdistrict,willsubstantiallyaffectthecharacteristicsofthedistrict.MINORAPPLICATIONAnyapplicationforapermitrequiredunderthisarticlewhichdoesnotinvolvedemolitionorremovalofalandmark,additiontoalandmarkorconstructionofanewstructureinanhistoricdistrictandwhichwillnotsubstantiallyaffectthelandmarkorhistoricdistrict.NATIONALREGISTERCRITERIATheestablishedcriteriaforevaluatingtheeligibilityofpropertiesforinclusionintheNationalRegisterofHistoricPlaces.REPAIRAnyworkperformedonanimprovementwhichisnotanadditiontotheimprovementandwhichdoesnotchangetheappearanceoftheexteriorsurfaceoftheimprovement.REPLACEMENTArepairorreconstructiontoanyimprovementforwhichabuildingpermitordinarilyisrequired.STRUCTUREAnyimprovement,includingbutnotlimitedtoallbuildings.

130‐5HistoricPreservationCommissionA.ThereisherebyestablishedaHistoricPreservationCommissionwhichshallconsistoffiveregularmembersandtwoalternatemembers.B.MembershipontheCommissionshallincludeonememberdesignatedasaClassAmember,whoshallbeapersonwhoisknowledgeableinbuildingdesignandconstructionorarchitecturalhistoryandwhomayresideoutsideofthemunicipality;andonememberdesignatedasaClassBmember,whoshallbeapersonwhoisknowledgeableoforhasademonstratedinterestinlocalhistoryandwhomayresideoutsidethemunicipality.RegularmemberswhoarenotdesignatedasClassAorClassBmembersshallbedesignatedasClassCmembersandshallbecitizensofthemunicipalityandshallholdnoothermunicipaloffice,positionoremploymentexceptformembershiponthePlanningBoardorBoardofAdjustment.AlternatemembersshallmeetthequalificationsofClassCmembers.C.Appointment;terms.(1) Regularmembersandalternatemembersshallbeappointedby theMayor.At the timeof theappointment,theMayorshalldesignatethemembersbyclassandthealternatesas"AlternateNo.1"and"AlternateNo.2."(2)Thetermsforregularmembersshallbefouryears,exceptthat,oftheinitialmembersappointed,thetermsoftwomembersshallexpireonDecember31,2012,thetermofonemembershallexpireonDecember31,2013,thetermofonemembershallexpireonDecember31,2014,andthetermofonemembershallexpireonDecember31,2015.(3)Alternatemembersshallservefortermsoftwoyears,exceptthat,oftheinitialalternatesappointed,thetermofoneshallexpireonDecember31,2011.(4)Avacancyinthetermofanyregularoralternatememberoccurringotherwisethanbyexpirationofatermshallbefilledfortheunexpiredtermonly.(5)Despiteanyotherprovisioncontainedherein,thetermofanymembercommontotheCommissionandtothePlanningBoardshallbeforthetermofthemembershiponthePlanningBoard,andthetermof anymember common to theCommissionand theBoardofAdjustment shallbe for the termofmembershipontheBoardofAdjustment.D. Amemberof theCommissionmay,afterpublichearing ifpublichearing is requestedbysuchmember,beremovedbytheBoroughgoverningbodyforcause.H.Responsibilities.TheCommissionshallhavetheresponsibilityto:(1)Prepareasurveyofthehistoricsitesofthemunicipality,pursuanttocriteriaidentifiedinthesurveyreport.(2)MakerecommendationstothePlanningBoardonthehistoricpreservationplanelementoftheMasterPlanandontheimplicationsforpreservationofhistoricsitesofanyotherMasterPlanelements.

The governingbody shallmakeprovision in its budget and appropriate funds for theHistoricPreservationCommission.B.TheHistoricPreservationCommissionmayemploy,contractforandfixthecompensationofexpertsandotherstaffandservicesasitshalldeemnecessary.TheCommissionshallobtainitslegalcounselfromtheMunicipalAttorneyattherateofcompensationdeterminedbythegoverningbody,unlessthegoverningbody,byappropriation,providesforseparatelegalcounselfortheCommission.Expendituresby the Commission shall not exceed, exclusive of gifts or grants, the amount appropriated by thegoverningbodyfortheCommission'suse.S130‐7RegulationofHistoricStructuresandHistoricDistricts;PermitsA.ThePlanningBoardandBoardofAdjustmentshallrefertotheHistoricPreservationCommissioneveryapplicationfordevelopmentsubmittedtoeitherBoardfordevelopmentinanhistoriczoningdistrict or on a landmark designated in the Zoning Map or the official map or identified in anycomponentoftheMasterPlan,inaccordancewithN.J.S.A.40:55D‐110.B.InadditiontosuchotherpermitsthatmayberequiredbyotherapplicableordinancesoftheBorough,apermitshallberequiredbeforeanyofthefollowingactivitiesarecommencedonanypropertywhichhasbeendesignatedbyordinanceasalandmarkorasbeingwithinanhistoricdistrict:(1)Demolitionofanhistoriclandmark,historicstructure,orofanyimprovementwithinanhistoricdistrict.(2)Relocationofanyhistoricstructure,historiclandmarkorofanyimprovementwithinanhistoricdistrict.(3)Changeintheexteriorappearanceofanyexistinglandmarkorofanyimprovementwithinanyhistoricdistrictbyaddition,alterationorreplacement.(4)Changesinoradditionofnewsignsorexteriorlighting,exceptthatnopermitshallberequiredforoneunlightedsignperpremisesifthesurfaceareaofsuchsigndoesnotexceedonesquarefootforanidentificationsignorfoursquarefeetforacommercialsign,providedthatsuchsignisattachedtoandparalleltothefacadeofthebuildingorstructure.(5)Anynewconstructionofaprincipaloraccessorystructure.C.Exceptions.(1)Apermitshallnotberequirediftheproposedchangetothestructure,landmarkortothepropertywithinanhistoricdistrictwasapprovedbythePlanningBoardortheBoardofAdjustmentinconnectionwithanapplicationfordevelopment,pursuanttoN.J.S.A.40:55D‐1etseq.andThePlanningBoardorBoardofAdjustment,asthecasemaybe,hadreferredtheapplicationfordevelopmentpursuanttopartAofthissection130‐7.

(2)Apermitshallnotberequiredforanyrepaintingofthesamecolor,repairorexactreplacementofanyexistingimprovement.Intheeventthatthecolororexteriorsurfacematerialoftheimprovementshallbe changedasa resultof suchrepainting, repairorexact replacement, apermit shallnotberequiredifthenewcolororexteriorsurfaceisonethathasbeenpreviouslyapprovedbyregulationdulypromulgatedbytheCommissionforsimilarimprovementsinthathistoricdistrict.D.ApplicationforapermitpursuanttothisarticleshallbefiledwiththeBoroughConstructionCodeOfficial on a form to be supplied by the Borough. At the time of filing, the applicant shall pay anapplicationfeeintheamountsetforthinChapterA270,Fees,oftheCaldwellCode.E.TheConstructionCodeOfficialshallreviewtheapplicationwiththeadministrativeofficerandshallclassifytheapplicationasaminorapplicationoramajorapplicationasdefinedinthisarticle.F.Minorapplications.(1)IfthepermitapplicationhasbeenclassifiedbytheadministrativeofficerandtheConstructionCodeOfficial as a minor application, the Construction Code Official shall refer such application to theCommissionforitsreportanditsrecommendation.Insuchinstance,inaccordancewithNJSA40:55D‐111,thechairmanoftheCommissionmayactintheplaceofthefullcommission.(2)TheCommissionshallreporttotheConstructionCodeOfficialwithin45daysfromthedatesuchapplication was referred to the Commission. S130‐8StandardsForConsideration.ThefollowingstandardsshallbeconsideredbytheHistoricPreservationCommissioninconnectionwithreferralspursuanttoN.J.S.A.40:55D‐110;andbytheHistoricPreservationCommissionandPlanningBoardinconnectionwithpermitsrequiredbythischapter;andbythePlanningBoardandBoardofAdjustmentinconnectionwithdevelopmentapplicationspursuanttoN.J.S.A.40:55D‐1etseq.whenthedevelopmentapplicationinvolvesapropertywhichhasbeendesignatedbyordinanceasahistoriclandmarkorhistoricstructure,orasbeinglocatedwithinanhistoricdistrict:A.Demolitions.Inregardtoanapplicationtodemolishanhistoriclandmarkoranyimprovementwithinanhistoricdistrict,thefollowingmattersshallbeconsidered:(1)Itshistoric,architecturalandaestheticsignificance.(2)Itsuse.(3)Itsimportancetothemunicipalityandtheextenttowhichitshistoricorarchitecturalvalueissuchthatitsremovalwouldbedetrimentaltothepublicinterest.(4)Theextenttowhichitisofold,unusualoruncommondesign,craftsmanship,textureormaterialthatitcouldnotbereproducedorcouldbereproducedonlywithgreatdifficulty.(5) The extent towhich its preservationwouldpromote the generalwelfare bymaintaining andincreasing real estatevalues; generatingbusiness; creatingnew jobs; attracting tourists, students,writers,historians,artists,artisansandnewresidents;encouragingstudyandinterestinAmericanhistory;stimulatinginterestandstudyinarchitectureanddesign;educatingcitizensinAmericancultureandheritage;ormakingthemunicipalityamoreattractiveanddesirableplaceinwhichtolive.(6) If it iswithinanhistoricdistrict, theprobableimpactof itsremovalupontheambienceofthehistoricdistrict.B.Removalsoutofthemunicipality.Withregardtoanapplicationtomoveanhistoriclandmarktoalocationoutsideofthemunicipality,thefollowingmattersshallbeconsidered:(1)Thehistoriclosstothesiteoforiginallocation.(2)Thecompellingreasonsfornotretainingthelandmarkorstructureatitspresentsite.(3)Theproximityoftheproposednewlocationtothemunicipality,includingtheaccessibilitytotheresidentsofthemunicipalityandothercitizens.(4)Theprobabilityofsignificantdamagetothelandmarkorstructureitself.(5)TheapplicablematterslistedinSubsectionAabove.C.Removalswithinthemunicipality.Withregardtoanapplicationtomoveanhistoriclandmarkoranystructureinanhistoricdistricttoanewlocationwithinthemunicipality,thefollowingmattersshallbeconsidered:(1)Thecompatibility,natureandcharacteroftheproposedsurroundingareaintowhichthelandmarkorstructurewillbemovedastheyrelatetotheintentandpurposesofthisarticle.(2)Iftheproposednewlocationiswithinanhistoricdistrict,thevisualcompatibilityfactorsassetforthinthisarticle.

D.Considerationonotheractions.Withregardtoanapplicationforotherapprovalofanyproposedactionassetforthinthisarticle,thefollowingmattersshallbeconsidered:(1)Theimpactoftheproposedchangeonthehistoricandarchitecturalcharacterofthelandmarkorstructureinanhistoricdistrict.(2)Thehistoricorarchitecturalimportancetothemunicipalityandtheextenttowhichsuchinterestwouldbeeffectedbytheaction.(3) The extent towhich therewould be involvement of textures andmaterial that could not bereproducedorcouldonlybereproducedwithgreatdifficulty.(4)Theuseofthestructure.(5)Theextenttowhichtheproposedactionwouldadverselyeffecttheviewofalandmarkorstructurewithinanhistoricdistrictfromapublicstreet.(6)Iftheapplicationdealswithastructurewithinanhistoricdistrict,theimpactthattheproposedchangewouldhaveonthecharacterandambienceofthehistoricdistrictandthestructure'svisualcompatibilitywiththebuildings,placesandstructurestowhichitwouldbevisuallyrelatedintermsofthevisualcompatibilityfactorssetforthinthisarticle.E.Visualcompatibilityfactors.Inassessingtheeffectofanyproposedchangeunderapplicationforanylandmark,thefollowingvisualcompatibilityfactorsshallbeusedtoanalyzetheeffectthatthechangeappliedforwouldhaveonthelandmarkandonthosestructurestowhichthelandmarkisvisuallyrelated:(1)Height.Theheightoftheproposedbuildingshallbevisuallycompatiblewithadjacentbuildings.(2)Proportionofthebuilding'sfrontfacade.Therelationshipofthewidthofthebuildingtotheheightof the frontelevationshallbevisuallycompatiblewithbuildingsandplaces towhich it isvisuallyrelated.(3)Proportionofopeningswithinthefacility.Therelationshipofthewidthofwindowstotheheightofwindowsinabuildingshallbevisuallycompatiblewiththebuildingsandplacestowhichitisvisuallyrelated.(4)Rhythmofsolidstovoidsonfacadesfrontingonpublicplaces.Therelationshipofsolidstovoidsinsuch facadesofabuildingshallbevisuallycompatiblewith thebuildingsandplacestowhich it isvisuallyrelated.(5)Rhythmofspacingofbuildingsonstreets.Therelationshipofthebuildingtotheopenspacebetweenit andadjoiningbuildingsshallbevisually compatiblewith thebuildingsandplaces towhich it isvisuallyrelated.(6)Rhythmofentranceand/orporchprojections.Therelationshipofentranceandporchprojectionstothestreetshallbevisuallycompatiblewiththebuildingsandplacestowhichitisvisuallyrelated.(7)Relationshipofmaterials,textureandcolor.Therelationshipofmaterials,textureandcolorofthefacadeandroofofabuildingshallbevisuallycompatiblewiththepredominantmaterialsusedinthebuildingstowhichitisvisuallyrelated.(8)Roofshapes.Theroofshapeofabuildingshallbevisuallycompatiblewithbuildingstowhichitisvisuallyrelated.(9)Wallofcontinuity.Appurtenancesofbuildings,suchaswalls,open‐typefencingandevergreenlandscapemasses,shall formcohesivewallsofenclosurealongastreet, totheextentnecessarytomaintainvisualcompatibilityofthebuildingwiththebuildingsandplacestowhichitisvisuallyrelated.

(10)Scaleofbuilding.Thesizeofabuilding,themassofabuildinginrelationtoopenspaces,thewindows,dooropenings,porchesandbalconiesshallbevisuallycompatiblewiththebuildingsandplacestowhichitisvisuallyrelated.(11)Directionalexpressionoffrontelevation.Abuildingshallbevisuallycompatiblewithbuildingsandplacestowhichit isvisuallyrelatedinitsdirectionalcharacter,whetherthisbeverticalcharacter,horizontalcharacterornon‐directionalcharacter.S 130 – 9 Identification andDesignation of Historic Structures, Historic Landmarks andHistoricDistricts;procedureA.TheHistoricPreservationCommissionshallperformacomprehensivesurveyoftheBoroughofCaldwelltoidentifypotentialhistoriclandmarks,historicstructuresandhistoricdistrictswhichareworthyofprotectionandpreservation.B.Inevaluatingandidentifyinghistoricstructures,historiclandmarksandhistoricdistricts,theHistoricPreservationCommission shall be generally guidedby theNationalRegister criteria. Section2. InordertofinancethecostofthepurposedescribedinSection1hereofandthecostsof

issuanceassociatedtherewith,negotiablerefundingbondsareherebyauthorizedtobeissuedinoneormoreseries in theaggregateprincipalamountnotexceeding$3,800,000consistingofGeneral ImprovementRefundingBonds(the“GeneralImprovementRefundingBonds”)andSewerUtilityRefundingBonds(the“Sewer Utility Refunding Bonds” and, together with the General Improvement Refunding Bonds, the“RefundingBonds”)pursuanttotheLocalBondLawoftheStateofNewJersey.

Section3. Anaggregateamountnotexceeding$150,000foritemsofexpenselistedinandpermitted

under N.J.S.A. 40A:2‐51(b) has been included in the aggregate principal amount of Refunding Bondsauthorizedherein.

Section4. TheBoroughdesires toprovide foralloraportionof theprincipalamountof the

RefundedBondsoutstandingandtheinterestandredemptionpremium,ifany,thereoninordertoprovideforsavingsindebtserviceasaresultoflowerinterestratesinthebondmarkets.

Section5. TheSupplementalDebt Statement requiredby theLocalBondLawhasbeendulypreparedandfiledintheofficeoftheClerk,andacompleteexecutedduplicatethereofhasbeenfiledintheofficeoftheDirectoroftheDivisionofLocalGovernmentServicesintheDepartmentofCommunityAffairsofthe State ofNew Jersey. Such statement shows that the grossdebt of theBorough is increasedby theauthorizationoftheRefundingBondsprovidedinthisrefundingbondordinanceby$3,800,000,andthatanamountequalto$3,499,800(representingtheprincipalamountoftheRefundedBondsof$3,495,000,plustheprincipalamountoftheallocatedportionoftheSewerUtilityRefundingBondsinexcessoftheprincipalamountoftheSewerUtilityRefundedBondsof$4,800)willbedeductiblefromgrossdebt.Theobligationsauthorizedhereinwillbewithinalldebtlimitationsprescribedbythatlaw.

WHEREAS, the Borough Council of the Borough of Caldwell in the County of Essex, State of New Jersey has on

December 16, 2014, authorized the awarding of a contract to P.M. Construction Corp., 1310 Central Avenue, Hillside, N.J. 07205 with a bid of $198,963.40; and

WHEREAS, during the course of the contract, it was discovered after work began, the need for the following change orders to increase the contract as follows: No Description _______________________

1 Add the proposed water main extension on Florence Place, as shown on Contract Drawing E·8560A and described below: (7 Days) Add 6" x 6" wet tap at intersection of Florence Place and Thomas Street. Add tie-in to existing 6-in. DIP main on Florence Place Add 230 LY of 6-in. DIP between tie-in on Florence Place and wet tap at intersection with Thomas Street. Add 44 calendar days to the Contract time for delay in start of work due to weather.

TOTAL CHANGE ORDER 1: $30,681.12

2 Replace buried manhole frame and cover. Repair damaged water service. Repair damaged shallow sanitary sewer lateral.

TOTAL CHANGE ORDER 2: $2,459.93

AUTHORIZING AWARD OF A PROFESSIONAL SERVICES CONTRACT TO CREW ENGINEERS, INC. FOR DESIGN, BIDDING, AND CONSTRUCTION RELATED SERVICES FOR THE WASHBURN PLACE, HANFORD PLACE, AND LINCOLN TERRACE WATER MAIN REPLACEMENT PROJECT

WHEREAS, the Borough has determined that there is a need to hire an engineering firm to provide design,

bidding, and construction related services for the Washburn Place, Hanford Place, and Lincoln Terrace Water Main Replacement Project; and

WHEREAS, it is the desire of the Borough Council of the Borough of Caldwell, New Jersey to award a contract to

Crew Engineers, Inc., 1250 Route 23 North, Butler, New Jersey 07405, and; WHEREAS, Crew Engineers, Inc.has agreed to provide these services for a lump sum cost of $23,500 for design

services, $2,800 for bidding services and a fee not to exceed $47,800 for construction-related services,and;

WHEREAS, the governing body of the Borough of Caldwell pursuant to N.J.A.C. 5:30-5.5(b), the certification of available funds, shall either certify the full maximum amount against the budget at the time the

contract is awarded, or no contract amount shall be chargeable or certified until such time as the goods or services are ordered or otherwise called for prior to placing the order, and a certification of

availability of funds is made by the Chief Finance Officer. NOW, THEREFORE, BE IT RESOLVED by the Borough Council of the Borough of Caldwell that they do hereby award a contract to Crew Engineers, Inc. subject to an agreement to be approved and executed by the Borough Administrator.
