The purpose of this initial visit is to carry out the required Health & Safety inspection to identify risks and hazards and to assess the adequacy, suitability and efficiency of your current policy, procedures and practices. Your dedicated consultant will produce a confidential report that forms part of your risk management system.

1. Initial contact

Our team will contact you within 5 days of you joining us as a client to arrange your initial visit.

2. Initial visit

This is the first step towards drawing up the statutory written statement of contractual terms and conditions for each individual employee. This will enable us to:

the preparation of the most appropriate system documentation, covering each aspect of an employee’s lifecycle. This makes up your HR system.

3. Preparation of Contracts, Handbooks and your HR System

4. Implementation and training visit

Our regular newsletter (Knowledgebase) and email correspondence to you ensures that you know about the latest changes in the law. This will enable you to plan and

7. Additional documentation

9. Indemnified Guarantee

Bibby Consulting & Support provide you with a guarantee of best advice which is covered by our indemnity scheme. In the event of a (subcontractor) or an employee initiating an ET1 (Employment Tribunal Application), then, subject to the terms and conditions below, indemnity protection is available, which provides for:

• AllcostsincurredinTribunalpreparationandrepresentation (as set out under section 10 of this Schedule).

• AllcompensationawardsthatmaybeimposedbyanEmployment Tribunal.

• Allfinancialsettlementsagreedbyusonyourbehalfasaresult of conciliation or out-of-court settlements.

• Indemnitylimitsaresetat£100,000foranyindividualclaimorgroupofrelatedclaimsor£1,000,000aggregatein any one year (from the ET1 date of any earlier claim covered by the indemnity).

The conditions and a client’s undertaking concerning the indemnity are:

A) Cover is only applied to a claim (or part of claim) which related to an incident or the first of a series of incidents that occurred during the period of a client’s service agreement with Bibby Consulting & Support.

B) As Bibby Consulting & Support’s advice is indemnified, indemnity cover only applies providing that best practice is maintained and the client ensures that:

• Beforetakinganyaction,BibbyConsulting&Supportisfully consulted throughout.

• Ouradviceisfullyimplementedthroughout.• Theclientremainsopenandhonestwithusatalltimes.

C) The above provisions exclude any contractual and/or statutory payments properly and otherwise normally payable by the client to workers, employees and subcontractors including (but not limited to) salaries, wages, holiday pay, money in lieu of notice and redundancy payments.D) The client and its management must, at all times, take such reasonable action so as to avoid the possibility of a Tribunal claim. Please note that Bibby Consulting & Support reserve the right to withdraw indemnity cover for claims relating to any act committed (or allegedly committed) by a Director, manager or other employee of which the employer may have been aware at the time but where, in law, as the employer, the client may be found to be vicariously liable for that person’s actions.E) When a Tribunal case is undertaken by Bibby Consulting & Support under the indemnity, Bibby Consulting & Support shall have complete freedom to negotiate a settlement.

10. Tribunal representation

Receipt by Bibby Consulting & Support of an ET1 (Tribunal Application) will be considered as an instruction from the client to act in providing Tribunal representation on the client’s behalf. On receipt of a copy of the ET1 claim form from the client, we will:

• CompletetheET3forsubmissiontotheTribunalOffice.• Seekdisclosureofappropriatedocumentationfromthe

Claimant.• HandlenegotiationswithACASandtheClaimant.• Collateandinspectdocumentaryevidence.• Takeinstructionsandprepareorreviewwitness

statements.• RepresentyouattheTribunalhearing,handlingmatters

through to the conclusion of the Tribunal case.

The above matters are handled within our normal core service offering. However, in the event that you need to make or defend an appeal at the Employment Appeal Tribunal (EAT),

we can also provide Advocacy support to you under separate terms and charging arrangements. EAT appeals are new and separate cases and therefore are outside our indemnity arrangements.

Note 1: Bibby Consulting & Support reserve the right to recover the cost of Tribunal preparation and representation should it transpire that the Tribunal case arose due to the client failing to seek advice from Bibby Consulting & Support or failing to act up on the advice given or failing to support Bibby Consulting & Support throughout the case.Note2: Tribunal representation necessitates the full, honest and open co-operation of the client. Bibby Consulting & Support reserves the right to charge for the costs of preparation and representation and/or to withdraw representation should Bibby Consulting & Support believe that this co-operation is not forthcoming.Note3: In the unlikely event that a conflict of interest exists (e.g. in cases involving transfers of undertakings under the TUPE Regulations, franchisor/franchisee, vendor/purchaser and any like situation where, without such a conflict of interest, Bibby Consulting & Support would normally act for each party concerned), due to that conflict, Bibby Consulting & Support may be unable to act for one or both clients in relation to that particular matter. In these circumstances, alternative arrangements will be considered with the client.

11. Legislation

The Bibby Consulting & Support indemnity provision covers you for ALL current employment legislation within the UK.

12. Feedback visit

Feedback visits may be arranged to explore your ongoing requirements. Uniquely it is not a prerequisite at the end of the contract that you provide any notice to terminate. At the feedback visit we explore your ongoing and future requirements. However, should you prefer not to continue then you are free to formally cancel at this time.

13. Commercial adjustments

Bibby Consulting & Support reserves the right, from time to time and in its absolute discretion, to alter, amend, add to or in any other way vary any of the provisions of this Schedule of Services. Without limiting the discretion granted by this condition, Bibby Consulting & Support will normally make such changes only in response to changing terminology, legal or regulatory requirements, or similar causes (including but not limited to economic causes) beyond its control and will normally endeavour to provide the client with reasonable notice prior to the change taking effect.

2. Notification to Broker

We will notify your insurance broker of our appointment. This will place them in a stronger position to negotiate enhanced terms on your behalf.

3. Initial visit and Health & Safety policy

This visit is the first practical step towards preparing your Health & Safety Management System. The initial visit will enable your consultant to carry out an inspection of your Health & Safety arrangements at your UK premises and off-site UK activities where appropriate. In addition to this, the consultant will review and update, or prepare, a comprehensive Health & Safety Policy tailored to your business.

4. Health & Safety Risk Management System

Following the initial visit, your consultant will produce a confidential Health & Safety report, which will identify the risks and hazards that exist within your organisation. It will also provide recommendations to help you move towards compliance with the relevant Health & Safety provisions.

The Health & Safety Risk Management System will be specifically designed to the requirements of your business and will cover areas including:

• AspecificallydesignedHealth&SafetyPolicy.• RiskAssessment&COSHHReporting.• TrainingSection(InductionForms,TrainingRecords,Skills

Matrix, Hazard Reporting, Key Cards).• WorkplaceInspectionandMonitoring.• AccidentProtocol.• SupportingDocumentation.• InspectionReport.• ReferenceManual.

The system will also provide guidance with any other significant issues as identified between you and your consultant during the initial visit.

5. Implementation visit

This visit will enable your consultant to introduce your new Health & Safety Risk Management System to you. It is important that your staff take ownership of these new procedures. Therefore, during this visit, we will provide

specialist guidance and assistance to a nominated and agreed team.

6. Annual & additional visits

There is a need to keep all documentation up-to-date and legally compliant. We therefore provide annual visits to enable your consultant to review your progress against the tasks within the Management System. In addition to this review, we will also carry out a further site inspection and produce a report to provide added guidance and peace of mind. If, however, at any time during the period of your contract you require additional site visits to help implement tasks, these can be provided at an agreed charge.

This online publication provides insight into case law and legislative changes and will enable you to plan and prepare your business for any changes in procedure. throughout. The Business Defence service applies in respect of Health & Safety incidents but excludes accidents arising from areas such as Road Traffic, Fire Safety, Environmental and Civil Aviation. In the event that an incident occurs which lies outside our areas of cover, you will be notified of this as soon as is practicable.

In the event of an investigation relating to Health & Safety, our team of specialists will:

• Provideon-sitesupportduringthecourseofaninvestigation by an investigation authority.

• Appealagainstanenforcementnotice,includingbringingthe appeal (so long as our lawyers advise us that there is at least a 51% chance of success).

• AttendinterviewsundercautionbyaHealth&Safetyauthority.

• Preparewrittenrepresentationsand/orstatementstoaninvestigation authority.

• RepresentyouintheMagistrates’Court.• Adviseonappealagainstanyjudgment,order,conviction

and/or sentence in the Tribunal or Court of first instance.

To benefit from the Business Defence indemnity all you have to do is to implement, maintain and keep up-to-date the Bibby Consulting & Support Health & Safety system(s); to have acted on all reasonable advice and recommendations of our consultants and/or lawyers (at any time during the period of your contract with Bibby Consulting & Support); and to have acted and act at all times to avoid and mitigate any occurrence that may lead to investigation or enforcement action by a Health & Safety authority.

Notethattheindemnityislimitedto£100,000perclaimand£1,000,000intotalinanyoneyear(suchfiguresbeingcalculated by reference to the actual and/or notional cost to Bibby Consulting & Support in providing the Business Defence Service).

The Business Defence Service is not available without charge where the incident giving rise to the investigation and/or enforcement action occurred prior to the start of your contract with Bibby Consulting & Support; or beyond the end of the contract (even if the incident occurred whilst the contract was extant).

This visit is the first practical step towards preparing your Environmental Management System (EMS). The initial visit will enable your consultant to carry out an inspection of your activities at your UK premises and off-site UK activities where appropriate.

3. Environmental Report

The Environmental Report will highlight environmental risks within your organisation including off-site activities, where appropriate, and will provide recommendations for solutions to control such risks.

4. Your EMS

Your consultant will produce the most effective and efficient EMS for you. It will be designed to meet your specific business’s requirements and will cover areas such as:

• EMSimplementationplan.• Environmentalpolicy.• Communications.• Internalreview–includingriskassessment.• Managementreview.• Standardprocedures.• Environmentalaspects,impactsandobjectives.• Impactofstatutoryrequirementsrelevanttobusiness

5. Implementation visit

This visit will enable your consultant to introduce your new EMS to you. It is important that your staff take ownership of these new procedures. Therefore, during this visit we will provide specialist guidance and assistance to a nominated and agreed team so that it is fully understood and adopted.

6. Follow–Up Visit

We will make a further visit approximately 3 months after the installation to ensure that the system is properly set up. During this visit, we will review the system, the progress you are making and assist with any queries you or your teams may have.

7. Annual & additional visits

There is a need to keep all documentation up-to-date and legally compliant. We therefore provide annual visits to enable your consultant to review your progress against the tasks within the EMS. In addition to this review, we will also carry out a further site inspection and produce a report to provide added guidance and peace of mind. If, however, at any time during the period of your contract you require additional site visits to help implement tasks, these can be provided at an agreed charge.

8. Keeping you up-to-date

Bibby Consulting & Support reserves the right, from time to time and in its absolute discretion, to alter, amend, add to or in any other way vary any of the provisions of this Schedule of Services. Without limiting the discretion granted by this condition, Bibby Consulting & Support will normally make such changes only in response to changing terminology, legal or regulatory requirements, or similar causes (including but not limited to economic causes) beyond its control and will normally endeavour to provide the client with reasonable notice prior to the change taking effect.
