Eligibility Requirement: Experience : Bidder should have completed similar works of at least 35% of total estimated cost i.e. Rs 86,55,850/- in last five financial years i.e. 2012-13, 2013-14, 2014-15, 2015-16 and 2016-17 put together. Similar Works: Providing data entry operator or performing data entry jobs to BSNL/MTNL /DOT Central Govt/State Govt Organizations/PSUs. Experience certificate in this regard should be issued by officer not below the rank of DGM in case of BSNL/DOT/MTNL, and Managers level in state/ PSUs. 4.1 Bidder’s Eligibility Condition & Documents required. 1. Cost of Bid document as detailed given in DNIT, SECTION-I of Tender Document. 2. Bid Security (EMD) As per Clause 3 of SECTION III Part B & clause no.5 of DNIT SECTION-I 3. Attested copy of document of registration of the firm/shop ACT License. 4. Attested copy of valid GST Registration certificate. 5. Attested copy of EPF Registration Certificate. 6. Note (3): If some document is not applicable for the bidder then he has to upload scanned copy of paper mentioning “The document < Name> called vide Clause-___________is not applicable on us”. Note (4): The bidder/vendor is supposed to sign with seal at all specific places on the document(s) required to be submitted along with the techno-commercial bid as stipulated in eligibility criteria. However the duly filled, merely signed document(s) with or without seal submitted by bidder/authorized signatory for having read it and accepted it, will be treated as the document submitted is signed by the bidder/Authorized Signatory. But no chance will be given if any important documents (Major deviation) are missing or deficient. 4.2 The bidders shall submit necessary documentary proof showing that they meet the eligibility criteria along with their tender bid. All documents submitted will also be self attested by the bidder or notarized. The bidder/vendor/participating agencies are advised to go through the eligibility criteria/conditions carefully. After opening of bid any document or disorder or nonconformity or irregularity in a submitted bid or document will not be accepted and same shall not be get corrected or completed. The BSNL may, at its discretion ask the bidder for the clarification only. In case of any shortcoming in the submitted bid or documents/certificates, the bid shall be treated as unresponsive and shall be rejected. 4.3 The bidder has to submit some offline documents as per Clause 6.1, Section-III Part C on or before the date & time of submission of bids as specified below. Tenderer/bidder should deposit the offline documents to Assistant General Manager (HR/Admn) O/o Principal General Manager Telecom District, Sanchar Sadan, BSNL Aurangabad, Town Center, Cidco, AURANGABAD- 431003, by means of physically/post/currier on or before date and time specified in detailed as below. The physically submitted offline document should be dropped in tender box kept in P. R. O. office, ground floor, o/o PGMT Aurangabad. The tenderer/bidder is to ensure the delivery of the offline documents at the correct address if sent by post/ currier. The BSNL shall not be held responsible for delivery of offline document to the wrong address/delivered elsewhere and/or shall not be held responsible for postal delay of any nature as the case may be. 4.4 The offline documents submitted within the prescribed time limit will be opened & scrutinized immediately after the dead line of submission of bids. The BSNL Aurangabad will open technical bids online of those bidders only who submitted the offline documents as per Clause 6.1, Section-III Part C of Tender document within prescribed time limit. 4.5 The online submitted technical bids of the bidder(s), who fail to submit the offline documents as per Clause 6.1, Section-III Part C of Tender document within the prescribed time limit will be rejected out rightly at opening stage. 5.0 Bid Security (Earnest Money Deposit): Rs. 618275/- 5.1 The bidder shall furnish the BID EMD/BID Security in one of the following ways: (a) Demand Draft/ Banker’s cheque drawn in favour of “A. O. (Cash), BSNL, Aurangabad” payable at “Aurangabad” (b) Bank Guarantee from a Nationalized/Scheduled bank in the given format drawn in favour of ‘PGMTD –Aurangabad’, Bharat Sanchar Nigam Limited, Aurangabad which should be valid for 210 days (i.e. one month above the offer validity period subject to maximum of 210 days) from the tender opening date. (C ) The NSIC/DIC/MSE units shall be exempted from submission of Bid Security deposit (EMD) and cost of bid document on production of requisite proof in respect of valid certification from MSME for the tendered item. 6.0 Date & Time of Submission of Tender bids: on or before 13:00 Hrs of 03/10/2017. Note 4: In case the date of submission (opening) of bid is declared to be a holiday, the date of submission (opening) of bid will get shifted automatically to next working day at the same scheduled time. SECTION- II TENDER INFORMATION 1. Type of tender- : a) No. of Bid Submission Stages for Tender: Single Stage. b) No. of Envelopes for submission of Bids: Two Nos. (Opening stages) The bidder shall submit Techno-commercial & Financial bid simultaneously The bids will be evaluated techno-commercially first and thereafter financial bids of techno-commercially compliant bidders only shall be opened. 2. Bid Validity Period / Validity of bid Offer:-180 days from the tender opening date. 3. In case of tenders invited under two envelopes system, the first envelope will be named as techno-commercial & will contain documents of bidder’s satisfying the eligibility / Technical & commercial conditions and 2nd envelope will be named as financial envelope containing financial quote. SECTION-III Part A INSTRUCTION TO THE BIDDER No. Y-99/ESTB/ETENDER/DATA ENTRY JOB WORK/2017-18 Dated 07/09/2017 1. Definitions: 1.1 The tenderer (bidder) means the individual or firm who participates in this tender and submits its bid. 1.2 The contractor means the individual or firm providing DATA ENTRY JOB WORK services under contract. 1.3 The Services means all the DATA ENTRY JOB WORK services of Telecom infrastructure, which the supplier is required to provide to the BSNL, Aurangabad under the contract. 1.4 Letter Of Intent (LOI) means the written communication to the successful bidder of the intention of the BSNL, Aurangabad to accept the tender as per the terms & conditions contained & referred there in. 1.5 Work Order means the written order signed by the BSNL, Aurangabad for the performance of services respectively as per terms & conditions of tender finalized & accepted by the BSNL, Aurangabad. 1.6 The contract rate means the rates payable to the supplier under the work order for the full & proper compliance of his contractual obligations. 1.7 The records, terms & expressions not specifically defined herein or in the tender documents, shall have the same meaning assigned to them, as the case may be. The head notes are for guidance only & shall not affect the interpretation or construction of any provision thereof in the tender documents. 2. 2.2 The bidder shall examine all the forms, instructions, terms & conditions and specifications in the tender documents. The failure to furnish all information, required as per the tender documents or submission of bids not substantially responsive to the tender document shall be at the bidders own risk & liable for summery rejection. 3. Expenditure on tendering: The bidder shall bear all the costs associated with the preparation and submission of his bid(s). The BSNL, Aurangabad, will in no case, be responsible or liable for any cost(s), regardless of the conduct or outcome of the bidding process. 4 Clarification of Tender Documents: 4.1 A prospective bidder, requiring any clarification on the Bid Documents shall notify the Purchaser in writing to AGM (Admn) % PGMTD, BSNL Aurangabad at the Purchaser’s mailing address as indicated in the invitation of Bid. The Purchaser shall respond in writing to any request for the clarification of the Bid Documents, which it receives 10 days prior to the date of opening of the Tenders. Copies of the query (without identifying the source) and clarifications by the Purchaser shall be posted on website www.maharashtra.bsnl.co.in /www.eprocure.gov.in for information of bidders. 4.2 Any clarification issued by BSNL in response to query raise by prospective bidders shall form an integral part of bid documents and shall amount to an amendment of the relevant clauses of the bid documents. 5 Amendment to the bid documents: 5.1 The BSNL, Aurangabad, for any reason, whether at its own initiative or in response to the clarification(s) sought by the prospective bidder(s) may, at any time, prior to the last date for submission of the bids, amend the bid documents. All such amendments shall be posted on web site www.maharashtra.bsnl.co.in / www.eprocure.gov.in and these amendments will be binding on bidders 5.2 To allow the prospective bidders reasonable time for preparing the bids after taking into account the modifications, the BSNL, Aurangabad, at its discretion, may extend the date for submission of the bids. 6 Bid Prices (Financial bid) : 6.1 The rates of services shall be quoted in the rate schedule for providing services at the place mentioned in the SECTION IX inclusive of all taxes, insurance, & any other charges. Rate to include all levies and duties, except GST Tax, which will be charged separately at applicable rates. 6.2 The rates quoted by the bidder shall remain firm during the entire period of the contract & shall not be subject to variation on any account. The firm bid submitted not as per SECTION IX shall be rejected as a non-responsive bid. 6.3 The rates quoted by the bidder must be reasonable, logical and abide by the minimum wages act, Bonus act. Contractor shall be liable for all payments of wages, Salary etc to their employees & shall comply with all statutory laws, rules, relating to employment, wages, EPF, IT act, ESIC Laws, Labour Laws, etc. 7 Bid Security (EMD): 7.1 The bidder shall furnish, as part of his bid, bid security (EMD) for an amount as given in clause 3 of SECTION-III Part B. 7.2 The security (EMD) is required to protect the BSNL, Aurangabad’s interests against the risk of bidder’s conduct, which would warrant the forfeiture of the bid security. 7.3 The Earnest Money should be paid in the form of Demand Draft, Banker’s cheque (pay order), drawn in favour of the Accounts Officer (Cash), O/o PGMT, BSNL, Aurangabad, payable at Aurangabad OR Bank Guarantee from a Nationalized/Scheduled bank in the given format drawn in favour of ‘PGMTD –BSNL Aurangabad’, which should be valid for 210 days (I.e. one month above than the offer validity period) No other mode of payment of Earnest Money Deposit is acceptable.

7.4 Amount or amounts payable, if any, to the bidder or the bid security furnished by the bidder in respect of an earlier bid, shall not be adjustable against this bid, unless specified otherwise, as a special condition by the BSNL, Aurangabad. 7.5 The amount deposited as bid performance guarantee /security Deposit/ EMD shall carry no interest during the entire period it remains with BSNL, Aurangabad. 7.6 The bid security of the unsuccessful bidders(s) shall be discharged as early as possible, but not later than 30 days after the expiry of the period of bid validity. 7.7 The bid security of the successful bidder(s) will be returned to the bidders on furnishing the Performance Bank Guarantee/Security deposit. 7.8 The bid security shall be forfeited, in the following cases. a) if the bidder withdraws his bid during the period of bid validity ; or b) In the case of a successful bidder, if the bidder fails to sign the contract and/or fails to furnish performance guarantee (S.D.) in accordance to the relevant clauses of the documents(s). 7.9 A bid not secured in accordance to para 7.1 and 7.3 shall be summarily rejected as a non- responsive bid. 7.10 Rs 618275/- (Rs Six Lakh Eighteen thousand Two hundred Seventy Five only) by Demand draft/Bankers Cheque drawn on Nationalized Bank payable at Aurangabad, in favour of Accounts Officer (cash), BSNL Aurangabad. Note :- The NSIC/DIC/ MSE units shall be exempted from submission of Bid Security deposit (EMD) and cost of Tender document on production of requisite proof in respect of valid certification from MSME for the tendered item There is no any exemption for payment of security deposit. 8 Period of validity of bids: 8.1 The bid shall remain valid for 180 days after the date of opening of bid(s), a bid valid for a shorter period shall be rejected as a non-responsive bid. 8.2 In exceptional circumstances, the BSNL, Aurangabad may seek the bidders consent for extension of the period of validity of bids. The request & the responses thereto shall be made in writing. The bid security provided, as per clause 7 shall be suitably extended. A bidder shall however, has the right to refuse for an extension without any risk to his bid security. A bidder conceding to the request for extension of time shall, however, not be permitted to modify his bid. 9 Signing of Bid: 9.1 The bidder shall submit his bid, online (in case of e-tendering), complying all eligibility conditions, other terms and conditions of tender document to be read along with the clarifications and amendments issued in this respect. All the documents must be authenticated, using Digital Signature (in case of e-tendering). The letter of authorization shall be indicated by written power-of-attorney accompanying the bid. 9.2 The bid shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the bidder in which case such corrections shall be signed by the person or persons signing the bid. All pages of the original bid, except for un-amended printed literatures, shall be signed by the person or persons signing the bid. 10. 0 SUBMISSION OF BIDS 10.1. Bids must be submitted by the bidders on or before the specified date & time indicated in Clause -6 of Section-1 i.e. DNIT. 10.2 The Purchaser may, at its discretion, extend this deadline for the submission of bids by amending the Bid Documents in accordance with clause 5.1 in which case all rights and obligations of the purchaser and bidders previously subject to the deadline will thereafter be subjected to the extended deadline.

11.0 LATE BIDS 11.1 No bid shall be accepted either online by E-Tender Portal or physically/post/currier in case of manual bidding process after the specified deadline for submission of bids prescribed by the purchaser. 12.0 Modification and withdrawal of bids. 12.1 The bidder may modify, revise or withdraw his bid after submission prior to deadline prescribed for submission of bid. 12.2 The bidder’s modification, revision or withdrawal shall have to be online and digitally authenticated (in case of e-tendering). 12.3 Subject to clause 19, no bid shall be modified subsequent to the deadline for submission of bids. 13.0 OPENING OF BIDS BY PURCHASER 13.1 The purchaser shall open bids online (in case of e-Tenders) in the presence of the authorized representatives of bidders online (in case of e-Tenders), who chose to attend, at time & date specified in Clause-7 of DNIT (Section-1) on due date. The bidder's representatives, who are present, shall sign in an attendance register. Authority letter to this effect shall be submitted by the authorized representatives of bidders before they are allowed to participate in bid opening (A Format is given in Section-VI (E) ). 13.2 A maximum of two representatives of any bidder shall be authorized and permitted to attend the bid opening. 13.3 Name of envelopes to be opened & information to be read out by Bid Opening Committee (i) In Single stage bidding & two envelopes system; the bids will be opened in 2 stages i.e. the techno-commercial bid shall be opened on the date of tender opening given in NIT. The financial bid will not be opened on the Date of opening of techno commercial bids. Thereafter the TEC will evaluate Techno-commercial bids & the report of TEC will be approved by competent authority. The financial bids of those bidders who are approved to be techno-commercially completed by the competent authority, will be opened by TOC in front of techno commercially eligible bidders/ authorized representatives by sending them a suitable notice/information. (ii) The following information should be read out at the time of Techno-commercial bid opening:- a) Name of the Bidder b) Name of the item c) EMD amount & validity and acceptability d) Information in respect of eligibility of the bidder. e) Details of bid modification/ withdrawal, if applicable. (iii) The following information should be read out at the time of Financial bid opening:- a) Name of the Bidder b) Name of the item c) Quantities/prices quoted in the bid d) Discount, if offered e) Taxes & levies 13.4 The date fixed for opening of bids, if subsequently declared as holiday by the BSNL, the revised date of schedule will be notified. However, in absence of such notification, the bids will be opened on next working day, time and venue remaining unaltered. 14 Summery Rejection of Bid: One or more of the following reasons/omissions will render a bid liable to summary rejection. 14.1 Bid received late after the specified closing time. 14.2 Correction & overwriting not signed by the authorized signatory. 14.3 Documents asked for vide item No 14.0 of SECTION-III Part B are not submitted.

14.4 Bid from bidders who have not paid bid cost. 14.5 A bid, not accompanied by a documentary proof establishing. 14.6 Conditional bid or bid received with validity for a shorter period than prescribed in clause 8.1 14.7 Bid in which rates quoted are not reasonable, logical and abide by the minimum wages act. 14.8 Non receipt of clarification in time. 14.9 Bid non-confirmative as per tender specification. 14.10 Influencing in the tender procedure and/ or during the evaluation of bids. 14.11 Bidders giving false information fabricated documents, thereby concealing facts, misrepresenting & Misleading BSNL Aurangabad. 14.12 Tender Application as per SECTION – VII not duly filled in & signed. 14.13 Violation of any terms & conditions of tender or rules & regulations of Government of India or law, in force. 14.14 Attested documents not enclosed with technical bid as per clause 14.0 of special condition SECTION-III Part B. 15 Protective Clause: The BSNL, Aurangabad reserves the right to disqualify such bidders, who have not met the contractual obligations against earlier contracts entered into with the BSNL, Aurangabad or black listed by any Govt. / Semi-Govt. organization. Such disqualification can be done at any stage of the tender or even after award of tender also. 16 Clarification of Bids: In the process of examination, evaluation and comparison of bids, the BSNL, Aurangabad may, if necessary ask the bidder(s) for clarification(s) of the bid(s). The request for such clarification(s) and the response thereto shall be in writing. In case of no response from a bidder, his bid is liable to summary rejection. 17 Influencing the Evaluation of Bids & Award of Contract. No bidder shall attempt to influence the BSNL, Aurangabad on any matter relating to the tender(s). Any attempt to influence the BSNL, Aurangabad during opening or the evaluation of bids and comparison of pre-bid clarification and in award of the work contract, shall result in summary rejection of the bid(s) of such bidder(s) and BSNL reserves the right to black list the bidder for any term, from participating in all tenders of BSNL. 18 Evaluation: 18.1 Technical bid (Techno commercial envelope) will be opened first and evaluated as per eligibility criteria given in clause 14.0 SECTION-III Part B Special Condition. The bid, which is not submitted along with the required documents, will be summarily rejected and their financial bids will not be considered. 18.2 The BSNL, Aurangabad is not bound to accept the lowest or any tender and reserves himself the right to accept the whole or any part of the tender and of allotting the quantities offered. The bidders shall provide services, as decided by the BSNL, Aurangabad at the approved tender rates. 18.3. The BSNL, Aurangabad reserves the right to waive minor non-conformance of clause or irregularity(s) in a bid, which does not constitute a material deviation. 18.4 Arithmetical error, if any shall be rectified in the following manner: a) If there is a discrepancy between words & figures, the amount in words shall prevail. b) If there are errors in the calculations or rate of applicable Govt. levies, duties & taxes, the same will be corrected by the BSNL, Aurangabad. 19 Commercial Evaluation of Substantively Responsive Bids: 19.1 The bids determined to be substantively responsive, shall only be evaluated commercially and compared in detail. 19.2 The evaluation will be based on the rates quoted in financial bid for providing services in whole SSA. 19.3 However based on the merits of each bid, the distribution of tendered quantity amongst the

bidder(s) whose bids are found to be technically and commercially acceptable shall be determined by the BSNL, Aurangabad. 19.4 The BSNL, Aurangabad shall have the sole discretion in determining the number of service providers to whom the work orders shall finally be placed. 20 Right to Vary the Quantities: 20.1 The BSNL, Aurangabad reserves the right, at the time of award of contract, to increase or decrease the services by of what is specified in the schedule of services, without any change in rates or other terms and conditions. Maximum or Minimum quantum of work may vary with the change of telecom setup and infrastructure. Hence, BSNL Aurangabad does not guarantee minimum or maximum quantum of work, in this tender and will not have any liability of damage caused due to the variation. 20.2 The vendor shall regulate the services as per written instructions from the BSNL, Aurangabad. 21 Right to Accept / Reject Any or all Bids: The BSNL, Aurangabad is not bound to accept the lowest or any other bid and reserves the right to accept or reject any bid, and/ or to annul the bidding process and reject all bids, at any time without assigning any reason(s), whatsoever and without thereby incurring any liability towards the affected bidder(s) on this ground. 22 Letter Of Acceptance LOA/ Letter of Intent (LOI): 22.1 Before the expiry of the validity of bid, the BSNL, Aurangabad shall notify the successful bidder(s), in writing by registered letter or by FAX (to be confirmed in writing by registered letter)/ by hand delivery, about the acceptance of the successful bid(s). 22.2 The bidder shall, within 7 days from of the date of receipt of communication, convey his acceptance & shall also furnish performance security/ Security Deposit in conformity with the bid documents 22.3 Failure to comply with the requirement as above shall constitute sufficient ground for the annulment of the acceptance of the bid and forfeiture of the bid security, in which event, the BSNL, Aurangabad shall be free to place orders on any other bidder(s) or call for fresh bids. 22.4 The bid security of the successful bidder(s) shall be discharged only after the performance security (S/D) is furnished by such bidder(s). 22.4.1 The contractor may be debarred from participating in the present tender / all the future tenders of BSNL, Aurangabad in the event of: Failure of successful Bidder to pay the security deposit & or enter into the prescribed agreement, for any earlier / present tender of BSNL, Aurangabad. 22.4.2 Breach of any terms & conditions of any contract with BSNL, Aurangabad 23 Award of Contract & Issue of work Order: 23.1 The BSNL, Aurangabad may consider placement of a work order for commercial DATA ENTRY JOB WORK services on those bidder(s), whose offers have been found technically, commercially and financially acceptable and whose service(s) have been found proven and reserves the right to change the no. of shifts/timings. 23.2 During the period of contract, if so desired by the BSNL, Aurangabad, the supplier(s) shall visit the BSNL, Aurangabad at such place and date as may be prescribed by the BSNL, Aurangabad for discussions on design(s) and progress of the work etc. 23.3 The Work Order shall be placed in single/different lots by the BSNL, Aurangabad during the contract period. 24 Extension of contract period. The contract shall normally be for one year (unless otherwise specified) but BSNL, Aurangabad reserves the right to extend the contract period by another one year beyond the period specified in the letter of acceptance (tender), on the same rates and terms & conditions. 25 Right to Cancel the Contract.

25.1 The BSNL, Aurangabad shall have the right to cancel the contract wholly or in part in the event he is obliged to do so, on account of any decline, diminution, curtailment or stoppage of the work(s), by giving one month’s notice. 25.2 The BSNL, Aurangabad shall have the right to cancel the contract & forfeit S/D if subsequently it is found that the approved contractor is a “Member of Family” of a “Government servant”. 25.3 The bidder who is a “Member of Family” of a “Government Servant” working either in BSNL, Aurangabad, MTNL or Telecom Department is not eligible to bid for this tender. 25.4 It is binding on every bidder to give declaration along with the tender in the prescribed pro-forma as per Section– V (C ). Definitions: - In these rules, unless the context otherwise requires – (a) “The Government” means; BSNL (b) “Government Servant” means any person appointed by BSNL or on deputation to BSNL to any civil service or post in connection with the affairs of the Union & includes a civilian in a Defence service; Explanation - A Government Servant whose services are placed at the disposal of company, Corporation, organisation or a Local Authority by the Government shall, for the purposes of these rules, be deemed to be a Government Servant serving under the Government not withstanding that his salary is drawn from sources other than the Consolidated Fund of India; (c) “Members of Family” in relation to a Government Servant includes – The near relatives for this purpose are defined as, 1 Member of a Hindu Undivided family, 2 They are husband & wife, 3 The one is related to the other in the manner as father, mother, son(s) & son’s wife (daughter-in-law), Daughter(s) & daughter’s husband (son-in-law), brother(s) & brother’s wife sister(s) & sister’s husband (brother in-law). 26 Agreement Every successful bidder shall also execute an agreement with the BSNL, Aurangabad i.e. on a non judicial stamp paper of Rs. 100/- as per the Proforma at SECTION–VI (C) (The cost of stamp paper to be borne by bidder). AGM (HR/Admn) BSNL, Aurangabad, shall sign the contract on behalf of PGMT, BSNL, Aurangabad & he shall represent the BSNL, Aurangabad with reference to contract. 27 Payment : 27.1 Payment will be made as specified in clause no.10 of SECTION–III Part B special Condition. 28 Sub-Contracts: 28.1 The contractor shall not assign/transfer & sub-Contract its interests/obligations under the contract without the prior written permission of the BSNL, Aurangabad. 28.2 The contractor shall notify to BSNL, Aurangabad in writing of all sub-contracts awarded under this contract if not already specified in the bid. Such notification, in the original bid or later shall not relieve the supplier from any liability or obligation under the contract. 29 Force Measures: 29.1 If at any time, during the currency of this contract, the performance, in whole or in part, of any obligation(s) by either party under this contract shall be prevented or delayed by reason(s) of war, hostility, acts of the public enemy, civil disturbance, sabotage, fire, floods, explosions, epidemics, quarantine restrictions, strikes, lockout or act of God (Herein after referred to as events), provided notice of happenings, of any such event is given by either party to the other within 21 days from the date of occurrence thereof, neither party shall by reason(s) of such event be entitled to terminate this contract nor shall either party have any such claim for damages against the other in respect of such non performance or delay in performance and deliveries under the contract shall be resumed as soon as practicable after such event(s) may come to an end or cease to exist and the decision of the BSNL,

Aurangabad as to whether the deliveries have been so resumed or not shall be final and conclusive, provided further that if the performance in whole or part of any obligation(s) under the contract is prevented or delayed by reason(s) of any such event for a period exceeding 60 days, either party may, at its discretion terminate the contract. The decision of BSNL, Aurangabad as to whether an event justifies invocation of force major shall be final & conclusive. 29.2 Provided also that if the contract is terminated under this clause, the BSNL, Aurangabad shall be at liberty to take over from the supplier, at a prices to be fixed by the BSNL, Aurangabad, which shall be final, all the unused, undamaged & acceptable goods, bought out components & stores in course of manufacture in the possession of the supplier at the time of such termination or such portion(s) thereof as the BSNL, Aurangabad may deem fit excepting such materials bought out components and stores as the supplier may with the concurrence of the BSNL, Aurangabad elect to retain. 30 Termination for Default. 30.1 The BSNL, Aurangabad by a written notice of 14 days, of default, may, without prejudice to any other remedy for breach of contract, terminate the contract in whole or in part as the case may be; 30.1.1 If the contractor fails to provide all of the services within the time period(s) specified in the contract, or any extension thereof granted by the BSNL, Aurangabad. 30.1.2 If the supplier fails to perform any other obligation(s) under the contract; and 30.1.3 If the supplier, does not remedy his failure(s) within a period of specified by BSNL, Aurangabad, after the receipt of the default notice. 30.1.4 On the happening of any of the above circumstances, the BSNL, Aurangabad, without prejudice to its other rights under the law of the contract, may engage the balance quantity of the services at the risk & cost of bidder & book to him for the payment thereof & shall also claim a set-off of any dues payable under the contract to the supplier against his dues under the contract or any previous contract. 31 Termination For Insolvency: The BSNL, Aurangabad may at any time terminate the contract by a written notice to supplier, without compensation, if the supplier becomes bankrupt or otherwise insolvent as declared by competent court, provided that such termination shall not prejudice or affect any right of action or remedy which had accrued or will accrue thereafter to the BSNL, Aurangabad. 32 Arbitration In the event of any question, dispute or difference arising under this agreement or in connection there with (except as to matters the decision of which is specifically provided under this agreement) the same shall be referred to sole arbitration of the Chief General Manager Telecom BSNL, MH Circle, Mumbai or any other person appointed by him., or in case his designation is changed or office abolished , then in such case to the sole arbitration of the officer entrusted with the function of head of Chief General Manager Telecom BSNL, MH Circle, Mumbai by whatever designation such officer may be called (here in after referred to as the said officer) and if the CGMT or the said officer is unable or unwilling to act , as such to the sole arbitration of some other person appointed by the CGMT or the said officer. There will be no objection to any such appointment that the arbitrator is Govt. servant, he has to deal with the matter to which the agreement relates or that in the course of his duties as Government servant he has expressed views, on all or any of the matters under dispute. The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reason whatsoever, such CGMT or the said officer shall appoint another person to act as arbitrator in accordance with the terms of the agreement and the person so appointed shall be entitled to proceed with reference from the stage at which it was left out by his predecessors. The arbitrator may from time to time with the consent of the parties extended the time for making and publishing the award. Subject to the aforesaid The Arbitration and Reconciliation Act, 1996 and the rules made there under, any modification thereof for time being in force, shall be

deemed to apply to the arbitration proceedings under this clause. The venue of the arbitration proceedings shall be decided by the arbitrator. Upon every & any reference as aforesaid the assessment of costs of incidental expenses in the proceeding for the award shall be in the jurisdiction of the arbitrator. 33 Subject Laws & Jurisdiction: 33.1 The contract shall be governed by Indian Laws & the Courts at Aurangabad will have jurisdiction to entertain any dispute(s) or claim(s) arising out of such dispute(s). 33.2 The work order (in terms of the proforma attached & to be adopted mutardies) shall, when issued to the successful bidder, constitute the part of contract. 34 Set Off: Any sum of money due & payable to the supplier (including security deposit refundable to him) under this contract may be appropriated by the BSNL, Aurangabad & set off the same against any claim of the BSNL, Aurangabad arising out of this contract or under any contract made by the contractor with the BSNL, Aurangabad and/or any other units of BSNL. 35 Performance Security (Security Deposit): The supplier, within 7 days of the receipt of the letter of Intent (LOI), shall furnish performance bank guarantee (PBG) for an amount of 10 % of the Estimated Cost value, unless stated otherwise in LOI, valid for a period of 30 months from the date of LOI/LOA. 35.1 The proceeds of the performance security shall be payable to the BSNL, Aurangabad as compensation for any loss resulting from the suppliers failure to complete its obligations under the contract. 35.2 The performance security shall be in the form of DD / Banker’s cheque (pay order) / Bank Guarantee/ issued by a Nationalized Bank in ANNEXURE VI (B ). 35.3 The performance security shall be discharged by the BSNL, Aurangabad, 6 months after completion of the supplier’s performance obligations, including warranty obligations, if any, under the contract. 35.4 Earnest Money Deposit of successful tender cannot be adjusted to towards Security Deposit. 36 In case of breach of any tender condition, delay or non-performance of work or supplies, poor quality of work or material, BSNL, Aurangabad may take all or any of the following actions: a. Essential Conditions of the Tender: Experience : Bidder should have completed similar works of at least 35 % of total estimated cost i.e. Rs 8655850/- in last five financial years i.e. 2012-13, 2013-14, 2014-15, 2015-16 and 2016-17 put together. Similar Works: Providing data entry operator or performing data entry jobs to BSNL/MTNL /DOT Central Govt/State Govt Organizations/PSUs. Experience certificate in this regard should be issued by officer not below the rank of DGM in case of BSNL/DOT/MTNL, and Managers level in state/ PSUs. 13. PENALTY CLAUSE: 13.1 The contractor shall be responsible for proper supervision of the DATA ENTRY JOB WORK of the telecom infrastructure at all the time. If contractor fails to do so, 5% of the monthly contract amount towards penalty of that site will be deducted from their payment for every instance of such negligence on his part. In addition, if the contractor fails to render the services satisfactorily, BSNL reserves the right to enhance the penalty up to 10% of the monthly contract amount for every instance of such negligence on the part of the contractor. 13.2 In the event of any breach by contractor of any of the terms and conditions thereof or if the penalty of the recovery imposed against one or more orders incomplete or if the contractor fails to provide services within prescribed time or if in the opinion of controlling officer the services provided are not satisfactory, the BSNL Aurangabad shall have full power to terminate the contract, with forfeiture of security deposit. 14.0 The technical bid ( Techno-commercial Envelope) should contain following Documents: a. (Regulation and Abolition Act -1970).The wages/payment to labours/contract workres engaged by the contractor for providing the specified services shall be made only through account payee cheque in the presence of authorized representative of BSNL or online. Requisite records and statements are required to be handy for the purpose of inspection by BSNL or Parliament committee or Govt. Labour Authorities. The Contractor shall also abide by and comply with the provisions of the Child Labour (Prohibition and Regulation) Act 1986, Workmen’s Compensation Act 1923, Industrial Dispute Act 1947, Maternity benefits Act 1961 and Apprentices Act, 1961and ESI Act or the modifications thereof or any other laws relating thereto and the rules made there under from time to time. The Contractor is fully responsible to observe the above laws as amended from time to time in regard to his employees and compensation and other benefits / risk in relation to employees to be engaged by him. Provisions of EPF and Misc. Provision. Act 1952 & Employees Provident Fund Scheme 1952 by the Contractors in respect of laboures / employees engaged by them for performing the works of BSNL. 14.10 No additional payment would be made towards any taxes or levies or charges of any kind, etc. 14.11 In every case in which by virtue of the provisions of Section 12, sub-section (i) of the Workmen's Compensation Act, 1923, Department is obliged to pay compensation to a workman employed by the Contractor, in execution of the works, Department will recover from the Contractor the amount of the compensation so paid, and without prejudice to the rights of the Government under Section 12, sub-section (ii) of the said Act, Department shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by Department to the Contractor whether under this contract or otherwise. Department shall not be bound to contest any claim made against it under Section- 12, sub-section (i) of the said Act, except on the written request of the Contractor and upon his giving to Department full security for all costs for which Department might become liable in consequence of contesting such claim. 14.12. Subject to provisions of Contract Labour (Regulation and Abolition) Act 1970 and Contract Labours Rules 1971 as amended time to time, Contractor shall register themselves after receipt of letter of acceptance of the tender with concerned licensing authority as per Contract Labour (Regulation

and Abolition) Act 1970 and Contract Labour Rules 1971 as amended from time to time as applicable, and shall commence the actual work only after receipt of license from concerned licensing authority under the provision of the Contract Labour (Regulation and Abolition) Act 1970 and Contract Labour Rules 1971 as amended from time to time and continue to have valid license until completion of work. 14.13 Compliance of Provisions of EPF Act 1952 The contractor will ensure compliance of Employees Provident Fund & Misc. provisions Act. 1952 & Employees Provident Fund Scheme 1952 in respect of laborers/ employees engaged by him for performing the works of BSNL. LABOUR WELFARES 15. In every case in which by virtue of the provisions, of the Contract Labour (Regulation and Abolition) Act 1970 and of the Contractor Labour (Regulation and Abolition) Central Rules 1971 as amended from time to time, Department is obliged to pay any amount of wages to a workman employed by the Contractor in execution of the works, or to incur any expenditure in providing welfare and health amenities required to be provided under the above said Act and the Rules or under the Rules framed by Government from time to time for the protection of health and sanitary arrangements for workers employed by Contractors, Department will amount of expenditure so incurred, and without prejudice to the rights of the Government under Section 20, Sub-section (2) and Section 21, Sub-section (4) of the Contract Labour (Regulation and Abolition) Act 1970, Department shall be at liberty to recover such amount or any part thereof by deducting it from the security deposit or from any sum due by Department to the Contractor whether under this agreement or otherwise. Department shall not be bound to contest any claim made against it under Section 20, sub-section (i) and Section 21, sub-section (4) of the said Act, except on the written request of the Contractor and upon his giving to the Department full security for all costs for which Department might become liable in contesting such claim. 15.1. No labour below the age of ELIGIBLE years shall be employed on the work. 16. The Contractor shall pay to labour employed by him, wages not less than fair wages on line, as per provisions of "Payment of wages act 1936, Minimum wages act 1948 and Contract Labour (Regulation and Abolition) Act 1970 and the Contract Labour Rules 1971, wherever applicable. The Contractor shall, notwithstanding the provisions of any contract to the contrary, cause to be paid fair wage to labour indirectly engaged on the work, including any labour engaged by his sub-contractors in connection with the said work, as if the labour has been immediately employed by him. In respect of all labour directly or indirectly employed in the works for performance of the Contractor's part of this agreement, the Contractor shall comply with or cause to be complied with Labour Regulations made by Government from time to time in regard to payment of wages, wage period, deductions from wages, recovery of wages not paid and deductions unauthorisely made, DATA ENTRY JOB WORK wages books or wage slips, publication of scale of wages and other terms of employment, inspection and submission of periodical returns and all other matters of the like nature or as per the provisions to the Contract Labour (Regulation and Abolition) Act 1970 and the Central Labour (Regulation and Abolition) Central Rules, 1971, wherever applicable. The Competent Telecom. Authority or his sub-ordinate Officer concerned shall have the right to deduct from the money due to the Contractor any sum required or estimated to be required for making good the loss suffered by a worker or workers by reasons of non-fulfillment of the conditions of the contract for the benefit of the works, non-payment of wages or of deductions made from his or their wages which are not justified by the terms of the contract or non-observance of the Regulations. 17. In respect of labour directly or indirectly employed in the work for the performance of the contractor's part of this agreement, the contractor shall at his own expense arrange for the safety

provisions as per safety code framed from time to time and shall at his own expense provide for all facilities in connection therewith. In case the contractor fails to make arrangement and fails to provide necessary facilities as aforesaid, Competent Telecom. Authority shall be at liberty to make arrangement and provide facilities as aforesaid and recover the costs incurred in that behalf from the contractor. 18. The contractor shall submit, by the 4th and 19th of every month to the Engineer or in-charge a true statement showing, in respect of the second half of the preceding month and the current month respectively : The number of labours employed by him on the work, their working hours and wages paid to them. The accidents that occurred during the said fortnight showing the circumstances under which they happened and the extent of damage and injury caused by them. 19. In respect of all labour directly or indirectly employed in the works for the performance of the contractors' part of this agreement, the contractor shall comply with or cause to be complied with the provisions of Contract Labour (Regulation and Abolition) Act 1970 and Contract (R&A) Central Rules 1971 or any other rules framed by Government from time to time (hereinafter referred as " the said rules") for the protection of health and sanitary arrangements for work period employed by the contractor for the protection of health and sanitary arrangements for workers employed by the contractor. Should it appear to the Competent Telecom. Authority that the contractor is not properly observing and complying with the said rules, the Competent Telecom. Authority shall have power to give notice in writing to the contractor requiring that the said rules be complied with and the amenities prescribed therein be provided to the work-people within a reasonable time to be specified in the notice. If the contractor within the period specified in the notice to comply with and/observe the said Rules fails to provide the amenities to the work- people as aforesaid, the Competent Telecom. Authority shall have the power to provide the amenities herein mentioned at the cost of the contractor. The Contractor shall erect, make and maintain at his own expense and to approved standards all necessary huts and sanitary arrangements required for his work- people at the site in connection with the execution of the works and if the same shall not have been erected or constructed, according to approved standards, the Competent Telecom. Authority shall have power to give notice in writing to the Contractor requiring that the huts and sanitary arrangements be remodeled and/or reconstructed according to approved standards and if the Contractor shall fail to remodel or reconstruct such huts and sanitary arrangement according to approved standards within the period specified in the notice, the Competent Telecom. Authority shall have the power to remodel or reconstruct such huts and sanitary arrangements according to approved standards at the cost of the Contractor. 20. The contractor should pay the monthly wages and salaries online only in Bank account to their employees before 7th of every Month, irrespective of receipt of bills amount from BSNL. Advances if required to pay may be given as per existing/amended labour laws by Govt. authorities. Proof of online payment/Advances or any kind of payment should be submitted along with bill. Otherwise bills will not be processed. 21. Distribution of Quantity (i) The Purchaser intends to limit the number of technically and commercially responsive bidders to two only for tender work from the list of such bidders arranged in increasing order of their evaluated prices starting from the lowest for the purpose of ordering against this tender. Special Note on Security of Bids Security related functionality has been rigorously implemented in ETS in a multidimensional manner. Starting with 'Acceptance of Registration by the Service Provider', provision for security has been made at various stages in Electronic Tender's software. Specifically for Bid Submission, some security related aspects are outlined below: As part of the Electronic Encrypter™ functionality, the contents of both the ‘Electronic Forms’ and the ‘Main-Bid’ are securely encrypted in ETS using a Pass-Phrase created by the Bidder himself. Bidder should have completed similar works of at 35 % of total estimated cost i.e. Rs 86,55,850/- in last five financial years i. e. 2012-13, 2013-14, 2014-15, 2015-16 and 2016-17 put together. Similar Works: Providing data entry operator or performing data entry jobs to BSNL/MTNL /DOT Central Govt/State Govt Organisations/PSUs. 9. Turnover:- The average annual financial turnover should be at least 30% of total estimated tender Cost i.e. Rs 74,19,300/- in last three financial years i.e. 2014-15, 2015-16 and 2016-17. 10.
