We hope you like the change. October is the global breast cancer awareness month. BCAS took this opportunity to host the release of a series of films produced on this subject by Sanjeevani—an NGO working towards the cause of breast cancer awareness and post-treatment trauma. These films are available at the BCAS office should anyone be interested. As much as we’d like to ignore, gender biases do exist—socially and professionally. On the professional front, internationally, there has been widespread debate, agitation and litigation concerning pay gaps. One of the world’s largest retailers was battling a multi-billion dollar suit in the US, defending charges of gender-inspired wage discrimination. Nine days after Barack Obama was sworn into office, he signed the Lilly Ledbetter Fair Pay Act. This in itself signifies the importance of this subject. Recently, I chanced upon some articles on this topic and was appalled to read that such discrimination exists blatantly even in the so-called civilised economies. A study by the American Association of University Women looked at the earnings of female and male college graduates, working full-time, in 2009. Here are the findings: Men tend to have a greater opportunity for advanced studies. Initially, the pay gap is small but as years go by, women earn about 77% of what men with similar education and experience earn. BCAS Foundation operates a Right to Information (RTI) Clinic on a regular basis.

The Clinic provides help and guidance to BCAS members as also to non-members, i.e., all citizens, for making applications under the RTI Act and also assists in resolving any related difficulties on the subject of RTI.

The RTI Clinic operates on every 2nd, 3rd and 4th Saturday from 11 a.m. to 1 p.m.

The next RTI Clinic days accordingly are 17th, 24th November 2012, 8th, 15th and 22nd December 2012. Please call to obtain a prior appointment.

• Women lack negotiation skills when it comes to matters of pay.Marriage, bearing children, and rearing them itself sets back a woman as compared to the husband who is professionally less affected by these factors. The Indian Constitution guarantees equality but there is no specific law nor is there any research to emphasise the gravity of the matter.

Fortunately, things are changing for the better. More women are opting for higher education and coming out to work. It is motivating to see so many companies being led by women. Yet a lot more needs to be done—recognising that such gaps exist, researching and spreading awareness, debating ways to reduce gaps, encouraging women to speak out and acting against any discrimination in the work place.

In India, we are still grappling with opening the doors of opportunity and creating a nurturing environment for women.

The 4i Committee of BCAS is planning an event for women CAs later during the year. It will give us an opportunity to understand the challenges faced by women in our profession who chose to devote time to their families, at least while the children were very young. Some of them may want to take on professional work, albeit with lesser responsibilities and flexi timings. Some may be ready to come out of their sabbatical but may be finding it difficult to resume from where they left. Maybe confidence, opportunities and encouragement are all they need.

Scams being the flavor of the season, I will attempt a write-up on it in my next communiqué.

"Due Diligence" is a concept involving voluntary investigation of a business prior to entering into any kind of a commercial contract with it. Due Diligence is a standard practice of investigation and examination of all aspects of a business unit, before entering into any type of commitment of money, time, goodwill or managerial involvement.

Due Diligence is carried out by examination of a potential target for merger, acquisition, privatisation, or similar corporate finance transaction normally by a buyer. This investigation focuses on the overall material matters of the past or future matters that might have a significant bearing on the profitability or mere existence of the business.

Many a times the due diligence process is carried out to dig out any hidden or potential liabilities which may arise and need to be adjusted in the transaction price. Typically Due Diligence is usually done by examination of books of account, vouchers, statutory registers and other relevant records including current practices of process and policies. Further inquiries and asking certain key questions to the management and others related with the business also is part of the entire process.

A good due diligence process helps to answer many tricky questions like how do you buy, how do you structure the acquisition, and how much do you pay?

To sum up, due diligence is an important tool along with valuation to make an acquisition decision and determine a fair price to be offered by the acquirer to a target company or its assets for acquisition.

Due Diligences are of many kinds and have become a practice area with huge potential for practicing Chartered Accountants.

The Infotech & 4i Committee of the BCAS, continuing with its tradition of introducing a new and emerging area to its members, has organised a two day program covering all the aspect of Due Diligence.

The International Financial Reporting Standards (IFRS) are fast emerging as the globally accepted accounting framework with more than 100 countries having adopted or permitting use of IFRS and several other countries adopting IFRS from 2012 onwards. In line with this emerging global trend, though the Ministry of Corporate Affairs (MCA) had announced convergence of Indian GAAPs with IFRS and a phased implementation thereof from April 2011 onwards, the same has been postponed mainly due to several implementation issues. Towards this end, MCA has already notified 35 Ind AS. The Institute of Chartered Accountants of India (ICAI) has also been proactive in issuing Exposure Drafts for several new Ind AS. As per the latest news reports, Ind AS are likely to be made applicable from 1st April 2013 onwards. This may also require companies to compile comparative financials for the year ended 31st March, 2013 as per the applicable Ind AS.

With the convergence fast approaching due to the impending deadline, as well as there being issues to be addressed to while preparing accounts as per revised Schedule VI, how many of us are really equipped to embrace the change with confidence? Pending the final announcement of applicability, professionals also need to be fully prepared for the implementation.

Realising the importance of the journey of convergence with IFRS/Ind AS and to assist the accounting fraternity to prepare the accounts compliant with the regulatory requirements, we at BCAS have devised the fourth Residential Study Course to equip the professionals with relevant skills and to be the catalyst of the change process.

The 4th Residential Study Course (RSC) is in continuation of the successful completion of 3RSC on IFRS in December 2009, 2010 & 2011.

"Why Cyber Security & Forensics ?The interconnected, digital infrastructure for information and communication is known as cyberspace. It covers almost every facet of our life. It provides critical support for our day to day professional functions, communications personal life and the infrastructure. This technology has transformed the economy and has connected people in the ways we had never imagined.

Information systems and Internet has thoroughly encompassed our daily lives. We can’t imagine the world without this connectivity. Our data, banking, communications, reservations, shopping, payments, appointments, records, entertainment, knowledge resources all are substantially through cyberspace.

Chartered Accountants collect their clients’ data during the audits on their office servers, ensuring confidentiality, integrity and availability of data and privacy protections of hardware data and software is the need of the hour. The legislation—called the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules 2011—was put in place recently to implement a law passed by the country's government in 2008.

The new data protection rules require that organisations inform individuals whenever their personal information is collected by email, fax or letter. Furthermore, they demand that organisations take steps to secure personal data and offer a dispute resolution process for issues that arise around the collection and use of personal information.

Hence, we need a safe Internet with a strong network infrastructure. We as professionals need to take prompt action to protect cyberspace for our use today and in the future and also how to audit data from cyberspace.

Protecting cyberspace requires conceptual clarity of technology, leadership and understanding of evolving cyber laws and technology.

Ensuring that cyberspace is sufficiently resilient and trustworthy to support corporate objectives and economic growth, ensuring confidentiality, integrity and availability of infrastructure and privacy protections of hardware data and software are highest priorities of the cyber security.

AgreementThe 13th batch of the intensive Study Course on ‘Double Tax Avoidance Agreement’ (DTAA) would be held from November 24, 2012 to January 5, 2013.

This intensive course would be conducted in classroom style. ACe tP transfer Pricing SoftwareBCAS is installing full version of the Transfer Pricing Software, ACE TP. Following are the key features of the software:• Digital database of 28,000 listed and unlisted companies in India having historical date of over 15 years. • Search Filters, Classifications, Parameters, Data Sources, etc. to filter companies. • All data can be exported easily to MS Word or MS Excel• To ensure that all members can take maximum benefit, the member desiring to use the software is requested to follow the following guidelines.1. The software is for use of only individual Life/Ordinary/Associate

BCAS members.2. A member will be allowed to use the software for minimum 2 hours

and maximum 4 hours on any day (excluding Sunday and holiday) and maximum 16 hours in any month subject to availability of time slot. The available time slots would be 10 am to 12 pm, 12 pm to 2 pm, 2 pm to 4 pm and 4 pm to 6 pm from Monday to Friday & 10 am to 12 pm on Saturday.

3. The member would be required to pay nominal amount for usage @ R 200 + R24 (Service Tax) = R 224/- per hour towards reimbursement of cost. The member will be required to register with BCAS in advance.

4. BCAS would make arrangements for familiarising the members who have registered by placing imprest deposit subject to availability of minimum number of participants as may be decided by the society. For this purpose, subject to space availability, Society may also consider participation of other members who have not registered.

5. Please take prior appointment before atleast one working day by calling Ms. Aparna on 61377614 followed by mail to <[email protected]> clearly mentioning the slot preferred. If the slot is available, BCAS will confirm the appointment by mail. Please visit the BCAS Library only during the allocated time slot.

6. The appointment once taken cannot be cancelled and the usage charges as stated in point 3 would not be refunded.

7. A representative employee deputed by the member may use the software if the member has issued authority letter in his favour clearly mentioning that the member would be fully liable for the action of the representative.

8. BCAS will not provide any facility for printouts of the data. However, the data may be copied only on CD (not pen drive) under supervision of BCAS personnel.

9. This facility is set up only for the benefit of member’s convenience. BCAS will not be responsible for any loss of data or for incorrect data due to any reason. BCAS would make all efforts to accommodate the member but the final decision would be of the Society.

Note: Member will have to register with BCAS by placing an advance deposit of R800 plus R99 ( St). the balance deposit (excluding service tax) after deducting cost for the time slot booked( whether used or not) will be refunded when the memeber intimates in writing that he/she no longer desires to use or further use the software.

This circular states that the below mentioned all-in-cost ceiling for trade credit for imports into India will continue till further notice: -

Press Note No.9 (2012 Series) dated October 3, 2012Setting up of step down (operating) subsidiaries by NBFCs having foreign investment above 75% and below 100% and with a minimum capitalisation of US$ 50 million - amendment of paragraph 6.2.24.2 (1) (iv) of 'Circular 1 of 2012 – Consolidated FDI Policy

Presently, 100% foreign owned NBFC with a minimum capitalisation of US $ 50 million can set up step down subsidiaries for specific NBFC activities, without any restriction on the number of operating subsidiaries and without bringing in additional capital.

This circular has relaxed the limit 100% holding and provides that NBFC having foreign investment of more than 75% and a minimum capitalization of US $ 50 million, can set up step down subsidiaries for specific NBFC activities, without any restriction on the number of operating subsidiaries and without bringing in additional capital.

A. P. (DiR Series) Circular No. 42 dated October 12, 2012Uploading of Reports in 'Test Mode' on FINnet Gateway

This circular states that in terms of the instructions issued by FIU-IND vide their letter F.No.9-29/2011-FIU-IND dated August 28, 2012 all Authorized Persons must submit reports, as required under provisions of PML Rules 2005, on the FINnet Gateway in 'Test Mode' from August 31, 2012. However, they are also required to continue to submit the existing reports in CD as presently required until further notice.

A. P. (DiR Series) Circular No. 44 dated October 12, 2012Foreign Exchange Management (Deposit) Regulations, 2000 – Loans to Non Residents / third parties against security of Non Resident (External) Rupee Accounts [NR(E)RA] / Foreign Currency Non Resident (Bank) Accounts [FCNR (B)] Deposits

Presently, banks are permitted to grant loans in Indian rupees / foreign currency against NRE / FCNR(B) deposits to the deposit holder / third party up to Rs. 100 lac.

This circular has removed the ceiling of Rs. 100 and provides for grant of loans without any ceiling, subject to appropriate margin requirements. Loans will include all types of fund bases as well as non-fund based facilities. The table reads as follows: -
