1. INTRODUCTION 2015 will be a fantastic year with Milano under the eyes of the world. We will draw on what is special about our city and our nation to create a Universal Exposition like never before. Our ambition is for Expo Milano 2015 to be a World’s Fair for everyone. We want everyone to be inspired to visit and experience our extraordinary event. Our Ticket Resale Program is a key step towards bringing that magic to millions of people from around the world. The goals of the program are to facilitate the sale of Expo tickets through multiple, capillary channels world-wide to achieve the visitor target of 20 million whereby 40% are estimated to come from outside of Italy. We are committed to filling the Expo to capacity with visitors who want to be part of the greatest celebration of food anywhere on earth. We also want to deliver a high quality ticketing experience for resellers, partners and spectators alike, while ensuring that official tickets are correctly and securely sold and distributed. We look forward to working with you and servicing your ticketing needs over the next year and a half. 1.1 GUIDE STRUCTURE This B2B Expo 2015 Tickets Authorised Reseller Guide is intended for use by resellers and organizations that have a contractual relationship with the Expo Milano 2015. This guide is a set of relevant documents that will periodically be updated to provide the most exact details of the Ticket Resale Program. The guide contains specific information Expo Milano 2015, Ticketing’s policies and procedures, and the essential information needed to purchase tickets from Expo for access to the Universal Exhibition. In this guide you will find everything you need to prepare your promotion of tickets and place your order for Expo tickets. As there will be a few updates throughout the project, we recommend that you always review the most recently posted guide version before proceeding with your orders. Email notifications will always be sent when additions or changes are made to the guide, communicating the nature of the modification and what part(s) of the guide have been updated. Please note that we are committed to our plans for a sustainable Universal Exposition and will not be producing this B2B Ticketing Guide in hard copy. The guide has three core sections:

1.2 THE B2B TICKETING PLATFORM Expo has enabled a B2B Ticketing Platform which uses a web-based application for ordering and account management. The tool will be accessed online, with the use of a secure username and password. The primary objective of the Platform is to provide a secure and convenient method for Resellers; Partners and other collaborators such as Official Participants to purchase tickets. In addition, all B2B clients will have access to a secure B2B Ticketing download area where Expo will post all relevant documents, up-to-date information and key communications.

After the posting of your financial obligation according to the contract, the Platform web address and your login credentials will supplied to you by your Expo Ticketing account. Standard procedure is that no ticket requests will be accepted by telephone, fax, mail, telex or email. In the few cases where the client to be serviced is in a country with insufficient telecommunication infrastructure or where government regulations forbid purchase transactions online, we will provide an alternative mechanism to receive the guide and place a ticket request. FEATURES AND BENEFITS
Access: log in to the website from any computer with an internet connection. No need to download special software.
Real-time account status: users can see their current account credit status at any time. Reports: users will receive via email a daily and monthly reports of sales. File format convenience: all reports can be downloaded in CSV for upload to Excel or as a PDF
file.
FUTURE UPDATES All our future communications will be by email. Alerts will be sent to relevant parties when any new items are added or updated on the B2B Platform or in the secure document download areas. The alerts will indicate which item has been added. Users will require their assigned username and password to view updated material.

2. MARKETING GUIDELINES AND RESELLER TERMS 2.1 MARKETING STRATEGY (B2B2C): A SOLUTION FOR EVERY NEED A capillary sales network, with the same prices globally:
o Website www.expo2015.org o Expo infopoints including Expo Gate (Piazza Cairoli in Milan). o Authorised Resellers and Distributors world-wide without exclusivity (the official list, currently in
evolution, may be found at a future date at www.expo2015.org). o All sales channels sell according to the Expo price list without additional mark-up.
Dynamic pricing based on when a ticket is purchased and ticket type: o Incentives to purchase before Expo 2015 begins: tickets purchased by 30 April, 2015 will have
lower prices compared to during the six months of Expo (up to 21% depending on ticket type). o Discounts for families, students, senior citizens 65+ years old and the disabled. o Open date and Fixed Date Tickets: visitors may purchase an Open date ticket and set the visit
date at a future moment up to the day before the intended date of visit or they may choose a Fixed Date ticket for the advantage of a lower price.
Feeding the planet…. o Eco-sustainable ticketing: Expo will not be using traditional delivery methods such as post and
courier to send its tickets to visitors and Authorised Resellers. o Expo has chosen primarily e-ticket delivery with print@home, print@work, print@school whereby
visitors and ticket resellers may print their own tickets. o E-tickets also on smartphones: even printing may be avoided as visitors may show the QR code
of their ticket directly on the display of their smartphones and in some cases also have their tickets loaded via NFC.
RESELLER MISSION
1. Sell and promote tickets in an open, transparent and ethical manner. 2. Provide high quality servicing to all visitors to support the best purchase experience possible 3. Be responsible for the proper storage of every ticket sold, in both paper and electronic format, to
avoid duplication. 4. Assure that each ticket holder is notified of the key Ticket Terms and Conditions and where to
find the complete version. 5. Do all possible to promote and maximize Expo 2015 ticket sales. 6. Help prevent any illicit sales, ticket fraud or counterfeit activity, quickly notifying Expo of any

2.2 COMMUNICATION STRATEGY : KEY MESSAGES What are the key messages that can be used by Authorised Resellers for effective marketing?
Expo Milano 2015 will be a global event of extraordinary importance that expects 20 million visitors during its 6 month run. It is important to plan ahead to assure it won’t be missed.
It will be the most exciting event about food ever, and in a country where food is king ! Visitors save up to 21% by purchasing a ticket before Expo begins. There is a ticket for everyone’s needs.
What must absolutely be avoided?
Associate Expo with unethical subjects/contexts (i.e.: publish a banner on a website that is prohibited to minors).
Associate Expo with companies in direct competition with Expo’s commercial Partners. 2.3 RESELLER CONTRACT AND SUB-DISTRIBUTORS B2B Ticket orders will only be accepted by EXPO with a signed Ticket Reseller Agreement which is the definitive legally binding document that details the Reseller privileges and policies in connection with ticket use, purchase, resale and distribution. Completed by Expo in Exhibit C with the list of any approved Sub-Distributors as proposed by the Reseller.
Signed by the Reseller and Expo 2015 S.p.A. All parties will have contracts bearing original signatures of all the involved parties. Please note that the contract will be dated by Expo at the time it signs as the final party. It is therefore not necessary to date the contract beforehand. Expo will send back to all involved parties one copy of the contract to keep. The copy will bear the original signatures of all the involved parties. Sub-Distributors will not be required to sign the Ticket Reseller Agreement. Each Authorised Reseller will be expected to solidify their own contractual agreement with each Sub-Distributor, referring appropriately to the Authorised Reseller Agreement as due part of the terms. Please be reminded that Resellers may activate only the Sub-Distributors that have been approved by Expo and have been listed in Exhibit C of the Reseller Agreement. Expo would like kindly to remind you that, through the Authorised Reseller Agreement, Authorised Resellers agree to accept all responsibility for the actions of approved Sub-Distributors. Furthermore, we also ask that you keep in mind that the Authorised Resellers are responsible for the proper management and usage of all their tickets. 2.4 RESELLER COMMITMENT TO MARKETING AND SERVICING Expo is committed to its ticketing program and seeks the commitment of Authorised Resellers in the following servicing requirements:
Ability to act as an effective partner for international ticket sales, investing in marketing and communication to promote Expo Milano 2015.
Clear identification by the Reseller as an official source for Expo tickets, while keeping other illicit sources at bay, taking a proactive approach to maximizing ticket sales by identifying and reaching out to key audiences.
Transparency with a link be displayed to the Expo Authorised Reseller list webpage that will confirm that the Reseller is official and will indicate the high level terms by which Resellers may resell such as no mark-up over face value and bundled with value added services and products
Willingness to provide visitors with a range of offerings and services and ability to deliver an effective service to ticket holders and by delivering tickets and providing visitor information or information links, such as guides to transport, in the local language where applicable.
Adherence to a fair and ethical selling process, advising immediately the visitor that the tickets purchased after the opening of the Expo will have a higher price.
Compliance with Expo’s B2B Ticketing Program objectives and policies, upholding all terms of the Ticket Reseller Agreement.
Adhering to program rules will not only create a positive track record for your future Universal Expo involvement, it will also help Expo Milano 2015 run an effective and efficient program that will fill the venue, support the participating countries and leave a positive Universal Exposition legacy. 2.5 AUTHORISED LOGO USAGE Authorised Resellers must use the Reseller Logo in printed material and online strictly according to the Expo Milano 2015 Authorised Reseller Guidelines and Brand Book Reseller section and only with Expo approval. Potential printed and online uses of the logo must be sent to Expo for approval via email. The approved Authorised Resellers will be provided with access to download official graphics production Logo files from a secure web based area, for use only as approved by Expo. 2.6 MARKETING INFORMATION AND REPORTING In the Authorised Reseller candidacy phase, initial marketing and servicing forecast information was required to provide Expo with information about the Reseller’s market and overall approach that will be taken to resell tickets. At a future date Expo may request an update of the same sales, marketing and servicing information as well as reporting on the resale of Expo Milano 2015 tickets. In all cases of on-sale of more than 300 tickets to the same client, the Reseller must immediately disclose information about the proposed sale via email to the Expo Ticketing team.

Student, Disabled and Children tickets may be purchased at Expo Infopoints including Expo Gate (Milan, Piazza Cairoli), from some Authorised Resellers (refer to the Authorised Reseller list on the Expo 2015 official website) and at the Expo on-site ticket office. Senior can also buy tickets on the website of Expo. Groups of 15 or more will be able to purchase slightly discounted Group tickets at a future date through a call centre and at some authorized resale locations and at the Expo on-site ticket office.
Expo 2015 has an official School Program for Italian and International school groups that approaches facilitates learning with experimenting with ‘at school with Expo’ and ‘at Expo with School’. It is divided into four phases: information in the classroom, Ideas contests, Expo Milano 2015 visit and a legacy of content. At a future date, information about pricing and how to book will be available at: http://www.expo2015.org/en/projects/school-project.
FREE ENTRY The following visitor types are entitled to free entry tickets upon presentation of valid documentation and pick-up procedure as indicated for each category: a) Helpers at least 18 years of age for visitors with a disability who have a requirement to have
continuous personal assistance for either mobility, personal care or safety reasons: an official
disability card as required for the Disabled ticket** or medical certificate that clearly indicates the
need for continuous assistance (i.e. for mobility, as a guide or assistance in case of an emergency
site evacuation.
**Please note that the discounted ticket for the visitor with a disability and the complimentary
ticket for the helper must be issued together and must be for a fixed (not open) date only.
b) Infants 0 to 3 years of age on the date of the Expo visit: proof of the parent/guardian holding a
valid, unused Expo ticket and a proof of age document for the infant.
**Please note that the complimentary Infant ticket must be for a fixed date only and therefore
the accompanying parent/guardian must have a Fixed Date ticket or an Open ticket set for a
fixed date.
Given that the qualifying documentation is required for verification, Complementary Helper and Infant tickets must be picked up at Expo Gate (Piazza Cairoli a Milano), from some Authorised Resellers (refer to the Authorised Reseller list on the Expo 2015 official website) and at the Expo on-site ticket office. All other visitors not in the categories described above may purchase adult tickets, choosing from the date based options: (open, fixed date peak, fixed date off-peak).
3) VISIT DATE OPEN DATE An Open Date ticket may be used on any day from May 2 to Oct. 31, 2015 for a single visit, all day and evening, and is valid for entry from entrance opening at 10:00 am until the closing at 11:00 pm. For reasons of access flow constraints, venue capacity limitations and local law enforcement regulations, it is highly recommended to set the date of intended Expo visit (please refer to the Redeem Process section). Remember that once you the date is set, the ticket cannot be changed. Tickets that do not have a set date may still be used to access the Expo, if there is space available. FIXED DATE A Fixed Date ticket is a ticket issued for a specific date chosen at the moment of purchase. It allows access exclusively for the chosen date and is valid for entry from entrance opening at 10 am until the closing at 11 pm.

IMPORTANT EXPO VISIT INFORMATION PRINTED ON THE TICKET FOR THE VISITOR
The following key messages will appear on all print@work / print@home tickets: For Open date tickets, it is highly recommended that a visit date is set at a future moment by the
Authorised Reseller or the ticket holder themselves. A Ticket holder may set their date by registering on the Expo 2015 website, entering their ticket information in the proper area and choosing their date. Once the date is set, it may not be changed.
Tickets may not be resold by ticket holders. Damaged, lost or stolen tickets will not be substituted. Expo will employ international airport level entrance security and restrictions such as for
dangerous objects and liquids. Expo does not have any storage area, left luggage facilities or lockers available on the Expo
grounds. Limited space pay-for-storage is available outside of Expo at “Fiera Milano” in Rho. Unauthorized marketing is not permitted inside Expo, and in particular any action that can be
construed as ambush marketing with respect to Expo Partners. 2.9 COMMUNICATION TO TICKET PURCHASERS Final ticket holders must be informed of, and abide by, all rules for spectator ticket use, including no resale, no ambush, security policies, no black market, no counterfeiting, etc. The complete spectator rules document is provided in the appendix and on the website https://tickets.expo2015.org/Content/TermsAndConditions.pdf. Each spectator must be required to accept ticket purchase terms and conditions that include the rules for spectator ticket use.

2.10 RESALE RESTRICTIONS Expo 2015 tickets may only be used for advertising, promotion or marketing purposes (including in competitions, public or internal contests and sweepstakes) or other trade purposes with the express written permission of Expo. An Authorised Reseller cannot sell tickets to any third party it has reason to believe will resell tickets or use tickets for promotional or commercial purposes. Tickets may not be given as charitable donations where the tickets would then be raffled or auctioned off, nor may tickets be sold to a third party with the same intent, unless approved by Expo. No tickets shall be put into black market resale (through ‘touts’/brokers). RULES FOR PROMOTIONS AND PRIZE DRAWINGS Permissions granted by Expo for any competitions, contents or drawings will also explicitly confirm the type and maximum number of tickets for each promotion. Moreover, Expo cannot be involved in the promotion, organization or management of the contest or prize drawing initiative. It is not permitted to promote or resell a ticket at a price lower than its face value. Starting 1 December 2014 Expo may permit Authorised Reseller promotions to be evaluated and approved on a case by case basis. 2.11 BUNDLING RULES COMMUNICATION All bundled marketing communication must promote ‘packages’ or ‘bundles’ and not just ‘tickets’. In bundles tickets may never be referred to as free, however may be indicated as ‘included’. PACKAGE VALUE The price of the package must be no less than the total Expo official price list value of tickets included. EXPO COMPATIBILITY The products or services bundled with Expo ticket must manage Expo’s image in any manner. TICKETS PRINTED WITH TICKET TYPE NAME AND FACE VALUE In all cases of whether a ticket is sold bundled together with products and/or services or sold stand-alone (for the Resellers who have that permission), all Expo tickets will have the full Expo price list face value for the ticket type of reference, including all taxes, printed on the ticket. The ticket purchaser is responsible to verify that they have received the correct ticket type. 2.12 THE REDEEM PROCESS Open Date tickets may choose to set any specific date set for the Expo visit between 2 May 2015 and the closing 31 October 2015, based on availability. The ticket use date may be set (redeemed) up to the day before the intended visit by the Authorised Reseller through the B2B Ticketing Platform or by the visitor directly on the web site www.expo2015.org in the proper section or through the Expo Call Center. (Please note that Tour Operators are required, by contract, to set the date for most of their Open tickets at least 30 days in advance). A date may be chosen based on availability. Once an Open ticket has a set date, it cannot be changed. A visitor with an Open ticket with a date not set can still enter Expo if it is not sold-out or already at maximum capacity for the day chosen to visit. Access for holders of Open Date tickets who so not have a set date (through the redeem process) will be admitted on the basis of availability at Expo’s sole discretion and subject to access flow constraints, venue capacity and local law enforcement regulations. Expo will communicate to Authorised Resellers when the redeem process functionality will be enabled on the B2B and B2C platforms. 2.13 NO CANCELLATIONS OR REFUNDS Expo must follow very strict Italian ticketing legislation with respect to any ticket cancellations. Consequently, once a ticket is issued, the Reseller may not cancel it under any circumstances. Moreover, please take note of the key relative points stated in the ‘Expo 2015 Ticket Terms and Conditions – Visitor Rules’ :
The Ticket Holder takes note that, as the Ticket guarantees the supply of products and services related to leisure provided by Expo at a later date or in a specific period of performance, the right of withdrawal does not apply pursuant to art. 55, paragraph 1, letter. b) of the Legislative Decree October 6, 2005 number 206 (the so-called "Consumer Code").

Adverse weather conditions, security or public order reasons or other organizational or technical factors beyond the reasonable control of Expo may force Expo to modify the dates, the time, or the events to be held during the Exposition. The responsibility of Expo is excluded in the presence of such situations.
Expo shall not be obliged to replace a lost, deteriorated, damaged, destroyed, stolen or illegible Ticket.
Expo shall not reimburse the price paid for any Ticket if Ticket Holder decides not to attend the Exposition.
2.14 PRESENCE ON AND LINK TO EXPO RESELLER LIST After contract signature, Expo will publish your company name and contact details, including website link on its Official Expo Authorised Reseller list webpage. This will also be done for each authorized Sub-Distributor. Conversely, it is important that each Reseller and Sub-Distributor also displays a link to the Expo Authorised Reseller list webpage on their own websites that will confirm that the Reseller is official. 2.15 REPORTING OF DISCOVERED ILLICIT ACTIVITY To assist Expo in minimizing illicit sales activity and more lengthy queues at the entry gates arising from access attempts with counterfeit or unauthorized tickets, Expo asks all Partners and Authorised Resellers to quickly notify Expo of any discovered illicit activity so that Expo may immediately follow-up and take appropriate actions. 2.16 SAFEGUARDING OF TICKETS AND RECOMMENDED HANDLING Once tickets have been received by the Reseller, the account holder and ticket holder are solely responsible for their security. Tickets that are lost, stolen, forgotten, damaged or destroyed will not be replaced by Expo. Tickets that are unreadable due to damages of any kind will not be accepted for admission. Important note: It is not permitted to print more than once or duplicate any print@work Expo ticket nor to electronically distribute any print@work Expo ticket to more than one recipient. It is recommended that you carefully track the printing and distribution of your tickets.

3. GETTING STARTED ACTION LIST After Authorised Reseller contract signature, the process to get into action to sell Expo 2015 tickets is as follows: 1. EXPO ACCOUNT MANAGER Expo will communicate to the Reseller the person of reference in the Expo Milano 2015 Ticketing team. 2. ACCESS TO DOCUMENTS The Reseller will receive key documents via email as well as an account access ID that will be used to access a secure B2B Client file download area. The Reseller will be responsible for distributing to its Authorised Sub-distributors the documents received by Expo and all future updates. 3. RESELLER PRIMARY CONTACT INFORMATION Please return the ‘Reseller Primary Contact Information Form’, giving details of your primary ticketing contact person and the one of your Sub-distributors, who will be responsible for managing the ticketing component of your Expo Milano 2015 program and for the safekeeping and confidentiality of your account accesses. This completed document is important for us to prepare the B2B Ticketing Platform access for you and your Sub-distributors. 4. RESELLER FINANCIAL GUARANTEE Before access credentials are provided to the B2B Ticketing Platform, it is necessary to post your required Guarantee Deposit. Please refer to section 4.1 Financial Cycle and Policies : Guarantee Deposit / Guaranteed Minimum for more detailed information. 5. B2B TICKETING PLATFORM ACCESS After the 4 steps above you will receive a personal account administrator ID via email that will be used for the order process. Approved Sub-Distributor access credentials will be provided directly to the Reseller since it is exclusively the Reseller has takes direct legal responsibility to Expo for all activity of its Sub-Distributors. Consequently, the Reseller will on-distribute the appropriate access information to each of the approved Sub-Distributors. 6. ISSUE OF THE TICKETS Please refer to the “B2B Ticketing Platform Authorised Reseller User Guide” which detailed screen by screen the sales process of the Expo tickets. Expo will also organize training meetings for the Resellers on the B2B platform how to use (the calendar will be communicated via email by Expo Ticketing team in the next few months). 7. PAYMENTS TO EXPO After the end of each month’s activity, the Reseller is required to pay for that month. Please refer to section 4.3 Payment policies, Commission invoicing and procedures for more detailed information.

LATE PAYMENT PENALTIES As set forth in the Ticket Reseller Agreement, default interest will be charged on the outstanding sum from the day after the due date to and including the date of actual payment. The default interest rate is accrued at the 3 (three) month Euribor rate, as published on the Sole 24 Ore or other leading Italian Financial newspaper the day in which the payment was due under this Agreement, marked up by 3% (three per cent). In the case of excessive delay in payment, EXPO reserves the right to suspend or revoke the Reseller’s access to the B2B Platform and interrupt issuance of the Tickets until payment is made or cancel the Reseller’s unpaid tickets and end the reseller relationship. As a last resort, Expo may draw down on the Guarantee Deposit provided.

4.4 PLAFOND MANAGEMENT AND TRACKING AGAINST GUARANTEED MINIMUM ONLINE AND REPORTING INDICATORS The B2B platform allows the Reseller to constantly monitor their situation with respect to the set credit limit. Screen displays will indicate amount of initial credit, the amount sold on credit and the amount of credit remaining. Please note that if some transactions are paid directly with a credit card, the amount sold on credit against the plafond and total of credit remaining will not change. SUB-DISTRIBUTORS Sub-Distributors may be enabled to purchase tickets only with credit card payment, or may purchase on credit against the Reseller initial credit according to the agreement signed between the Reseller and its Sub-Distributors. In both cases, the Sub-distributors will not have access to the informations about the credit limit or the sales activities of the Reseller. The Reseller will receive via email from Expo daily and monthly reports detailing the sales activity of its Sub-distributors and can decide whether to share them with Sub-distributors or to keep them confidential. TRACKING OF SALES AGAINST GUARANTEED MINIMUMS Expo Ticketing and Expo Finance will continue to monitor the status of the full running total of tickets purchased and resold against the contractual net guaranteed minimum amount (the total guaranteed ticket value less commissions on the full amount). The online indicators on the home page will detail for you the total value sold compared to the ‘Initial Credit Limit’ set according to the guaranteed minimum. The value indicated as the ‘Remaining Credit’ is the additional value of tickets that need to be sold to achieve the Guaranteed Minimum as indicated by the ‘Initial Credit Limit’. Depending on the type of contract signed, this amount will be: 1) Restored to the initial credit if the Reseller has signed an agreement to purchase tickets "on demand" and is up to date with the monthly payments 2) Equal to zero or virtually zero (i.e.an amount lower than a single ticket such as 12 euro) if the Reseller has signed a pre-purchase tickets contract. In this case the contractual obligation has been met and the Reseller must contact the Expo Ticketing team to agree on new conditions of ticket purchases. For any Resellers who by mid-August, 2015 have not yet achieved the minimum sales, it will be important to gauge the total sales situation, as by contractual terms in September it will be necessary for tickets to be emitted for any remaining difference whereby the ticket types are to be chosen by the Reseller. Should this situation occur, a member of the Ticketing team will contact you to discuss your preference for course of action. There following, if within the contractually indicated period the Reseller does not request the remaining tickets, Expo will automatically issue all Adult 1-day Open Date tickets up to the final amount to be exhausted.

4.6 POST EXPO RECONCILIATION AND DEPOSIT TREATMENT During the month following the closure of Expo on October 31, 2015, the Ticketing and Finance teams will provide final reports that detail total sales, commissions and all payments received with respect to contractual Guaranteed Minimum. Full or partial release of the Guarantee Deposit held will be actioned accordingly.
5. MONITORING, INTEGRITY AND ENFORCEMENT MONITORING OF POLICIES AND RULES Resellers are asked to monitor and report to Expo any illicit sales so that Expo may take prompt action. Expo will monitor overall global sales activity as well as adherence to the rules by Resellers, with strict application of all terms of the Ticket Reseller agreement. Expo will also monitor actual ticket use, with a full access control network. INFRINGEMENT OF RULES Expo will address infringement of rules applying an escalating series of sanctions if necessary. These range from limiting ticket purchase allowed to legal sanction, and will be at Expo’s discretion based on the timing within the project and the severity of the infringement. Expo will pass information about infringements through the BIE and therefore we kindly remind you that infringements will also have impact on the possibility to resell tickets for future Universal Exhibitions.
