Profile ofBENJAMIN I. ESPIRITU, Ph.D.Brigadier General AFP (Res)

Dr. Benjamin Espiritu is a Certified Public Accountant, President of Risks,Opportunities Assessment and Management, (ROAM) Inc., President & CEO ofChange Management International, Inc., Chairman and CEO of Ormin RealtyCorporation, Chairman of Banco de Mindoro, Inc., Chairman and President of ECVentures Corporation and heads several other private corporations and two familyfoundations. He is also President of the Mindoro Chamber of Commerce andIndustry, lnc., Director of two publicly-listed corporations - Central Azucarera deTarlac, Inc. and Dizon Copper Silver Mines, Inc., and of an insurance company-Intrastrata Assurance Corporation. He is likewise Chairman of the Board ofAdvisers of the Philippine Marine Corps and President of the National DefenseCollege of the Philippines Alumni Association, Inc.

He is a corporate governance practitioner who has trained roughly over5,000 directors of banks, publicly listed companies, insurance companies anddistribution utilities since 2002. He has also written numerous articles on corporategovernance, and authored research papers on the subject that have beenpresented at international academic fora.

In government, Dr. Espiritu served as Provincial Governor of OrientalMindoro. He was the youngest appointed governor and youngest elected governorduring the Cory Aquino Administration. Under his leadership, Oriental Mindorobecame a 18tClass Province.

In the military, he is a Brigadier General and former Commander of the 7thMarine Brigade (Reserve) which has the entire Luzon as its area of responsibility.Under his command, the 7th Marine Brig'ade was adjudged as the AFP ReadyReserve Unit of the Year for three consecutive years - 2013, 2014 and 2015(BrigadelWing Level) and Philippine Navy Reserve Unit of the Year also for sixstraight years - 2012, 2013, 2014, 2015, 2016 and 2017. Prior to this, he servedas G-2 concurrent G-6 of the former 4thMarine Brigade.

In the academe, he was the former Chairman of the Board of Regents ofPamantasan ng Lungsod ng Maynila (University of the City of Manila) concurrentChairman of the Board of Trustees of Ospital ng Maynila (Hospital of Manila)Medical Center (July 2016 - July 2019) and Dean of Far Eastern University -Makati (October 2009-August 2012). He was also Chairman of the Accounting,Finance, Business and Governance Department of De La Salle UniversityGraduate School of Business, Program Coordinator of the Doctor of BusinessAdministration program, and Course Director of the Corporate Governance andRisk Management program. He teaches strategic management, corporategovernance, public governance, finance, and accounting courses.

In sports, he is Chairman of Larong Volleyball sa Pilipinas, Inc., Presidentof the Larong Hockey sa Pilipinas, Inc. (Philippine Hockey Association) and aDirector of the Philippine Athletics Track and Field Association (PATAFA). He wasalso formerly President of the Philippine Olympic Academy. He served as DeputyChief of Mission to the 2010 Guangzhou Asian Games, NOC Attache to the 2011Southeast Asian Games, Chef de Mission to the 3rd Asian Beach Games in 2012,Member of the Management Committee to the 2015 Southeast Asian Games,Delegation Official to the 2016 Rio Olympics, and Head of Security of the RPcontingent to the 2017 South East Asian Games.

He is a regular columnist of the Daily Tribune and used to write forBusinessWorld, Manila Standard, City Life and military publications such asCitemar 6 and the Navy Journal.

Dr. Espiritu earned his Doctor of Philosophy major in Public Administrationdegree from the University of Santo Tomas (graduating Meritissimus/Excellent);Master in National Security Administration from the National Defense College ofthe Philippines (Gold Medal-Leadership; Special Award-Academic Excellence;Special Award-Best Thesis); Master of Business Administration from De La SalleUniversity; and Bachelor of Science in Commerce, Major in Accounting, also fromDe La Salle University.

He completed the Basic Management Program at the Asian Institute ofManagement (1975) and the Naval Command and General Staff Course at theNaval Command and Staff College (2001) where he finished at the top of the Non-Resident Instruction (NRI) group.

His book, "A Practical Guide to Completed Staff Work (CSW)" (co-authoredwith Dr. Leonora Vasquez-De Jesus), is being used by several large organizationsboth in the public and private sectors.

Dr. Espiritu was named Most Outstanding Faculty Member of the De LaSalle Professional Schools Graduate School of Business in 2001, and in 2006 wasgiven a Most Outstanding Alumnus award. In 2005, he received the S1. Antoninusof Florence Award (Outstanding Alumnus in the field of Public Administration) fromthe UST Graduate School and the UST Graduate School Alumni Association, Inc.He was given an Outstanding Alumnus Award by the National Defense College ofthe Philippines and the National Defense College of the Philippines AlumniAssociation, Inc. in 2007,2014 and 2017.

In 2010, he received the Ulirang Ama Award in the field of education fromthe National Mother's Day & Father's Day Foundation, Inc., and in 2013, theReserve Officers' Training Corps (ROTC) Outstanding Graduate Award from theArmed Forces of the Philippines.

Attorney

Atty. Ma. Leah Jose-Sebastian is a lawyer qualified to practice in thePhilippines. She graduated from the University of the Philippines College of Law inJune 1993 and was admitted to the Philippine Bar in March 1994. She has been inactive practice for the past 24 years, including 12 years of litigation practice, and 18years in corporate in-house counsel roles in Far East Bank and Trust Company -Judicial Accounts Management Group (1996-1997) where she handled loan-relatedlitigation, United Laboratories, Inc. (2000-2006) where she was Legal Director,Unilever Philippines, Inc. (2006-2015) where she was General Counsel, and in aregional/global role in the Unilever Group (2015-2017) as General Counsel for SupplyChain in Southeast Asia, Australia, New Zealand and Global Procurement (forCommodities and Food Ingredients). She was also University Counsel (SupervisingAttorney) in the University of the Philippines Office of Legal Services for a briefperiod in 1999, during which time she was engaged in private practice as partner in thelaw firm San Juan & Jose-Sebastian (1999-2000). Group worldwide, reporting directly to the SEM Regional General Counsel; (2) Primarylegal advisor to the Unilever Philippines Leadership Team (Board of Directors) on alllegal matters relating to Unilever's business in the Philippines, including legal andregulatory compliance; and (3) Legal advisor to Unilever Global and Regional Legalcounsels on Philippine laws for global and regional projects, policies, roll-outs andinitiatives for local country implementation and on local issues. She also handled therequired local documentation for global and regional projects, including M&As anddisposals, roll-outs and initiatives in the Philippines, participated in Unilever regional andglobal working groups on matters relating to Competition Law and Anti-Bribery, and wasLegal Business Partner across functions (Supply Chain, Finance, CustomerDevelopment [Distribution and Sales], Brand Building [Marketing], Human Resources,Information Technology) for legal opinion, documentation, legal compliance andenforcement, and handled the legal aspect of all business operations and transactions ofUnilever in the Philippines, including supervision over litigation matters and disputeshandled by external counsel.

During her term as General Counsel of Unilever Philippines (UL), Atty. Sebastianwas a volunteer hearing panelist at the Ad Standards Council or ASC (in her capacityas UL representative to the Philippine Association of National Advertisers or PANA),where she participated in competitor challenge hearings (Le., disputes betweencompetitors over advertising claims and materials) as Panel Member or Presiding Officerfor Panel Hearings, and was a resource speaker of the ASC on the competitor challengeprocess. She also trained Unilever business teams in the areas of Competition Law,Intellectual Property Rights, Advertising Regulations, Data Privacy and Unilever's Codeof Business Principles (including Anti-Bribery).

As Legal Director for United Laboratories, Inc. (Unilab) concurrently supporting20 Unilab affiliates, Atty. Sebastian: (1) advised on and handled matters relating toUNILAB's manufacturing, marketing, sales and distribution operations; (2) provided legalcounseling and documentation on business operations (Labor Matters, Contracts,Advertising Campaigns, Government and industry Regulations, Credit Management) toensure legal and regulatory compliance for UNILAB operations; (3) advised the CrisisManagement team as member of the Steering Committee and directly managed theresolution and closure of issues before the team; (4) directly handled all litigation matters(civil, criminal, administrative, labor) resulting in efficient gathering and presentation ofevidence and preparation of pleadings for legal proceedings and huge legal costsavings, as well as internal administrative proceedings involving violation of companyrules, regulations and policies; (5) advocated reforms to proposed legislation andregulations relating to health, drug availability and accessibility, and control of dangerousdrugs/precursors/essential chemicals in public hearings in Congress and the PhilippineDrug Enforcement Agency (PDEA); (6) participated actively in BFAD-Industry workinggroups for regulatory reforms by drafting proposed rules and regulations; and (7) was arepresentative of Unilab in the ASEAN Harmonization conferences for thepharmaceutical industry and Trustee of Unilab in the Philippine Chamber of thePharmaceutical Industry - Board of Trustees.
