NTHC Limited Was formerly National Trust Holding Company Limited

Established in 1976 under the auspices of the National Investment Bank Limited and incorporated under Ghana’s Companies Code 1963 (Act 179).

From 1979, NTHC acted as Trustees holding and managing Government interest in companies.

A Financial Analyst and Economist with over 30 years experience in Investment Asset Management, Appraising Accounting Systems, Micro and Macro Economic Analysis. He holds a PhD in Finance and Accounting, MSc. in Development Administration and a Post Graduate Diploma in Development Finance. His prior experiences include working with international financial and commercial firms such as Hong Kong & Shanghai Banking Corporation, Drexel Burnham Lambert, Credit Commercial De France, New Zealand Apple & Pear Marketing Board.

Ms. Helen Maku Obeng, Head of Legal Unit Ms. Obeng is a trained lawyer from the Ghana School of

Law and has to her credit almost 20 years of experience in continuous practice. Before joining NTHC Ms. Obeng was a partner at Profile Trust. She was responsible for the preparation and reviewing of various legal documentations including Agency, Hire Purchase, and Sale and Purchase Agreements. She also provided legal opinion and advice on structuring and incorporation of companies, partnerships and joint ventures. Between 1990 and 1995, she was the secretary to the Divestiture Implementation Committee, the implementation body of government divestiture projects.

• Standard Chartered Bank Ghana Limited – Lead Manager of the flotation and listing of US$10million Irredeemable and Non-Cumulative Preference Shares. (2005)

• Golden Web Limited - Lead Manager for the formal listing of Golden Web Limited on the Ghana Stock Exchange in August 2005. (2005).

• Benso Oil Palm Plantation (BOPP) – Lead Manager, Financial Advisors and Sponsoring Broker for the Initial Public Offering of Benso Oil Palm Plantation Limited (BOPP) shares. NTHC Limited sold Government’s 40% interest in the Company valued at USD8.0 million. The IPO was 173% over-subscribed (2004).

• Clydestone Ghana Limited - Lead Manager for the formal listing of Clydestone Ghana Limited on the Ghana Stock Exchange in May 2004. The shares were over subscribed by 57% (2004).

• Golden Web Limited - Provisional Listing of Golden Web Limited on the Ghana Stock Exchange. (2004).

• Cocoa Processing Company (CPC) - Privatization and sale of 40% of Government’s interest in Cocoa Processing Company (CPC): NTHC was the Lead Manager, Sponsoring Broker and Underwriters for Share Flotation and Listing on the Ghana Stock Exchange. US$25 million was raised for the Government of Ghana. (2003).

• Sam Woode Limited (SWL) - Lead Manager, Underwriters and Sponsoring Broker for the Share Flotation and Listing on the GSE. (2002).

• Produce Buying Company Limited (PBC) - Lead Manager, Underwriters and Sponsoring Broker for the Share Flotation and Listing on the Ghana Stock Exchange. An amount of ¢192 billion was raised for the Company. (2002).

• Metalloplastica (Ghana) Limited (MGL) - Sponsors and Market Makers in the flotation of MGL, and listing on the Ghana Stock Exchange. NTHC was appointed to place additional shares worth ¢2.16 billion as Rights and successfully listed all the shares on the Ghana Stock Exchange (1998/1999).

• Subri Industrial Plantations Limited - Comprehensive corporate and financial advisory services to value Ghana Government’s equity investments in the Subri Industrial Plantations Limited, valuation of entire fixed and plantation assets, strategic investor search and preparation of documentation for eventual divestiture of the Company. Also, assisted in the realisation of the corporate objectives of the Board in setting up an integrated Pulp and Paper Mill to exploit the Multi-purpose-cultivated industrial plantation. (1997).

• Aluworks Limited - Co-Managers and Sponsoring Broker for the company in the public floatation and listing of its shares on the Ghana Stock Exchange. NTHC raised over ¢3.3 billion for Aluworks Limited. (1996).

• Standard Chartered Bank Ghana Limited - Sponsored the listing of the shares of the company on the Ghana Stock Exchange and acted as Market Makers for the Flotation. (1990).

• Fan Milk Limited – Financial Advisor, Sponsoring Brokers and Lead Manager for the listing of the company’s shares on the Ghana Stock Exchange. NTHC raised over ¢191 million for Fan Milk Limited through a successful Public Flotation in which NTHC provided 100% underwriting (1989/1990).

b) Investment Management Fund

This is a Money Market product managed by the NTHC. This serves the need of clients with higher liquidity profile as compared to government securities. The basic features are Instant Access, Notice and Fixed Options.

NTHC limited as a competent and credible institution will maximize returns on clients’ funds. Investors’ are given a competitive interest rate above the Government of Ghana treasury bills. Rates are negotiable depending on the volume of the fund for placement by the investor.

b) Commercial Paper

Commercial Paper (CP) is a means of raising capital to meet the liquidity requirements of your company. It is a short-term, unsecured debt typically issued by large capitalized firms and can also be viewed as a zero coupon debt. The maturities or investment horizon ranges from 30days to a maximum of 270 days with the possibility of a rollover of the principal amount.

Interest rates to be offered by NTHC Limited

Commercial Paper is a cheaper financing alternative as compared to a loan from the bank. Currently, the base rates from the banks average about 21% per annum with an average risk premium of about 10%. This adds up to an average lending rate of 30%.

c) Provident Fund Management

It is a Fund, under the management of NTHC Limited, from the contributions made by the employee of an organisation during his working life and an equal contribution by his employer at a given rate of his salary at present and is payable back to him together with interest on exit from employment. This also serves as an alternative retirement income medium outside the SSNIT pension benefit scheme.

e) Foreign Investor Services

Under this product, NTHC has packaged all the existing products to foreign Ghanaians and Non Ghanaians (as far as our investment laws will permit). In addition to existing products, NTHC collaborates with NTHC Properties to enable residents abroad to acquire plots or homes through investment vehicles or direct cash transfers.
