Search Engine Optimization (SEO):

Deliverables

On-Page and Off-Page SEO

Campaign Duration : 1 Year

Scope of Work : Rs. 10,000 per keyword if it ranks in the top 10 search results of Google india

Total Budget : INR. 7,20,000 (Rupees Seven Lakhs Twenty Thousand)

Campaign Terms:

1. Pinstorm works on a pay for performance model. The estimates have been provided with the best of our knowledge at the time of preparation of this proposal. This being the case, Pinstorm does not commit to a minimum deliverable quantity on either SEM, SEO or overall.

2. The keywords, creative elements and marketing strategy used in this campaign will be the intellectual property of Pinstorm and Pinstorm is not bound to share these. However, Pinstorm would ensure that all communication would follow as per the brand/communication guidelines shared by Dr.P Banerji. We would expect Dr. P Banerji to share the Brand guidelines manual (if any) and any previous/ current communication sample which can be used by Pinstorm to understand the brand guidelines.

3. Pinstorm will create text/ image/ flash ads as required for the benefit of campaign.

4. The campaign will start within 7 clear working days from the date of signing this Agreement.

Business arrangement:

1. Pinstorm will pay for ALL the costs of the activities specified above. Specifically, Pinstorm will pay the costs of buying ads on different search engines / websites for the relevant territory, the cost of strategizing different campaigns for different target audiences, the cost of writing and designing different ads, the cost of designing and hosting the console that will track traffic and the cost of managing the entire exercise.

2. Pinstorm will also bear the cost of creating and designing text/ image/ flash ads for the campaign.

3. Dr. P Banerji shall not appoint any other agency or company or carryout internal campaigns similar to what Pinstorm does including SEM, SEO, Banner Advertising, E-mail marketing throughout the course of the validity of this Agreement.

4. This Agreement is for the appointment of a Digital Agency on Record and shall remain in force for a period of 12 (Twelve) months from the Date of Agreement or till the time the campaign is continued, unless terminated earlier by either party in accordance with the provisions of this Agreement. Each party shall be entitled to terminate this Agreement anytime during the Term of this Agreement by serving a 30 (Thirty) days notice in writing and by clearing all the previous dues within the above mentioned notice period.

5. Dr. P Banerji shall maintain the website in the concerned geography in live and active working condition throughout the tenure of campaign.

6. Dr. P Banerji will inform Pinstorm about any site-downtime in advance or (in case of unplanned outages) as soon as Dr. P Banerji becomes aware of the site being down. This will help Pinstorm avoid sending unnecessary traffic to the website and avoid click-wastage.

7. Since we operate in a highly competitive environment where the cost variables change at a fast pace, we cannot commit on price for a prolonged period of time. At the end of the campaign, in good faith, we will offer revised pricing in relation to competitive pressures at that time which is mutually agreeable.

8. Pinstorm will provide Dr. P Banerji with access to its Client Console. The Client Console will have live record of all unique clicks. The volume of deliverables on the Client Console will be the final basis on which invoicing will be done.

Payment terms & Conditions:-

1. An invoice will be raised to Dr. P Banerji on a monthly basis at the end of every month for deliverables generated in the previous calendar month.

2. Service tax and any other taxes as regulated by GOI will be levied over and above the campaign cost.

3. In all cases, Dr. P Banerji have a period of 5 working days after receipt of Pinstorm’s invoice to query it and if no query is received in writing during this period, then those invoices shall be deemed to be accepted.

4. Dr. P Banerji is required to make an advance payment of 50% of monthly campaign budget, (Details in Annexure). Pinstorm will adjust the advance payment amount in the final invoice raised for the campaign, which is May 2010 in this case.

5. PINSTORM will initially provide a 15-day credit period to Dr. P Banerji from the date of invoice, subject to a credit assessment to be conducted by Pinstorm before the signing of the Agreement. Pinstorm will allow for a different credit period following such assessment at its sole discretion and only with written intimation to Dr. P Banerji. Dr. P Banerji will pay interest at the rate of 18% p.a. for delay in payments beyond the credit period, compounded at the rate of 1.5% per month or period thereof.

6. This Agreement is between Pinstorm Technologies Pvt. Ltd. and Dr. P Banerji and other parties are not signatories to it. This proposal would be deemed to be accepted if you sign this document in the space

provided below and return it to us. We will not be able to begin work without your signature accepting the terms as described herein.

Non-Solicitation:

The parties herein further agree that during the term of this Agreement and for a period of 6 months thereafter neither party shall without the express written consent of the other party, directly or indirectly:

I. Recruit, hire, appoint or engage or attempt to recruit, hire, appoint or engage or discuss employment with or otherwise utilize the services of any person who is or has been an employee or associate or engaged in any capacity, by the other party (including any of its Affiliated Companies, Sub-Contractors, Vendors, etc.) in rendering services under this Agreement; or

ii. Induce any person who is or shall have been an associate of the other party (including any of its Affiliated Companies, Sub-Contractors, Vendors, etc.) at any time to terminate his/ her relationship with such party.

Confidentiality / Non Disclosure:

1. Pinstorm and Dr. P Banerji agree not to disclose the terms or details of this arrangement, the strategies or tactics used or the results produced therein to any third party without the express written permission of the other party.

2. Pinstorm and Dr. P Banerji agree that each may announce the existence of this relationship to third parties freely and at all times.

We look forward to a long, mutually beneficial relationship with you.

Scope of Work and Process - Search Engine Marketing (SEM):

1. Pinstorm will bid on keywords relevant to the campaign objective 2. Write text ads relevant to the keywords being searched for3. Design relevant image ads4. Advertise on multiple networks – Google, Yahoo, MSN5. Advertise through publisher networks of these search engines 6. Pinstorm will create specific landing pages for this purpose which will be

hosted at Gurukul Online Learning Solutions server7. Pinstorm will not charge for any creative fee 8. All image ads and landing pages will be shared with Gurukul Online

Learning Solutions 9. These need to be approved by Gurukul Online Learning Solutions within 3

working days10. Tracking codes will be given by Pinstorm that will need to be pasted on

pages of the website to help track the campaign. Campaign can only go LIVE once these codes will be pasted on www.golsacademy.com

Billing on SEM will be done on the bases of actual number of clicks delivered for the month.

The volume of deliverables on the Client Console will be the final basis on which invoicing will be done.

Scope of work and Process - Search Engine Optimization:

1. SEO will be of two 2 forms: on-page and off-pagea. On page SEO: Pinstorm will go through the site and find errors on

the site and rectify them. Pinstorm’s team will make the necessary changes to the site once Gurukul Online Learning Solutions shares the server access

b. Off page SEO: Pinstorm will identify key referral sites which will get higher rankings and help in link building

2. Pinstorm will track all of this using OCAT (Organic Competitor Analysis Tool – our proprietary tool) where we will track the key-positions and phrases over time of our competitors versus ours

3. Pinstorm will look at the web-logs for the earlier 3 months as a start point and understand previous visitors data and hence will require website access
