TERMS AND CONDITIONS

RECITALS

The Company wishes to provide information to the NAWIC member for the Approved Purposes, subject to the terms and conditions set out in this document.

AGREED TERMS

1 OBLIGATIONS OF CONFIDENCE(a) The NAWIC Member must not use or reproduce any of the Company’s Confidential

Information for any purpose other than for the Approved Purposes.(b) The NAWIC Member must not disclose any of the Company’s Confidential Information to any

person other than as follows: (i) subject to clause 1(c), if required to do so by any law, statutory body or the rules of

any applicable stock exchange; or(ii) with the prior written consent of the Company.

(c) Where clause 1(b)(i) applies, the NAWIC Member must provide the Company with notice of the required disclosure as soon as possible, the disclosure must only be to the extent required by the relevant law or rule, and the information disclosed will remain Confidential Information for all other purposes.

(d) The NAWIC Member remains liable to the Company for any use or misuse of the Company’s Confidential Information by any person to whom the NAWIC Member discloses it to pursuant to clause 1(b)(ii).

2 SECURITY AND COMPLIANCE(a) The NAWIC Member must maintain effective security measures to protect all Confidential

Information in the possession, custody or control of the NAWIC Member from unauthorised access, use, copying or disclosure.

(b) The NAWIC Member must notify the Company immediately on becoming aware of any suspected or actual breach of this document by the NAWIC Member or any unauthorised use, access or disclosure of Confidential Information by any third party.

3 RETURN OF CONFIDENTIAL INFORMATION(a) Subject to clause 3(b), if requested at any time to do so by the Company, the NAWIC

Member must: (i) destroy or return (at the option of the Company) all documents and other materials (in

any format) which embody the Company’s Confidential Information which are in the possession, power, or control of the NAWIC Member; and

(ii) certify in writing to the Company that such action has been taken.(b) The NAWIC Member may retain a copy of any Confidential Information of the Company which

the Company has requested be returned or destroyed if the NAWIC Member is required to do so by law or any professional standard applicable to the NAWIC Member, but must keep that information confidential on the terms of this document.

(c) The NAWIC Member’s obligations under this document will continue and will be enforceable at any time by the Company, even if the documents containing the Company’s Confidential Information are returned to the Company or destroyed.

4 INJUNCTIVE RELIEFThe NAWIC Member acknowledges and agrees that damages may be an insufficient remedy for any actual or threatened breach of this document by the NAWIC Member and, without prejudice to any other rights and remedies otherwise available to the Company, the Company is entitled to seek injunctive relief for any breach or threatened breach of this document.

5 GENERAL(a) This Agreement is governed by the laws of the Australian Capital Territory. The parties

irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of Victoria and any courts which may hear appeals from those courts.

(b) The NAWIC Member acknowledges that, as between the parties, the Company owns all Intellectual Property Rights in or to the Confidential Information and the NAWIC Member receives no licence or right to use the Intellectual Property Rights in the Confidential Information except as necessary to exercise its rights strictly in accordance with this document.

(c) This document may only be varied in writing by the parties to it.(d) This document may consist of a number of counterparts and, if so, the counterparts taken

together constitute one document.(e) The NAWIC member must not assign or novate any of its rights or obligations under this

document without the prior written consent of the Company.(f) To be effective, a waiver of a right, power or remedy must be in writing and signed by the

party granting the waiver.(g) Any provision of this document which is wholly or party unenforceable is to be severed to the

extent necessary to make this document enforceable, unless this would materially change the intended effect of this document.

(h) A reference to “this document” means these Terms and Conditions and the Schedule.

6 DEFINITIONSCapitalised terms used in this document have the following meanings:Approved Purposes has the meaning set out in item 3 of the Schedule.Confidential Information means all information and data (regardless of its form) disclosed or otherwise made available by the Company or its Personnel to the NAWIC Member (before, on or after the date of this document) which is designated as confidential, is by its nature confidential, or which the NAWIC Member knows or ought to know is confidential, information about the Company’s respective companies or businesses but excludes information which:(i) is in or becomes part of the public domain otherwise than through a breach of this

document; or(ii) the NAWIC Member can demonstrate by written records was either independently

developed by the NAWIC Member by persons who have no access to the information or was already known to the NAWIC Member other than by prior confidential disclosure from the Company.

Intellectual Property Rights means any and all intellectual property rights throughout the world, including any copyright (including future copyright), rights in relation to patents, trade marks, designs and know-how, whether registered or not and whether registrable or not.Personnel means the employees, officers and directors of the Company and those of its Related Bodies Corporate.Related Body Corporate has the meaning defined in the Corporations Act 2001 (Cth).
