BUDGET AND FINANCE COMMITTEE MEETING October 26, 2021

The Dallas Area Rapid Transit Budget and Finance Committee meeting came to order at 3:45 p.m., Tuesday, October 26, 2021, at DART Headquarters, 1401 Pacific Avenue, Dallas, Texas, with Chair Enoch presiding. The following Committee members were present: Mark Enoch, Jon-Bertrell Killen, Robert C. Dye, Michele Wong Krause, and Paul N. Wageman. Other Board Members present: Flora M. Hernandez, Rodney Schlosser, Gary Slagel, Rick Stopfer, Patrick J. Kennedy and Hosanna Yemiru. Others present: Nadine S. Lee, Gene Gamez, Carol Wise, Dwight D. Mr. Dye made a motion to approve the Minutes from the September 28, 2021, Budget and Finance Committee Meeting and enter into the record as written. Ms. Wong Krause seconded and the motion was approved unanimously.

2. Approval of Depository Bank Disbursement Officers and Signature Authorizations Mr. Dwight Burns, Treasurer, briefed the Committee (slides on file with the Office of Board Support) as follows:

Section 5: Claims checks up to $15,000 require a facsimile signature of the President & Chief Executive Officer. All claims checks in the amount of $15,000 or more also require the manual signature of one Disbursement Officer.

Mr. Schlosser entered the meeting at 3:56 p.m. Mr. Wageman seconded and the motion was approved unanimously.

Mr. Kennedy reentered the meeting at 3:58 p.m. Mr. Wageman requested Mr. Gelassie explain the reason for the right off. Mr. Gelassie explained this was done primarily due to train delays. Mr. Wageman inquired if the train delay issues had been addressed. Mr. Gelassie responded yes. Ms. Nadine S. Lee, President & Chief Executive Officer, interjected that staff would provide that information.

Ms. Yemiru entered the meeting, and Mr. Schlosser stepped out of the meeting, at 4:01 p.m. After further discussion, Mr. Gelassie concluded the presentation as follows:

RECOMMENDATION

Approval of a resolution authorizing the President & Chief Executive Officer or her designee toexecute contract modification with Occupational Health Centers of the Southwest, P.A. “ConcentraMedical Centers” [Contract No. 2028021-03] to: 1) exercise two, one-year options; and 2) increasethe not-to-exceed amount by $368,000, for a new total authorized amount not to exceed $936,602.

FINANCIAL CONSIDERATIONS

• The contract options for Occupational Medical Services are included in the FinanceDepartment's FY 2022 operating budget.

• Sufficient funding for for these contract options in the amount of $368,000 is included in boththe Finance Department's FY 2022 Operating Expense Budget and the Operating Expense lineitem of the FY 2022 Twenty-Year Financial Plan.

BUSINESS PURPOSE

• On January 24, 2017 (Resolution No. 170006), the Board approved a contract for OccupationalMedical Services with Occupational Health Centers of the Southwest, P.A. "Concentra MedicalCenters." The current contract for Occupational Medical Services expires on February 10, 2022.

• As a condition of Federal Transit Administration (FTA) funding, the Omnibus TransportationEmployee Testing Act of 1991 requires recipients of Federal Transit funds to establish alcoholand drug testing programs. The act requires recipients to follow the FTA's drug and alcoholtesting regulations (49 CFR Part 655) and the Department of Transportation's (DOT) workplacetesting procedures (49 CFR Part 40).

• The Texas Commercial Driver License Law of 1989 and the Texas Department ofTransportation require all employers to ensure that employees who operate a commercial motorvehicle have a Commercial Driver License (CDL) and meet medical and vision requirements forthis license. The obligation to ensure that employees remain fit to drive a commercial vehiclecontinues for as long as an employee performs that function for an employer. Recertificationphysicals are required.

• DART obtains drug and alcohol testing services as well as physical examinations through anoutside vendor trained and qualified to provide pre-employment and periodic physical

examinations, drug testing, breath alcohol tests, fitness for duty evaluations, medical monitoring,administering of vaccines, and other medical services that may be required as a condition ofemployment.

• The pricing for the first and second one-year options was secured at $229,264 and $252,190,respectively, for a total of $481,454. Due to changes in DART's requirements estimatedquantities were adjusted resulting in decreases in option year one and two pricing.

• Option pricing decreased to $181,000 for year one and $187,000 for year two, for a total of$368,000 reducing the costs by a total of $113,454.

• Approval of this contract modification will achieve the Board Strategic Priority 4: Pursueexcellence through employee engagement, diversity, development, and well-being.

PROCUREMENT CONSIDERATIONS

• The base term of the contract is five years beginning February 10, 2017.

• The pricing for the exercise of the option years is fair and reasonable.

• The contract award analysis is provided as Attachment 1.

D/M/WBE CONSIDERATIONS

• The goal for this contract was established in August 2016 at 11% M/WBE participation.

• Occupational Health Centers of the Southwest, P.A. “Concentra Medical Centers”, the primecontractor, has committed to exceed the goal.

Approval to Exercise Contract Options for Occupational Medical Services

WHEREAS, as a condition to receive Federal Transit Administration (FTA) funding, the OmnibusTransportation Employee Testing Act of 1991 requires recipients of Federal Transit funds toestablish alcohol and drug testing programs; and

WHEREAS, the Act requires recipients to follow the FTA's drug and alcohol testing regulations(49 CFR Part 655) and the Department of Transportation's (DOT) workplace testing procedures (49CFR Part 40); and

WHEREAS, it is necessary to obtain Occupational Medical Services in compliance with TexasCommercial Driver License Law of 1989 and the Texas Department of Transportation; and

Approval of a resolution authorizing the President & Chief Executive Officer or her designee toaward a five-year contract for operational insurance broker services with Willis Towers WatsonInsurance Services West, Inc., [Contract No. C-2064634-01], for a total authorized amount not toexceed $696,000.

FINANCIAL CONSIDERATIONS

• This contract for operational insurance broker services is included in the Finance Department’sFY 2022 operating budget.

• Sufficient funding for this contract in the amount of $696,000 is included in both the FinanceDepartment’s FY 2022 Operating Expense Budget and the Operating Expense line item of theFY 2022 Twenty-Year Financial Plan.

BUSINESS PURPOSE

• The current contract for Operations Insurance Broker Services expires on January 17, 2022.Willis Towers Watson West, Inc. is the incumbent contractor.

• DART requires insurance broker services to design, market, purchase, and review insurancepolicies including Property (TRE property, DART headquarters, bus and rail facilities, transitcenters, rail stations, tracks, catenary system, and trains. Buses and non-revenue fleet are onlycovered while in a DART owned garage.), Cyber Liability/Technical Errors and Omissions, RailLiability, and all other coverages and policies required to protect DART. The design, marketing,purchase, and review of the Rail Liability policy is on behalf of DART, Trinity Railway Express(TRE) and Denton County Transportation Authority (DCTA). DART self-insures bus liability.

• The insurance broker also provides advisory services, risk assessments, contract review, claimsreporting and monitoring, and worker’s compensation claims oversight.

• The insurance broker will assist DART on the program design, preparing the solicitation, andmarketing a Third-Party Administrator (TPA) contract for Workers’ Compensation, FamilyMedical Leave, and Short-Term Disability claims administration, and a Long-Term Disabilityinsurance program.

• The Request for Proposal (RFP) was issued on September 3, 2021, and closed on September 23.The RFP was distributed to 223 vendors. Three proposals were received. The proposals werereceived from Alliant Insurance Services, Marsh USA, Willis Towers Watson West Inc.

• Willis Towers Watson West, Inc. received the highest combined technical and pricing score.

• This will be a definite quantity/definite delivery contract, for a term of five years.

• The contract award analysis is provided as Attachment 1.

Approval of a resolution authorizing the President & Chief Executive Officer or her designee to addTEXRail and Grapevine Vintage Railroad (GVRR) to the rail operating liability policy for the periodbeginning January 1, 2022.

BUSINESS PURPOSE AND FINANCIAL CONSIDERATIONS

• The purpose of this item is to add to DART's rail operating liability policy TEXRail, which runsa commuter rail line between DFW Airport and downtown Fort Worth, and Grapevine VintageRailroad (GVRR), which runs an entertainment railroad between Grapevine and the Fort WorthStockyards.

• On October 12, 2021 (Resolution No. 210151), the Board approved the purchase of a $323million rail liability policy effective November 1, 2021 at a cost of $3,429,682. The policyinsures DART, Trinity Metro for TRE, and DCTA. DCTA is insured up to $140 million.

• TEXRail and GVRR asked to join DART and DCTA rail liability insurance policy effectiveJanuary 1, 2022. The Rail Liability policy will provide TEXRail and GVRR with $323 millionin coverage, and will increase the cost by an additional $1,094,256 for a total cost of $4,523,938.

• Approval of this item will help achieve Board Strategic Priority 2: Provide stewardship of thetransit system, agency assets, and financial obligations; and 5: Enhance DART's role as arecognized local, regional and national transportation leader.

• The cost of the rail liability policy will be shared between DCTA, DART, Trinity Metro, andGVRR. DCTA will pay 1/3 of the cost up to $140 million in coverage. DART, Trinity Metro forTRE, and TEXRail share is split equally. DCTA's share is $674,161, GVRR's share is $100,050,DART's share is $1,249,909, Trinity Metro's share for TRE share is $1,249,909, and TEXRail'sshare is $1,249,909.

• Adding TEXRail and GVRR to the rail liability policy and sharing the premium results insavings for DART, DCTA, and Trinity Metro. DART's savings are $122,232, DCTA's savingsare $11,239, Trinity Metro for TRE's savings are $122,232, TEXRail savings are estimated at$1,466,792 for an estimated total saving of $1,611,495. TEXRail estimated savings are based onlast year’s cost of the rail liability policy covering TEXRail.

BUSINESS PURPOSE AND FINANCIAL CONSIDERATIONS

• The purpose of this item is to approve the extension of the Discount GoPass Tap Card PilotProgram and a monthly payment option for the Corporate Annual Pass Program.

• Approval of this item will help achieve Board Strategic Priority 3: Innovate to enhance mobilityoptions, business processes, and funding.

• The proposed fare structure amendment includes a one-year extension of the Discount GoPassTap Card Pilot Program, with a new pilot period from January 1, 2020 through December 31,2022. At or near the end of this pilot program, DART staff will estimate the amount of passengerrevenue loss attributable to the pilot program. Sufficient funding to offset the amount of lossattributable to this pilot program, estimated at $4 million, is included in the Mobility Assistanceand Innovation Fund line item of the FY 2022 Twenty-Year Financial Plan.

• The proposed fare structure amendment also includes a monthly payment option for theCorporate Annual Pass Program.

• As a direct response to feedback from our corporate customers, a monthly payment option wouldbe available to both new and existing customers. This option would allow for a reduction inupfront costs. Companies would need to choose one payment option for the year during initialsign up. Each monthly payment would represent 1/12th of the price of the Corporate AnnualPass. A one-time convenience fee ($72 for local, $144 for regional) would be applied to theCorporate customers during initial contract execution for the calendar year. The agency wouldoffer this monthly payment product through the GoPass App.

• The Corporate Annual Pass Program generates approximately $9 million in annual pass sales(pre-COVID), all of which is collected upfront. Through the Corporate Annual Pass Program,companies either pay for their employees or their employees pay the cost. A monthly payment

option would create a more affordable path to accessing the corporate annual pass for bothcompanies and their respective employees.

• An effective date of January 1, 2022 is proposed for the amendments to the Fare Structure,including the one-year extension of the Discount GoPass Tap Card Pilot Program for a pilotperiod from January 1, 2020 through December 31, 2022. This also includes a monthly paymentoption for the Corporate Annual Pass Program.

• Eligibility for the Discount GoPass Tap Card Pilot Program customers is enrollment in at leastone of the following programs: Temporary Assistance for Needy Families (TANF),Supplemental Nutrition Assistance Program (SNAP), Special Supplemental Nutrition Programfor Women, Infants, and Children (WIC), Comprehensive Energy Assistance Program (CEAP),Housing Choice Voucher Program, Children's Health Insurance Program (CHIP), TexasMedicare/Medicaid Plan, Medicaid, Medicare, or other means-tested low-income programsapproved by the DART Board for eligibility into the DART Low-income Reduced FareProgram.

• DART staff will evaluate the utilization of the Discount GoPass Tap Card Pilot Program todetermine opportunities to change current pricing and programs in the Fare Structure.

• Finally, this agenda item updates the president's title to President & Chief Executive Officer.

LEGAL CONSIDERATIONS

• Section 452.054 of the Texas Transportation Code authorizes DART to exercise all powersnecessary or convenient to carry out the purposes or the provisions of the statute.

• Section 452.061 of the Texas Transportation Code authorizes the Board to establish reasonableand non-discriminatory fares to be charged for the public transportation system.

• Section 452.115 of the Texas Transportation Code requires that a public hearing be held on anyfare change.

Section 2: Free Fares The following categories of riders may ride bus, light rail, or commuter rail without fare payment. (This section is not applicable to charters nor to Paratransit service, except as noted.) a) Paratransit-eligible riders on fixed-route services with a valid Paratransit identification card.

b) ADA (Americans with Disabilities Act) Paratransit-eligible individuals who are authorized to have one personal care attendant (PCA) may have the PCA travel with them on fixed-route service at no charge. A proper ID indicating that an attendant is necessary is required.

c) Children under the age of five (maximum of two per trip) when accompanied by an adult (age 18 or older) paying the appropriate Local, Regional, or Reduced fare. Any additional child under the age of five traveling with that adult, or any child accompanied only by person(s) younger than 18, shall be charged reduced fare.

d) Voters showing a valid voter registration card during the hours of 6:00 a.m. to 8:00 p.m. on a state or national primary or general election day in accordance with Board Resolution No. 900232. This includes Paratransit service.

e) Uniformed police officers and plain-clothes police officers displaying badges issued by cities in the DART Service Area.

f) Uniformed parking enforcement officers.

g) Downtown Safety Patrol personnel when in uniform and when traveling within the Dallas Central Business District.

h) Active employees and retirees, and one family member designated by the employee or retiree, with DART photo ID card. (Also honored on Paratransit service with appropriate Paratransit certification and identification.)

Section 3: Stored Value and Fare Capping Stored value is a payment system feature that allows DART riders to load value into an account to use to purchase DART passes or pay for travel. GoPass Accounts Customers can set up an account on-line using the DART GoPass mobile app. DART Card Accounts In addition, customers can acquire a DART payment card. The DART payment system will associate a customer’s DART card with an account. The customer can then register their DART card account to enable valuable features such as lost card value protection. Customers must tap their DART cards at payment system validators upon each bus and rail boarding during their journey on DART. Customers can acquire a DART payment card at retail locations throughout the service area, on-line, at the DART Store, or by calling DART Customer Service. The cost of a card equals the cost of a day’s local transit service. Upon activation, the account associated with the card will have transit value equal to the cost of the card. Loading Value Customers can load value at retail locations throughout the service area, on-line, at the DART Store, or by calling DART Customer Service. Fare Capping Fare capping is a pay-as-you-go feature that allows DART riders to make several trips with their GoPass or DART card, and the DART payment system will automatically cap the daily and monthly (calendar month) fare so the rider will not spend more than needed on travel. Riders pay for each part of their journey until the cap amounts are reached, then pay no more for the rest of the day or month. To benefit from fare capping, riders must tap their DART card at the validator – or activate their GoPass ticket – prior to boarding on every trip. Fare capping for Paratransit service is scheduled to become available December 2020.

Section 4: Special Programs

1. Customer Promotions:

The President/Executive DirectorPresident & Chief Executive Officer or his/her designee may approve the free distribution of prepaid media, VIP passes, or special coupons as needed for the following purposes:

a) To support marketing programs, including but not limited to special route promotions, introductory shuttles, air quality improvement programs, and focus group or survey participation.

b) To provide inbound travel to jury duty on all DART service, including bus, rail, and Paratransit, to all individuals showing a jury summons with the current date displayed. A pass valid for outbound travel on all DART service, including bus, rail, and Paratransit, will be distributed by Court Services upon request to those individuals reporting for jury duty.

c) To compensate customers for inconvenience or system problems.

d) To allow courtesy access to the system for special tour groups, non-local DART visitors, or consultants involved in DART system planning. As a tax-supported governmental agency, DART does not contribute free transportation to other governmental agencies, social service agencies, or charitable organizations.

2. Convention and Special Event Passes:

Day Passes for the dates specified on the ticket for convention registrants and special event participants will be priced at the appropriate (Local or Regional) Day Pass rate. A sliding scale with discounts ranging from 10% to 30% of the convention and special event base rate will be available on advanced bulk purchase of 2,000 or more passes.

4. Higher Education Programs (Passes Must Be Purchased by the School)

Semester and quarterly passes may be purchased for full-time students by colleges, universities, trade schools, middle schools, or high schools. Pricing will be as shown in Section 1: Product Fare Schedule. DART may further discount those prices, up to 50% for schools and school districts purchasing at least 10,000 passes and up to 60% for schools and school districts purchasing at least 15,000 passes.

5. Route Promotion Pass

The Route Promotion Pass is produced through Consumer Programs to support DART’s public awareness and outreach efforts. Marketing will negotiate with Special Events organizers to determine where DART could benefit from the exposure the event media and attendance could provide, and the event organizers are interested in including DART Day Passes for their attendees. The parameters of the negotiation are as follows:

a. The event is within a DART Service Area city.

b. DART must receive a minimum benefit of a 2-to-1 ratio based on the value of the passes DART is willing to provide to the event. This can be through barter, cash, or any combination of the two.

c. The media provided by the event must promote using DART.

d. A simple agreement is signed by both DART and the event organizer/chair.

e. The President/Executive DirectorPresident & Chief Executive Officer or his/her designee may sign the agreement. Concurrence from the Chief Financial Officer must be received before presenting the agreement for signature.

f. The Marketing Department will provide documentation to the Finance Department, within 90 days after the conclusion of the special event, that supports the value of the barter used to pay for the passes.

6. DART Service Outside Service Area Boundary (replaces “System Fare”)

DART Board Policy III.07: DART Service Outside Service Area Boundary authorizes and provides guidance regarding the provision of DART service outside its service area boundary. Policy III.07 requires a service agreement approved by the DART Board of Directors. This agreement will establish fares for riders using the service.

7. Site Specific Shuttle Service

DART Board Policy III.16 Site Specific Shuttle Service Policy authorizes and provides guidance regarding the provision of DART circulator/distributor shuttle service which connects to rail stations or transit centers operated by employers or other private entities. Policy III.16 requires proposals for service be approved by the DART Board of Directors. The approved agreement will establish fares for riders using the service.

Mobility on Demand DART continues to explore mobility-on-demand options using transportation network companies and other service providers that can connect riders to the DART system, as well as provide public transportation within areas difficult to serve efficiently with traditional transit service, using scooters, bicycles, cars, vans, and other mobility devices. These companies are responsible for some or all of the components – customer access, dispatch, transportation, fare collection, and related information – of delivering customers from origin to destination. The journey may represent premium service with greater customer convenience, improved travel times, and closer origin and destination endpoints. Fare structure may appropriately reflect this premium. Recognizing the experimental nature of exploring mobility-on-demand options, this portion of the DART Fare Structure authorizes DART management to establish fare structures for these services that are designed to encourage ridership, reflect customer convenience levels and perceived economic value, allow efficient implementation and administration, and contribute to financial sustainability.

Approval to Amend DART Fare Structure to Extend the Discount GoPass Tap Card PilotProgram and to Provide a Monthly Payment Option for the Corporate Annual Pass Program

WHEREAS, The Board’s Fare Policy (III.01) states that “a fare structure establishing the base fare,categories of prepaid fares, special fare programs, and the pricing of such fares and programs, shallbe adopted by the Board of Directors and reviewed every two years at a minimum”; and

WHEREAS, DART’s fare structure requires amendment from time to time; and

WHEREAS, compliance with FTA requirements ensures that DART will remain eligible forreceipt of Federal funds; and

WHEREAS, the Board desires to modify the fare structure; and

WHEREAS, the amended Fare Structure as shown in Exhibit 1 to this resolution is adopted andshall be effective beginning January 1, 2022.

NOW, THEREFORE, BE IT RESOLVED by the Dallas Area Rapid Transit Board of Directorsthat the President & Chief Executive Officer or her designee is authorized to amend the DART FareStructure to include:

Section 2: Free Fares The following categories of riders may ride bus, light rail, or commuter rail without fare payment. (This section is not applicable to charters nor to Paratransit service, except as noted.) a) Paratransit-eligible riders on fixed-route services with a valid Paratransit identification card.

b) ADA (Americans with Disabilities Act) Paratransit-eligible individuals who are authorized to have one personal care attendant (PCA) may have the PCA travel with them on fixed-route service at no charge. A proper ID indicating that an attendant is necessary is required.

c) Children under the age of five (maximum of two per trip) when accompanied by an adult (age 18 or older) paying the appropriate Local, Regional, or Reduced fare. Any additional child under the age of five traveling with that adult, or any child accompanied only by person(s) younger than 18, shall be charged reduced fare.

d) Voters showing a valid voter registration card during the hours of 6:00 a.m. to 8:00 p.m. on a state or national primary or general election day in accordance with Board Resolution No. 900232. This includes Paratransit service.

e) Uniformed police officers and plain-clothes police officers displaying badges issued by cities in the DART Service Area.

f) Uniformed parking enforcement officers.

g) Downtown Safety Patrol personnel when in uniform and when traveling within the Dallas Central Business District.

h) Active employees and retirees, and one family member designated by the employee or retiree, with DART photo ID card. (Also honored on Paratransit service with appropriate Paratransit certification and identification.)

Section 3: Stored Value and Fare Capping Stored value is a payment system feature that allows DART riders to load value into an account to use to purchase DART passes or pay for travel. GoPass Accounts Customers can set up an account on-line using the DART GoPass mobile app. DART Card Accounts In addition, customers can acquire a DART payment card. The DART payment system will associate a customer’s DART card with an account. The customer can then register their DART card account to enable valuable features such as lost card value protection. Customers must tap their DART cards at payment system validators upon each bus and rail boarding during their journey on DART. Customers can acquire a DART payment card at retail locations throughout the service area, on-line, at the DART Store, or by calling DART Customer Service. The cost of a card equals the cost of a day’s local transit service. Upon activation, the account associated with the card will have transit value equal to the cost of the card. Loading Value Customers can load value at retail locations throughout the service area, on-line, at the DART Store, or by calling DART Customer Service. Fare Capping Fare capping is a pay-as-you-go feature that allows DART riders to make several trips with their GoPass or DART card, and the DART payment system will automatically cap the daily and monthly (calendar month) fare so the rider will not spend more than needed on travel. Riders pay for each part of their journey until the cap amounts are reached, then pay no more for the rest of the day or month. To benefit from fare capping, riders must tap their DART card at the validator – or activate their GoPass ticket – prior to boarding on every trip. Fare capping for Paratransit service is scheduled to become available December 2020.

1. Customer Promotions:

The President & Chief Executive Officer or his/her designee may approve the free distribution of prepaid media, VIP passes, or special coupons as needed for the following purposes:

a) To support marketing programs, including but not limited to special route promotions, introductory shuttles, air quality improvement programs, and focus group or survey participation.

b) To provide inbound travel to jury duty on all DART service, including bus, rail, and Paratransit, to all individuals showing a jury summons with the current date displayed. A pass valid for outbound travel on all DART service, including bus, rail, and Paratransit, will be distributed by Court Services upon request to those individuals reporting for jury duty.

c) To compensate customers for inconvenience or system problems.

d) To allow courtesy access to the system for special tour groups, non-local DART visitors, or consultants involved in DART system planning. As a tax-supported governmental agency, DART does not contribute free transportation to other governmental agencies, social service agencies, or charitable organizations.

2. Convention and Special Event Passes:

Day Passes for the dates specified on the ticket for convention registrants and special event participants will be priced at the appropriate (Local or Regional) Day Pass rate. A sliding scale with discounts ranging from 10% to 30% of the convention and special event base rate will be available on advanced bulk purchase of 2,000 or more passes.
