AGREEMENT FOR PROFESSIONAL LEARNING SERVICES BETWEEN PUBLIC EDUCATION & BUSINESS COALITION & Organizational Mission: The Public Education & Business Coalition (PEBC) is a partnership of leaders from education, business and the communi:y. Formed in 1995 through a merger of the Public Education Coalition (est. 1983) and the Colorado Business Alliance far Youth (est. 1981). PEBC drives cutting edge practices and informs and provokes the public to improve education for all. PEBC is a non-profit 501(c)(3) organization. A. Terms of Agreement a. This Agreement beginning 11/05/2014, and ending 06/30/2015 is made by and between the Public Education & Business Coalition (PEBC) and Campbell County School District, collectively referred to as "the Parties" and "the Agreement year" b. The terms outlined in this Agreement are subject to change if a signed Agreement is not received within 30 days of the date above c. Services outlined in this Agreement will not begin until Client has signed the Agreement and it has been received by PEBC d. Any changes to this Agreement must be documented in writing, signed by PEBC and Client and included as an amendment e. Any services added to the Agreement through an amendment will not begin until Client and PEBC has signed the amended Agreement f. All services must be completed between 11/05/2014 and 06/30/2015 g. The Parties acknowledge that PEBC and any Staff retained by PEBC to deliver services under this Agreement are independent contractors. Accordingly, Client shall not be responsible for any federal, state, or local tax liability arising from the performance of services under this Agreement h. By signing this Agreement, PEBC certifies that it is not presently disbarred, suspended or otherwise excluded from receiving federal financial or non-financial assistance I. One digital projector connected to computer that has the capability to show a power point and a DVD; ii. 1 cordless microphone for presenter; iii. Audio required for DVD and microphones; iv. One document camera (if requested by presenter); v. Projection screen; vi. Assistance from a client staff person who is familiar with the technology. D. AGREEMENT FOR PROFESSIONAL LEARNING SERVICES BETWEEN PUBLIC EDUCATION & BUSINESS COALITION &

Organizational Mission: The Public Education & Business Coalition (PEBC) is a partnership of leaders from education, business and the communi:y. A. Terms of Agreement a. This Agreement beginning 11/05/2014, and ending 06/30/2015 is made by and between the Public

Education & Business Coalition (PEBC) and Campbell County School District, collectively referred to as "the Parties" and "the Agreement year"

I. Responsibilities of PEBC F EBC presenter agrees to:

A. Work with Client to determine the agenda, start and end times and materials and equipment needed.

A. Work with PEBC presenters to determine the agenda, start and end times and materials and equipment needed.

B. Provide space and facilities for presentations including: i. Seating arranged for easy visibility of presenter and projection screen. Tables of 8-10 participants

are preferred; ii. A large table by the presenters' area for them to put their training materials; iii. Lunch for participants and presenters.

C. Provide technology equipment and assistance including: i. One digital projector connected to computer that has the capability to show a power point and a

DVD; ii. 1 cordless microphone for presenter; iii. Audio required for DVD and microphones; iv. One document camera (if requested by presenter); v. Projection screen; vi. Assistance from a client staff person who is familiar with the technology.

D. Provide the following materials for presenter

i. Post-It chart paper; ii. Chart stand; iii. Chart markers; iv. Bottles of water for presenter.

E. Provide the following materials for each participant i. Journal in which to take notes (such as a composition notebook); ii. Highlighters;

iii. Sticky notes (2 pads per table); iv. Pens or pencils.

B. Scheduling a. Client is responsible for designating a contact to coordinate PEBC staff visits, services and Agreement

logistics b. Client is responsible for working with PEBC Staff members to map out the year's calendar to ensure

dates of service convenient for both parties c. Client is responsible for scheduling substitute coverage as may be required d. PEBC reserves the right to replace staff if necessary

C. C:ontracting Outside of PEBC Agreement a. Contracting with any PEBC Staff independently of this Agreement is forbidden

D. F'EBC Copyright a. Documents created by PEBC for the purpose of performing the services outlined in the Agreement and its

appendices, attachments and amendments must carry the PEBC copyright. Documents may be used by Client for the training and benefit of personnel directly impacted by the work of the contract, for the duration of the contract. Client may not share these materials beyond immediate personnel. Client may not post PEBC copyrighted material to external publicly accessible websites. If Client wishes to continue to use these documents beyond the scope of the Agreement, Client must seek written permission from PEBC. Client will not use these documents for any other purpose without the written permission of PEBC for the duration of the terms of the Agreement

b. Client may not create video or audio recordings of institutes, seminars, presentations, webinars or professional learning services

E. Fees and Payment a. Client agrees to pay $13,750.00 for professional learning services listed on Appendix A plus any

additional fees outlined in Appendices B-F of this Agreement b. PEBC will provide Client with an invoice for the total contract amount upon receiving a signed Agreement

unless additional terms are agreed to on the signature page of this Agreement c. Changes to billing terms will not be accepted once the Agreement has been signed by both parties d. Invoices for the total contract amount will be sent to the Agreement contact unless the billing information

on the signature page is completed and returned with the signed Agreement. e. Client shall remit payment to PEBC within 30 days of the invoice date f. Past due invoices will be subject to a late fee of 1.5% each month the payment is past due. g. In the event of any additional fees incurred and/or refunds, PEBC will provide Client with an invoice

and/or refund check at the completion of services

F. Services to be Provided and Related Terms a. Services to be provided are listed in Appendix A

i. Professional Learning Services — Terms outlined in Appendix B ii. Travel and Material Expenses — Terms outlined in Appendix F

Appendix A — Services to be Provided

Outcomes and Goals

• PEBC staff developer with strong literacy background to facilitate 3 meetings throughout the year with roughly 30 attendees — help with curriculum and guiding work to be in line with beliefs. - Synthesis of research, effective curriculum, moving forward in-house, research/meaning, delivery

method of curriculum, and time/resources needed. - December 15 th and 16th , Feb 25th and 26th , and June 4 th and 5th (half day)

• Science and Social Studies Institute Registrations - 8 Registrations to Science Institute (Feb. 9-11 th , 2015) - 7 Registrations to Social Studies Institute (Dec. 11-12 th , 2015)

Logistics and Pricing

• 5.5 Days of on-site professional development $13,750 • 8 Registrations to Science Institute $5,000

(10% discount) ($500) • 11 Registrations to Social Studies Institute $4,565 • (10% discount) ($456)

Total Contract Amount $22,359

(plus travel expenses)

Travel Expenses and Terms

The above proposal does not include travel expenses, including lodging, airfare, airport parking, ground transportation, copying, extended travel time and miscellaneous expenses. PEBC staff meals are covered by PEBC.

Billing Terms

Proposal rates are valid for 30 days from the proposal date. Upon acceptance of this proposal, a contract will be generated. No work will be scheduled until a signed contract is received by PEBC.

Appendix B - Onsite Professional Learning Services Terms

A. Responsibilities of PEBC PEBC agrees to:

a. Participate fully in the joint creation, on-going monitoring and revision of the Professional Learning Plan

B. Responsibilities of Client Client agrees to:

a. Participate fully in the joint creation, on-going monitoring and revision of the Professional Learning Plan

C. Delivery and Usage of Services — Onsite Professional Development a. Fees are based on 8 hour sessions per assigned Staff member b. PEBC Staff members are available for services between the hours of 7:00a.m. and 6:00 p.m. c. Client must provide a 30 minute lunch break for PEBC Staff members when onsite d. Services must be purchased in daily increments e. For Staff Development

i. Onsite services must be scheduled and completed in a minimum of 8 hour increments and are subject to fees listed in Appendix F

f. For Leadership Coaching i. Leadership coaching must consist of a minimum of two in-person meetings, one of which is

required to be held onsite at Client's location ii. Additional meetings may be held in-person at any location or remotely iii. Remote services must be scheduled and completed in a minimum of .5 hour increments iv. In-person visits to Client's location may be scheduled in a minimum of four hour increments and

are subject to fees listed in Appendix F

D. Additional Fees a. Client is responsible for all necessary supply expenses b. Client is responsible for all substitute coverage as may be required c. Client is responsible for all expenses listed in Appendix F

E. Cancellations, Reschedules and Changes to Agreement a. Cancellations

i. Services cancelled by PEBC are fully refundable. ii. Services cancelled by Client with less than 120 days notice from the date of the scheduled

service in writing are non-refundable iii. Client is responsible for 50% of the service fee for any services cancelled with 120 or more days

notice from the date of the scheduled service in writing iv. Client is responsible for any expenses incurred by PEBC due to the cancellation v. Unscheduled services will be considered a cancellation by the client

b. Rescheduled Services i. Scheduled services that cannot occur due to Client conflicts may be rescheduled within the

Agreement year based on the availability of PEBC staff members ii. Reschedules only apply to identical services iii. If Client or PEBC Staff schedules do not allow for reschedule, the service is considered cancelled

based on the date the reschedule was requested by either Client or PEBC iv. Client is responsible for any expenses incurred by PEBC due to the reschedule v. Services not rescheduled will be considered a cancellation by the client

c. Weather or Acts of God i. Scheduled services that cannot occur due to weather or acts of God may be rescheduled within

the Agreement year based on the availability of PEBC staff members ii. If Client or PEBC Staff schedules do not allow for reschedule, Client is responsible for 30% of the

service fee for the service that did not occur iii. Client is responsible for any expenses incurred by PEBC due to the reschedule

A. Responsibilities of PEBC PEBC agrees to:

a. Place a hold on all seats purchased within this Agreement b. Provide online registration instructions to client contact for distribution among participants once a signed

Agreement is received c. Provide all program materials

B. Responsibilities of Client Client agrees to:

a. Require participants to complete the online registration process a minimum of 30 days prior to the start date

b. Provide each participant with the registration instructions provided by PEBC c. Request participants to maintain ongoing, timely communication with PEBC and respond to requests

within three business days

C. Delivery and Usage of Services a. Seats held through this Agreement are subject to being released to wait listed participants if online

registration is not received 30 days prior to the service start date b. Fees are based on a per-institute, per-participant rate which cannot be broken down into partial segments c. The Agreement for Professional Learning Services will not be amended for the purchasing of additional

institute and seminar registrations. Additional institute and seminar registrations may be purchased through PEBC separately or by the creation of an additional Agreement for Professional Learning Services

D. Additional Fees a. Client is responsible for all substitute coverage as may be required b. Client is responsible for all participant travel expenses

E. Cancellations, Reschedules and Changes to Agreement a. Cancellations

i. Services cancelled by PEBC are fully refundable. ii. Services cancelled by client with less than 60 days notice from the date of the scheduled service

in writing are non-refundable iii. Client is responsible for 50% of the service fee for any services cancelled with 60 or more days

notice from the date of the scheduled service in writing iv. Unused services will be considered a cancellation by the client

b. Rescheduling, Transferring and Exchanging Services i. Registration fees may only be used for the services purchased in the Agreement and are not

transferrable to other types of services ii. Registrations are fully transferrable between participants based on the registration guidelines

outlined on www.pebc.org iii. All registrations must be used within the Agreement year unless approved by the PEBC business

office iv. Days missed may not be carried forward to a future service unless approved by the PEBC

business office c. Weather or acts of God

i. If weather or acts of God prevent a service from occurring, PEBC will attempt to reschedule the same service within the Agreement year. If Client or PEBC Staff schedules do not allow for reschedule, PEBC will refund the registration fee PEBC is not responsible for additional fees incurred by Client due to weather or acts of God

iv. PEBC is not responsible for unused registrations due to Client weather delays or no shows

Appendix F — Travel and Material Expenses

A. Responsibilities of PEBC PEBC agrees to:

a. Complete all travel arrangements for contracted work; b. Incur PEBC staff meal expenses c. Provide photo copies of receipts for all travel expenses with the exception of gratuity unless travel is

included in the total Agreement amount i. Original receipts will not be provided unless requested by the Client prior to signing the

Agreement for Professional Learning Services

B. Responsibilities of Client C lent agrees to:

a. Pay for all travel expenses, travel time and material costs outlined on this page.

C. Travel Policies and Procedures a. Mileage is calculated at $.56 per mile from the PEBC office at 600 Grant Street, Denver, CO 80203. b. PEBC reserves the right to determine the most appropriate means of travel which may include air or

ground transportation c. When driving to Client location, PEBC reserves the right to select the most appropriate route. d. PEBC reserves the right to select return flights on the last day of the trip or the following day e. Travel fees may include the traveling the day prior to a contracted day and traveling the day after the last

completed contracted day, depending on transportation schedules f. PEBC reserves the right to utilize the prepay fuel options when renting a vehicle g. Client is not responsible for flight or rental car upgrades unless necessitated by availability h Expenses listed in Section E. incurred due to weather or acts of God are the responsibility of Client

D. Qualified Travel Time Fees a. Standard Travel Time

i. Standard travel time is allocated at the rate of 1 hour of travel for each contracted hour, for each staff person. Example: When 1 staff developer travels to Client location for 2-eight hour days, 16 hours of standard travel time is allocated

ii. Standard travel time is calculated as follows: 1. When flying to Client location

a. 1.5 hours prior to each flight to and from Client location, flight duration, including any required layovers or delays and,

b. Drive time between the airport and client location 2. When driving from PEBC to Client Location

a. Drive time to and from Client location, including any required detours or delays iii. Travel time exceeding the standard travel time allocation is considered extended travel time. iv. Client is responsible for all extended travel time fees. v. Extended travel time will be billed at $50 per hour vi. Extended travel time will be billed in a minimum of one hour increments

E. Qualified Expenses and Materials a. Mileage is calculated at $.56 per mile for staff using personal vehicles b. Ground transportation, rental car insurance and standard fuel costs c. Economy class airfare d. Baggage e. Lodging f. Contract related internet and/or phone services g. Airport parking h. Copies and handouts i. Supplies j. Extended travel time
