Salvo singoli in casi in cui esse siano state derogate con espresse pattuizioni scritte a firma delFABBRICANTE,essecostituirannoladisciplinaesclusivaditalivendite.SeunaopiùpartiditaliCONDIZIONIodisingolicontratticheleincludanorisultasseroinvalide,leCONDIZIONIgeneralioparticolariresterannovalidenellorocomplesso;lepartiinvalidesarannosostituiteconpattuizionichesiavvicininoilpiùpossibileallaoriginariavolontàdelleparti.

2.0 CONCLUSIONE DEL CONTRATTO DI VENDITA-CONSEGNA DEI PRODOTTI

2.2 L’ordinenonconfermatoperiscrittoinnessuncasopotràintendersiaccettatosalvoesecuzionedelmedesimodapartedelFABBRICANTEmediantespedizioneoconsegnadeiPRODOTTIordinatinoncomportal’accettazionedell’interoordine,masoladiquellapartediPRODOTTIeffettivamenteconsegnati.

2.3 SalvodiversoaccordoscrittolaconsegnadeiPRODOTTIelaresadeglistessiinItaliaedall’esteroavverràsecondolaformuladi“FrancoFabbrica”.

2.4 Salvodiversoaccordo,tutteledateindicatecometerminediconsegnasiintendonoatitoloindicativo.

3.0 CARATTERISTICA DEI PRODOTTI-GARANZIA-RECLAMI

3.1 LePiastrelleinceramicaedaltriPRODOTTIceramicifabbricatidallaBATIKsonoconformiallenormeeuropeeUNI-DIN-EN.IlFABBRICANTEvendeesclusivamenteairivenditoriprofessionali,iqualisonoresponsabilidellacorrettezzadelleinformazionitecnicheforniteagliutilizzatorifinalie/oainegozialdettaglio.

LaclassificazionedelprodottoèindicatadalFABBRICANTEsulmaterialepubblicitarioe/osuilistiniprezzi,l’AcquirentedevediconseguenzautilizzareiPRODOTTIsullabasedellaclassificazionefornitadalFABBRICANTE.

Per facilitarne le indicazioni di utilizzo, ed adattare le classificazioni standard alle specificità della produzione delFabbricante,afrontediogniprodotto,neilistiniosuicataloghisonopostideisegnicheindicanol’usospecificoconsigliatodalFABBRICANTE.

3.2 Le differenze di tonalità non sono un difetto del PRODOTTO bensì una caratteristica dello specifico materiale cottoadalte temperature. Ilparticolare requisitodi ingelivitàsiapplicasoloaiPRODOTTIche il FABBRICANTEgarantisceespressamenteconappositaindicazionesulmaterialepubblicitarioe/olistini.Inmancanzaditaleindicazioneimaterialiceramicisiconsideranosoloedunicamenteperusoininterniocomunqueinlocaliprotettidaintemperie.

3.3 Imaterialiinceramicaconsuperficielucidanonpossonoessereutilizzatiinlocaliapianoterrenoconaccessoall’esterno,néinlocaliincuisiaprevistoungrandecalpestio.Lepiastrellebrillantisonoinoltresuscettibilidiunacertascivolosità,specialmentesebagnate,ilFABBRICANTEnesconsigliadiconseguenzal’usoinlocalipubblici.Perilocaliovesiaprevistoungrandecalpestiol’acquirentedovràacquistaresoloiPRODOTTIclassificatidalFABBRICANTEcomePEIV(IV),edinparticolarequellepiastrellecheilFABBRICANTEconsigliaSPECIFICAMENTEperusoinlocalipubblici.

3.4 LerappresentazionideiPRODOTTIsuidepliantedaltrimaterialipubblicitaridelFABBRICANTEsonopuramenteillustrativeenonrappresentanonecessariamenteilrisultatoesteticofinalediposadelPRODOTTOrappresentato.

3.5 Il FABBRICANTE garantisce la buona qualità e l’assenza di vizi nei PRODOTTI forniti. La garanzia non si applica perPRODOTTIclassificatidalFABBRICANTEperqualitàinferiorea1°sceltaoperpartitediPRODOTTIdifineserie,venduteinbloccoesegnalatecomepartitespeciali.Ècomunqueprevistaunatolleranzadel5%.

3.6 IlFABBRICANTEnonèresponsabilepervizie/oanomalierilevatesuiPRODOTTIstessimaall’usoimpropriodeglistessidapartedegliacquirentie/odeisuoiaventicausa.InparticolareilFABBRICANTEnonaccettareclamiocontestazioniinrelazioneallesituazioniprecedentementedescritte.

3.7 Ireclamidevonoesserecomunicatidall’acquirentealFABBRICANTEentro8giornidallaconsegnadellamerce.Pervizioccultiiltermineèdi8giornidallascopertadelvizio.InnessuncasoilFABBRICANTErisponderàpervizichevenganodenunciatidopo12mesidallaconsegnadeiPRODOTTIall’acquirente.Perivizioccultilagaranziasiapplicafinoadueannidopolaconsegnadeiprodottialprimoacquirenteedelfabbricante.LadenunciadivizidovràesserenotificatadalFABBRICANTEtassativamenteentroenonoltre8giornidallascoperta.

3.8 Ingeneralelagaranziasiapplicasoloperivizirilevatiinprodottinonancoraposati.Pereventualivizioccultirilevabilisolosuccessivamenteallaposa,aifinidell’applicazionedellagaranzia,ènecessariocheilFABBRICANTEaccertichelaposasiastataeseguitaaregolad’arte(normeDIN18352).

3.9 LagaranziadelFABBRICANTEsilimitaallasostituzionedeiprodottidifettosiconaltridellostessotipoesentidavizi,trasporto incluso. È escluso il rimborso di altri oneri e/o spese accessorie e, in particolare i costi di demolizione eposaturadeiPRODOTTI.IntuttiicasilagaranziadelFABBRICANTEnonpotràeccederecinquevolteilvaloredelmaterialecontestato,conunmassimoassolutodi€10.000.

3.10IlFABBRICANTEnonrispondeperreclamidovutiadunaclassificazionedelmaterialeceramicodapartediorganismidicontrolloe/ocertificazioneestere,diversadaquellaitaliana,sullabasedispecifichetecnichechenoncorrispondanoaquelleutilizzatedalFABBRICANTE.

Eventualiexpertise tecniciattivatidagliacquirentidovrannonecessariamentebasarsisullaconformitàdelmaterialevendutoallespecifichetecnicheindicatedalFABBRICANTEinvigoreinItalia.

4.0 PREZZI E CONDIZIONI DI PAGAMENTO

4.1 IprezzidivenditadeiPRODOTTIsonoquelliindicatinellistinodelFABBRICANTEinvigorealmomentodellaconfermad’ordine.Incasidicontrattidivenditaaconsegneripartiteilprezzo,senonconvenutofermoperiscritto,saràquellodellistinoinvigorealmomentodellesingoleconsegne.PertuttiiPRODOTTIdestinatiall’esteroiprezzipotrannoesserecalcolati,asceltadalFABBRICANTE,nellavalutaesteradelpaesedidestinazioneoineuro.

4.2 Tuttelespesebancarieedinegoziazionisonoacaricodell’Acquirente.Incasodiritardodeipagamenti,ilFABBRICANTEavràdirittoapercepire,senzaalcunanecessitàdimessainmora,oltreaglieventualidanni,uninteressemoratorioparialtassoufficialediscontoinItaliamaggioratodel5%.

5.0 AGENTI DEL FABBRICANTE

5.1 GliagentidelFABBRICANTEpromuovonolevenditeenonsonoautorizzatiadagireinnomeepercontodelFABBRICANTEsalvospecificaautorizzazionescritta.

5.2 GliordinitrasmessidagliagentinonvincolanoilFABBRICANTEedevonoessereespressamenteaccettatiperiscrittodalFABBRICANTEstesso.

6.0 RISERVATO DOMINIO

6.1 èconvenutotralepartichelavenditadeiPRODOTTIèeffettuataconriservadiproprietàafavoredelFABBRICANTEsinoatotalepagamentodelprezzopattuito,aisensidell’art.1523eseguentideic.c.Tuttaviailrischiodiperimentidellamercepassaall’acquirentedalmomentodellaconsegnadeiPRODOTTI.Nellavenditaall’estero,nelcasoincuilamercesiavendutaeconsegnataaclientiterziprimadelpassaggiodiproprietà,nell’ambitodinormalirapporticommercialidell’Acquirentestesso,lariservadiproprietàfavoredelFABBRICANTEpermaneancheneiconfrontideiterziovelaleggeloconsenta.

6.2 Incasodimoradell’AcquirenteilFABBRICANTEpotrà,senzanecessitàdialcunaformalità,compresalamessadimora,ritiratatuttalamerceoggettodiriservatodominioedeventualmente,selaleggeloconsente,tuttiititolidicreditoversoterziadessaafferenti,conriservadiogniulterioreopportunorimedioinviagiudizialeperilpregiudiziosubito.

7.0 FORZA MAGGIORE

7.1 Il FABBRICANTE non è responsabile nei confronti dell’Acquirente per ogni inadempimento, compreso la mancataoritardataconsegna,causatadaeventialdifuoridelsuoragionevolecontrolloquali,atitolomeramenteindicativo,mancataoritardataconsegnadeimaterialidilavorazionedapartedeifornitori,guastiagliimpianti,scioperiedaltreazionisindacali,interruzionedeiflussienergetici,sospensioneodifficoltàdeitrasporti.

8.0 DIRITTO APPLICABILE - FORO COMPETENTE

8.1 Icontrattidivenditaall’esportazionecuisiaparteilFABBRICANTEsonoregolatidallaleggeitaliana,edinparticolaredallaConservazionesuiContrattidiVenditaInternazionalideibenimobili,ovenonderogatadallapresenteCONDIZIONIedallaconvenzionediViennadell’11Aprile1980.

8.2 ForocompetentepertuttelecontroversierelativeallevenditediPRODOTTIdapartedelFABBRICANTEedeirapporticonnessiatalivenditeèILFOROdellasedelegaledelFABBRICANTEanchequaloral’azionepromossariguardatitolidicreditorilasciatialfabbricantequalimezzidipagamento.

GENERAL SALES CONDITIONS1.0 APPLICABILITY CONDITIONS

1.1 TheseGeneralconditions(theCONDITIONS)constitutethemostimportantpartofeachcontractofsaleoftilesandanyotherceramicmaterials(thePRODUCTS)inwhichBATIK(theMANUFACTURER)isoneofparties.ExceptedsinglecaseswhichtheyhavebeenderogatedbyexplicitlywrittenagreementssignedbytheMANUFACTURER,theywillconstitutetheexclusivedisciplineofsuchsales.Ifoneormorepartsoftheseconditions,orofsinglecontractsincludingthem,resulttobeinvalid,thegeneralortheparticularCONDITIONSwillremainvalidaswhole:invalidpartswillbesubstitutedthroughagreementsthatareascloseaspossibletotheoriginalwilloftheparties.

2.0 CONDITIONS OF THE CONTRACT OF SALE-DELIVERY

2.1 Thecontractisintendedtobeconcludedatthemomentinwhichthewrittencontestofthecounterparthascometotheknowledgeoftheproponentandofthepersonorderingthecontract.

2.2 Theorderthathasnotbeenconfirmedinwritingcannotbeconsideredacceptedinanycase,exceptfortheperformanceof the contract itself by theMANUFACTURER throughshipmentor delivery of thePRODUCTS. Thepartial delivery oforderedPRODUCTSdoesn’t involvethatthewholeorderhasbeenaccepted,butonlythatpartofPRODUCTSactuallydelivered.

2.3 Exceptadifferentwrittenagreement,thedeliveryofPRODUCTSinItalyorabroadwilltakeplace“ex-works”.

2.4 Exceptadifferentwrittenagreement,allthedatesgivenasdeliverydatesareintendedinanindicativesense.

3.0 CHARACTERISTICS OF THE PRODUCTS - WARRANTY - COMPLAINTS

3.1 CeramictilesandotherCERAMICproductsproducedbyBATIKcomplywithEuropeannormsUNI-DIN-EN.

The MANUFACTURER sells exclusively to professional resellers that are responsible for the accuracy of technicalinformationsgiventofinalusersand/ortoretailers.

TheclassificationofproductisindicatedbytheMANUFACTURERonadvertisingmaterialand/oronpricelists.Thereforethepurchasermustuse thePRODUCTaccording to theclassificationgivenby theMANUFACTURER.To facilitate thedirections for the use of products and to adapt standards qualifications to the specificity of the production, marksconnectedwitheachsingleproductareput inprice listsandcatalogues, indicating thespecificuseadvisedby theMANUFACTURER.

3.2 Differences in the tone are not defects of the PRODUCT but a characteristic of the specific material fired at hightemperatures.TheparticularrequisiteoffrostresistanceisappliedonlytothosePRODUCTexplicitlyguaranteedbytheMANUFACTURERwiththerelativeindicationonadvertisingmaterialand/orpricelist.Incasethisindicationisnotgiven,ceramicmaterialareconsideredonlyandexclusivelyforindooruseoruseinplacesprotectedfrombadweather.

3.3 Ceramicmaterialswithpolishedsurfacecanneverbeusedinplaceslocatedonthegroundfloorwithaccessoutsideorinplaceswithgreatpedestriantraffic.Inaadditionpolishedtilesaresusceptibleforacertainslipperinessespeciallywhentheyarewet.TheMANUFACTURERadvisesthereforenottousetheminpublicplaces.InplaceswithgreatpedestriantrafficthepurchasewillhavetobuyonlythosePRODUCTSclassifiedbytheMANUFACTURERasPEIV,andinparticularthosetilesthattheMANUFACTURERadvisesSPECIFICALLYforuseinpublicplaces.

3.4 ThepicturesofthePRODUCTSonleafletsandonotheradvertisingmaterialbythePRODUCERareonlyillustrativeandtheydonotrepresentnecessarilythefinalaestheticresultoflayingofthePRODUCT.

3.5 TheMANUFACTURERguaranteesthegoodqualityandtheabsenceofdefectsoftheproductssupplied,thewarrantyisnotappliedtothosePRODUCTSclassifiedbytheMANUFACTURERasnonfirstqualityproductsortolotsofPRODUCTSoftheendofaseries,soldinbulkandpointedoutasspeciallots.However5%toleranceisprovided.

3.6 TheMANUFACTURERisnotresponsiblefordefectsand/oranomaliesfoundoutinthePRODUCTSthatarenotduetotheirquality,buttoanimproperuseofthembythepurchaserand/orbytheirassignees.InparticulartheMANUFACTURERdoesn’tacceptcomplaintsorcontestationsconcerningtheabovementionedsituation.

3.7 ComplaintsmustbecommunicatedbythepurchasertotheMANUFACTURERwithin8daysfromthedeliveryofgoods.Incaseofdefects,thetermis8daysfromthediscovery.InanycasetheMANUFACTURERisnotresponsibleforthedefectsdenounced12monthsafterthedeliveryofthePRODUCTStothepurchaser.Incaseofhiddendefectsthewarrantyisappliedtoup2yearsafterthedeliveryofthePRODUCTSonthefirstpurchaser.ThedenunciationofdefectsmustbenotifiedtotheMANUFACTURERwithinandnotlaterthan8daysfromthediscovery.

3.8 Ingeneralthewarrantyisappliedonlyfordefectsfoundoutinproductsthathavenotyetbeenlied.Incaseofhiddendefects,detectableonlyafterlyingit’snecessaryfortheMANUFACTURERtoverifythatthelyinghasbeencarriedoutduly(conformingtoDIN1852).

3.9 TheMANUFACTURER’swarrantyislimitedtothesubstitutionoffaultyPRODUCTSwithotherproductsofthesamemodelwithoutdefects,freightincluded.Thereimbursementofotherexpensesoradditionalcosts,andinparticulardemolitioncostsandmoneypaidforasecondlayingof thePRODUCTS isexcluded. InanycasetheMANUFACTURER’swarrantycannotexceed5timesthevalueofthecontestedmaterial,withanabsolutemaximumof10.000€.

3.10TheMANUFACTURERisnotresponsibleforcomplaintsduetoclassificationsoftheceramicmaterialbyforeignbodiesforcontroland/orcertification that isdifferent from the Italianone,according to technicalspecifications thatdon’tcorrespondtothoseusedbytheMANUFACTURER.Incaseoftechnicalexpertiseactivedbythepurchaser,thismustbenecessarilyontheconformityofthesoldmaterialwiththespecificationsindicatedbytheMANUFACTURERinfarceinItaly.

4.0 PRICES AND CONDITIONS OF PAYMENT

4.1 The sale prices of PRODUCTS are those indicated in the price list of the MANUFACTURER in force at the momentof theconfirmationsof theorder. Incaseofcontractsofsaleanddeliveryofgoodsdivide inparts,and there isnowrittenagreementonthesubject,thepriceistheoneindicatedinthepricelistinforceatthemomentofthedeliveryof each single portion of goods. For all the PRODUCTS destined to the foreign market prices can be calculated atMANUFACTURER’schoiceintheforeigncurrencyofthedestinationcountryorEuro.

EverybankandnegotiationcostshavetobedebitedtothePurchaser.IncaseofdelayinthepaymenttheMANUFACTURERhastheright,withoutnecessityofputtingintoMoratocashamoratoriainterestamounttotheofficialdiscountrateinItaly,plus5%,apartfromeconomicaldamagesoccurred.

5.0 MANUFACTURER AGENT

5.1 The MANUFACTURER’s agents promote sales but are not authorized to act in the name and on behalf of theMANUFACTURERexceptincaseofaspecificwrittenpermission.

5.2 Theorderstransmittedbytheagentsdon’tbindtheMANUFACTURER.ThereforetheymustbeacceptedinwritingbytheMANUFACTURER.

6.0 RESERVED DOMINION

6.1 It’sagreedbetweenthepartiesthatthesaleofthePRODUCTSiscarriedoutwithreserveofproprietyinfavouroftheMANUFACTURERuptothetotalpaymentoftheagreedprice,accordingtotheItalianCivilCode,art.1523andfollowing.HowevertheriskofdeteriorationofthegoodspassestothepurchaserfromthemomentofthedeliveryofthePRODUCTS.InthesalesofPRODUCTSabroad, incaseofthegoodsaresoldanddeliveredtothirdcustomersbeforethetransferoftitle,withintheordinaryrelationsofthepurchaserhimself,thereserveofpropertyinfavouroftheMANUFACTURERremainsalsotowardthirdcustomers,whenthelawpermitsit.

6.2 IncaseofMoraofthePurchaser,theMANUFACTURERcantakebackallthegoodsobjectofreserveddominionwithoutanyformality,includingtheputtingintoMora,andifthelawpermitsit,alldocumentsofcredittothirdpeoplerelativetothesegoods,withreserveofanyproperlegalremedyfortheprejudicessuffered.

7.0 SUPERIOR FORCE

7.1 TheMANUFACTURERisnotresponsibletowardsthePURCHASERfornonfulfilment,includingnon-deliveryordelayindeliveryduetoeventsoutsidehisreasonablecontrol,asforexamplenon-deliveryofmaterialsbythesupplier,breakdownofplants,strikesorothersindacalactions,interruptionofenergysupply,interruptionordifficultyoftransport.

8.0 APPLICABLE LAW-COMPETENT COURTS

8.1 Thecontractsofsaletoexport inwhichtheMANUFACTURERisoneof thepartyaregovernedbythe Italian lawandinparticularby the“Preservationof InternationalContractsofSale“ofmovables,where it’snotderogatedby theseCONDITIONSandbytheConventionofVienna(11April1980).

8.2 ThecompetentcourtforanycontroversyconcerningthesaleofthePRODUCTSbytheMANUFACTURERandthetraderelationconnectedwiththeabovementionedsalesisthecourtoftheregisteredofficeoftheMANUFACTURERevenwhenthelegalactionstartedconcernsdocumentsofcreditsreleasedtotheMANUFACTURER,asmeansofpayment.
