HON. PRESIDENT’S MESSAGE

Dear Members,

I am very pleased to inform all esteemed IMPPA members that with their co-operation and support my team of Office Bearers and Executive Committee members have been able to ensure that IMPPA besides being the largest and oldest association of film producers in India is amongst the most respected associa-tions whose members can rely on IMPPA whenever they are in any kind of difficulty or need any help for solving any dispute besides prompt and efficient service in terms of grant of Membership, registration of Titles and also for the 1st time provision of relief to all needy members at the time of severe financial crisis due to Covid 19 virus.

I am proud to say that during the past year despite the massive disruption caused by Lockdown due to Covid 19 virus, besides regular work we have been able to do lot of work for the benefit of IMPPA members some of which I would like to mention which include; (a) During the period 2019-2020 we have granted 854 normal membership and 144 life membership as well as registered approx. 12360 titles belonging to the members of IMPPA; (b) IMPPA Welfare Trust is providing financial help to all mem-bers and has also provided emergency relief up to Rs 9000/- each in three installments to all genuinely needy members during the Lockdown due to Covid 19 virus from the IMPPA Welfare Trust in addition to which Rs 11 lakhs were donated to FWICE for providing relief to the members of their affiliates; (c) IMPPA has provided emergency medical aid directly in name of the hospital to all members who have approached it in times of medical emergency; (d) IMPPA has renewed the Accidental insurance policy which now covers each and every member of IMPPA who are all now eligible for making claims in case of accidents; (e) IMPPA has obtained favourable order from the Bombay High Court in the matter of CBFC circular making separate censor certificate mandatory for Sub-titles in every language which order now has been nullified; (f) IMPPA has got the Maharashtra Government order banning persons above the age of 65 years from working on sets in the entertainment industry quashed & nullified by the Bom-bay High Court providing relief to all Senior Citizens; (g) IMPPA has seriously taken up with FWICE the matter regarding their falsely claiming to have 5 lakh members & 32 affiliates whereas IMPPA has proved to them that they have less than 50,000 members & 20 affiliates and they have unilaterally created the new affiliates which are not acceptable to IMPPA and other producers association and FWICE has been asked to disaffiliate these unauthorized affiliates; (h) IMPPA is the only association which has 2 self owned office premises in Mumbai i.e. in Bandra & Andheri; (i) IMPPA is the only association which has its own Home Theatre for screening films of its members at minimum rates.

Besides the above I, am very proud to declare that the financial position of the association is very good and we are now planning to purchase new property which will result in regular income to enable us to give more benefits to our members. I am very grateful to all my fellow Office Bearers and Executive Commit-tee members as well as all members at large and staff because without their whole hearted support and co-operation the above would not have been possible. The future is really bright for the entertainment industry and I and my entire team look forward to serving the interest of our members in future also.

PRESIDENT’S MESSAGE

Dear Members,

I am very pleased to inform all esteemed IMPPA members that with their co-operation and support my team of Office Bearers and Executive Committee members have been able to achieve remarkable results in all areas in our tenure from 2015-2018 and today IMPPA besides being the largest and oldest association of film producers in India is amongst the most respected associations whose members can rely on IMPPA whenever they are in any kind of difficulty or need any help for solving any dispute besides prompt and efficient service in terms of grant of Membership as also registration of Title.

I am proud to say that during the period under review we have been able to achieve many things which are detailed in the enclosed Annual Report but some of which I would like to mention which include a) installation of software for sending messages related to Membership & Title to all members; b) updated IMPPA website for making forms & procedures available for members; c) started online payment & card swipe machine (credit & debit); d) started new office of IMPPA in Ahmadabad for providing services to members; e) started IMPPA Digital YouTube channel for members; f) started luxurious Home Theatre; g) accidental insurance policy for members; h) insurance for office premises; i) implemented Free Trade for employment; j) filed cases against FWICE in Competition Commission of India, Bombay City Civil Court and Bombay High Court; k) appointed Shri Ashok Saraogi for providing free legal assistance; l) settled and passed Awards in many dispute matters; m) the only association who has its 2 self owned office premises in Mumbai i.e. in Bandra & Andheri.

Besides the above I, am very proud to declare that the financial position of the association is very good after clearing all banks loans, Service Tax payments, starting of Home Theatre without any loan and we have made many Fixed Deposit for IMPPA Welfare Trust for which I am very grateful to all my fellow Office Bearers and Executive Committee members as well as all members at large because without their whole hearted support and co-operation the above would not have been possible. The future is really bright for the entertainment industry and I and my entire team look forward to serving the interest of our members in future also.

Your Committee has pleasure in presenting this 81stAnnual Report of Indian Motion Picture Producers’ Association (IMPPA) along with the Audited Balance Sheet and Statement of Accounts for the year ended 31st March 2020. The Executive Committee in its meeting held on 28th September 2019, elected Shri T.P. Aggarwal - President, Shri Mehul Kumar - Sr. Vice President (resigned on 4-11-2019), Shri Haresh Patel - Vice President, Shri Surendra Verma alias Tinu Verma - Vice President, Shri Satish Shivappa Poojary - Hon. Treasurer, Ms. J. Neelam - Hon. Gen. Secretary (suspended from EC in 2nd EC meeting on 2-1-2020) & Shri Mahendra Dhariwal - Joint Secretary as Office Bearers for the year 2018-2021. The Executive Committee decided to Co-opt. Shri Nishant Ujjwal and Shri Darshan Bagga (Co-opted on 3rd May 2020 under Article 28).

The Executive Committee in its 2nd EC meeting dt. 2-1-2020 by majority decided to suspend Mr. Manoj Chaturvedi, Mr. Raju Bhatt, Mr. Anil Naryani, Mr. Vijay Kumar Yadav, Ms. J. Neelam and Ms. Sapna Goyal from the Executive Committee on the basis of electoral fraud & cheating with IMPPA by submitting Censor Certificate of films for being eligible to contest in Prime category without having produced the said film for proof of production of which they were repeatedly asked to submit documents & evidence that they had indeed produced the film on the basis of which they were claiming to be eligible to stand in Prime category. Instead of producing the evidence which was in their own possession the concerned committee members did not even bother to present the evidence before the Enquiry Officer appointed by IMPPA for conducting the said enquiry & instead moved the City Civil Court against the action of IMPPA appointing Enquiry Officer & asking court to stay the enquiry but no relief was granted by the City Civil Court. The Enquiry Officer conducted full enquiry & submitted specific report that the said committee members Mr. Manoj Chaturvedi, Mr. Raju Bhatt, Mr. Anil Naryani, Mr. Vijay Kumar Yadav, Ms. J. Neelam and Ms. Sapna Goyal had indeed not produced the film claimed by them & were thus not eligible to continue as Executive Committee member elected from Prime Category. The concerned members moved Bombay High Court & National Company Law Tribunal against order of the City Civil Court but did not get any relief from anywhere & were therefore suspended from the Executive Committee for committing electoral fraud & cheating with IMPPA and subsequently the Executive Committee unanimously resolved that Mr. Manoj Chaturvedi, Mr. Raju Bhatt, Mr. Anil Naryani, Mr. Vijay Kumar Yadav, Ms. J. Neelam and Ms. Sapna Goyal will not be eligible to contest any future election under any banner because of act of electoral fraud & cheating till the courts of law take a final decision in the matter.

INTRODUCTION

We are proud to declare that IMPPA has a totally selfless dedicated, committed and dynamic team at the helm of affairs of IMPPA, which for the present term is consisting of Shri T.P. Aggarwal – President & Chairman of FMC, Shri Haresh Patel - Vice President, Surendra Verma alias TinuVerma - Vice President, Shri Satish Shivappa Poojary - Hon. Treasurer & Shri Mahendra Dhariwal - Joint Secretary, Sushama Shiromanee (Hon. Gen. Secretary, FMC), Jai Prakash Shaw (Hon. Treasurer, FMC), along with Hon’ble Executive Committee members Rakesh Nath ‘Rikku’, Babubhai Thiba, Abhay Kumar Sinha, Aarti Patel, Ashoke Pandit, Manish Jain, Atul Patel, Pradeep Singh, Nishant Ujjwal & Darshan Bagga (Co-opted on 3rd May 2020 under Article 28) who all collectively fulfilled the requirements of members by rising to the occasion whenever needed.

IMPPA is the only association amongst all producers associations in Mumbai which has 2 office prem-ises in Bandra (W) & Andheri (W) where it is having its own Home Theatre for screening films of its members at minimum rates in its Sophisticated Corporate office in Andheri (W) which is the heart of the Indian Entertainment Industry.

Subsequently, in order to facilitate and streamline the functioning of the Association efficiently and ef-fectively, following Sub-Committees were formed to take care of various activities of the Association as follows:-

VARIOUS OTHER ACTIVITIES DURING THE YEAR

Achievementsof theExecutiveCommitteefortheyear2019-2020

1. This period has been one of significant success for IMPPA in the Bombay High Court as we have won the case filed by us against CBFC challenging the notice issued by CBFC Chairman making it mandatory to obtain separate certificate for Sub-titles in all languages for new & already certified films which would have resulted in heavy complications, cost increase & harassment for the producers & we are happy to declare that the said circular of CBFC-Chairman has been dismissed by the High Court thereby saving & protecting our members to a large extent thanks to our Legal Consultant Advocate Ashok M. Saraogi.

2. Another very big success achieved by IMPPA in Bombay High Court is to get the order of Maharash-tra Government banning the persons above 65 years age from working and coming on sets quashed and set aside by Hon. Bombay High Court on the appeal by IMPPA where once again our Legal Consultant Advocate Ashok M. Saraogi deserves kudos & appreciation of all senior citizens for whom IMPPA has made life easier.

3. IMPPA was also successful in City Civil Court; Bombay High Court as well as National Company Law Tribunal where also Advocate Ashok M. Saraogi successfully defended IMPPA against the cases filed by suspended Executive Committee members making baseless allegations against IMPPA & till date their cases remains pending and no order has been passed against IMPPA in any of the cases.

4. The committee is also proud to declare that in spite of total curfew & lock down imposed by the Government of India & Maharashtra due to Covid 19 virus the committee has been able to keep the show going for which the committee is very grateful to concerned staff members who have worked very hard in these difficult & trying times due to whose efforts the committee was able to extend financial help to our members from IMPPA Welfare Trust in the month of May & June 2020 as number of our members were undergoing massive financial difficulties & though at first committee decided to distribute ration to all such needy members it was subsequently decided that distributing ration was not practically and logistically possible & hence it was decided to directly deposit relief of Rs. 3,000/- each directly into the account of needy members who filled Google forms for this purpose. Though it was initially only for the month of May 20 subsequently considering that there were members who were not able to pay subscription for many years but were really needy & in bad shape the forms were circulated again in the month of June & July 20 and the relief of up to Rs. 9,000/- in three installments was directly deposited again in the account of those who applied & the committee considers it a proud privilege to be able to help its members who were in need due to the unprecedented financial crisis caused by Covid 19 virus. To help film artists, technicians and workers, IMPPA also donated Rs 11 lakhs to FWICE for distribution to needy members of their affiliates.

5. The committee is pleased to inform that we have renewed the Group Personal Accidental Policy of Rs. 1 lakh each for all the members of IMPPA who will now be eligible for making claims in case of ac-cidents.

6. During the period under review the committee was surprised to note that FWICE which had only 20 affiliates in 2018 had suddenly without approval of any producers association increased the number to 32 affiliates even though number of affiliates had disaffiliated themselves like CINTAA, IFTDA, SWA, IFTCA and many others but duplicate unions were made in their place & new affiliates were created without any information & behind the back of producers body which was objected to by us & though they have agreed that they have indeed made these additional affiliates but they have not taken any action to rectify the matter for which our committee has decided to take further action.

HomeTheatre

IMPPA is successfully running for the benefit of its members a Luxurious well equipped Home Theatre in its office premises which contains the following:- 37 Luxurious push back seats, Silver Screen 16x8, Dolby Atmos 11.2 system, Modern Digital Cinema powered by Qube and supports the following formats MOV (MP4), Blue Ray, Hard Disc, Hard Drive, Pen Drive, DCP 1080 (EMPG 2) and DVD. IMPPA has kept very reasonable rates for its member’s i.e. Rs. 6,500/- + Service tax for 2 ½ film, for 3 hour film Rs. 9,000/- + Service tax and for films of shorter length charges will be Rs. 3,000/- + Service Tax per hour. Members can also book the Home Theatre for Press Conference, Music release, Trailer release or any other function at the above mentioned rates. The Home Theatre is also available for screening films of Non Members at Rs. 10,000/- + Service tax for 2 ½ film and for 3 hour film Rs. 13,000/- + Service tax.

Financial Position

The Financial status of the Association continues to be robust. The Committee has taken all steps for minimizing the expenses and maximizing the revenue. As a result of the Committees’ initiatives for the growth of revenues the financial position of the Association is very comfortable.

IMPPABandraofficeonlease

It is a matter of pride that IMPPA is the only producer’s association in Mumbai to have 2 self owned office premises in Mumbai and since our Andheri (West) office is more than sufficient for our working requirements our Bandra office premises known as IMPPA House at Dr. Ambedkar Road, Near Pali Naka, Bandra (W), Mumbai – 400 050 has been given on lease to our member Mr. R. Balki of M/s Hope Production renowned film maker who has fully renovated and rejuvenated the entire premises and are operating from there.

CentralBoardof FilmCertification

Central Board of Film Certification had fixed a meeting on 6th August 2020 with Mr. Ravinder Bharkar CEO CBFC & Mr. Tushar Karmarkar Regional Officer with all stake holders for streamlining online applications & clearance which was attended by IMPPA representatives where discussion was fruitful.

CompetitionCommissionof India

In continuation to its order dt. 31-10-2017 the CCI on appeal of contempt of its order by FWICE passed another order on 26-5-2020 which had specifically directed FWICE to issue communication to all their affiliates as well as producers / associations withdrawing their letters dt. 29-3-18 & 26-11-18 in which FWICE had informed and reiterated FWICE’s rules and regulations regarding their being the sole body having member to member working arrangement with all producers and also levying penalty / punish-ment to ensure compliance of their rules on anyone employing non-members which retraction FWICE should have themselves circulated, advertised and publicized as per the CCI order but had not done so.

Matters in FFI

The Committee is very happy to report that various matters relating to Governments were taken up through Film Federation of India where your Committee is represented by Hon. President - Shri T.P. Aggarwal, Vice President - Shri Haresh Patel, Vice President - Shri TinuVerma alias Surendra Verma & E.C. members Shri Abhay Kumar Sinha & Shri Manish Jain.

Membership

During the year under review IMPPA has granted Normal membership to as many as 854 applicants and Life Membership to 144 applicants. Application forms and Rules & Regulations of membership have been made available on the IMPPA website www.imppa.info.

Title Registration

During the year under review, Title Registration Committee of FMC has registered approx. 12360 titles belonging to the members of IMPPA. We have taken steps to make application forms for title registration and renewal available on the IMPPA website www.imppa.info.

During the year IMPPA has renewed Group Personal Accidental Insurance policy taken from M/s Oriental Insurance Co. Ltd. further for period 2020-2021 for all the members of IMPPA.

During the year due to spread of Covid 19 virus IMPPA has taken Covid 19 insurance policy for period 8th July 2020 – 7th July 2021 for all the staff members.

LegalAdviceFacilities

IMPPA has been giving free legal advice to its members. Any member who is in need of legal advice or assistance may call upon the office of IMPPA by prior appointment for meeting with the Legal Advisor Shri R. C. During the year IMPPA has helped various members register their above mentioned works through M/s Consulta Legal who have been appointed as IMPPA’s Consultant for doing this work.

IMPPA Welfare Trust

IMPPA Welfare Trust continues to extend financial aid to those who approach the Trust for monetary assistance and the committee is happy to state that the Trust has been helpful to many members who were in need of funds to undergo even life saving medical treatment and any member facing any medical emergency can approach the trust for immediate help. We are happy to declare that IMPPA Welfare Trust has been able to help members who even have applied for relief during the Covid 19 virus.

Court Matters

In addition to various cases filed for and against IMPPA in the current year various cases were filed

against IMPPA by Mr. Vinod Chhabra i.e. C.C. No. 435/SS/2018 in Metropolitan Magistrate, 66th Court Andheri; (b) S.C. Suit No. 2705 of 2018 ; S.C. Suit No.3257 of 2018 & S.C. Suit No. 8048 of 2018 in City Civil Court Dindoshi as well as case filed by Mr. Abhay Kumar Sinha & Mr. Raju Bhatt against IMPPA and Babubhai Thiba S.C. Suit No. 3247 of 2018 in the City Civil Court – Dindoshi which cases are in progress.

IMPPA in the current year is facing cases filed by Mr. Manoj Chaturvedi, Mr. Raju Bhatt, Mr. Anil Nary-ani, Mr. Vijay Kumar Yadav, Ms. J. Neelam and Ms. Sapna Goyal V/s IMPPA & IMPPA had filed case against Central Board of Film Certification & Government of Maharashtra.

FUTURE

With the advancement of technology the film as well as television and entertainment industry is changing every day and film has given way to digital media and even exploitation and exhibition has changed from prints to digital exhibition and besides television content most producers are today producing web series, short films & documentaries for various online platforms. Your Association, IMPPA will always play a key role in maintaining the creative and commercial balance between the new mediums, i.e. films, television, web series and internet for digital exploitation on various platforms like Netflix, Hot Star, Sony Liv, Alt Balaji, Amazon and various other platforms. It is note worthy that the name of IMPPA itself includes films, television, web series and all other entertainment based content as all these contents are based on motion pictures i.e. picture of things in motion which is why the name of Indian Motion Picture Producers’ Association includes all activities of entertainment industry.

Though the present looks bleak we are sure entertainment knows no boundaries and with development of new technology the sky is the limit for which IMPPA will be always available for the benefit of all members.

Our opinion on the financial statements does not cover the other information and we do not express any form of assurance conclusion thereon.

In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the standalone financial statements or our knowledge obtained during the course of our audit or otherwise appears to be materially misstated.

If, based on the work we have performed, we conclude that there is a material misstatement of this other information; we are required to report that fact. We have nothing to report in this regard.

Management’sresponsibilityforthefinancialstatements

The Company’s board of directors are responsible for the matters stated in section 134 (5) of the Act with respect to the preparation of these financial statements that give a true and fair view of the financial position and financial performance of the Company in accordance with the accounting principles generally accepted in India, including the accounting standards specified under section 133 of the Act. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statement that give a true and fair view and are free from material misstatement, whether due to fraud orerror.

In preparing the financial statements, management is responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

The board of directors is also responsible for overseeing the Company’s financial reporting process.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. We also:= Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.= Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances. Under section 143(3)(i) of the Companies Act, 2013, we are also responsible for expressing our opinion on whether the company has adequate internal financial controls system in place and the operating effectiveness of such controls.= Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.= Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company’s ability to continue as a going concern. The charges for members are very nominal i.e. Rs. 6,500/- + Service tax for 2 ½ film, for 3 hour film Rs. 9,000/- + Service tax and for films of shorter length charges will be Rs. 3,000/-+ service tax per hour.
