Proof shall be provided by means of a certification from a certified body recognised by IATF (International Automotive Task Force). Any deviations from this requirement shall be agreed separately with JOST, including the proof that the QMS is developed with a view to the requirements of ISO TS 16949.

The supplier shall design its QMS in such a way that the supplier urges its subsuppliers to comply with the requirements under this QAR. JOST shall be entitled to request documented proof that the supplier has assured itself of the effectiveness of the quality and environmental management systems at its subsupplier and/or has ensured the quality of its purchased parts by appropriate measures.Upon coordination, the supplier shall fulfil additional country- and/or Product-specific requirements.

Other guidelines of the automotive industry, such as the VDA Series Vol. 1 et seqq. or QS 9000, will be included as excerpts in these QAR or in supplementing Product-related Quality Assurance Agreements (QAA) and, thus, shall be deemed reference guidelines for the application of certain methods.

The standards ISO/IEC 15504 or AutomotiveSPICE™, as amended, shall be complied with by suppliers who develop and deliver software, also in connection with hardware.

The supplier shall be obliged to immediately report all changes in its QMS and its company and at its sub-contractors in writing in advance, if they could change the release status of its QMS.

As a supplier to the VW Group, JOST is obligated to appoint a product safety representative (PSB) at every step of the supply chain. JOST will directly contact the suppliers in the supply chain who are affected by this in writing and request the appointment of a PSB.

3. Auditing

JOST and its customers shall be entitled to examine and evaluate the QMS and the quality assurance measures of the supplier or to have them examined and evaluated by an appointed third party.

Upon prior coordination, an audit may be conducted as a system, process or product audit during normal business hours. The supplier shall provide the auditor access to all business premises, test stations, warehouses and adjoining areas and allow him to inspect any documents relevant from a quality and environmental perspective. Necessary and appropri-ate restrictions of the supplier for the protection of its business secrets and confidentiality obligations vis-à-vis third parties are accepted by JOST.

Where actions are required as a result of the audit, the supplier undertakes, after being notified of these results, to immediately prepare an action plan, to implement it in a timely manner and to inform the JOST Group thereof.

The aforementioned shall also apply to the subsupplier chain, as follows: The supplier undertakes to audit its subsupplier upon request from JOST.

Under certain circumstances (e.g. quality defects) JOST reserves the right to undertake its own audit at the subsupplier in coordination with the supplier. JOST reserves the right to assert any resulting costs.

The supplier agrees to assist with the identification of weaknesses in the subsupplier structure. The supplier shall be responsible for the optimisation of the discove-red weaknesses; this shall be agreed with JOST.

10.3 Escalation Programme for Conspicuous Suppliers

In case of deviations from quality requirements such as delivery quality, Product and production release and complaints from the field, JOST may include the supplier in the „Conspicuous Suppliers“ escalation programme. The programme contains four definite levels of escalation:

• Level 0 supplier has problems;• Level 1 supplier is not successful in solving these

problems;• Level 2 supplier requires outside help;• Level 3 supplier is not suitable for JOST (new

business on hold).

The supplier shall be informed of the inclusion in the escalation programme in a quality meeting. For the preparation of the quality meeting, a respective guideline shall be sent together with the invitation.

11. Handling of Liability for Defects and Special Cases

11.1 Liability for Defects

Expenditures and costs caused by field and 0 km complaints will be charged by JOST to the supplier based on responsibility.

The responsibility of the supplier for the field failures in the period of the liability for defects may be jointly determined with the help of a spot check along the lines of VDA Vol. “Field Failure Analysis“ pursuant to the principle of Technical Factors (TF) or Acceptance Rates (AR). If applicable, already paid flat rates shall be credited.

11.2 Special Cases

In coordination with the JOST customers, JOST reserves the right to decide independently on quality measures (Special Cases). Special Cases shall include, for instance, recall, servicing or repair shop campaigns.

The record-keeping period for these records shall be at least 3 years. For @1- and @2-classified properties, the obligation to keep specifications and records shall amount to at least 15 years after expiration of the serial production. Upon request, the supplier shall grant JOST access to these records at any time within 36 hours. In addition, it shall be ensured that the entire documentation will be provided to JOST in the case

of termination of contract, insolvency (to the extent legally permitted in that context) or in the event of other restrictions of production.

Generally, proofs of process capability (Cm/Cmk and Cp/Cpk) shall be included in the first serial delivery. Where necessary, the inclusion of test records or factory certificates shall be agreed. Any provisions deviating from the aforementioned requirements shall be specified in the Product and Process Performance Requirements.

In order to prove the uninterrupted process capabi-lity, the supplier shall conduct re-qualification tests periodically, at least once a year.

13. Traceability

For traceability, the supplier uses a system of parts labelling with the identification of its production batches/production lots and delivery lots corresponding to its testing and process records. With this system, in case of a discovered defect, the traceability shall be ensured without gaps in such a way that the concerned quantity of defective parts/Products can be isolated. For this purpose, it is necessary to treat the lots one batch at the time and to store and deliver them in accordance with the first in, first out principle (FIFO).

The traceability shall extend as far as the raw materials used. Where necessary, JOST shall agree details regarding content for traceability, e.g. identification with a serial number (cf. Works Standard JWN003).

In the case of labelling obligations, the relevant type approval or official operating licence shall be attached.

14. Quality Assurance Agreements (QAA)

For safety-relevant and/or functionally essential delivered parts, as a supplement to this QAR, JOST may enter with the supplier into individual Product- and process performance-related quality assurance agreements (e.g. PPL). These QAA will contain, as a result of the quality planning talks with

the supplier, among others, the important classified properties (@1 and @2) with special requirements for the documentation, the agreed test methods, test records, SPC applications, proof of capability and the contents for traceability.
