Your participation and feedback was greatly appreciated and will be integrated in to the plan. The video of the Roadshow is available on our intranet for all to view. The key messages, and action required, as part of the strategy are summarised within this newsletter. I look forward to meeting more YBA Kanoo team members as part of our ongoing visits across the Group.

The VISION 2020 Transformation Plan has been approved by the Board. We are all accountable for its success. We have a clear and compelling strategy. To deliver it we all need to act in a disciplined manner and follow a structured approach. YBA Kanoo has

enormous growth potential. To reach our full potential, and make the targets set within the Vision 2020 plan a reality, we must foster a culture of accountability, collaboration and innovation.

Our new structure is designed to support the vision and I am pleased to announce that we have the new management team in place enabling us to drive the plan forward. We, as a management team, are committed to communicating with you openly and transparently. It is critical that everyone of us understandsthereasonfor,andbenefitof,thechanges happening across the Group.

I encourage you all to take up my challenge and become ‘agents of change’ throughout the Group. You will find more details aboutthis within this newsletter. My door is always open should you have any questions or ideas to help push the Group to the next level.

VISION 2020 ROADSHOW

Recently YBA Kanoo organised our first ever management Roadshow across the region presenting the Group’s 2020 Vision from the 5th to 8th February 2017 in Manama, Dammam, Riyadh and Jeddah.

YBA Kanoo colleagues were invited to hear about the company’s Vision transformation plan for the next four years. A select few were personally invited by the CEO to join him for lunch.

Dr Patrick Chenel, Group Chief Executive Officerhighlighted how rapidly the world is transforming. He stated, “Change is about adaptation”, and we need to adapt to the new rules of the rapidly shifting reality. In order to stay ahead of the curve, we need to adapt to change in our environment. “Change is a question of survival. If the world is changing and we don’t change, we are only going to increase the gap. So we need to catch up,” said Dr Chenel.

Dr Chenel highlighted the achievements of the Company during 2016 and thanked the whole team for their efforts. He said, “The company’s main aim was to stay focused andIamconfidentthatwecanachievealotofgrowththrough forging new partnerships and changing the way we do business.”

The core messages of the presentation were focused on three main areas:

“ONE KANOO”

The new strategy aims to unify the group into “One Kanoo”. Moving away from Silo operation to collaborative business group functions, Dr Chenel stressed the importance of making “One Kanoo” a reality. As communicated previously, it is based on four key pillars: Customer Focus, Transformation Program, Strategic Risk Management and Compliance; which are delivered through four new business groups: Shipping & Logistics, Industry & Energy, Real Estate and Kanoo Capital; with Kanoo Travel transitioning into a global joint venture.

The Shipping & Logistics business group is now under the leadership of Robert Moss, the Industrial & Energy business group by James King, the Real Estate business group by Mohamed Delawar and the Kanoo Capital business group by Kevin Murphy. This is the structure of our Group today. The rationale is to improve and grow our market coverage, increase our customer base and grow the topline.

DIGITALISATION: Major progress has been achieved in the company in the field of digitalisation. Steps arebeing taken to improve efficiencies, productivity, andutilisation of available technologies. This will help to redesign the company’s shared services and create a better environment to utilise resourcesmore efficientlyandenableustoreduceduplicationacrossback-officeoperations.

COMMUNICATION: We have received lots of communication from the Group CEO over the past few months keeping us up-to-date with the changes as they occur. We encourage you all to read these communications and our Group CEO’s door is open if anything is unclear. We ask that you trust us to deliver on our promises.

Businesses around the world are changing to adapt to their new reality – in order to grow and sometimes to survive. Our success depends on our ability to change with the times.

Following the successful launch of the VISION 2020 Transformation Plan at the Roadshows, the Management Team met to learn about the detailed action plans required to achieve the targets set out as part of the Plan. There are a total of ten identified actions that need to be delivered. These have been grouped into ten projects or work streams. Five are based around laying the foundation required to create the ideal environment for success and the other five are based on activities required to take YBA Kanoo to the next level of growth, we have called these the Engine Work streams. Each work stream has a leader who is driving the plan forward. The Work Stream Leaders presented their detailed project plans to Management and obtained support from the Group CEO. Progress against these plans will be communicated as part of the ongoing communication of the Vision 2020 Plan.

I am pleased to advise that Mr. Philip English has recently joined the Executive Management team at YBA Kanoo as GroupChiefFinancialOfficer.

Prior to joining Kanoo, Philip was employed as Chief Financial Officer & Portfolio Manager for the Africa,Middle East, India and South East Asia division of APM Terminals(partoftheMaerskGroup).Inthisrole,hewasresponsibleforoverseeingthefinancialoperationsofthedivision’s sea ports and inland logistics portfolio. He was also a board director of many of the division’s joint venture businessesandheldspecificportfolioresponsibilityforanumber of the African operations.

Philip began his professional career in 1990 with Arthur Andersen in its London based tax practice before moving to PepsiCo. where he held a number of senior international financerolesinbothLondonandHongKong.In2001hejoinedJonesLangLaSalleasAsiaPacificChiefFinancialOfficer based in Singapore before moving to NakheelPJSC(thedeveloperofthePalmIslandsinDubai)in2007wherehewasChiefFinancialOfficerduringitssuccessfulfinancialandoperationalrestructuring.

Philip is a UK Chartered Accountant, holds a Master of Business Administration degree from Warwick Business School and is a member of the Institute of Directors.

Philip was born in the UK and is married to Millie whom he met while living in Hong Kong. They have three daughters.

Serving Yusuf Bin Ahmed Kanoo for over four decades - including being at the helm of administrative and public relations affairs for over 20 years – seems to have been an exciting ride for Mr Dirham Al Shahrani, Regional Administration & PR Manager – Central Province.

Here in a special Q&A feature with the Kanoo Corporate Communications, he shares his experience and times in the organization and feels contented in his professional journey.

How long have you been working with YBA Kanoo?

I joined the company as an Arabic typist 44 years ago.

Can you please share your growth in the organization and who were responsible for your success?

Afterhavingservedthecompanyforapproximatelyfiveyears as an Arabic typist, I was promoted as a supervisor in Human Resources & Public Relations. About a decade later, I was given the opportunity to be the Regional Administration & PR Manager for Central Province, which was recommended by the General Manager, Administration & PR – KSA, Mr. Abdullah Al Mutlaq who was very instrumental to what I am to this day and still isabiginfluenceandinspirationtomeandmanyothersin the company.

How do you feel now that your journey in the company lasted for four decades? What has changed in YBA Kanoo from then until now?

Four decades is a long time and it’s been an incredible experience. I have had the opportunity to learn and grow and I am highly indebted to all my colleagues and superiors for encouraging and motivating me. This process took time and energy from me. However, I was

dedicated and focused and never gave up in achieving my goals.

What was 10 staff members then has now grown to about 300 staff owing to the growth in the business. It is due to the inspirational support received from the Kanoo Family to its employees that has made YBA Kanoo one of the leading companies in the region.

What motivated you to take up your current role? What did this role entail?

The main stimulation for my growth and dedication to reach my current position was the support and recognition received from the owners to carry on with my tasks in sincerity and diligently. My role also involves strategic communications and this process builds mutuallybeneficialrelationshipsbetweenorganisationsand its external contacts, like the government and private organisations, etc. But the public relations function is part and parcel of managing internal communications between superiors and subordinates too.

As a professional, my role was to serve the management team in developing sound policies that are in the best interests of the staff as well as the organization. It involved various types of concerns of employees which needed to be communicated to the management and thus be a part of the decision-making process.

What were your most significant accomplishments/challenges that you had to overcome in your current position?

I believe that hard work, honesty and loyalty towards the company brought me this far in my career. Due to lack of advancement in technology in the olden days, our tasks were manual and time consuming. Despite that, I have been fortunate enough to handle all challenges and pressures arising out of my job functions.

Sheikhs Abdulla & Abdulaziz Kanoo were seeking a suitableofficebuildingthatbefitsourcompany’snameand standing, and thanks to Allah, we found one in the heart of Riyadh at a very economical price! If we compare that price now, it is five times cheaper thanthe price we purchased Kanoo Tower in Riyadh, and I consider this as one of the most important achievements of my career.

I recollect few more memorable incidents that are etched indelibly in my mind: I had once accompanied Sheikhs Abdulla & Abdulaziz Kanoo to meet the Saudi Royal Family members: HRH King Salman Bin Abdulaziz who was then the governor of Riyadh, the late Minister of Interior HRH Naif Bin Abdul-Aziz and HRH Ahmed Bin Abdul-Aziz deputy of MOI. These visits were both business and personal. I also had the privilege of visiting the Saudi Ministers and attend meetings at the Saudi Chamber of Commerce, SABIC, and many government and private institutions in Riyadh.

Would you like to share a story or two about the YBA Kanoo personalities you have met and interacted with?

Whatever I say about them, won’t be enough. However, I won’t elaborate more, but I must say that I have met most of the Kanoo Family members. I have great respect for them and feel honoured in knowing them.

What I am inspired and admire about the Kanoo Family is their support and generous contributions towards the needy of the society and the charitable institutions.

Did you get an opportunity to mentor any of the young YBA Kanoo employees? What are the lessons you can give to other mentors in the company?

Many youngsters had joined the company during my tenure and new employees are occasionally being hired and it gives me opportunities to mentor and groom them to be responsible employees of YBA Kanoo. My advice to the mentors would be that climbing the ladder requires great passion, disciplined behaviour and integrity towards work. If the employees have these qualities, their future will be bright.

What is your philosophy with respect to professional growth?

To me, self-development is an essential factor to professional growth and keeping yourself abreast of the latest technology.

What are your plans? What are your hobbies and the things you enjoy doing personally?

My future plan is to support the new generation of my time and knowledge towards the development of the society. I love reading and my interest is to study the latestdevelopmentsdone in thefieldof technology.

How do you see the future for YBA Kanoo?

The future of YBA Kanoo depends on the new generation. They must dig deep into the legacy of our ancestors, which is the company’s vision, mission and values. Following the footsteps of the founders will keep YBA Kanoo productive, and the management should imbibe the company’s core values and culture into their future staff. At the same time, the company should keep its doors open to science and technological developments.

Would you like to convey any inspiring message to the youngsters in the organisation?

My message to the youngsters would be, understand where you are in your career today and work hard towards achieving your goal step-by-step.

Anything else you would like to add?

Believing in yourself will create new horizons for you and everyone around you.

KRT COURIER DIVISION SWITCHES TO FETCHR

It was recently announced that YBA Kanoo’s KRT courier division have been acquired by Fetchr in a move to enter a new partnership that will elevate the service levels for customers with cutting-edge technology solutions.

Fetchr, the UAE-headquartered technology start-up, has revolutionized the delivery and logistics industry in the regionbytacklingthecommondifficultiesofhaving“noactual address” in emerging markets. Fetchr’s proprietary technology offers an intuitive solution to parcel pickup and drop-off in a region where address systems can be difficult to navigate. It uses a patented technology toschedule pickup and delivery using mobile phone GPS coordinates. The app enables peer-to-peer transactions while also facilitating business needs.

Group CEO, Dr Patrick Chenel remarked on this occasion saying, “It is time to service KRT’s clients’ needs with a highly-digitalized offering. Fetchr is a very successful technology driven e-commerce facilitator that will provide our partnership with an enhanced service and exceptional experience.”

Commenting on the transaction, Mr Fahad Fawzi Kanoo, saidthat“YBAKanooisasignificantinvestorintheregionand we are highly selective in deploying capital through our investments arm, Kanoo Capital. The Indian Coast Guard Ship Samudra Pavak paid a goodwill visit at the King Abdulaziz Port in Dammam recently – a gesture to further strengthen bilateral ties between India and Saudi Arabia. A joint exercise to enhance cooperation and exchange of expertise with the Saudi Coast Guard was also held during vessel’s stay at Dammam Port.

The ship is equipped with state-of-the-art technology which includes integrated platform management system, dynamic positioning system for precise manoeuvering and positioning and power management systems for automatic control of generators.

Managing naval/CG vessels’ calls is a different ball game and not comparable to other commercial vessel calls. They have unique requirement in terms of diplomatic clearance, very high number of personnel visiting in / out of the vessel, country’s ambassador’s visittothevessel,etc.OurDammamofficestaff,alongwith support from Port team made sure top-class services were delivered, up to client’s satisfaction. Mr. Amjad Mulla and Raed Al Ghamdi spent untiring hours in and out of the Port to make sure every requirement of Samudra Paval was fulfilled, absolutely in time.

Indian Ambassador to the Kingdom of Saudi Arabia, Mr. Ahmed Javed also visited the ship and met with the crew members.Officials from Indianconsulate inDammamand various prominent businessmen were among the others who attended the reception organized on board. Along with few members from Kanoo Shipping team, Mr Nadeem-Ul-Haque (Corporate Quality & HSSEManager–SaudiArabia)alsoattendedthereception.

The vessel sailed out on 2nd February 2017.

KANOO LOGISTICS SIGN AGREEMENT WITH SWISSPORT

MT AMJAD MAIDEN VOYAGECALL RAS TANURA

Kanoo Logistics - Jeddah recently arranged an agreement with Swissport Saudi Arabia Ltd -- a major airport ground handling company to transport their equipment from Airport-to-AirportwithinSaudiArabia.Thefirst lotofsixCobus buses were already transferred from Jeddah to Dammam airport. Further shipments are expected soon.

Recently, Kanoo Shipping had received MT AMJAD on its maiden voyage. Bahri took delivery of the VLCC, its 37th,built tothe latestenvironmentalandfuel-efficienttechnical specifications, in a ceremony held at HHI’sMokpo shipyard in South Jeolla Province, South Korea.

VLCC MT AMJAD, called Ras Tanura Port on its maiden voyage and Bahri awarded the prestigious assignments of receiving MT Amjad and of assisting with Flag registration of the vessel to Kanoo Shipping. Kanoo shipping successfully made all arrangements with concerned parties and authorities to achieve the purpose

and left no stones unturned to meet YBA Kanoo’s esteemed client’s expectations, during this mega event. The representative of Kanoo Shipping, Mr Hussain Sadiq along with each member of the Ras Tanura team, played a very instrumental role in achieving the desired results.

POWER SYSTEMS GULFRECEIVE TOP GLOBAL SERVICERATING FROM PERKINS

Power SystemsGulf LLC (PSG), is amember of TheKanoo Group and the appointed Perkins Distributor for the Arabian Gulf with responsibility for Bahrain, Kuwait, Oman, Qatar, Saudi Arabia, UAE and Yemen. PSG, based in Dubai, is responsible for the regional Perkins distribution strategy, the management of Perkins engine distribution and product support capability across the Gulf region.

To meet the demands of the ever changing product support requirements for the new generation of technologically advanced engines entering the markets, PSG work with the region-wide Kanoo Distributor facilities to ensure Perkins global support standards are delivered at each location.

Perkins, whose goal is to ensure that the highest levels of product support are implemented and maintained globally, have instituted a process in 2015 whereby they measure the service operations capability for

every Perkins Distributor around the globe, against the samesetofpredefinedstandards.This isessential inidentifying areas of weakness and drive improvements so as to consistently ensure the highest levels of customer response in every region.

These capability matrices measure areas such as customer response, parts availability, warranty, tooling and training so that the identified improvements canbe made. PSG Technical and Training Manager Shaik Rahim works tirelessly with all stakeholders to make sure that the required standards are met and maintained.

PSG General Manager, Mr Graeme De Villiers is proud toannouncethatsincethefirstGulfRegionassessmentin August 2016 to the latest assessment in February 2017, there has been an improvement on the overall score; which now ranks the PSG/ Kanoo business in the top 10% of Perkins Distributors globally in terms of product support capability. This however does not mean that we have arrived. We still have areas that require improvement and standards that need to be maintained.

The PSG team send their thanks out to the Gulf Region Product Support Managers and their teams for all their hard work and efforts in supporting the Perkins products.

Kanoo Machinery, KSA signed a 5-year rental contract with SIBCO for supply of 30 machines in April 2015 and the delivered already commenced from March 2015. SIBCO – a leading consumer brands distribution company in the Kingdom - sells and distributes world's most recognized consumer brands including PEPSI.

Mr. Ahmed Fawzi Kanoo and Mr. Waleed Dessouky - Country Manager, Kanoo Machinery and his team visited SIBCO (Mega Pepsi Factory) on the 14th of March2017. They met with Mr. Mohamed Al Shehri, the plant manager andMr. Chris Gilfillan, the logisticsmanagerand undertook a tour of the plant. Mr. Ahmed Kanoo

officiallyhandedovertheHysterdemokeystotheplantmanager to signal the start of operations.

YBA Kanoo have supplied 31 Hyster units which included Electric Forklift, Reach Truck, Pallet Truck and Diesel Forklift to SIBCO over a period of 60 months.

Kanoo Machinery Bahrain has received an award as the best dealer for increasing their market share compared to their other distributors in the sale of telehandlers. The relationship between Kanoo Machinery and Bobcat dates back to 1998 as the sole distributor in Bahrain. The market share now is more than 40% in the sale of telehandlers.

Kanoo Machinery sales and support has resulted in loyal and long term customers like Alghanah Contracting, Eastern Asphalt, Al Kooheji Contracting and Al Kobaisi Precast.

The Flow Control Division of Kanoo Oil & Gas has signed an Assembler Agreement with BRDR Christensen of Denmark for the Local Assembly of Lubricated Plug Valves during a recent visit by a high level management delegation from BRDR Christensen which included Mr. Kurt Erling Bang Christensen-Chairman, Mr. Thomas V. Christensen-ChiefExecutiveOfficerandMr.DennisW.Larsen-ChiefCommercialOfficer.

ThisAssemblyfacilityforPlugValvesisthefirstintheKingdom of Saudi Arabia and an important milestone forKanooOil&GasDivision.ThisdefinitelyenhancesKanoo’s capabilities as well and helps us in contributing toward In-Kingdom Total Value Addition (IKTVA)program of Saudi Aramco.

During this visit, BRDR Servicing team also conducted the Plug Valve Repair & Assembly, hands-on training for our technical staff, as a part of the Authorized Service Agreement & Assembler agreement. Mr. Jesper Delff Nielsen, Regional Manager-ME & Africa and Mr. Midhad Mehanovic, Service Engineer from BRDR Christensen imparted the training at our Dammam Workshop facility.

OIL & GAS RECEIVE HUGE ARAMCO ORDER

Kanoo Oil & Gas - Flow Control Division received a € 4.7 Million order for the supply of various sizes of Lubricated Plug Valves from BRDR Christensen, Denmark against a 3-year price agreement contract signed with Saudi ARAMCO in Feb 2017.

It may be noted that the Kanoo Flow Control Division had signed this Agreement with BRDR Christensen on the 7th Feb 2017, for the local assembly of their Plug Valves, to keep in line with the Aramco’s In-Kingdom Local Value Addition Programme. Distributor Agreement and Service Agreement were already signed with BRDR Christensen in 2016.

Kanoo P&IP has successfully completed a turnkey project in Power Plant 9, Riyadh of Saudi Electricity Company. The scope of the project included the removal of existing compressors and air dryers and replace them with 5 new compressors and 2 air dryers with complete modificationofpipelines.Anonsiteandworkshoptrainingwas imparted to the staff of SEC on the operations and maintenance of compressors.

Saleem Badshah and Syed Nadeem of P&IP Riyadh were involved in the project.

TURNKEY PROJECT RECEIVEDFROM POWER PLANTKanoo P&IP has successfully undertaken a turnkey project to replace six fuel additives pumps at the Qassim Power Plant in KSA. The project included engineering, dismantling of old pumps installed by a competitor, piping modification, installation of the pumps withcontrol panels and related accessories, cabling, related miscellaneous work and testing.

The project was significant as the power plantwas using pumps manufactured and installed by a competitor having problems in operation. P&IP studied the problem and offered a different solution with state-of-the-art technology.

Ameen Mohammed and Syed Nadeem P&IP Riyadh were involved in the project.

OIL & GAS RECEIVE SATORP ORDERKanoo Oil & Gas – Chemicals Division of Eastern Province received the single largest value purchase order of THERMAX Resins for the Demineralization Water Unit of Saudi Aramco Total Refinery And Petrochemical Company (SATORP).

SATORP has placed this purchase order to cover their requirement of ION EXCHANGE RESINS for the next three years.

The Chemicals team worked with SATORP Process Engineering and Operations team since November 2015. SATORP proceeded with an extremely low cost bidder for the first trial order in Feb/March 2016, who eventually could not meet SATORP’s expectations. Subsequently, trial orders were issued to YBA Kanoo considering the urgency.

Based on good performance with timely delivery and technical support, SATORP decided to place this single largest value purchase order with YBA Kanoo for using THERMAX Ion Exchange Resins to all the lines in the Demineralization Water Unit.

OurprincipalTHERMAXLIMITED(INDIA)appreciatedthe efforts to facilitate step-wise approvals at SATORP and take it to finalization.

P&IP’S FIRST PROJECT IN EGYPT

CHEMICALS WINHIGH-VALUE CONTRACTS

Kanoo P&IP has successfully commissioned a hydrogen generator in Abu Zaabal Industries (AZE), NationalOrganization for Military Production in Cairo, Egypt. This isthefirsttimeeverthatYBAKanoohasundertakenajob outside of the GCC.

The order was initiated by Teledyne Energy Systems Inc (TESI), our principal and YBA Kanoo being theirrepresentative were authorized to execute the task of commissioning of the H2 generator.

SyedMujtaba of KanooP&IPRiyadh, flew toCairo tocommission the generator and impart training to the engineers of AZE.

AZE was very pleased and gave a very positive customer feedback for the job undertaken.

Kanoo Oil & Gas’s Chemicals team in Bahrain, led by Mr Abdul Matheen has achieved remarkable success last year by winning high-value contracts from prestigious customers. The contract details are as u n d e r :

Bapco: Secured huge order for the supply of Activated Carbon & GE Chemicals. The contract duration is for 3 years.

CH2M Hill: Received order for the supply of Utility Chemicals & GE chemicals. The contract duration is for 1 year.

ALBA: Received order for High Temperature Antiscalant (BASFproduct).Thecontractdurationisfor1year.

Hidd Power Company: Received order for the supply of Antiscalant from BASF.

ANNUAL FIREFIGHTING DRILL - JEDDAH

The Property division held its Annual Fire Fighting Drill at the Kanoo Commercial Complex, Hamdaniya Dist., Jeddah. The drill, although expected to last for 10 minutes was successfully managed in just 8 minutes. All the participants were safely evacuated and accounted for. The tenants and their participating staff showed a lot of enthusiasm in the drill operations.

The staff conducted an exercise in handling Fire Extinguishers making all the participants aware of its use and application.

The event was a huge success and was well attended by the occupants of Kanoo Commercial Complex.
