Luther Park Bible Camp Annual Meeting Minutes 10:00 a.m. January 24, 2009

Luther Park, Chetek, WI Call to Order: Our board president, Pr. Mike Wollman (Shepherd-Hill/Elk Mound) called the Annual Meeting of Luther Park Bible Camp to order. He welcomed delegates and guests and introduced Ron Erickson, our parliamentarian. Devotions: Pastor Mike Wollman gave devotions from Mark 1:16-17 about Jesus making the disciples "fishers of men." This is an important text for Luther Park now. Luther Park staff and volunteers are doing what Jesus taught the disciples. Luther Park is not a hook, line, or bait, but a “net” to gather the people in. He has caught “You” because you are here today. Devotions ended with a prayer. Hymn: Everyone in attendance sang WOV#748 “Bind Us Together” accompanied by Jeanette Tobiason on our new piano which has been given in memory of Steve Emerson, who was a Luther Park counselor many years ago. Approval of Agenda: Pr. Barb Koch (New Hope/Sand Creek) asked when the appropriate time would be to address the board about Sherm’s resignation. The president said questions and comments about the resignation would be accepted following the Board Report and the Executive Director Report. Motion by Curt Rohland (Our Savior/Stanley) second by Arlan Bergquist, (Our Savior/Chippewa Falls) to accept the agenda. Motion carried. Approval of Minutes: The president noted that two corrections are needed on the 2008 Annual Meeting minutes as printed. The corrections are: Page 7 under New Business, Carl Hunt’s church is Central of Chippewa Falls (not English/Bateman) and Page 8 under 2008 Budget, the second was made by Rolf (not Ralph) Morck. Motion by Pr. DJ Rasner (English/Bateman), second by Dale Horner (Faith/Rock Falls) to approve the minutes of the January 26, 2008, Annual Meeting as corrected. Motion carried. Board of Directors’ Report: Pr. Mike Wollman (Shepherd-Hill/Elk Mound) read from and elaborated on the report printed on page 11 of the agenda. He introduced and thanked the staff for the work that has been done at Luther Park. Pr. Wollman explained that after many difficult meetings and considerations, it was the wish of the Personnel Committee, that Sherm be asked to resign as Executive Director. The board accepted a counter proposal from Sherm, which included certain monthly goals that if not met, would force his letter of resignation. Sherm met his goal for October, but not for November and it was at that time that he submitted his resignation effective on December 31. Subsequent negotiations have resulted in Sherm’s present position as our full time Interim Executive Director, while the Board of Directors conduct a national search for a new Executive Director to begin on January 1, 2010. Sherm will be invited to apply and will be given due consideration for this position. The decision to ask Sherm to resign was the result of a very clear need for the ministry of Luther Park to change course in a significant and permanent way. The financial condition of the camp is the chief symptom of that need to change course, although it is not the only symptom. We are now committed to processes that will bring about the changes that the ministry of this camp needs. We ask for your support through these changes. Specifically: 1) A renewed financial commitment from each of the 134 congregations. 2) Increased donations and involvement from individuals. 3) Pastoral support and a commitment from congregations to use our camp. 4) Volunteers to help cut expenses. 5) Your feedback, evaluation, and suggestions for the camp ministry. 6) Most importantly, your continued prayers. Executive Director’s Report: Sherm Toufar began his report by referring to the quote at the end of his written report on page 13. “Peace is people talking together with a heart between them.” His wish is that “we” may find peace and that we may find love between us. Sherm directed everyone’s attention to the tower of blocks on the floor. These blocks represent Luther Park’s mountain of debt. We have been given an opportunity to greatly reduce this debt through a generous donor who will match all gifts of $1,000 or more up to $200,000. The details are found on page 14 of the Annual Meeting booklet. Sherm asked 8-year-old Brianna Thalacker to knock down the tower of debt, just as our matched donations can knock down the camp’s real debt. Sherm continued his report saying that this is an exciting time for Luther Park even in the midst of the sad times. The sadness of the past few months is overcome by the years of good memories and blessings from Luther Park’s ministry. He has been involved with Luther Park for 33 years, including 23 as a full time employee. He feels blessed with a good camp staff and he is proud of what has been accomplished. In 2008, the Way Club increased by 67 donors. A total of 52,000 additional dollars were given above the 2007 year. The Towering Pines club for donors of $1,000 or more grew from 35 members (families) in 2007 to 45 members in 2008. The number of $5,000 donors doubled from three to six and the Luther Park Legacy League for deferred giving has been introduced. May

we all rejoice in what the Lord has given and share God’s sense of humor in how our accomplishments sometimes come about. All of us who love Luther Park, face challenges. We have a large debt. The economy is bad. Who will lead Luther Park? But each of you has been called to be a leader in some way. Make it the right way for the right things. All of us must be held accountable for the future of Luther Park. There is hope. This place showers love. Love is our hope and may we all be filled with love. Questions on the reports of the Board of Directors and the Director Pr. Barb Koch (New Hope/Sand Creek) spoke to her concern that the board does the right thing. Even though the personnel committee has the right to ask the Executive Director to resign, was everything done to work with Sherm to resolve the problems first? Pr. Wollman assured her that the answer was yes and that there had been numerous conversations and job description revisions before the resignation was requested. Sherm answered Pr. Koch’s question saying that he was aware of problems over time, although he felt that the final decision came about quickly. He stated that he believed the Board followed the proper guidelines and that he never felt that anyone was out to “get” him. He always felt that the intent was to do what’s best for Luther Park. Pr. Paul Tobiason (North Running Valley/Colfax) asked if he could make a motion that all of the matching funds would go toward the debt (instead of some going toward camperships or capital improvements). The president answered that he could not make that motion because the terms of the matching gift are not negotiable. They are the wishes of the donor. Pr. Les Walch (Colfax/Colfax) told the assembly that he was surprised and upset about the resignation. He has the greatest respect for Sherm and he is concerned that too much focus has been put on the debt. He wants the needs of Luther Park to be made known to all the congregations so we can increase support for the good of the ministry. Rod Dahl (New Hope/Sand Creek) asked how the matching gift challenge will work with the Thrivent gift match. Could the Thrivent match be used to make a smaller donation total $1,000 and thus be eligible for the new challenge match? The answer from Sherm and Pr. Wollman was No, but a $1,000 donation would be matched by the challenge match and Thrivent would match 50 cents of each dollar up to $600, so that a $1,000 donation could become $2,300 for Luther Park. Pr. Paul Oppedahl (Our Savior/Chippewa Falls) spoke to commend the board and the Toufars for the difficult conversations that took place. He compared it to, not the planting, but the plowing that must take place before seeds can sprout. The results have been fruitful even if it was frightful. Program Director’s Report: Mary began by saying that the past three months have been like the well known children’s book Alexander and the Terrible, Horrible, No Good, Very Bad Day. Looking forward she is encouraged by the words of Jeremiah 29:11 For I know the plans I have for you declares the Lord, “plans to prosper you and not to harm you, plans to give you hope and a future.” And Joshua 1:9 “Be strong and courageous. Do not be terrified; do not be discouraged, for the Lord your God will be with you wherever you go.” While Mary cannot say where 2009 will take her family, she is certain that Luther Park’s mission will continue. Mary continued her report with visuals showing some of Luther Park’s statistics. During the 1990s, Luther Park grew steadily up to 2002, which was a banner year with a total of 1343 campers. In 2003, we saw a sudden drop to 1014 campers. The totals have gone up and down a little, but we have never regained the numbers we had in 2002. The total in 2008 was 1016 campers. Another chart compared the size of the different programs offered at our camp. Our biggest numbers come from the middle school age group—an age when kids are ready to hear faith stories. Our high school numbers are small, but we continue to offer opportunities for this age. The strength of our high school offerings comes from congregations who claim a program as their own by promoting it and bringing a group to share the experience together as a church group. Our biggest growth in recent years has been in Family Camp. This fits a need in our society and it is a direction that the church needs to go in. The time is right for us to wake up and claim our children for the church. We may be faced with an uncertain economy, but we cannot let the faith formation of our children take a back seat to other priorities in life. The outdoor ministry of Luther Park is a powerful force in their faith formation. Mary invited delegates to take the posters available on the tables, back to their church to display along with the camp brochures and to bring the masses to camp this year. She shared a few enthusiastic camper and parent comments from evaluations of the 2008 camp season and closed with thoughts from Ephesians 4:11-12 to prepare God’s people for works of service so that the body of Christ may be built up and become mature in faith and the fullness of Christ. Mary encouraged us all to reclaim our children and insist that camp be a part of the faith formation program in our congregation. Can we do it? Yes, we can! Questions on the Report of the Associate Director Pr. Steve Carlson (New Hope-Little Elk Creek/Downsville-Menomonie) asked the dates of the building projects and the beginning of indebtedness. Sherm replied that the Cabins were built and the Dining Hall was winterized in 1994. The shell of the Welcome Center

went up in the fall of 1994 and then sat unfinished until 1998. The debt for these projects appeared on the books for 1994. Pr. Carlson asked if there were any declining campership years prior to the big year of 2002? The answer was no. Pr. Carlson concluded that when the commitments were made to build, the camp was growing and now when camper numbers are down, we may be using Sherm as the scapegoat for our debt. Will getting a different director change things? Church benevolence needs to step up rather than putting all the blame on Sherm. This shake up should wake us up. Pr. Curt Rohland (Our Savior/Stanley) stated that he has also been involved with the Wisconsin Farmers Union Camp and their numbers have also been dropping. But things are turning around as people are becoming concerned that children are not getting out into nature enough. Pastor Rohland said that he would like to make a motion of thanks to Sherm for his work. The president asked him to wait and make this motion under New Business. Josh Toufar (Chetek/Chetek) asked if other camps are also having financial problems. Mary stated that she had informally polled nine camps and eight ended the year in the red. Josh also suggested that many churches are struggling now, but the ministers’ jobs are not in danger because of it. He said that it pains him to hear the word “resignation” because it is not on Sherm’s terms to be done at Luther Park at this time. He feels that it is important to know this. Kris Jenson (Shepherd-Hill/Elk Mound) stated that maybe it is time to shake things up. We all needed a fire lit under us. The president asked for a motion to accept the Reports from the Board, the Executive Director and the Director of Program Ministry. Motion made to accept the reports as presented, was made by Arlan Bergquist (Our Savior/Chippewa Falls) and seconded by Stan Buchanan (Bethany/Rice Lake). Motion carried. Program Committee Report: Pr. John Ashland reported for the program committee and referred to page 18 of the Annual Meeting Booklet. He thanked Mary Toufar for being 90% of this committee and for her excellent work with staff training. Pr. DJ and Amanda Rasner were thanked for their part in teaching the summer Bible study to the counselors. A special thanks was given to Central Lutheran Church in Chippewa Falls and Trinity Lutheran Church in Eau Claire for helping to fund our two international counselors from Malawi and Brazil. Pr Ashland told us that Martin Luther King, Jr. said we should “be a drum major for justice.” Let’s be drum majors or cheerleaders for Luther Park. Do what you can to help get the youth of your church to attend Luther Park this summer. According to a study in The Lutheran magazine a few years ago, 70% of adults who have a strong faith in God point back to a Bible Camp or outdoor ministry experience as a turning point in their faith life. Remember that and let’s do everything in our power to get more youth and adults to grow deeper in faith through a camping experience at Luther Park! Other Reports: The president pointed out the reports from the Property Committee on page 17, The All Congregational Visit Update on page 19, and the Contingency Team Report on pages 21-22. Motion to approve the Property Committee Report, the Program Committee Report, the report of the All Congregational Visit Update, and the Contingency Team Report was made by Pr. Mike Pancoast (Stanford/Rice Lake) and seconded by Pr. Rolf Morck (Central/Mondovi). Motion carried. Finance Committee Report: Brenda Thalacker, Treasurer, presented the 2008 Financial Report with visual graphs to supplement the information on pages 23-27. Operating expenses were $907,267, which was under the budgeted amount, largely due to the help of volunteers working on maintenance projects. Unfortunately the total income received was just $856,795. We were able to reduce the debt by $42,500. A graph showing that if our income had increased by just 2% each year since 2002, Luther Park would now have an income of 1.2 million. Questions on the Finance Committee Report Paul Oppedahl (Our Savior/Chippewa Falls) asked about the amortization schedule and if that was helpful this past year. Pr. Wollman answered that it was beneficial and referred to page 25. Stan Buchanan (Bethany/Rice Lake) pointed out that debt reduction is a large part of the total losses for 2008, because debt reduction was made a part of the general fund budget for the first time. It isn’t completely fair to compare 2008 with 2007.

Motion made by Tom Wagner (Immanuel/Strum) and seconded by Curt Rohland (Our Savior/Stanley) to accept the 2008 Financial Report as presented. Carried. Auditor’s Report A motion to accept the auditor’s report on page 9 was made by Janet Shoemaker (Christ/Menomonie) and seconded by Nancy Hanson (St John’s/Eau Claire). Motion carried. Endowment Fund Report/Resolution Arvin Solsaa (Our Savior/Menomonie) presented the following resolution from the Luther Park Endowment Committee:

It is recommended that all eligible monies earned by the Luther Park Endowment Fund, starting with the 2009 fiscal year, be used to aid people with Campership Scholarships. Currently established guidelines will be used by the Luther Park administration to decide who is eligible for these scholarships. At the end of the fiscal year any unused eligible money may be used as the Endowment Fund Committee allows per the guidelines of the Endowment Fund.

After a question from Paul Tobiason (North Running Valley/Colfax) about Endowment Fund guidelines, the resolution was accepted by a voice vote. Hymn: Everyone present sang WOV #713-Lord Let My Heart Be Good Soil. Unfinished Business: None. New Business: Endowment Fund Committee Election: Pr. Mike Wollman presented Arvin Solsaa as a nominee to serve another 3-year term on the Endowment Fund Committee. There were no other nominees. Carried Election of Board Members: Pr. Mike Wollman presented the following nominations on behalf of the nominating committee. Cluster 1-Bill Jenson (Long Lake/Sarona) Cluster 2-Pr. Mike Wollman (Shepherd of the Hill/Elk Mound) Cluster 3-Steve Kolden (Our Savior’s/Menomonie)(previously appointed to fill a vacancy) Cluster 4-Pr. John Ashland (Hardies & S. Beaver Cr/Ettrick) Cluster 4-JoDeen Forsyth (Christ/Arcadia) (1 year term for correction of election years) There were no further nominations from the floor. Pr. DJ Rasner (English Bateman/Chippewa Falls) made a motion to close nominations and cast a unanimous ballot. Seconded by Pr. Mike Vetsch (Lyster/Nelson). Carried. The President thanked Stan Buchanan who has completed his second consecutive 3-year term on the Board of Directors, and presented him with token gifts in appreciation of his service. Nominating committee for 2010: Pr. Mike Wollman asked for volunteers. They are: Cluster 1 Josh Jorstad (Bethesada/Bayfield) Cluster 2 to be appointed by the board Cluster 3 to be appointed by the board Cluster 4 Pr Mike Vetsch (Lyster/Nelson). Accepted. 2009 Budget: Brenda Thalacker presented the proposed Budget for 2009, with an expected income of $917,887 and an expense budget of $917,520. Salaries have been frozen and debt reduction is a priority in the proposed budget.

Questions on the 2009 Proposed Budget Jon Strand (Immanuel/Eau Claire) asked what the consultant expense is in the new budget. Pr. Wollman replied that this is the remaining amount of our contract with Gronlund, Sayther, and Brunkow Financial Development Consulting firm from the Twin Cities. In the past year, they have assisted us in development of the Legacy League and the Towering Pines giving programs. Motion to accept 2009 budget by Pr. Mike Vetsch (Lyster/Nelson) and seconded by Angie Vetsch (Lyster/Nelson). Motion carried. The president informed everyone that GoodSearch.com will donate money to charity every time someone uses the internet search. He asked that we all designate Luther Park as our charity on the GoodSearch website. Another opportunity to donate to our camp is available with the Kwik Trip credit card by designating Luther Park as the recipient of your rewards. Pr. Curt Rohland (Our Savior/Stanley) introduced the following resolution:

I move a resolution of thanksgiving and appreciation to the members of the board for their serious and careful attention to the ministry of Luther Park, especially in regard to its direction and leadership under Sherm Toufar. I further move that we thank Sherm Toufar for his years of service and assure him and his family of our love and compassion in these difficult, decisive and personally painful days and through the coming year.

A second was made by Arlan Bergquist (Our Savior/Chippewa Falls) and the motion carried. Next annual meeting: The 2010 annual meeting will be held on Saturday, January 23, 2010, 10:00 a.m. at Luther Park. MINUTES OF THE SPECIAL MEETING OF THE LUTHER PARK BIBLE CAMP ASSOCIATION

2:00 p.m. Saturday, November 14, 2009 at Grace Lutheran Church, Eau Claire, WI

Registered Delegates present: 112 Luther Park Board Members present: 10 also present: visitors The meeting was called to order at 2:10 p.m. by Board President, Steve Kolden with these words, “I’ll call the meeting to Order, recognizing that this meeting has been called by more than 25 constituent congregations as indicated in Luther Park By Laws item 7.A. I will also indicate that the agenda and purpose of the meeting were not properly noticed as indicated in the By Laws item 4.C.3, thus any action items today shall be considered advisory to the Board.” Opening devotions from Proverbs 4:23 were given by Rev. Rolf Nestigen from Grace Lutheran. The President asked for a motion nominating Rev. Chet Hoversten to chair the meeting. Motion and second were made to cast a unanimous ballot for Rev. Chet Hoversten as chairman. Passed by voice vote. Chairman Hoversten appointed JoDeen Forsyth as the recording secretary and Dr. Jerry Matteson as the Parliamentarian. Motion and second to accept the agenda as printed. Motion passed with one objecting voice vote. The Standing Rules (see Exhibit B) were read and adopted. A thirty minute open debate period began at 2:20. There was a Motion to adjourn. There was no second. At 2:55 the Chair asked if the assembly wanted to extend the question period for another 10 minutes and the majority voted yes. At 3:10 there was a motion to extend the open debate period for another 10 minutes. The Chair asked for a show of hands and the motion failed to receive the two thirds vote needed. Resolution 1 (see Exhibit A) was read. There was a motion and second to adopt the resolution. Debate followed. Motion and second to call the vote. Passed. A written ballot was used to vote yes or no on Resolution 1. Passed, 62 yes/54 no. (116 total)

Motion and second to adopt Resolution 3. Discussion followed. Motion passed by unanimous voice vote. Closing remarks were given by Steve Kolden and Les Walck. Association, regarding the term of employment for the Interim Executive Director; and WHEREAS the Board declined to call a special meeting, after several requests, to explain the reasons for the

staffing changes and to describe the new direction for LPBC without a Director of Program Ministries; and, WHEREAS the recent actions of the Board have left Luther Park without a full-time Executive Director and

without a Director of Program Ministry; and WHEREAS the recent actions of the Board have created a climate of distrust in the collective judgment of the

Board and a disconnect between the Board and the Association which may endanger future camper registration, staff recruitment, volunteerism and fundraising efforts; therefore,

BE IT RESOLVED that the Association strongly appeals to the Board to reconsider its actions regarding the early termination of the former Interim Executive Director and the inexplicable termination of the Director of Program Ministries and reverse one or both of the termination(s);

AND BE IT FURTHER RESOLVED that if the termination(s) are not reversed that LPBC the Association strongly appeals to the Board to offer a strong severance package(s), in line with the practices of similar institutions, and commensurate with the many years of faithful service, with the thanks and gratitude of the Association and Board and an official apology by the Board to the former Director(s) for the manner of their termination.

RESOLUTION 2: WHEREAS the Constitution, By Laws and Personnel Policy and Board Job Description have not been recently

updated; therefore, BE IT RESOLVED that a committee consisting of an equal number of both Board members and non-Board

members be formed to review and to offer revisions or amendments to the governing documents to ensure that they are in accordance with ELCA standards and that they ensure continue to strive toward transparency, accountability and compassion.

BE IT FURTHER RESOLVED that the non-board members will be elected at this special meeting president seek volunteers and appoint task forces to deal with these issues.

RESOLUTION 3: WHEREAS it is the joint responsibility of the Board, the Camp Director(s), and the Association to support and

promote the ministry of LPBC in a spiritually sound and fiscally responsible manner; therefore, BE IT RESOLVED that all parties commit themselves to concerted efforts to raise funds for LPBC, both from

individuals and from that congregations, reporting report on these efforts in a timely manner;

AND BE IT FURTHER RESOLVED that the Board be encouraged in its continuing efforts to restructure the debt at more beneficial interest rates and in its efforts to seek additional funding through grants from Foundations or from other sources in order to end the year in a positive way.

ANNUAL REPORT OF THE BOARD OF DIRECTORS

WOW! Where do I start to describe this past year? My grandmother was a wise woman who said “you should look at life with the glass half full, rather than half empty”. Some years later I learned that this phrase may not have been hers alone. It has been a year of significant change at Luther Park. With change comes uncertainty and doubt at times. We have learned a great deal this past year, and we, as a Board, chose to focus on the future (glass half full) with strong commitment to “reaching out and touching people of all ages with the good news of salvation.”

We have a very strong and dedicated Board of Directors, and I should acknowledge their commitment to Luther Park. In speaking with one Board Member, he was talking about working on his taxes for 2009 and mentioned he put on 5,500 miles last year attending meetings and volunteering at Camp. The Board completed an overnight retreat in April with the ELCA Director of Outdoor Ministries in addition to 16 other meetings (not including committee work). While some may not agree with all the decisions of the Board, no one can say the Board has shied away from making difficult decisions. The Board has established priorities for immediate action;

FOUR primary objectives/goals; 1) Program – Continue Recharge events as scheduled. Preparations for summer program as high priority. 2) Financial Stability - Ending the year in the black and the development of a budget for 2010. 3) The Strategic Planning Process – Review and adopt a Strategic Planning Process 4) Establish task groups for revising Constitution/By-Laws, and Personnel Policy and Job Descriptions.

We have a strong, veteran Interim Executive Director providing leadership for the camp in our time of transition. We have a

wonderful, knowledgeable, and energetic Interim Program Coordinator overseeing the multitude of programs we offer. The executive leadership is in very capable hands.

We have heard from a great number of constituents of Luther Park, with a variety of strong beliefs and opinions. Many Board members attended the Listening sessions and Pastoral Conference meetings. We utilized the “LooP” and established an electronic message on the camp’s website to receive feedback. While opinions were diverse, each came with a strong passion and commitment for the best interest of Luther Park Bible Camp. We now call upon that same passion and energy as we move into the future and our strategic planning process.

The budget remains difficult, yet our new bookkeeping methods and new software will allow us to track expenses in greater depth and detail and make more informed decisions regarding additions and reductions in our budget. There have been multiple meetings with creditors to discuss fiscal arrangements and options. A Matching gift distributed over the past 15 months and Estate gift received in December 2009, each in the six digits have significantly helped reduce our long term debt. Our Annual operational budget continues to be a concern and is detailed later in this report.

We have learned that our Governing documents (constitution, bylaws and personnel policies) need updating and revisions to remain current. There are two task teams currently in place to address these changes. Any changes or revisions to the Constitution and Bylaws will require the approval of the Corporation. Changes to Policies and Job Descriptions are approved at the Board level.

We welcomed the Synod Office to Luther Park this past fall. This has been going very well and is beneficial for both the Synod and camp. Please take the opportunity to visit the Synod Office on the lower level of the Welcome Center.

FINALLY, a HUGE thank you to the Summer Camp staff for their work and commitment to this ministry. Everything else we do only supports their work. Lastly, a very sincere and genuine THANK YOU to Sherm and Mary Toufar for their many years of dedicated service to Luther Park. Their love and commitment to the Camp has NEVER been questioned.

DIRECTOR’S REPORT 2009 Interim Executive Director, Rev. Craig M. Corbin

From what I have been able to determine in my short period with the camp, it is very apparent that there is strong dedication and commitment for the ministry of Luther Park Bible Camp. Numerous individuals have expressed their passion and love for this ministry. Let’s tap into this energy and enthusiasm for the overall good of the ministry and especially for the good purpose of spreading the grace and love of Christ to others.

I also believe there is significant financial potential for growth, not only with existing donors but also with potential new donors and

donors who have not given in a number of years. I would also be interested in exploring more accountability from the constituent congregations regarding support for the ministry.

The management arrangement between Luther Park and Luther Point is going well. Most of the kinks and obstacles we are facing

are mostly technical. Computer issues, networking and internet issues have hindered some progress. There has been some restructuring of camp staff personnel. It would be good for folks to know that several staff from the Luther Point site are wearing hats for both camps. The bookkeeper at Luther Point is providing services for both camps. Significant procedural changes, bookkeeping software and financial reporting changes have been made. One person is handling all the retreat bookings and arrangements for both camps. Volunteer recruitment and coordinating is also being handled by one staff person for both camps. Retreat hosting is being coordinated through the Luther Point site. Numerous other aspects of administering both camps are being provided by Luther Point staff.

The working relationship between both staffs is going well. Everyone is working at their respective jobs with the priority being the

overall health and well-being of the camp / retreat ministry at both camp sites. The biggest obstacle we continue to face is positive cash flow. We ended 2009 with about $18,000 in unpaid bills for 2009.

Creditors and vendors have been patient with us but it continues to be a struggle on a daily / weekly basis to maintain a positive outlook with the shortfall looming over the camp. We will be proposing a dramatically reduced budget in 2010 compared to 2009 which should bring the camp back to a positive cash flow scenario.

Priorities for 2010 1. Work on balancing the financial situation.

a) Work towards and maintain a positive cash flow. b) Looking for strong support from constituent congregations. c) Donors will also be challenged to continue to give generously. d) Increase emphasis of summer program offerings to youth and families.

2. Provide quality programming a) Encourage the Interim Program Coordinator to be creative. b) Actively promote summer programs with current and potential campers.

3. Potentially look at improving some of the existing facilities. a) The roof on the Welcome Center needs to be replaced b) Several new mattresses are needed in camper cabins c) Carpet in Shalom and Covenant Centers is in need of complete replacement d) Motor for pontoon needs significant repair or complete replacement e) Brighten up some of the interior rooms of buildings with light colored paint. f) Electrical upgrades with fixtures in various building for better lighting.

4. Continue to pay down on the debt. a) Amortize all existing loans and stick with making the payments b) Approach specific donors for multiple gifting options (annual, debt, campership, etc.)

5. Work with the Board and constituency to strategically plan for the future of this ministry. a) Board retreat designed to address this issue. b) Evaluate the interim arrangement with Luther Point and assess its viability

Once again, I am extremely optimistic about the strong potential and opportunity for growth. This camp association has the

PROGRAM COORDINATOR’S REPORT 2009 Interim Program Coordinator, Brianna Kunkel

Going in to 2010, there are so many things for which I am grateful. Luther Park is a wonderful place where faith is nurtured

through Holy Play. The variety of programs and diversity of the 2009 Summer Staff made for a successful summer of outdoor ministry. I am grateful for the lives that were touched through works of God and His Servant and Son Jesus Christ.

My name is Brianna Kunkel and I will be serving as the Interim Program Coordinator at Luther Park Bible Camp for 2010. It is an

honor to be able to work directly with Luther Park’s ministry this summer. My relationship with Luther Park spans 23 years. I have come as a camper, volunteer, congregational member, VBS kid and helper, a counselor and coordinator. This year I hope to bring contagious energy and stability to the Summer Camp programs. I am a Luther grad with a B.A. in History and a minor in music and education. I have recently returned from student teaching in Antwerp, Belgium and will have completed my second teaching placement at DeLong Middle School in Eau Claire as of January 22, 2010. This summer I will be drawing upon my background of five years of summer camp counseling experience and five months of practicum work.

The theme in 2009 focused on Mark 10:45 “For the son of man came not to be served but to serve and give his life as a ransom

for all.” The week was divided into five themes based on the overall theme “Love to Serve”. This summer campers learned about being Loved to Serve, Created to Serve, Called to Serve, Saved to Serve and Sent to Serve. This theme was modified to fit a variety of age groups. With the VBS kids we learned about Jesus setting the example of being a servant by washing the feet of his friends through a craft where kids made foot print murals with paint and then had their feet washed by their counselors. In camp, the middle school-age kids were encouraged to find ways they could volunteer throughout the day at camp and back in their communities. One high school group went on a mission trip to the Cities through Luther Park’s F.L.O.O.D. program. The kids really seemed to come alive when they looked at the examples of service that Jesus modeled for us.

This past summer the staff intentionally focused on the ministry of hospitality. We worked on ministering to both the kids who

spent time at Luther Park and Luther Woods as well as the adults who dropped them off and picked them up. This summer, the Trailblazer Day, Overnight and Bridge programs added a time when kids and counselors could share their camp experiences with parents and guardians through adding a closing program to the end of their session at camp. Another way we extended the ministry of hospitability to those in contact with Luther Park was through the weekly Christ Walk and this year’s musical Living on the Edge.

As we head into the summer of 2010, we shift our focus to “Keeping the Earth”. The theme verse comes from Romans 8:19 “For

the creation waits with eager longing for the revealing of the children of God.” Based on this theme, Luther Park is trying a new week-long program geared toward 4th-5th grade kids. The program is called Keepers of the Earth. This program will focus on being good stewards of the Earth. The kids will spend time learning about God’s creation through nature-based crafts and games and activities in the woods and fields. This summer we will also be expanding our most popular program, Trading Spaces, where two different age groups come to camp and alternate spending a half week in camp and a half week at the woods. Some of our other programs for this summer are still evolving. Based on evaluations by congregations hosting Luther Park for VBS, we are looking into trying some new things with this summer’s VBS program. We are also looking into when our high school programs will be offered. We would like to get youth group/leaders input on when these dates should be set. We hope this accommodation will help us meet the needs of our Senior High ministry program.

As we plan and prepare Luther Park’s program for this summer, I would ask for your prayers to guide the program committee and

PROGRAM COMMITTEE REPORT 2009

I’m not sure what has more of a draw: the heat radiating from the fireplace in Shalom center, or the mesmerizing glow of the embers. It’s Recharge season and as I write this, 40-some junior high campers, seven church leaders from their congregations, and 16 volunteers are gathered in the Dining Hall. Some are here because it’s a requirement, others have been here many times and come back because they love it, others came because a friend invited them along, and still others aren’t sure what exactly drew them here. Yet, all of the people at Luther Park have one thing in common: the Holy Spirit meets them here. God acts, we experience. We are strengthened in our faith, and then sent back into the world to serve. And so it is with all of the souls who are blessed with Luther Park experiences. We are drawn to this beautiful place for different reasons, and God meets us here and does not disappoint.

2009 brought about the difficult task of saying goodbye to Mary Toufar, Director of Program Ministries for the past twenty plus

years. We are thankful for Mary’s dedicated service and the gifts that she brought to Luther Park’s ministry. As we closed out 2009, we were excited to introduce Brianna Kunkel, our Interim Program Coordinator. Brianna brings five years

of experience on Summer Staff as well as a contagious energy and a creative mind. She will be serving in this new role through December 2010.

The program at Luther Park has remained strong through the transition in leadership. This program is what invites people in to

nurture their faith through holy play. It’s through program ministries that relationships are built, through which God works. Our summer theme was “Love to Serve.” Throughout the week, campers learned about Christ’s humble life of service to others

and were then challenged to live as servants in their own surroundings. Some concrete data from the summer:

953 campers experienced Luther Park’s summer program. This number was down from 1016 in 2008. Programs that saw increases were High School, Family Camp, and Trading Spaces (half week at Luther Woods and half week at Luther Park).

29 congregations hosted Luther Park teams to lead their Vacation Bible School programs. 35 summer staff, including one international counselor, Hoffis Phiri from Malawi, created Christian community and

welcomed campers into it.

As we look forward, we can assure you that the things that Luther Park does well will remain. So, whatever it is that draws you to Luther Park—the warmth of the campfire, the energy of the music, the peacefulness of the surroundings, the presence of friends—be drawn yet again. Continue to come. Invite others. Encourage the young people in your congregation. The program ministry at Luther Park is alive and well, and God is at work. Respectfully submitted, Program Committee

FINANCE COMMITTEE REPORT 2009

We have made significant progress in paying down the debt. Thanks to a matching gift and an estate gift, the principle of the debt to Sterling Bank was reduced by $222,584. It is now under $80,000! Also, the Board of Directors was able to refinance the remaining debt at Sterling Bank at a lower interest rate. This is a reason to celebrate!

Unfortunately, the Annual Operating Fund finished the year with a deficit again this year. One of the cost control measures we had been trying to accomplish was to completely eliminate the debt, which would have reduced the budget from 2009 by over $96,000. Because we were not able to eliminate the debt, the camp will still have to pay at least $58,700 in interest and principle in 2010.

Even though Sterling Bank’s loan was reduced we did need to seek more funds for the Annual Operating Fund deficit. First Lutheran Foundation of Eau Claire has loaned us an additional $50,000 to cover part of this shortfall. We cannot continue to cover shortfalls in the budget. We MUST service our debt AND cover ALL of the 2010 expenses.

How can we cover the camp’s expenses? The Board of Directors has cut expenses by $140,472 as compared to the 2009 budget. The Interim Director is mindful of living within that budget. Also, we are expecting to receive more support from each constituent church which was directly communicated to us at the November 14, 2009 special meeting. At that meeting, a resolution indicating a renewed commitment to financially supporting Luther Park Bible Camp passed unanimously. Between the cost cutting measures and the unanimous vote to recommit to Luther Park, we are prayerful that the camp will be bursting at the seams this summer and churches will faithfully show financial support.

Let’s recommit to Luther Park, where faith is nurtured through Holy Play, so our children and their children will enjoy the camp as much as we do.

NOTE 1 - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES Organization Luther Park Bible Camp, Inc. (the organization) is incorporated under the Wisconsin Nonprofit Corporation Act. The Organization is comprised of an association of 134 congregations of the Evangelical Lutheran Church in America in Northwest Wisconsin. The purpose of the Organization is to be in partnership with Lutheran Congregations, ministering in a natural setting as Jesus did, reaching out and touching people of all ages with the good news of salvation. “Prepare the way of the Lord.” Isaiah 40:3.

Description of Programs The programs through which the Organization provides its services are as follows:

• Summer Camp Programs – Luther Park Bible Camp’s summer program includes day, half

week, and week long sessions for children in grades 1-12 as well as a special week for families. The camp can accommodate 170 - 210 campers each week. Luther Park also offers week long and partial week rustic camping at Luther Woods a 320-acre wilderness near Birchwood, WI.

• Groups/Retreats – Groups and families in the community as well as retreaters from any church denomination may rent the facilities on location for smaller retreats, gatherings or group meetings.

• Canteen – Campers and individuals attending a retreat have a place to purchase Luther Park Bible Camp clothing, hats and other mementos as well as snacks and drinks.

• Capital Projects – Capital campaigns are for updating and repairing buildings used for summer camps and retreats as well as expanding the current facilities to continue the growth of the organization.

Income Tax Status The Organization is exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code and similar state income tax laws. The Organization is a non-private foundation and contributions to the Organization qualify as a charitable tax deduction by the contributor. Basis of Accounting The Organization uses the modified cash basis of accounting, which is a comprehensive basis of accounting other than generally accepted accounting principles. Revenue and support are recognized when received rather than when earned and expenses are recognized when paid rather than when the obligation is incurred. Estimates The preparation of financial statements requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of support, revenues, and expenses during the reporting period. Actual results could differ from those estimates.

Internal Controls In the Audit done in both 2007 and 2008, (a review only was conducted in 2009 so no audit of the internal controls was done) the following was noted by the auditor Mark N. Beckman, CPA of Anderson, Hager & Moe S.C.:

“…we identified certain deficiencies in internal control that we consider to be significant deficiencies. A control deficiency exists when the design or operation of a control does not allow management or employees, in the normal course of performing their assigned function, to prevent or detect misstatements on a timely basis. A significant deficiency is a control deficiency, or a combination of control deficiencies, that adversely affects the organization’s ability to initiate, authorize, record, process, or report financial data reliably in accordance with generally accepted accounting principles such that there is more than a remote likelihood that a misstatement of the organization’s financial statements that is more than inconsequential will not be prevented or detected by the organization’s internal control. We consider the following deficiencies to be significant deficiencies in internal control.

1. Implement an Inter-fund Account for transfers between the reserve, capital, endowment and operating fund. These would be self balancing accounts that should always be in agreement with each other.

2. Do not post any adjustment to the Equity Accounts except for closing out each year and audit journal entries as provided by the auditors

3. Consider setting up Reserve Fund and Endowment Fund on electronic recordkeeping system instead of the checkbook. This will simplify tracking of revenues and expenses as well as inter-fund payables and receivables.

4. Post all audit adjusting journal entries before closing out each year end and submit the adjusted copy of the financial statements to the auditors for final review before the final closing of the year. This will facilitate a clean start to the next year’s audit.

5. Keep sufficient backup for all regularly posted journal entries, preferably attached to the journal entry itself.

6. Consider taking a physical count of inventory (canteen items) at year end and recording the cost on the Balance Sheet if the year end balance approaches $5,000 or greater.”

Beginning the end of September the following has been implemented to help correct the above deficiencies.

1. Every transaction, deposit, and general journal entry has been entered into Quickbooks Pro

starting with January 1, 2009. All funds have been transferred to QuickBooks Pro. Each fund has its own classification and therefore is self balancing and they are always in agreement with each other. See the Statement of Activities and Changes in Net Assets on page F4-F5.

2. It is standard accounting practice to not do any posting to Equity Accounts except for closing out the year. The current management operates this way.

3. All Funds have been Transferred to QuckBooks Pro. Please refer to the Statement of Financial Position on page F2-F3.

4. Two experienced bookkeepers, one with many years tracking year-end books and one with an Assoc. Degree in Accounting are checking the books before they are sent to the auditor. The books are not closed until after the audit/review for the year.

5. All receipts MUST be turned in, or the staff person is tracked down and reminded and the person must turn in a signed receipt of explanation if a receipt cannot be found.

6. An inventory is taken of the canteen at the beginning of the summer and again at the end of the summer. Often another inventory is taken at the beginning of the year, if needed.

7. Balancing of all registration and canteen monies are done by two people. The money is balanced to both the intake sheets and to the deposit.

8. Deposits are not taken to the bank by the same person who makes up the deposit. 9. All deposits must balance with QuickBooks, CampTrak and with the cash and checks in hand. 10. A concentrated, educated effort is made by management to have checks and balances in place in

accordance with generally accepted procedures. Investments The Organization carries investments in marketable securities with readily determinable fair values and all investments in debt securities at their fair values in the statement of financial position. Unrealized gains and losses are included in the change in net assets in the accompanying Statements of Activities and Changes in Net Assets on Page F4-F5. Financial Statement Presentation The Organization has adopted Statement of Financial Accounting Standards (SFAS) No. 117, Financial Statements of Non-Profit Organizations. Under SFAS No. 117, the Organization is required to report information regarding its financial position and activities according to three classes of assets:

• Unrestricted – Resources over which the Board of Directors has discretionary control.

• Temporarily Restricted with respect to time or purpose – Those resources subject to a donor-imposed

restriction which will be satisfied by actions of the Organization or the passage of time.

• Permanently Restricted – Those resources to a donor-imposed restriction that they be maintained permanently.

Revenue Recognition The Organization has adopted Statement of Financial Accounting Standards (SFAS) No. 116, Accounting for Contributions Received and Contributions Made. As such, contributions are recognized as revenue when they are received.

All other donor-restricted support is reported as an increase in temporarily or permanently restricted net assets, depending on the nature of the restriction. When a restriction expires (that is, when a stipulated time restriction ends or purpose restriction is accomplished), temporarily restricted net assets are reclassified to unrestricted net assets and reported in the Statements of Activities and Changes in Net Assets on Page F4-F5. Interest CapitalizedThe Organization follows the policy of capitalizing interest as a component of the cost of property, plant and equipment constructed for its own use. ReclassificationsCertain accounts in the prior-year financial statements have been reclassified for comparative purposes to conform with the presentation in the current-year financial statements.

Cash and Cash Equivalents The Organization considers all short-term investments with an original maturity of three months or less to be cash equivalents.

NOTE 2 - PROPERTY, EQUIPMENT, AND DEPRECIATION

Property and equipment are stated at cost. Expenditures from maintenance and repairs are expensed as incurred. Significant renewals and betterments (generally in excess of $1,000) are capitalized. Donation of property and equipment are recorded as support at the estimated fair value (generally in excess of $500). Such donations are reported as unrestricted support unless the donor has restricted the donated asset to a specific purpose. Depreciation is calculated over their estimated useful lives using the straight-line method over the following estimated useful lives:

NOTE 6 - NET ASSETS RELEASED FROM RESTRICTION

Net assets were released from donor restrictions by incurring expenses satisfying the restricted purposes or by the occurrence of other events specified by donors for programs for the year ended December 31, 2009 as follows: $213,361.

NOTE 7 - EMPLOYEE BENEFIT PLAN The Organization maintains a retirement plan and a tax deferred annuity plan under Section 403(b) of the Internal Revenue Code. For the retirement plan, the Organization contributes 9.5% of the compensation of each participant. Total employer contributions for the year ended December 31, 2009 was $20,781.

NOTE 8 – DONATED SERVICES

The Organization receives a significant amount of donated services from unpaid volunteers who assist in fund-raising and special projects. No amounts have been recognized in the statements of activities because the criteria for recognition under SFAS No. 116 have not been satisfied.

NOTE 9 – MATCHING DEBT FUND CAMPAIGN REPORT A matching gift offer of $200,000 for gifts of $1,000 or more from individuals to be used for the Long Term Debt at Sterling Bank.

Explanations and History what is owed the Endowment Fund An Attempt to correct the Endowment Fund Balances

An attempt was made in the late fall of 2009 to determine who had given to the Endowment Fund and what the balance should be. Prior to this time the documentation for Endowment Fund was kept in a hand-written ledger under a number of 'Certificates' and in two hand-written checkbook registers. The check registers indicated that money was often borrowed back and forth between the Edowment Fund and the Annual/Capital Funds. At times Certificates of Investments were issued by the Endowment Fund to the Annual/Capital Funds. Eleven Certificates of these 'certificates' were kept in the ledger and interest was paid on them every quarter at whatever interest rate the bank was charging Luther Park for a loan at the time.Ten percent of the interest that is collected each year by the Endowment Fund is to be added to the principle and 90% is to be distributed. It appears that the principle balance has remained the same for many years.

The Endowment Fund was started with $3,900 on January 6, 1983. There is no record of who gave that money. At times, only a last name is recorded in the check register for donors who gave money. There is a record in the Annual Reports (copies of which we have go back to 1994) but even then sometimes there is only a last name. If you have given to the Endowment Fund or know of someone who has, please let us know so we can list thier names. The Endowment Fund is intended to be a Fund that is kept in perpetuity and the donors listed as their gifts keep on giving. Currently only 90% of the interest is distributed to the Campership Fund of Luther Park, not the principle.

The accountant, who did the last few audits, was asked where the Restricted Funds were in his Audits. He said,"The money was never treated like Restricted Funds so he listed it as 'unrestricted-designated'." It would be impossible to recreate the Endowment Fund accurately from its beginnings. Therefore the closest we can come to what the balance should be is listed below.

The 2010 Proposed Budget includes a savings of $69,486 (year-round salaries, taxes, and workmen's comp. ins.) over last year's budget due to the Luther Point Management agreement. The Loan Interest Expenses and Principle Payments have also dropped due to the Matching Debt Fund Campaign that was conducted in 2009. These, along with careful managing of current resources, represent a significant savings. Therefore the 2010 Proposed Budget is $140,472 less than the 2009 Budget and $18,932 less than the 2009 Actual expenses! We still have a long way to go and are still deeply in debt. The Annual Fund ended in the negative in 2009 and 2008 so we still have a LOT to make up.
