filed on January 13, 2003, supplemented on May
26, 2003, July 10 1 2003 and August 12 1 2003 1
pursuant to Article 224 Clauses 1 and 4 1 and
Article 164 of the Bill of July 3, 2002 - The
Aviation Law (Dziennik Ustaw No. 130 Item 1112)
and Article 104 § 1 of the Bill of June 14 1
1960 the Administrative Procedure Code
(Dziennik Ustaw of 2000 No. 98 Item 1071, as
amended) -
by way of an Adjustment Decision to the License

VII. Type, Scope and Object of the Business
Covered by the License
Regular and occasional air transport of
passengers, baggage, goods and mail, on
domestic and international routes, effected by
means of air ships (without limitation of
maximum lift-off weight and number of passenger
seats), own or obtained from other entities
(with or without crew) through lease, usufruct
or use of part of capacity of an alien air
ship.
VIII. Area of the Licensee's Business
Air transport on domestic and international
routes, throughout the world.
This license shall not authorize PLL "Lot" S.A.
to access to specific routes.
The routes, on which the air transport may be
effected, are determined in a separate
decision.
IX. Terms and Conditions of Pursuing the
Business Covered by the License
1 . Holding a valid certificate confirming
lasting capability of PLL "LOT" S.A. to pursue
safely the business covered by the license.
2. Pursuing the business covered by the license
in accordance with the prevailing regulations,
in particular the provisions of the aviation
law, the provisions related to the safety of
persons and property, in a manner not
constituting a hazard for human life and
health, and not causing occurrence of material
damages, as well as in observance of the rules
of fair competition and protection of consumer
rights.
3. Assurance that all functions within the
pursued business are performed by persona
having appropriate skills required for such
functions, in observance of the rules of
safety.
4 . Maintaining the undertaking's technical
condition in conformity with the prevailing
regulations

6. Obtaining authorization from the President
of the Civil Aviation Authority, hereinafter
referred to as the President of the Authority,
to effect air transport services on specific
routes or in specific areas, and with
reference to international transport,
conforming also to other requirements under the
provisions of international agreements related
to air transport.
7 . Notification to the President of the
Authority of tariffs to be used in air
transport, determining the fees for carriage
and related services as well as terms and
conditions of applying such fees, and if
required by the provisions of international
agreements on air transport, binding the
Republic of Poland - also for approval.
8. Public announcement of tariffs applied by
PLL "LOT" S.A. in regular transport.
9. Notifying the President of the Authority of
the rules determining typical terms and
conditions of air transport of passengers,
baggage and goods and any changes therein, as
well as information related to the
organizational system of distribution of the
aviation services covered by the license.
10. Notifying the President of the Authority of
trade understandings related to joint operation
of airlines, flight programs or air ships, made
between PLL "LOT" S.A. and other air carriers,
and if required by the provisions of
international agreements on air transport,
binding the Republic of Poland
approval.

11. Submission to the President of the
Authority of annual financial statements with
certified auditor's opinion not later than 6
months of the end of the fiscal period.
12. Presentation, two months in advance, of
annual economic and financial plans determining
in particular: anticipated expenditures on
fuel, payroll, depreciation, airport and
navigation fees, insurance; planned revenue
including carriage tariffs and rates, forecasts
of haulage, and information related to
financial condition, including financial
liquidity for the following year.
13. Informing the President of the Authority,
at least 30 days in advance, of plans with
respect to carrying out regular and occasional
flights on new routes or to previously non
serviced regions, of changes in the types or
number of operated air ships, or of any other
significant changes in the licensed business.
14. Delivering monthly data of the volume and
type of PLL "LOT" S .A. flights, divided into
specific routes and states, as well as
schedules of carriage data after each operating
season, as well as at any request of the
President of the Authority.
15. Notifying the President of the Authority,
at least 14 days in advance, of intended
mergers or acquisitions of stock permitting
takeover of control of PLL "LOT" S .A. or the
licensed business by another party, or of
changes in the ownership of individual shares,
which represent 10% or more in the initial
capital of PLL "LOTH S.A.
16. Obtaining, under pain of nullity, consent
of the President of the Authority to entering
into an agreement on a change of the owner of a
block of 10% or more shares, or a block of
shares of PLL "LOTH S.A. permitting takeover of
control of PLL "LOTH S.A. or the licensed
business by another party.
17. Notifying the President of the Authority of
commencement of the licensed business, as well
as of an intention to suspend or terminate such
business.
18. Proving, at any point within the term of
this License, on demand by the President of the
Authority, that the Licensee conforms to the
requirements determined in prevailing
regulations, and in particular in the Bill
The Aviation Law.
19. Making its undertaking available to parties
authorized to effect supervision and control of
its business.
20. Submission to the President of the
Authority for approval the proposed changes in
the Licensee's undertaking protection program.
21. Submission to the President of the
Authority of a current document confirming
coverage of the undertaking of PLL "LOT" S. A.
with third party liability insurance for damage
caused by air transport and air ships traffic.
22. Assuring that throughout the duration of
the licensed business the undertaking holds
(through ownership or under separate
agreements) at least two air ships entered into
the Polish register of civil air ships, and
after accession of the Republic to the European
Union - in the register of an EU Member State.
23. Notifying the President of the Authority,
within 14 days of the date of occurrence, of
any changes related to the data contained in
the license application, as well as in
information and documents attached to such
application, including also of filing a
petition to pronounce the bankruptcy of PLL
"LOT" s. A. I or of opening the Company's
liquidation.
24. Presentation to the President of the
Authority of agreements on temporary surrender
of the Licensee's air ship for use by another
party, or of acceptance thereof from another
party. Such agreement shall be valid upon
acceptance by the President of the Authority,
in the part related to supervision over the
operation of the air ship, in the form of an
administrative decision.
X. License Term
This License is granted for a term of 50 years
since its date.
The rights and privileges under this License
shall be withdrawn, if:
1. a valid decision is issued prohibiting PLL
"LOT" S.A. to pursue business activity,
2. PLL "LOT" S.A. fails to commence the
licensed business within the prescribed time,
or ceases to pursue the licensed business,
3. liquidation of PLL "LOT" S.A. is commenced
or its bankruptcy is pronounced,
4. PLL "LOT" S .A. fails to conform to the
terms and conditions referred to in the Bill of
July 3, 2002 The Aviation Law, or to the
terms and conditions referred to in this
License,
5. PLL "LOT" S.A. fails to amend, within
prescribed time, a factual or legal condition
contrary to the terms and conditions referred
to in this License,
6. PLL "LOT" S.A. materially violates the terms
and conditions referred to in this License.
Furthermore, this License may be withdrawn or
its scope may be changes in view of a hazard
for the state's defenses or safety, or in view
of other public interests.
Motivation
In an application filed on January 13, 2003,
pursuant to the provision of Article 224 of the
Bill of July 3, 2002 The Aviation Law
(Dziennik Ustaw No. 130 Item 1112), Polskie
Linie Lotnicze "LOT" S.A. requested issuance of
an Adjustment Decision to the License to
Provide Air Transport Services No. TL-1-
904/144/93/140 dated April 8, 1994, issued by
the Minister of Transport and Maritime Economy,
to pursue business activity of regular and
occasional air transport.
Pursuant to Article 224 Clause 1 of the said
bill, licenses to pursue business activity
issued on the basis of previous regulations are
subject to adjustment to the provisions of the
said Bill - The Aviation Law.
In view of that, the body issuing the
Adjustment Decision has made an assessment,
whether the applicant has conformed to the
terms and conditions of obtaining a license to
provide air transport services determined in
the Bill, and adjusted the license decision to
the provisions of the Bill of July 3, 2002
The Aviation Law, in force since November 17,
2003.
In issuing this Decision, the issuing body has
taken into account the new rules under the
provisions of the Aviation Law, including also
the provisions of Article 167 Clause 4 stating
that a license to provide air transport
services may not authorize the licensee to
access to specific routes. Such authorization
may be granted the carrier under a separate
administrative decision, and in observance of
the procedure provided for by the said Aviation
Law.
For these reasons, and in order to retain
conformity with prevailing regulations, this
Adjustment Decision excludes the provisions of
point III of the No. TL-1-904/144/93/140 dated
April 8, 1994, granting PLL "LOT" S.A. the
title to operate connections retaining the
right of priority (if a route may be operated
by several air carriers) and the right of
exclusivity (if a route may be operated by one
air carrier), otherwise legal regulations.
Note
The party may, pursuant to the provision of
Article 127 § 3 and Article 129 § 2 of the Bill
of June 14, 1960 - the Administrative Procedure
Code (Dziennik Ustaw of 2000 No. 98 Item 1071,
as amended) request the President of the Civil
Aviation Authority, within 14 days of receiving
this Decision, to reconsider the case.
