The Contracting Authority shall be represented in the awarding procedure, in accordance with Sec 151 of the Act, by OTIDEA a.s., ID: 27142442, with its seat at Václavské náměstí 11, 110 00 Praha 1.

1 DEFINITION OF THE SUBJECT-MATTER OF THE PUBLIC CONTRACT

1.1 Classification of the subject matter of the public contract (CPV)38636100-3 Lasers

1.2 Description of the subject matter of the public contractThe subject of the public tender is the supply of technical equipment allowing distribution of laser beams in the HiLASE building in Dolní Břežany, Czech Republic. This device (hereinafter referred to as 'LBDS') should allow connecting the laser beam, from where the laser beam is generated, and experimental stations where the laser beam will be used.LBDs comprises of:

1. LBDS support system (mechanical structure - aluminum extruded profiles). 2. Piping system, with different DN according to the size of the laser beam,

including a system attach it to the support structure. 3. Vacuum system which comprises of spatial filters and vacuum sealed

components in order preserve a clean environment.4. Nodes of the distribution system, which will include opto-mechanical

components for directing a laser beam (both vacuum and non-vacuum). The LBDS is also the subject of transportation, installation, training, service and warranty. Providing technical support in the form of phone or e-mail consultations within 24 hours of reporting needs technical problem is part of fulfillment. Technical support will be provided throughout the warranty period. Terms and Conditions will be further defined in Annexes 3 and 5 - the contract suggestion and subject matter of delivery.

1.3 Time of performance of public contractPublic contract will be carried out in three phases:

1st phase - delivery and installation of the distribution system of laser beams L1A, L1B and L2 in the experimental workplace E1, within 3 months from the date of signature of the contract by both parties, according to the Annex 5A and 5B. 2nd phase - delivery and installation of the distribution system of laser beams L1A, L1B and L2 into the experimental workplace E2 on request of the contracting authority within 30 days of receipt of a written notice according Annex 5A and 5B.3rd phase - delivery and installation of the distribution system of laser beams L1A and L1B in the area of experimental work E3 and E4 experimental work on request of the contracting authority within 60 days of receipt of a written notice according Annex 5A and 5B.

1.5. Estimated value of the public contract

Estimated value: CZK 2.750.000,- without VAT1. phase CZK 1.450.000,- without VAT2. phase CZK 500.000,- without VAT3. phase CZK 800.000,- without VAT

This estimated value is set as the maximum price of the whole public contract and of particular phases by the Contracting Authority and if a tenderer offers a higher bid price than this estimated value, the tenderer’s bid will be excluded from the tender procedure by reason of failure to satisfy the tender conditions.

The subject matter of performance will be funded by the Operational Programme Research and Development for Innovations (hereinafter referred to as the “OP RDI”).

2 TERMS AND CONDITIONS FOR THE PREPARATION OF THE BID

2.1 Bids shall be submitted in duly sealed envelopes bearing the name of bidder’s company on the overleaf and secured with a stamp or signature of the statutory body of bidder or person authorized to represent the bidder. The envelope must be clearly marked "Do not open" and bear the name of the public contract "Laser beam distribution system." The envelope must specify the address to which notifications pursuant to Article 71(6) of the Act may be sent.

2.2 Bids shall be submitted no later than on the July 30,2014 by 11:00 a.m. at the address of OTIDEA, Václavské náměstí 11, 110 00 Prague 1 (7st floor). Bids may be delivered by any suitable means (mail, courier, personally, etc.) at the above address on business days between 8:30 a.m. and 3:30 p.m. and on the last day of the submission period no later than by 11:00 a.m. Other methods of delivery shall not be considered to constitute a properly delivered bid.

2.3 The bid shall be prepared in the Czech or English language unless provided below otherwise.

2.4 All sheets in the bid shall be numbered using a continuous ascending series and rigidly bound to each other or sewn together, so that they are adequately secured against removal from the binding. Bids shall be clear and legible, with no deletions or over-writing.

2.5 Bidders shall be bound by the entire contents of the bid till November 30, 2014.

2.6 Bidders shall submit the bid in one original; the Contracting Authority requires that in addition to the original submission of the bid, bidders also submit one simple copy of the bid.

2.7 Bidders shall submit the bid also in electronic form on a CD-ROM, in PDF or MS Office or compatible format. The binding wording of the draft contract with the filled-in information on the bidder and the signature of the authorized representative or statutory representative of the bidder, in the form attached here to and to the original hardcopy of the bid, shall also be saved on the CD in a standard open & modifiable format (such as MS Word .DOC).

2.8 If the bid is submitted by more than one bidder jointly (joint bid), the bid shall also specify the person who is authorized to represent the bidders in contact with the Contracting Authority during the awarding procedure.

2.9 The bid must be submitted in the following structure:a) Cover sheet for the bid, including the name of the public contract, basic

identification data of the Contracting Authority and the bidder (including names of the persons authorized to represent the bidder), bid price, date and signatures of the person authorized to act on behalf of the bidder. Bidders shall use the Cover sheet form provided in Annex 1 hereto.

b) Table of Contents, which must contain all of the chapters in the bid according to the required structure, which assigned sheet / page numbers.

c) General Information on the bidderName of the bidder, legal form, seat, ID No., VAT No., banking details, names of the statutory representatives (directors) incl. their contact details (telephone, fax, e-mail), name of the authorized representative authorized to liaison and act on its behalf and a brief profile of the bidder.

d) Documents proving fulfilment of the qualifications criteria in the structure as set out in Article 3 of the tender documentation.

e) A list of the statutory bodies or the members of the statutory bodies who have been in an employment, office or similar relationship with the Con-tracting Authority during the last 3 years from the end of the time limit for the submission of bids.

f) Affidavit, filled in and duly signed, pursuant to Sec 68 of the Act as provided in Annex 6 hereto.

g) The bid price, structured as required in Article 5 hereof.h) Signed binding draft of the contract without any amendments in the form

as provided in Annex 3 hereto.2.10 Bidders shall be entitled to request additional information to this tender

documentation in writing addressed to the Contracting Authority’s contact person. The Contracting Authority will provide answers to all duly submitted questions in writing in accordance with Sec 49(2) and (3) of the Act.

3 QUALIFICATION REQUIREMENTS FOR BIDDERS / CONTRACTORS

3.1 Bidders meeting criteria defined below shall be deemed as qualified:

a) who meet basic qualification criteria according to Sec 53 of the Actb) who meet professional qualification criteria according to Sec 54 of the Actc) who submit an affidavit affirming their economic & financial capacity to duly

perform the public contract (form affidavit is attached hereto in Annex 7);

d) who meet technical qualification criteria according to Sec 56 of the Act in the extent defined herein.

3.2 Deadline for the fulfilment of qualification criteriaBidders must demonstrate compliance with the qualification requirements within the period for the submission of bids referred to in paragraph 2.2 of this Tender documentation.

3.3 Basic qualification criteria

3.3.1 Basic qualification criteria are met by a bidder who:a) has not been sentenced for a criminal offence committed on behalf of an orga-

nized crime group, a criminal offence involving participation in an organized crime group, for criminal offences of money laundering, complicity, acceptance of bribes, bribery, indirect bribery, fraud or loan fraud, including cases involving preparation or an attempt or participation in any such criminal offence or if a sentence for the perpetration of any such offence has been expunged; if this involves a legal entity, this requirement must be met by both, by the legal entity itself and by the statu-tory body or each member of the statutory body and, if the supplier's statutory body or any member of its statutory body is a legal entity, this requirement must be met by both, the legal entity and the statutory body or each member of the statutory body of the given legal entity; if a bid or the Request for participation is submitted by a foreign legal entity through its organizational unit, the requirement according to this letter must not only be met by the aforementioned individuals, but also by the executive of the organizational unit in question; the supplier must meet this basic qualification criteria both in relation to the territory of the Czech Republic as well as to the country of its registered office, place of business or a place of residence,

b) has not been finally sentenced for a criminal offence associated with the subject of the supplier's business activities according to the special legal regulations or if a sentence for the perpetration of any such offence has been expunged; if this in-volves a legal entity, this condition must be met by both, the legal entity and by the statutory body or each member of the statutory body and, if the supplier's statutory body or any member of its statutory body is a legal entity, this require-ment must be met by both, the legal entity and by the statutory body or each member of the statutory body of the given legal entity; if a bid or a request for participation is submitted by a foreign legal entity through its organizational units, the requirements according to this letter must not only be met by the aforemen-tioned individuals, but also by the executive of the organizational unit in question; the supplier must meet this basic qualification criteria both in relation to the terri-tory of the Czech Republic as well as to the country of its registered office, place of business or a place of residence,

c) has not been involved in any form of unfair trading in the form of bribery accord-ing to the special legal regulation in the last 3 years (Sec 49 of the Commercial Code),

d) whose assets are not subject to or had not been subject in the last three years to any insolvency proceedings in which a bankruptcy ruling has been issued or a mo-tion on the declaration of insolvency has been rejected due to the assets being in-sufficient to cover the costs of the insolvency proceedings, or which has been placed in receivership in accordance with the special legal regulations,

e) is not in liquidation,

f) is not included in the records of tax arrears, both in the Czech Republic and in the country of the its registered office and in the country of the supplier's registered office, place of business or a place of residence,

g) is not included in the records of insurance arrears or penalties for public health in-surance, both in the Czech Republic and in the country of the supplier's registered office, place of business or a place of residence,

h) is not included in the records of insurance arrears or penalties for social security contributions and contributions to the state employment policy, both in the Czech Republic and in the country of the supplier's registered office, place of business or a place of residence,

i) is not required,

j) is not listed in the register of entities which are prohibited from participating / per-forming in public tenders,

k) has not been penalized in the preceding 3 years for allowing illegal employment in accordance with Sec 5(e)(3) of Act No. 435/2004 Coll, on employment,

3.3.2 Bidders demonstrate meeting of the basic qualification criteria by submitting an Affidavit; bidders may use wording provided in Annex 2 hereto.

3.4 Professional qualification criteriaFulfilment of professional qualification criteria will be demonstrated by those who submit:

a) a certificate of registration / incorporation, if it is registered, or extract from any other similar evidence, if registered therein;

b) proof of authorization to conduct trade / business in accordance with special laws to the extent corresponding to the subject matter of public contract, especially the proof of a business license or an extract from the Trade License Register;

3.5 Technical qualification criteria

a) A list of important supplies provided by the bidder in the last 3 years giving their extent and time period over which they were provided; this list shall include the following attachments

a certificate issued by a public contracting authority, if the supply was provided to a public contracting authority, or

a certificate issued by another entity if the supply was provided to an entity other than a public contracting authority, or

affidavit of the bidder, if the services were provided to a person other than a public contracting authority and, if the certificate under the pre-ceding paragraph cannot be obtained from that entity for reasons on their part;

An important supply shall be considered one supply of vacuum systems that amounted to at least CZK 2,000,000 without VAT.

3.7 The bidder shall submit simple copies of documents proving qualification unless explicitly otherwise stipulated herein. Evidence demonstrating compliance with the qualification requirements that are in other than the Czech, Slovak or English language, must be submitted in an official translation into Czech or English. The excerpt from the Commercial Registry shall not be older than 90 calendar days as

of the last day of the deadline for fulfilment of qualification requirements.

3.8 If the qualification is demonstrated through a subcontractor, the bidder shall be obliged to provide the Contracting Authority with the following documents:

A document by which the subcontractor shall demonstrate meeting of the basic qualification criteria pursuant to Section 53(1)(j), i.e. statutory declaration stating that the subcontractor is not included in the register of persons not allowed to be involved in public contracts (black list),

A document by which the subcontractor shall demonstrate meeting of the professional qualification criteria pursuant to Section 54(a), i.e. excerpt from the Commercial Registry, or other register where and if registered, not older than 90 days from the bid submission deadline date,

A contract concluded with the subcontractor demonstrating the subcontractor's obligation to provide specific performance intended for performance of the public contract by the supplier or provision of items or rights with which the bidder shall be authorized to dispose of in performing the public contract, to a minimum extent to which the subcontractor has demonstrated qualification meeting.

However, the bidder shall not be authorized to demonstrate qualifications pursuant to Section 53 and Section 54(a) of the Act through a subcontractor.

3.9 Should the subject matter of the public contract be performed jointly by a number of bidders and they submit a joint bid for this purpose, each of the bidders shall be obliged to demonstrate meeting the basic qualification criteria pursuant to Section 53 of the Act and professional qualification criteria pursuant to Section 54(a) of the Act to the full extent. Joint bidders shall also be obliged to submit a contract including an obligation that all of these bidders shall be bound jointly and severally towards the Contracting Authority and third parties arising from any legal relationship in connection with this public contract, which shall apply throughout the entire performance of the public contract.

3.10 Demonstrating qualification of foreign persons

Unless otherwise provided by a special legal regulation, a foreign bidder shall demonstrate qualifications in a manner specified by the laws applicable in the country of its registered office, place of business or residence, however to the extent required by the Act and the Contracting Authority. If a particular document is not issued under the laws applicable in the country of the registered office, place of business or residence of the foreign bidder, this bidder shall be obliged to demonstrate meeting of such part of the qualification criteria in the form of an solemn affidavit. Should an obligation the meeting of which is to be demonstrated within the qualification procedure hereunder not be defined in the country of the registered office, place of business or residence of the foreign bidder, the bidder shall provide a solemn affidavit in respect of such fact.

Documents proving the fulfilment of the qualifications shall be submitted bya foreign contactor in the original language with their certified translation into the Czech language attached, unless otherwise stated by the Contracting Authority in these tender conditions or by an international treaty which is binding on the Czech Republic; this also applies if the fulfilment of the qualifications is proved by documents in other than the Czech or Slovak language by a contractor with the registered office, place of business or place of permanent residence in the territory of the Czech Republic. In the case of this public contract the Contracting Authority allows a tenderer to submit documents proving the fulfilment of the qualifications also in the English, German or French language; so the tenderer does not have to

submit the certified translation into the Czech language with the documents proving the qualifications which are submitted in the English, German or French language by the tenderer.

3.11 Failure to fulfil qualification criteriaA bidder who fails to fulfil the qualification criteria defined herein to the required extent or who fails to comply with obligations laid down in Section 58 of the Act shall be excluded by the Contracting Authority from the awarding / tender procedure.

4 TECHNICAL CONDITIONS4.1 The scope / subject matter of the public contract and terms of performance

hereunder are defined in more detail in Annex 3 (Binding wording of the Contract) and Annex 5

5 STRUCTURE OF THE BID PRICE5.1 Bidders shall indicate the bid price in the structure as provided for in the table

attached hereto as Annex No. 4. The Total Bid Price is decisive for the purposes of evaluation. A tenderer shall include the completed bid price table in the tenderer’ bid.

5.2 A bid price shall be given as the maximum permissible price which includes all costs connected with the execution of supply.

5.3 The amount of a bid price must be guaranteed for the whole duration of execution; the Contracting Authority only allows exceeding the bid price amount in connection with an alteration of the tax regulations relating to VAT if they occur during the performance of the contract.

6 TERMS OF PAYMENT

6.1 The price for performance of the public contract shall be paid by the Contracting Authority according to the rules stated in Annex 3 Binding Draft Contract of Pur-chase in accordance with the draft contract which is an integral part of this Tender Documentation as Annex 3.

7 EVALUATION CRITERIA

7.1 The bids will be evaluated on the basis of the lowest bid price in accordance with Section 78 par. 1 letter b) of the Act. The total bid price without VAT will be evaluated.

7.2 The procedure for evaluation – The Evaluation Committee will arrange the bids in order from the lowest one to the highest one according to their bid price amounts to get the final order of the bids

7.3 In case of equality of bid prices the bids will be ordered by the Evaluation Committee to a final order according to a date and an hour of a submission of the

bid, the Evaluation Committee will place to the better position the bid which was submitted sooner.

8 OTHER REQUIREMENTS8.1. Bidders are required to specify in their bids those parts of the tender / public

contract that they intend to perform using one or more subcontractor, and must indicate the identity of these subcontractors.

8.2. The Contracting Authority reserves the right to verify the information provided from third parties, and bidders shall be obliged to provide all necessary assistance in this regard.

8.3. The Contracting Authority reserves the rights to modify the conditions or requirements set forth herein. Any such changes will be effected in accordance with valid law.

9 COMMERCIAL TERMS9.1 A tenderer is obligated to accept the binding draft contract of purchase given in

Annex 3 . The unaltered draft contract of purchase with only the fields highlighted in yellow completed and undersigned by the tenderer or a person authorized to act on behalf of the tenderer or to represent the tenderer shall be included in the bid by the tenderer. If the contract is undersigned by a person authorized or commissioned, the original copy or a certified copy of the authorization or commission must be included in the draft contract of the tenderer.

10 OPENING OF THE SUBMITTED BIDS

10.1 The opening of the envelopes with submitted bids will be held on July 30, 2014 at 11:00 at the headquarters of OTIDEA, a.s. - Václavské náměstí 11, Prague 1 (7 th floor).

10.2 Opening of the envelopes may be attended by all bidders who properly submitted bids within the given deadlines (maximum two persons per bidder). Prior to the opening of the envelopes, these representatives shall demonstrate their credentials by presenting respective powers of attorney issued by a person authorized to act on behalf of the bidder.
