BUYERS TERMS AND CONDITIONSPlease read and familiarize yourself with the TERMS AND CONDITIONS of this sale.You will be bound by these Terms and Conditions whether you read them or not.

1. LAW. The horses are offered for sale according to the laws of the State of Texas.

2. ApHC. Although this sale is held in conjunction with the Appaloosa Horse Club’s 2016World Championship Appaloosa Show, purchaser hereby acknowledges that theAppaloosa Horse Club, Inc. is not responsible for the warranties of the consignor(s).ApHC makes no representation or warranty with respect to any animal and the buyermust look solely to the designated consignor(s) for recovery of any damage by reason ofthe failure of any representation or limited warranty.

3. BIDS. The highest bidder will be the buyer, and if dispute arises between two or morebidders, the horse(s) in dispute shall immediately be put up again for advance bids. Ifthere is no advance, the horse(s) shall go to the person from whom the auctioneer recog-nized the last bid. The auctioneer will decline any bids made by parties who have default-ed in former purchases, or by persons who, in his/her best judgment, are not responsiblebidders. Immediately after horse(s) is sold, the buyer shall sign confirmation of purchaseand security agreement forthwith. The right to bid is reserved by all sellers.

4. NON-QUALIFYING BIDDER. Sale Management is authorized by the consignor(s) ofeach horse(s) to decline any bid made by a non-qualifying bidder. A non-qualifying bid-der is a person who, in the judgment of Sale Management, does not qualify to purchasethe horse(s) and to complete the transaction for any of the following reasons: a) lack offinancial responsibility including default in payment on former purchases; b) falsifyinginformation to the Sale Management and/or consignor(s) in any way relating to a pur-chase, including any former purchase, c) intoxication, unruliness or other conduct whichinterferes with the progress of the sale; d) lack of contractual capacity; e) repudiation orrefusal to comply with purchase requirements; or f) other unacceptable conduct whichcauses Sale Management to conclude that the bidder is not reliable and responsible.

5. BUYER’S PAYMENT. Terms of sale are cash (U.S. funds only) to be paid on the day ofthe sale. Method of payment shall be cash, overnight check, or pre-approved credit card.There will be a credit card processing fee of 3.8% on all credit card payments. No bankdrafts will be accepted. Foreign buyers must pay with money order, U.S. cash currency orcredit card. (SEE CHECK LIABILITY) clause (#20). All registration papers will bewithheld a minimum of twenty (20) banking days from the date of the sale. Any paymentsmade by the buyer to the consignor(s) or any other party will not be regarded as valid orentitle the buyer to delivery or title of the horse(s). All horses must be paid for in thismanner regardless of whether they sell in the auction ring or on the grounds prior to thesale or following the sale.

6. ACKNOWLEDGEMENT OF PURCHASE. Upon the auctioneer’s declaration thehorse is “sold” a purchaser shall forthwith sign the “Acknowledgement of Purchase” pre-sented by Sale Management. If a consignor(s) repurchases a horse(s) by right of reserve,

i.e., the reserve is not achieved; Consignor(s) (or Consignor’s Designee) shall execute anacknowledgement affirmatively stating “No Sale.” Sale Management reserves the rightto void a sale and to re-present the horse(s) for sale at auction if: a) the high bidder refusesto execute the “Acknowledgement of Purchase” or otherwise repudiates or fails to per-form according to the TERMS AND CONDITIONS, b) auctioneer or Sale Managementidentifies a material mistake, or c) the bid is declined by Sale Management due to a non-qualifying bidder.

7. RESALE. In the event a Buyer defaults on accepting or paying for a horse(s) sold to theBuyer, the Sale Management reserves the right to accept the same purchase amount fromanother person, accept the next highest bid, put the horse(s) up for sale a second time orretain it for the Consignor(s) as unsold; however nothing shall prevent Sale Managementand/or Consignor(s) from pursuing whatever legal remedy available to compel the Buyerto perform as set out herein. Mistakes made by the auctioneer will also necessitate theresale of a horse(s).

8. GATE RELEASE. Upon payment by the buyer to the Sale Office clerk, and only the SaleOffice clerk, the office clerk will issue an order to Buyer, which will release the horse(s)from the auction grounds. Buyers are cautioned not to lose this release as it permits hold-er to pass through the exit gate of the auction grounds with the horse(s).

9. LIMITED WARRANTIES. With respect to any and all warranties, ApHC, Auctioneersand clerks do not represent the Buyer, or Consignor(s), but merely provide a medium forbringing together the buyer and consignor(s) for the purposes of sale transactions. Allresponsibilities and guarantees lie solely between Buyer and Consignor(s). Except asotherwise announced by the auctioneer at the time of sale, the Consignor(s) representsand warrants unto Buyer including but not limited to the following: cribbers, bleeders,cryptorchids, positive HYPP, horse that is nerved, horse that has been foundered (lamini-tis), horse with deviations from normal vision, wind and reproductive soundness. Further,the Consignor(s) warrants the horse(s) has not been medicated to alter the horse’s gait,manner, disposition or behavior. Except for the foregoing limited warranties, each horseis sold by Consignor without warranty and as is, with all faults. Every horse will be soldunder this rule. There is no guarantee with respect to the physical condition, health, dis-position, use or intended use of any horse in this sale other than the limited warranties byConsignor as set out above.

10. TITLE. Title and risk of loss passes from Consignor to Buyer when the auctioneerdeclares a horse sold at the fall of the gavel. Buyer’s signature on confirmation of pur-chase is also acknowledged that Buyer assumes responsibility for the maintenance andcare of the animal. Buyer further agrees to indemnify and hold the consignor, the ApHCand Sale Management harmless from all loss, cost and expenses arising from illness,injury or death of such animal, or loss or damage to property, and injury or death of per-sons, caused by the Buyer, the buyer’s agents or employees, or by the animal subsequentto the time of purchase. This indemnification of the ApHC and Sale Management alsoapplies to any exhibition of the horse at any ApHC approved or sponsored events afterthe horse has been sold at the sale. Any contract or agreement between Buyer andConsignor which does not involve the ApHC and Sale Management to any extent and

concerning which does not involve the ApHC and Sale Management have no liabilitywhatsoever to buyer and/or consignor and/or any other party and concerning which thebuyer and consignor expressly, fully and completely release the ApHC and SaleManagement from any responsibility, duty and/or liability of any kind whatsoever.

11. CARE OF HORSE. Effective from the time of purchase, the Buyer assumes all responsi-bility for the maintenance and proper care of the horse(s). No inhumane treatment,abuse or neglect of any horse(s) will be permitted while horse(s) is on the grounds.

12. RISK OF LOSS. Risk of loss passes from the Consignor to the Buyer upon Buyer’s signa-ture of confirmation of purchase immediately after the horse is declared sold by the auc-tioneer. This shall especially be the condition in the cases of illness, injury or death of anyhorse after it has been sold. The buyer agrees to indemnify and hold the consignor, theApHC and Sale Management harmless from all loss, cost and expense arising from the ill-ness, injury or death of a horse or loss or damage to property and injury or death of per-son(s) caused by the buyer, the buyer’s agents or employees or by the horse after thehorse has been purchased.

13. REMOVAL OF HORSE. All horses must be removed from the auction (and show)grounds by 11:59 a.m. October 30th. Failure to remove the horse(s) for any reason willobligate the Buyer to pay all costs associated with board and transportation of thehorse(s).

14. CATALOG ERROR. Every effort has been made to assure correctness of the sale cata-log. However, Sale Management, Auctioneers and Announcers are not responsible forerrors or omissions, and assume no liability on its part or on the part of Consignor as toany statements made by the Consignor which are printed in the catalog on behalf ofConsignor. When errors or omissions are brought to the attention of Sale Management,announcements will be made to correct such errors or omissions. Buyers are cautioned topay close attention to these announcements made by the Auctioneer or Announcer attime of sale, as these announcements will take precedence over printed matter in the salecatalog.

15. BROODMARES. The seller guarantees all mares were bred to stallions as indicated inthe catalog. We believe them to be in foal but are selling them as they are and withoutreturn privileges, unless otherwise noted. Broodmares represented by the Consignor tobe in foal are subject to palpation exam at Buyer’s request and arrangement on the mare’sexit from the sale ring. Any palpation exams must be performed prior to the removal ofthe mare from the sale grounds. Removal of the mare from the sale grounds constitutesacceptance of the mare and the buyer accepts the mare as is. Any broodmare so examinedwith a pregnancy status found not to be as represented at time of sale may be returned tothe consignor as unsold and consignor shall pay the veterinarian’s fee for the examina-tion. The buyer will pay for the examination if the mare is found to be as she was repre-sented through the sale. Mares represented as “exposed” or pregnant, but not advancedfar enough in gestation to be pronounced safe in foal, are not guaranteed pregnant.Unless otherwise announced at time of sale, any return privileges or any other agree-ments, written or otherwise, that exist between the owner of the covering stallion and the

consignor will terminate at the time of sale and not transfer to the buyer. This shall espe-cially be the condition with respect to, but not limited to, any live foal guarantees, abor-tion of the foal in utero either by natural causes or otherwise, or refund of any stallionservice fees, mare care fees, chute fees or veterinarian fees.

16. REGISTRATION CERTIFICATES AND TRANSFERS. All registration certificatesand transfer reports will be held by the ApHC for a minimum of twenty (20) banking daysfrom the date of sale or until buyer’s check clears the drawee bank and becomes uncondi-tional credit, whichever is later. Buyer will receive the registration certificate from theApHC after all paperwork has been processed. Consignor will be responsible for thetransfer fee. Buyer will be responsible for any membership fee required by the ApHC.

17. INSPECTION OF HORSE. All prospective buyers are cautioned and hereby urged toexamine horses thoroughly before purchasing. Buyers should refer to the LIMITEDWARRANTIES condition printed above and read the LIMITED WARRANTIES con-dition in its entirety. It will be strictly enforced.

18. HEALTH REQUIREMENTS. All horses selling in this sale have met the health require-ments for the State of Texas, have been required to have been Coggins tested negative forEquine Infectious Anemia within one year (12 months) prior to the sale and have beenrequired to have undergone a health certificate examination with 30 days of the sale.

19. CHECK LIABILITY. Any person signing a personalized check will be held liable for theamount of the check. Acceptable form of personal identification will be required. Nopost-dated checks will be accepted. Uncollectible checks will be turned over to theDistrict Attorney for the County of Latah, Idaho, and/or Tarrant County, Texas, andcharges will be filed. All returned checks are subject to a $50 fee.

20. LIABILITY. Buyers and spectators are cautioned to be careful while on the grounds andparticularly while horses are being shown or sold in the sale ring. All persons attendingthe sale do so at their own risk. Neither the owners nor any other person connected withthis sale assume any liability, legal or otherwise, for accidents to persons or property,before, during or after the sale.

21. CAUTION. Everyone attending this sale agrees to save and hold harmless and indemnifythe Appaloosa Horse Club, Sale Management, any hired agents or employees, from andagainst any and all liability, debt, claims, suits, losses, damages, causes of action, judg-ments, costs and expenses, including attorney’s fees, arising or allegedly arising from per-sonal injury or death of any person or horse, including but not limited to employees of theconsignors or buyers, property damage, including loss of use thereof, economical loss orotherwise, arising or growing out of the use of any of the facilities in connection with thesale due in any manner to the negligence or intentional acts of the consignors, buyers orspectators, any of their employees, agents or servants in the performance of any act,error, omission or negligence of Sale Management occurring concurrently with that of theconsignors, buyers or spectators contributing to any loss indemnified hereunder.
