GENERALA purchase order is accepted SUBJECT TO THE SELLER'S APPROVAL and is irrevocably conferred for the term of one month from the order date (art. 1329 of the Italian Civil Code), including fulfilment requests without prior confirmation (art. 1327 of the Civil Code).Products indicated in purchase orders and any related accessories are sold with RETENTION OF TITLE in favour of the Seller Wiva Group S.p.A. and, accordingly, the Buyer acquires title only on payment of the last instalment but risk passes to the Buyer upon delivery (art. 1523 of the Civil Code).Malfunctioning of the products and related accessories for any reason that cannot be ascribed to Wiva Group S.p.A., does not relieve the Buyer of the obligation to make payment even if the goods have not been delivered to the Buyer.

PRICESWholesale prices are ex warehouse; taxes and charges (VAT, etc.), special packaging, insurance, transportation and delivery are charged separately. Quotations and acceptance of orders are always subject to availability, at the prices and sales conditions in force upon delivery of the goods. In the event of a change in the prices, types and features of products, the Buyer shall have the right to cancel any orders by registered letter within eight days of any such change.

TRANSPORTATIONForwarding by any transport mode, even if delivered duty paid to the Buyer's or addressee's premises, is understood to be carried out at the Buyer's risk and peril. In the event of breakage and other damage, thefts, tampering during transportation, the addressee shall have to contact the carriers as the Company holds no responsibility for the aforementioned in relation to either the Buyer or the addressee. Wiva Group S.p.A. reserves the right to decide on the mode of transport unless otherwise agreed in writing.

WARRANTYWiva Group S.p.A. warrants sold products for two years from the date of purchase. Should the Buyer believe it notes any manufacturing defects on receiving the goods, the Buyer shall notify the Company within eight days of receiving the goods and await instructions, otherwise the right to warranty shall be lost. Upon the Company's request and unless any direct action is taken by it, the Buyer shall return the goods considered to be faulty in the original packaging, carriage paid. If a technical inspection ascertains a manufacturing defect, the necessary repair/replacement shall be made, or a partial or total cash adjustment shall be granted, at the sole discretion of the Company.The warranty covers any manufacturing defects and is excluded if the products have not been used as instructed by the Company and, in any case, if they have been altered, repaired or in any way not correctly used.

QUALITY CONTROLIn the absence of other agreements, the current provisions of C.E.I. (the Italian Electro-technical Committee) laid down in this regard are applicable.In the trade of products, the dealer undertakes to refrain from any action contrary to the principles of fair competition and to act in conformity with laws, regulations, practices and customs. SALES TERMS AND CONDITIONSPayments shall be made, according to the terms and conditions established on a case-by-case basis, at our registered office in Firenze - Via Siena 37/29. -No payment shall be valid unless made straight to the Company domicile or an appointed person, who shall produce regular authorization upon payment.In the event of a dispute, for any reason, the Buyer does not have any right to delay or to refuse to pay outstanding invoices.

PAYMENTSLate payment interest running from the payment due date shall be charged also on deferred payments and promissory note payments accepted in advance by the Company.WIVA Group S.p.A. reserves the right not to execute the orders of buyers who have failed to pay on time for past supplies.

CASH DISCOUNTSAny cash discounts shall be granted providing a client's payments are punctual and are automatically lost and revoked in the event of failure to pay invoices within the stipulated time limits. Allowances and bonuses of any kind shall be recognized only on condition that the Client has no outstanding payments.

DISPUTESThe competent forum for the settlement of any disputes that may arise between Wiva Group S.p.A. and the Client is the Court of Florence.

WEE DIRECTIVE (RAEE)Legislative Decree no. 49 of 14 March 2014, "Implementation of directive 2012/19/EU on electric and electronic equipment waste (RAEE)” is related to provisions concerning disposal of waste from electric and electronic equipment. In compliance with the aforementioned Legislative Decree, Wiva Group S.p.A. decided to join the ECOLIGHT consortium, which has the objective of organizing the collection and collective disposal of electric and electronic equipment which have reached the end of their useful life. To pay for this service, an "environmental contribution", also called a “visible fee”, was established by law, to be applied on all products subject to such law.In the specific case of these terms and conditions, Wiva Group S.p.A. shall apply to only products that belong to the RAEE categories:- the value of 0.12 euros on lighting equipment.These contributions are already included in the related prices indicated in the price list.

RoHS DIRECTIVEAll products put on the market by Wiva Group S.p.A. are in compliance with the requirements of the RoHS directive.

CONAIThe National Packaging Consortium (Consorzio Nazionale Imballaggi), is part of the European system which manages the recycling and recovery of packaging based on the principle of the shared responsibility of the business world in relation to the environment.Through voluntary membership of CONAI, Wiva Group S.p.A. actively and constantly promotes ecological measures aimed at reducing the environmental impact and improving the environmental conditions under which people live today and in the future.
