The Company held the 2019 Annual General Meeting of Shareholders on 29 April 2019 and submitted the Minutes of the Meeting to the SET as well as posted on the Company’s website, the details of which is attached in Attachment 1. The Company has the dividend payment policy at less 40% of the net profit of the Separate Financial Statement of the Company after deduction of corporate income tax and legal reserve yearly. In considering the dividend payment, the Company takes into account these aspects; the Company’s performance and financial result, investment’s plan as deemed appropriate. However, the dividend payment shall not have a significant impact on the Company’s normal operations. The Board’s resolution of dividend payment shall propose to the shareholders’ meeting for approval whereas the interim dividend shall be approved by the Board of Directors and will be reported to the next general shareholders’ meeting

The Company’s statement of financial position and statement of comprehensive income for the fiscal year 2019, the Company (Separate Financial Statement of the Company) has the net profit of Baht 1,856,676,937 and unappropriated retained earnings as of 31 December 2019 of Baht 2,646,038,084. Thus, the Company has approved the two payments of interim dividend totalling 1,998 Million Baht with the rate of Baht 0.1350 per share equivalent to 108% of net profit of the Company's after corporate income tax and legal reserve or equivalent to 62% of the net profit of the Company's and its subsidiaries which is more than the dividend payment policy of the Company.

The details of the interim dividend payment that has been considered by the Board of Directors to be proposed to the AGM 2020 for acknowledgement are as follows: 49

Objectives and RationaleTo utilize for the Company’s development of the existing and new projects, for the Company’s business expansion, and for the existing debt repayment, including for the Company’s working capital, the Company would like to get approval for the issuance of debentures not exceeding 30,000 Million Baht at any time.

(2) การแตงตง ทปรกษาทางการเงน และ/หรอผจดจ าหนายหลกทรพย และ/หรอสถาบนจดอนดบความนาเชอถอของผออกหลกทรพย และ/หรอบคคลทเกยวของกบการออกและเสนอขายหนก

The Board of Directors of the Company shall have the power as follows:

(1) To determine details and other conditions relating to the issuance and offering of the debentures such as its name, offering procedures, offering amount of each issuance, type of debenture, security, offering price per unit, term of maturity, period of redemption, early redemption, interest rate, method of principal and interest repayment, allocation process and other details ofoffering, including to list the debentures as listed securities on the Stock Exchange of Thailand or The Thai Bond Market Association or other secondary market(s);

(2) To appoint financial advisors and/or underwriters and/or credit rating agencies and/or relevant persons with respect to the issuance and offering of the debentures;

(3) To negotiate, enter into, execute any relevant documents and agreements, and take any action necessary for and in relation to the issuance and offering of the debentures, including to list the debentures as listed securities on the Stock Exchange of Thailand or The Thai Bond Market Association or other secondary market(s), and to obtain approval from, disclose information to and do other acts and things with the relevant authorities.

Board’s Opinion:The Board of Directors agreed to propose to the Shareholders Meeting to consider and approve the issuance of debentures not exceeding 30,000 Million Baht to be used as working capital for business expansions, development of the Company’s project and payout the outstanding debt. Therefore, it is necessary to raise funds by issuing debentures.

“กรรมการบรษทมสทธไดรบคาตอบแทนกรรมการจากบรษทในรปของเงนรางวล เบยประชม บ าเหน จ โบนส หรอผลประโยชนตอบแทนในลกษณะอน ตามททประชมผถอหนจะพจารณาและลงมตดวยคะแนนเสยงไมน อยกวาสองในสาม (2/3) ของจ านวนเสยงทงหมดของผถอหนซงมาประชม โดยอาจก าหนดคาตอบแทนกรรมการเปนจ านวนแนนอนหรอวางเปนหลกเกณฑเฉพาะ และจะก าหนดไวเปนคราวๆ หรอใหมผลตลอดไปจนกวาทประชมผถอหนจะมมต เปลยนแปลงเปนอยางอนกได นอกจากน กรรมการบรษทมสทธไดรบเบยเลยงและสวสดการตางๆ ตามระเบยบของบรษท

According to Article 22“The Company’s directors shall be entitled to the remuneration from the Company in form of cash reward, meeting

allowance, pension, bonus or other forms of compensation in accordance with the consideration and approval of the meeting of shareholders with the casting votes of no less than two-thirds (2/3) of all votes of shareholders attending the meeting. The remuneration for the directors may be fixed or subject to specific criteria, and may be designated periodically or permanently until the meeting of shareholders shall resolve otherwise. Besides, directors shall entitle to allowances and welfares in accordance with the regulation of the Company.

The above paragraph shall not affect rights of director who is nominated from staff or employee of the Company from the remuneration and benefits entitled to as the staff or employee.”

คณะกรรมการบรษทไดพจารณาแลวเหนควรน าเสนอตอทประชมผถอหนพจารณาอนมตแตงตง (1) นายชาญชย ชยประสทธ ผสอบบญชรบอนญาต เลขท 3760 และ/หรอ (2) นายไพบล ตนกล ผสอบบญชรบอนญาต เลขท 4298 และ/หรอ (3) นายบญเรอง เลศวเศษวทย ผสอบบญชรบอนญาต เลขท 6552 ของส านกงานไพรซวอเตอรเฮาสคเปอรส เอบเอเอส จ ากด เปนผสอบบญชของบรษท และพจารณาอนมตคาตอบแทนผสอบบญชส าหรบป 2563 เปนจ านวนเงนทงสน 2,557,500 บาท

Board’s Opinion:

The Board agreed to propose to the Shareholders’ Meeting to consider and approve the appointment the auditors from Pricewaterhouse Coopers ABAS Limited are named (1) Mr. Chanchai Chaiprasit, certified public accountant No. 3760 and/or (2) Mr. Papboon Tunkoon, certified public accountant No. 4298 and/or(3) Mr. Boonrueng Lerdwiseswit, certified public accountant No. 6552 to be the auditor of Company and setting their remuneration for the year 2020 in the amount of THB 2,557,500.

ตามทไดมการประกาศใชพระราชก าหนดวาดวยการประชมผานสออเลกทรอนกส พ .ศ. 2563 ซงมผลบงคบใชเมอวนท 19 เมษายน 2563 นน เพอใหการจดประชมคณะกรรมการบรษท และการประชมผถอหนของบรษท ผานสออเลกทรอนกสเปนไปโดยสอดคลองกบพระราชก าหนดดงกลาว

จงเสนอแกไขขอบงคบของบรษท ขอ 25 และขอ 25/1 และเพมเตมขอบงคบใหม ขอ 32/1 เพอใหสอดคลองกบกฎหมายดงกลาว โดยมรายละเอยดขอบงคบของบรษททเสนอขอแกไขเพมเตมดงน

As announced by the Emergency Decree on Electronic Meeting B.E. 2563, which effective on 19 April 2020 for gain convenience in convening the Board of Directors Meeting and the Shareholders Meeting of the Company via electronic media to comply with the Emergency Decree on Electronic.

Therefore, the Company would like to propose the amendment of Article of Association Clause 25, Clause 25/1, and inserting new Clause 32/1 as follows:

Article 25In calling a meeting of the Board of Directors, the Chairman of the Board orthe entrusted person shall deliver the meeting appointment notice to thedirectors no less than 7 (seven) days prior to the meeting date unless thecase of exigency for maintenance of the Company’s right and benefit, themeeting appointment shall be notified by other means and the meeting dateshall be scheduled earlier. In case of the electronic conference, themeeting appointment notice shall be delivered via electronic media. In caseof the electronic conference, the meeting appointment notice shall clearlyspecify that the conference shall carried out via electronic media andspecify electronics media which can be accessed by each director formeeting attendance.

Article 25

ขอ 25 ในการเรยกประชมคณะกรรมการ ใหประธานกรรมการหรอผซงไดรบมอบหมาย สงหนงสอนดประชมไปยงกรรมการไมนอยกวา (7) วนกอนวนประชม เวนแตในกรณจ าเปนรบดวนเพอรกษาสทธและประโยชนของบรษท จะแจงการนดประชมโดยวธอน และก าหนดวนประชมใหเรวกวาน นกได ในกรณท เ ปนการประชมผานสออเลกทรอนกส การสงหนงสอนดประชมจะสงผานสออเลกทรอนกสกได

ในกรณทเปนการประชมผานสออเลกทรอนกส หนงสอประชมจะตองระบโดยชดแจงวาการด าเนนการประชมจะกระท าโดยผานสออเลกทรอนกส และระบส ออเลกทรอนกสทกรรมการแตละคนจะสามารถเขาถงเพอการเขาประชมได

ขอ 25 ในการเรยกประชมคณะกรรมการ ใหประธานกรรมการหรอผซงไดรบมอบหมาย สงหนงสอนดประชมไปยงกรรมการไมนอยกวา (7) วนกอนวนประชม เวนแตในกรณจ าเปนรบดวนเพอรกษาสทธและประโยชนของบรษท จะแจงการนดประชมโดยวธอน และก าหนดวนประชมใหเรวกวานนกได

Amendment of Article of AssociationArticle 25/1The Board of Directors’ Meeting by electronic conference shall be in line with the following rule.(1) The directors attending the meeting at least one-third of quorum shall be in the same place of the

conference and all directors who attend the conference shall be in Thailand at the time of conference;(2) The directors who attend the conference shall enable to mutually convene, discuss and express their

opinions via electronic media;(3) The Chairman of the Meeting shall arrange the directors who attend the conference to show up for

attending electronic conference before conference attendance;(4) The Chairman of the Meeting shall record sound or both sound and image of all Article 25/1 The Board

of Directors Meeting can be held via electronic media, such Meeting shall comply with the rulesspecified by the laws. directors and attendants of the conference throughout the conference period; and

(5) The meeting shall be in accordance with the electronic conferencing security standard prescribed innotifications of the related government agencies.

(1) กรรมการทเขาประชมอยางนอยหนงในสามขององคประชมตองอยในทประชมแหงเดยวกน และกรรมการทเขารวมประชมทงหมดจะตองอยในประเทศไทยในขณะทมการประชม

(2) กรรมการทเขารวมประชมจะตองสามารถประชมปรกษาหารอและแสดงความคดเหนระหวางกนไดผานสออเลกทรอนกส

(3) ประธานทประชมจะตองจดใหกรรมการทเขารวมประชมแสดงตน เพอเขารวมประชมผาน สออเลกทรอนกสกอนรวมการประชม

(4) ประธานทประชมจะตองจดใหมการบนทกเสยง หรอทงเสยงและภาพของกรรมการและผเขารวมประชมทกคนตลอดระยะเวลาทมการประชม

(5) การประชมจะตองเปนไปตามมาตรฐานการรกษาความมนคงปลอดภยของการประชมผานสอ

ขอ 25/1 การประชมคณะกรรมการจะจดประชมผานสออเลกทรอนกสกได โดยจะตองเปนไปตามหลกเกณฑทกฎหมายก าหนด
