    WHEN YOU CLICK I HAVE READ AND AGREE TO THE LICENSING AGREEMENT ABOVE OR OTHERWISEDOWNLOAD, USE OR ACTIVATE THE AIRTIGHT PRODUCTS, THIS AGREEMENT GOVERNS YOUR USE. DEFINITIONS 1.1 YouorYourshallmeananyperson,entityororganizationthatusesAirTightproducts. 1.2 AirTight,shallmeanAirTightNetworks,Inc.1.3 AirTightCompetitorapersonorentityinthebusinessofwirelesssecurityproductsorservicessubstantiallysimilartoAirTightsproductsorservices.1.4 YourCustomersmeansyourcurrentorpotentialcustomersexcludinganyAirTightCompetitor.1.5 DocumentationshallmeantheendusertechnicaldocumentationthatAirTightsupplieswiththeHardware(ifany)andSoftware.AdvertisingandmarketingmaterialsarenotDocumentation.1.6 Errorshallmeanareproducible failureof theSoftwareorHardware toperform insubstantialconformitywith itsDocumentation.1.7 HardwareshallmeanthehardwarecontainingAirTightsoftware.NotallAirTightProductscomewithHardware.1.8 Intellectual Property Rights shall mean copyrights, trademarks, service marks, trade secrets, patents, patentapplications, moral rights, contractual rights of nondisclosure or any other intellectual property or proprietary rights,howeverarising,throughouttheworld.1.9 Release shallmeananyUpdateorUpgrade ifandwhen thesearemadeavailablebyAirTight. In theeventofadisputeastowhetheraparticularReleaseisanUpdateoranUpgrade,AirTightspublisheddesignationwillbefinal.1.10 Softwareshallmeanthesoftware(inobjectcodeformat)createdorlicensedbyAirTightandlicensedtoyoueitherasastandaloneproductorloadedonAirTightHardware,andanyReleasethereto.1.11 Updateshallmean, ifandwhenavailable,anyerrorcorrections, fixes,workaroundsorothermaintenancereleaseswithrespecttotheSoftwareprovidedbyAirTightthatdonotaddfunctionalitytotheSoftware.1.12 Upgrade shallmean, ifandwhenavailable,new releasesorversionsof theSoftware thatmaterially improve thefunctionality of, or addmaterial functional capabilities to, the Software. AirTightmay charge additional license fees forUpgrades. 2. CONTROLLINGAGREEMENT. This electronicAgreement is theentireagreementbetweenyouandAirTightandsupersedesallpriororcontemporaneousagreements,understandings,andcommunications,whetherwrittenororalunlesssuchagreementisexecutedbyanofficerofAirTight. Insuchevent,thatagreementshallonlysupersedethisAgreementtotheextent suchagreement conflictswith thisAgreement. Any termsand conditions inyourpaperorelectronicpurchaseorder,requestforproposalorquotation,oraresponsetothosedocumentsaresupersededbythiselectronicAgreement.Ifa

    thirdpartyreselleracceptsyourpurchaseorderandanofficerofAirTightdoesnotsignitandreturnittoyou,AirTightisnotaccepting its termsandconditions. AirTight isnotobligatedunderany resellersagreementwithyouunlessanofficerofAirTight signs the agreement. Certain third party software may be necessary to operate or run the Software, you areresponsibleforobtainingandlicensingsuchthirdpartysoftware.Thirdpartysoftwareisgovernedbythelicenseagreementprovidedbythatthirdparty. 3. LICENSEGRANT 3.1 LimitedLicense.AllSoftwareislicensed,notsoldandsubjecttothisAgreement.AllHardwareissoldsubjecttothelicensegrantedinthisAgreement.ForeachunitofHardwareand/orSoftwarethatyoupurchase,AirTightgrantsyouanonexclusive,nontransferable(exceptasprovidedintheSectionentitledAssignment),nonsublicensablelicenseduringthetermofthisAgreement,toinstallandexecutesuchSoftwareandHardware.TheSoftwareandHardwarearelicensedforyourowninternalbusinesspurposesunlessyouhavepurchasedorbeengivenademonstrationversionorassessmentversionof theSoftware.IfyouhaveademonstrationversionoftheSoftware,youmayusetheSoftwaresolelytoprovidedemonstrationstoYourCustomers.IfyouhaveanassessmentversionoftheSoftware,youmayuseittoprovideservicestoYourCustomers.YoumaymakeandretainonecopyoftheSoftwareforbackupanddisasterrecoverypurposessolongasyouclearlymarkitasabackuporsimilarlanguage.3.2 RestrictionsonUse.ExceptasexpresslyprovidedforinthisAgreement,youshallnot:(a)adapt,alter,publiclydisplay,publicly perform, translate, createderivativeworks of or otherwisemodify the Software; (b) sublicense, lease, rent, loan,distributeorotherwise transfer theSoftware toany thirdparty (exceptasprovided in theSectionentitledAssignment); (c)allow third parties to access or use the Software or Hardware, including but not limited to ASP, OEM or timesharingarrangements.Youshallnotreverseengineer,decompile,disassembleorotherwiseattempttoderivethesourcecodefortheSoftwareexcept to theextentexpresslypermittedbyapplicable law toobtain informationnecessary torender theSoftwareinteroperable with other software; provided, however, that you must first request such information from AirTight andAirTight may, in its discretion, either provide such information to you or impose reasonable conditions, including areasonablefee,onsuchuseofthesourcecodefortheSoftwaretoensurethatAirTightsanditssuppliersproprietaryrightsinthesourcecodefortheSoftwareareprotected.Youshallnotremove,alterorobscureanyproprietarynoticesontheSoftwareorDocumentation.UndernocircumstancesmayyouinstallorexecutetheSoftwareonmorethanonecomputeratthesametime.ExcepttotheextentnecessarytoprovideademonstrationorservicestoYourCustomerwhenyouhavepurchasedorbeengiventhedemonstrationversionorassessmentversionoftheSoftware,respectively,youshallnotcapturescreenshotsoftheSoftwareandshareitwithotherpeoplewithoutAirTightswrittenconsent.3.3 Installation. Youare responsible for installing theSoftwareandHardware (ifany)unlessyoupurchase installationservicesfromAirTightorathirdpartypursuanttoaseparateagreement.4. PROPRIETARYRIGHTS. YouacknowledgeandagreethattheSoftwareandHardware, includingbutnot limitedtotheir sequence, structure,organizationandsourcecode,contains IntellectualPropertyRightsofAirTightand its suppliers.TheSoftware is licensedandnotsoldtoyou,andnotitleorownershiptosuchSoftwareortheIntellectualPropertyRightsembodied therein passes as a result of this Agreement or any act pursuant to this Agreement. The Software (and allIntellectual Property Rights therein) is the exclusive property of AirTight and its suppliers, and all rights in and to theSoftwarenotexpresslygranted toyou in thisAgreement,arereserved. AirTightownsallcopiesof theSoftware,howevermade. The Software, Hardware and related materials contain trade secrets of AirTight and you shall not provide theSoftware, Hardware, Documentation, or details regarding the operation of the Software and/or Hardware, or any otherAirTightconfidentialand/orproprietaryinformationtoanythirdparty. 5. LIMITEDWARRANTY 5.1 Warranty. For aperiod of one year from your receipt of theHardware and/or Software (the WarrantyPeriod),AirTightwarrantstoyouandforyoursolebenefitthat,subjecttotheSectionentitledExclusions,theSoftwareandHardwarewhenusedaspermittedunder thisAgreementand inaccordancewith the instructions in theDocumentation,willoperatesubstantiallywithoutError.

    5.2 Exclusions.AirTightwillhavenoobligationtocorrect,andAirTightmakesnowarrantywithrespectto,Errorscausedby:(a)improperinstallationoftheSoftwareorHardware;(b)changesthatyouhavemadetotheSoftwareorHardware;(c)useof theSoftwareorHardware inamanner inconsistentwith theDocumentation; (d) thecombinationof theSoftwareorHardwarewithhardwareorsoftwarenotprovidedbyAirTight;(e)malfunction,modificationorrelocationofyourservers;or(f)yourfailuretomakereasonablebackups.5.3 RemedyforErrors.ForErrorsreportedtoAirTightduringtheWarrantyPeriod,yourexclusiveremedyandAirTightssoleliabilityforbreachofthiswarrantyisthatAirTightshall,atitsownexpense,(a)usecommerciallyreasonableeffortstomake available to you, by Internet download,Updates that are intended to correct suchErrors and thatAirTightmakesgenerallyavailable; (b)at itselection, repairor replaceanydefectiveHardware returned toAirTightwithin theWarrantyPeriod. Anyremedyprovidedunder thisSection5.3willnotextend theoriginalWarrantyPeriod. AirTightshallhavenoobligationregardingErrorsreported,orreturnsmade,aftertheWarrantyPeriod.5.4 Disclaimer. EXCEPT FOR THE EXPRESS WARRANTY IN SECTION 5.1, AIRTIGHT AND ITS AFFILIATESDISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOTLIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,ACCURACY,RESULT,EFFORT,TITLEANDNONINFRINGEMENT.THEREISNOWARRANTYTHATTHESOFTWAREWILLBEERRORFREE,ORTHATTHESOFTWAREORHARDWAREWILLOPERATEWITHOUT INTERRUPTIONORWILLFULFILLANYOFYOURPARTICULARPURPOSESORNEEDS.AIRTIGHTPROVIDESNOWARRANTYFORANYTHIRDPARTYSOFTWARE. 6. LIMITATIONOFLIABILITY. TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW: AIRTIGHT,ITSAFFILIATES,SUPPLIERSANDMANUFACTURERSSHALLNOTBELIABLETOYOUORANYOTHERPARTYFORANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,EXEMPLARYORRELIANCEDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,THEHARDWAREORTHESOFTWARE,UNDERANYLEGALTHEORY,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,LOSTDATA,BUSINESS INTERRUPTION,PERSONAL INJURY,FORLOSSOFPRIVACY,NEGLIGENCE,ANDFORANYOTHERPECUNIARYOROTHERLOSSWHATSOEVER,EVEN IFAIRTIGHTKNOWSOFORSHOULDHAVEKNOWNOFTHEPOSSIBILITYOFSUCHDAMAGES.EXCEPT FOR AIRTIGHTS OBLIGATIONS UNDER THE SECTION ENTITLED INDEMNIFICATION, AIRTIGHTS, ITSAFFILIATES, SUPPLIERS AND MANUFACTURERS TOTAL CUMULATIVE LIABILITY FOR ACTUAL DAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,THEHARDWARE,ORTHESOFTWARE,SHALLNOTEXCEEDTHEPRICEAIRTIGHTRECEIVEDFORSUCHHARDWAREORSOFTWARE,REGARDLESSOFTHECAUSEORFORMOFACTION. THISSECTIONSHALLAPPLYEVEN IFYOUREXCLUSIVEREMEDYHASFAILEDOF ITSESSENTIALPURPOSE. YOUACKNOWLEDGEANDAGREETHATTHEPRICESANDFEESREFLECTTHEALLOCATIONOFRISKSETFORTH INTHISAGREEMENTANDTHATAIRTIGHTWOULDNOTENTER INTOTHISAGREEMENTWITHOUTTHESELIMITATIONSONITSLIABILITY. 7. INFRINGEMENTINDEMNIFICATION 7.1 AirTightsObligation.SubjecttotheSectionsentitledConditionsandExclusions,ifathirdpartymakesaclaimagainstyouallegingthattheHardwareorSoftware infringesanyU.S.patentorcopyrightregisteredor issuedasoftheStartDate,AirTightshall:(a)payallreasonablecoststodefendyou;and(b)payanydamagesassessedagainstyouinafinaljudgmentbyacourtofcompetentjurisdictionoranysettlementthatAirTighthasagreeduponwithsuchthirdparty.7.2 Conditions. AirTightshallbeobligatedtopaythesecostsonlyifyou:(a)notifyAirTightpromptlyinwritingofanysuchclaim;(b)giveAirTightfullinformationandassistanceinsettlingand/ordefendingtheclaim;and(c)giveAirTightfullauthorityandcontrolofthedefenseandsettlementofanysuchclaim.Youmayalsoparticipateinthedefenseatyourownexpense.7.3 Exclusions.AirTightshallnotbeliablefor:(a)anycostsorexpensesincurredbyyouwithoutAirTightspriorwrittenauthorization;(b)anyuseoftheHardwareorSoftwarenotinaccordancewiththisAgreementortheDocumentation;(c)foranyclaimbasedon theuseoracombinationof theHardwareorSoftwarewithanyothersoftware,firmware,hardwareor

    datanotprovidedorapprovedbyAirTight;(d)useofanyReleaseoftheSoftwareotherthanthemostcurrentReleasemadeavailabletoyou;or(e)anyalterationsormodificationoftheHardwareorSoftwarebyanypersonotherthanAirTightoritsauthorizedagents.7.4. Cure.IntheeventAirTightisrequired,orinAirTightssoleopinionislikelytoberequired,toindemnifyyouundertheSectionentitledAirTightsObligation,AirTightshalldooneofthefollowing:(a)obtaintherightforyoutocontinueusingtheHardwareorSoftware;(b)replaceormodifytheHardwareorSoftwarewithafunctionalequivalentthatisnoninfringing;or(c)terminatethisAgreementandrefundanyfeeAirTightreceived,proratedover3years,ortheperiodofyourlicenseifshorterthan3years. 8. RISKSANDYOUROBLIGATIONS. AirTight productsmay be capable of operating at frequencies beyond thoseallowed in your region and locating and disabling targeted wireless devices and computers. YOU USE AIRTIGHTPRODUCTSATYOUROWNRISK. IfathirdpartymakesaclaimagainstAirTightarisingoutofyouruseoftheAirTightproductsoryourbreachofthisAgreement,youshall:(a)payallcoststodefendAirTight;and(b)payanydamagesassessedagainstAirTight inafinal judgmentbyacourtofcompetent jurisdictionoranysettlementthatyouagreeduponwithsuchthirdparty. If you fail tomeet your obligationsunder this Section,AirTight shallhave full authority and control of thedefenseand/orsettlementofanysuchclaimatyourexpense. 9. EXPORTRESTRICTIONS. You acknowledge that the Software is subject toU.S. export jurisdiction.You agree tocomply with all applicable international and national laws that apply to the Software, including the U.S. ExportAdministrationRegulations,aswellasenduser,enduse,anddestinationrestrictionsissuedbyU.S.andothergovernments.Youassumesoleresponsibilityforanyrequiredexportapprovaland/orlicensesandallrelatedcosts.Youshallnotacquire,ship, transfer or reexport, directly or indirectly, theHardware and/or Software to proscribed, embargoed, or prohibitedcountries or their nationals, denied destinations, nor use it for nuclear activities, chemical biologicalweapons ormissileprojects.Proscribedcountries,destinations,andpeoplearesetforthintheUnitedStatesExportAdministrationRegulations,andtheOfficeofForeignAssetControlsSpeciallyDesignatedNationalslist,andaresubjecttochangewithoutfurthernoticefromAirTight. 10. U.S.GOVERNMENTENDUSERS. TheSoftwarecoveredunderthisAgreement,isacommercialitemasthattermisdefined at 48 C.F.R. 2.101, consisting of commercial computer software and commercial computer softwaredocumentationassuchtermsareusedin48C.F.R.12.212.Consistentwith48C.F.R.12.212and48C.F.R.227.72021through227.72024,allU.S.GovernmentendusersacquiretheSoftwareandanyothersoftwareanddocumentationcoveredunderthisAgreementwithonlythoserightssetforththerein.11. CONSENTTOUSEOFDATA. You agree thatAirTight and its affiliatesmay collect anduse information that ispersonallyidentifiabletoyou.Wecollecttwotypesofinformation.TechnicalInformationregardingtheAirTightproductsandyourhardwareorsoftware,including,butnotlimitedto,serverinstallationandactivation information, licensekeyexpiration,server logs,MediaAccessControl(MAC)addresses,InternetProtocol(IP)addresses,wirelessnetwork(WLAN)informationandsensordetails.TheproductfeaturesallowingustocollectTechnicalInformationareenabledbydefaulttoconnectviatheInternettoAirTightsand/oritsaffiliatescomputersystemsautomatically,andmayoccurwithoutseparatenoticetoyou.Youconsenttotheoperationofthesefeatures.Youmaychoosenottogiveusthisinformationbynotactivatingorinstallingtheproduct.PersonalInformation(name,address,telephonenumber,companynameandemailaddress),collected,forexample,aspartofshipping,servicingorregisteringaproduct. IfwecollectPersonal Informationwewillexpresslyaskyou for it. Youmaychoosenottogiveusthisinformationatthetimewerequestit,butitmaypreventusfromshippingorservicingtheproduct.AirTight and its affiliates may use Technical and Personal Information solely to improve our products or to providecustomizedservicesortechnologiestoyou.AirTightwillnotdisclosethisinformationinaformthatpersonallyidentifiesyouexcepttothirdpartyprovidersthatweutilizetoserviceorshiptheproducts. Wemaydisclosethecollectedinformationifrequired toby laworcourtorder. Information that iscollectedbyorsent toAirTightmaybestoredandprocessed in theUnitedStates,IndiaoranyothercountryinwhichAirTight,itsaffiliates,subsidiariesoragentsmaintainfacilities.Youmay

GENERAL 12.1 Term.ThisAgreementshallstartonthedateyouclickIhavereadandagreetothelicensingtermsabove,IAgreeorotherwiseinstalloractivatetheSoftwareorHardware(theStartDate)andshallcontinueinfullforceandeffectuntilitexpirespursuanttotheperiodofusethatyoupurchasedorunlessearlierterminatedasdescribedintheSectionentitledTermination.12.2 Termination.Withoutprejudicetoanyotherrights,AirTightmayterminatethisAgreementifyoudonotcomplywithit.YoumayterminatethisAgreementatanytime.UponterminationofthisAgreementforanyreason:(a)alllicenserightsgranted in thisAgreementwill immediately terminateandyoumustpromptly stopalluseof theSoftware; (b)AirTightsobligationtoprovideservicesunderanyserviceagreementterminates;(c)youmusteraseallcopiesoftheSoftwarefromyourcomputers, and destroy all copies of the Software and Documentation on tangible media in your possession or control.TerminationofthisAgreementwillnotaffectyourrighttootherwiseuseortransfertheHardwarepurchasedfromAirTightoncetheSoftwareisremoved.12.3 Survival. TheSectionsentitledControllingAgreement,ProprietaryRights,LimitedWarranty,LimitationofLiability,RisksandYourObligations,ExportRestrictions,Termination,GoverningLawandVenueandSeverabilityshallsurvivetheexpirationorterminationofthisAgreement. AirTightsobligationsundertheSectionentitledInfringementIndemnificationshallsurviveonlyforclaimsbasedonuseoftheHardwareorSoftwareduringthelicensedterm.12.4 Assignment.Youmaynotassignortransfer,byoperationoflaw,mergerorotherwise,anyofyourrightsordelegateanyofyourdutiesunderthisAgreement(includingwithoutlimitation,thelicenseswithrespecttotheSoftware)toanythirdpartywithoutAirTightspriorwrittenconsent. Anyattemptedassignmentor transfer inviolationof the foregoingwillbevoid.AirTightmayassignitsrightsordelegateitsobligationsunderthisAgreement.12.5 GoverningLaw andVenue. ThisAgreementwill be governed by the laws of the State ofCalifornia. TheUnitedNationsConvention onContracts for the International Sale ofGoods does not apply to thisAgreement. Any action orproceedingarisingfromorrelatingtothisAgreementmustbebroughtexclusivelyinafederalorstatecourtseatedinSantaClara,California,andinnoothervenue.Eachpartyirrevocablyconsentstothepersonaljurisdictionandvenuein,andagreestoserviceofprocess issuedby,anysuchcourt. Notwithstanding the foregoing,AirTightreserves theright to fileasuitoractioninanycourtofcompetentjurisdictionasAirTightdeemsnecessarytoprotectitsintellectualpropertyandproprietaryrights.12.6 EquitableRelief.YouagreethattheSoftwareandHardwarecontainsAirTightsvaluabletradesecretsandproprietaryinformation and that any actual or threatened disclosure or misappropriation of such information would constituteimmediate, irreparable harm to AirTight for which monetary damages would be an inadequate remedy. Therefore, inaddition to any other rights and remedies which may be available to AirTight at law or in equity, any such actual orthreateneddisclosuremaybestoppedthroughinjunctiveproceedingswithoutthepostingofabond.12.7 WaiversandAmendments. Allwaiversmustbe inwriting. Anywaiveror failure toenforceanyprovisionof thisAgreementononeoccasionwillnotbedeemedawaiverofanyotherprovisionorofsuchprovisiononanyotheroccasion.ThisAgreementmaybeamendedonlybyawrittendocumentsignedbyyouandAirTight.12.8 Severability.
