The Global Experience Module is an intensive program designed to introduce experienced foreign-trained attorneys to key aspects of US business law. The goals of the US Corporate Law and Governance Program are to introduce students to the corporate form in the US. Topics covered include the corporate voting system; the power of the board of directors, and typical board structure and operations for a public corporation; the business judgment rule; fiduciary duties including duty of care and duty of loyalty; shareholder litigation; insider trading; securities regulation; public offerings; private placements; antifraud liability; shelf registration; and corporate criminal and regulatory liability. Upon completion of the program, participants will receive a Certificate from NYU Law’s Institute for Executive Education and a Certificate from IE Law School Executive Education. The goals of the US Corporate Law and Governance Program are to introduce students to the corporate form in the US.
