GF Securities’ Hong Kong IPO

Latham advised GF Securities, China’s fourth largest brokerage by assets, in its US$4.1 billion initial public offering of H Shares on the Hong Kong Stock Exchange. The IPO, the largest in Asia in 2015 at the time of issuance, drew record demand from institutional investors, and was one of the most heavily oversubscribed IPOs in Hong Kong in recent years.

Nord Anglia Education’s Acquisition of Six Schools from Meritas

Latham advised Nord Anglia Education, Inc., the world’s leading operator of premium schools in its acquisition of six schools located in China, North America and Europe from Meritas, LLC. This landmark series of transactions included simultaneous execution of a major acquisition, equity offering, high yield notes offering and bank financing, all involving complex cross border issues.

Pactera Leveraged Buyout

Latham advised on the leveraged buyout financing by Blackstone consortium in connection with the acquisition of Pactera Technology International, China’s largest technology outsourcing company. This deal was Asia’s first leveraged buyout to be financed directly through a high-yield bond.

The Financial Times recognised this deal in its 2015 Asia - Pacific Innovative Lawyer Awards, naming Latham the “Most Innovative Law Firm in Asia Pacific.”

China Life’s US$1.35 billion European Property Acquisition

Latham advised China Life Investment Holding Co., Ltd., one of the world’s largest insurers and a Fortune Global 500 company, in its US$1.35 billion acquisition of a majority stake in one of Britain’s biggest office towers. At the time, it was the largest property purchase by a Chinese investor in 2014.

Tencent’s US$2 Billion Bond Offering

Latham represented the underwriters in Tencent Holdings Limited’s landmark US$2 billion bond offering. Tencent, a Chinese online media and entertainment company, ranks number one among China’s top 100 most valuable brands.

C.P. Foods Holdings Limited Exchangeable Bond Offer

Latham advised the joint bookrunners on C. P. Foods Holdings Limited’s US$290 million exchangeable bond offer, the first ever exchangeable bond issuance out of Thailand. C.P Foods Holdings Limited is a member of the CP Group, one of Asia’s largest conglomerates.

Named “Structured Equity Deal of the Year” by International Financing Review Asia Awards, and “Debt Capital markets Deal of the Year” by The American Lawyer Global Legal Awards 2014.

PRO BONO WORK

Latham & Watkins is one of the largest providers of free legal services in the world. Pro bono work is an important part of what we do.

We work with the Pro Bono Institute for the publication of our signature Survey of Pro Bono Practices and Opportunities in Various Jurisdictions that covers more than 70 jurisdictions across Asia, Europe, the Middle East, Africa as well as North and South America. As the only resource of its kind, the Survey is widely used by in-house legal departments, law firms, sole practitioners and nonprofits as an introductory guide to pro bono practices around the world.

We use our expertise and resources to support the legal needs of disadvantaged individuals in our communities and the non-profit organisations that work with them.

We treat pro bono work in the same way as any other work: the hours spent working on pro bono matters contribute to our annual target hours; we review and supervise the work to the same standard, and we value pro bono work in our associate evaluation and bonus system.

We encourage each of our associates to participate in more than 60 hours of pro bono work each year, and invite them to introduce their own pro bono clients.

THE ASSOCIATES COMMITTEEOur Associates Committee is unique, and illustrates much of what is special about our firm. The Committee brings together lawyers from all levels of seniority – including associates and partners from almost every one of our offices. These individuals oversee all associate lawyer reviews, progression and welfare at the firm. If, as an associate, you find yourself with an issue in your office, you are encouraged to speak to your Associate Committee representative first.

LATHAM ACADEMIESThe Latham Academies for first, third and fifth-year associates, as well as the Latham Academy for new counsel and partners, are the jewels of the firm’s training and development programme. The Academies bring together entire peer groups from across the firm’s offices, giving you the chance to meet colleagues, to learn alongside them and to hear each other’s different experiences. The Latham Academies are typically held in major US cities, and always include a good mix of social activities alongside the business agenda.

First Year AcademyThe First Year Academy combines formal training programmes on topics such as the “Anatomy of a law suit” and “Critical skills for practicing as a lawyer” with social activities enabling associates to connect with their peers from around the firm.

Third Year AcademyThis programme offers a mix of presentations and workshops with an emphasis on supervision, client interaction and business development. By the end of the Academy, associates will have gained a clear understanding of how to make a successful transition from junior to mid-level associate. The Third Year Academy also allows Latham associates to continue to build relationships with their peers across the Latham network.

Fifth Year AcademyThis final Academy is a training programme focused on the transition from mid-level to senior associate. Topics include courses on partnership standards, business development, firm finances, mentoring and public speaking, as well as professional growth and development opportunities.
