I, John K. Warren, under penalty of perjury, declare as follows:

1. I am an attorney admitted to practice in the District of Columbia and the

Commonwealth of Virginia and am admitted pro hac vice in this case.

2. I am an associate at the law firm of Freshfields Bruckhaus Deringer US LLP,

legal advisors to Timothy J. Coleman, duly appointed receiver (“Receiver”) for the Defendant

Wextrust Entities and all entities they control or in which they have an ownership interest. I

am resident in the Washington, D.C. office.

3. At the direction of the Court, the Receiver, through counsel, hereby dockets

the objections attached hereto as Exhibit A, which were submitted to the Court in connection

with the Receiver’s pending Motion for an Order Approving Settlement Agreement with
