The UniCredit Group’s history

the uniCredit Group’s origins date back over five centuries to the establishment of rolo banca in 1473, when monte di Pietà, a public institute providing secured loans, was created in bologna.

more recently, the uniCredit Group was the result of the merger of nine italian banks, and the mergers with HVb Group in Germany and austria and Capitalia Group in italy.

in 1999, the then uniCredito italiano began the process of expanding into Central and eastern europe with the acquisition of bank Pekao in Poland.

in the following years growth continued with the acquisition of Pioneer investments Group, the establishment of Pioneer Global asset management and strategic acquisitions in bulgaria, Slovakia, Croatia, romania, the Czech republic and turkey.

in 2003 uniCredito italiano completed the S3 reorganization project with the establishment in italy of three banks dedicated to individual market segments - uniCredit banca, uniCredit banca d’impresa and uniCredit Private banking - and with the creation of the New europe Division.

With this reorganization, the uniCredit Group became the first bank in italy to adopt a divisional business model.

in 2005, the uniCredit Group merged with HVb Group, which was created in 1998 from two bavarian banks, bayerische Vereinsbank and bayerische Hypotheken-und Wechsel-bank. this merger resulted in a single, large european bank.

the integration with HVb Group, which strength was based on its merger in 2000 with bank austria Creditanstalt and its

local presence in many areas of the Cee, enabled the uniCredit Group to achieve further growth and to support its mission to become the first truly european bank.

this integration has resulted in the strengthening of the uniCredit Group’s presence in Cee countries where the uniCredit Group had previously made investments and the entry into new countries in the region: Hungary, bosnia Herzegovina, Slovenia, Serbia, russia and the baltic Countries.

in 2007, as a result of a merger with the Capitalia Group (italy’s third largest banking Group), the uniCredit Group strengthened its position in italy, one of its most important markets.

Capitalia was formed in 2002 from the integration of two pre-existing entities, the bancaroma Group (which in turn was the

result of the merger of several of rome’s oldest banks: banco di Santo Spirito, Cassa di risparmio di roma and banco di roma) and the bipop-Carire Group.

through the merger with Capitalia the uniCredit Group includes also banco di Sicilia, one of italy’s oldest banks, which has a strong presence in southern italy, mCC (formerly medioCredito Centrale) and fineco Group, the largest direct bank and online broker in italy.

in 2007 the uniCredit Group strengthened its presence in the Cee with an expansion into the ukraine, and it has pushed into Central asia with acquisitions in kazakhstan, tajikistan and kyrgyzstan.

The Divisions

the asset management Division is known for its Pioneer investments brand which is a global player dedicated to growing and protecting customer assets, and it is the uniCredit Group’s asset management specialist.

as the partner of leading financial institutions worldwide, the asset management Division is able to offer a complete range of innovative financial solutions, including mutual funds, hedge funds, asset management, institutional portfolios and structured products.

the Poland’s markets Division coordinates banking operations in the Polish and ukrainian markets.

the Division establishes strategic guidelines to maximize the creation of value by consolidating the uniCredit Group’s leading position in this market and through the development of marketing and distribution.

the retail Division coordinates the uniCredit Group’s retail banking operations in austria, Germany and italy. the Division offers households and small businesses a complete range of high-quality, reliable products and services with the best price/quality ratio. its main goal is customer satisfaction, which is constantly monitored using advanced tools, and forms an integral part of the corporate culture and the basis of the internal incentive system.

the Cee Division is responsible for developing banking operations in the Cee region by directing, supporting and monitoring the development of local banks with a special focus on the unique nature of individual markets. to achieve these goals, the Division relies on the distribution of the best practices developed within the uniCredit Group, which, combined with a strong knowledge of local markets, allows the uniCredit Group to offer customers state-of-the-art products and services. from an operational standpoint, the Division coordinates Cee banks through the sub-holding company, bank-austria.

Household financing is responsible for coordinating mortgages and consumer credit for the entire uniCredit Group with the goal of providing all markets in which the uniCredit Group operates the advantage of having a single global product factory that leverages the volume and in-house skills of an international group.

With an extensive branch network in austria, Germany and italy and a strong presence in emerging countries, the Corporate Division interacts with companies by emphasizing its proximity to customers.

the service model varies by segment. this allows the Division to meet the needs of companies with effective, customised solutions by rapidly evaluating the needs of an individual company, its growth potential and the markets in which it operates.

Within the Division there are two global business lines that serve the entire Group:• UniCredit Global Leasing: Europe’s

largest player with a branch network covering more than 20 countries, and the goal of capitalizing on opportunities in the sector.

• Global Financial Services: this unit is able to offer innovative support to local sales networks in the trade finance and cash management areas.

the markets & investment banking Division is the competence center for global financial markets and investment banking services. it combines placement power with in-depth structuring know-how in major markets as well as in the fast growing emerging markets. besides head offices in london, munich, milan and Vienna, the division is present in all global financial centers including New york, Hong kong and Singapore.

the Division has a cutting-edge position as a Structured finance house in Germany, where it is also leader in equity Derivatives and Jumbo Covered bonds. in italy, it is a leading player in financial risk management, has a top ranked position in the syndicated loan market, and also plays a key role in the equity Capital markets. in austria, it is the top fx bank and has a leading position in equity and Debt Capital markets.

the Private banking Division is dedicated to serving high-net-worth households, entrepreneurs and professionals. the Division’s goal is to become their trusted intermediary by providing consulting services with a high added value through a combination of the uniCredit Group’s international experience and the historical relationships maintained locally by a highly professional private banker network.

the Division’s strength lies in its ability to provide an integrated approach aimed at protecting and growing assets with the goal of maximizing all components of principal through a broad range of financial and other services while ensuring confidentiality, expertise, innovation skills, customised solutions and quality service.

Global banking Services acts as the uniCredit Group’s preferred supplier for a broad range of services supporting the business divisions’ operations including back office, loan recovery, iCt services, purchasing, insurance brokerage, property management, securities custody and settlements. through its “global service factories”, it provides strategic support for the sustainable growth of the uniCredit Group’s operations by adding value and ensuring the highest quality of services offered.

for the uniCredit Group, generating profit is an essential, but not sufficient, condition for ensuring the success and growth over time.to ensure the sustainability of profits, the latter must be pursued with integrity thereby building our reputation both internally and externally.

the Group created the Integrity Charter to reflect the shared values that serve as the basis for our identity and made up of six basic pillars: fairness, transparency, respect, reciprocity, freedom to act and trust. these values provide a reference framework on which our behavior is based, also provide support when faced with dilemmas, which cannot be managed with rote procedures and automated command and control systems.
