The global GDP for the year 2014 grew 3.4%,

with a change in the situation for emerging and

developed economies in relation to the previous

year. Emerging economies performed worse than

expected therefore, in relation to the ULMA Group,

highlighting the negative impact of the development

of Latin America and Brazil in particular (due to the

problems it is undergoing) and Mexico (as it did not

manage to meet the expectations that were set for

this market). Considering developed economies, the

good performance of the USA and the national market

is underlined. Other important markets for the ULMA

Group that have not behaved as expected are Poland

(which has suffered delayed growth) and Russia and

its surrounding area (due to political problems and

the effects of the price of oil).

The national market continues to shrink although the

rate at which it was shrinking has slowed. Market

uncertainty and credit access problems have improved

and is being noted in investment decisions. Turnover

is improving but the existing excess capacity in the

majority of sectors means that margins have still not

recovered.

Considering all these circumstances when evaluating

the business performance of the ULMA Group, we

must say that 2014 has been very satisfactory. During

the tax year, the ULMA Group achieved consolidated

sales of €664 million, which is practically a repetition

of the previous year’s figures, and this is despite the

negative impact derived from the disinvestments

performed by the business of ULMA Construction in

non-strategic international subsidiaries. International

sales of the ULMA Group grew 2% to €513 million

and they represent 77% of total product and service

sales.

Without a doubt, this huge effort we have been making

year after year with regards to the improvement of

our international position and the diversification of

risk has served to compensate the reduction in the

contribution of the interior market. Interior market

sales reached €152 million, which means a decrease

of 15% on the previous year’s figures and which

amounts to seven years of decline from €376 million

in 2007, prior to the beginning of the crisis.

The results compiled by the ULMA Group show

a profit of €19.2 million, significantly improving

on the €8.6 million noted in 2013. With this latest

figure, the ULMA Group has enjoyed four years of

continued positive results. The extensive commitment

to internationalisation along with a boost to

competitiveness through cost reduction, innovative

development and the adaptation of our products and

services to the demands of the customer have resulted

in a significant improvement in business margins.

At the close of the tax year, the number of individuals in

the employment of the ULMA Group increased to 4324

people, which is a decrease of 29 people in relation

to 2013 due to the aforementioned disinvestments.

The percentage of cooperative partners of the total

number of individuals employed in cooperatives in

2014 was ranked at 86%. On 31 December 2014,

and in accordance with the cooperative solidarity

commitment, there were 87 people relocated within

the ULMA Group. The majority of these people were

from structural unemployment records at Fagor

Electrodomésticos.

From a financial point of view, the ULMA GROUP,

with a Debt/EBITDA ratio of 1.7, is in a healthy

position, affording it significant power when facing

future challenges.

For 2015, ULMA Group businesses would like to

commence an expansion and growth plan based

on international expansion, innovation and new

promotional activities, in addition to being as

prepared as possible in order to take advantage of the

opportunities that will certainly present themselves

in the market. In order to do this, discussions with

financial entities have commenced for the purpose

of achieving the necessary financial support for this

expansion project in the coming years.

Nevertheless, the ULMA Group has planned to

increase the 2015 sales levels to €719 million, where

international sales will amount to around 80% of

the Group’s total sales. However, for the first time in

the last eight years, a decrease in the contribution of

interior market sales is not expected. An improvement

in these results is expected due to a rise in activity as

well as a slight increase in the level of employment.

TECHNOLOGY INNOVATION AND DEVELOPMENT

ULMA AGRÍCOLA– The G12 model has been developed. This is a greenhouse

model of greater width, free of obstacles, and with

greater air volume. After the relevant load calculation

studies (wind, snow and farming) were carried out, the

prototype was designed and set up. The first sale was

made in the Mexican market and the client, after the

first farming cycle, notified us of an improvement in

the interior climate of the greenhouse by around 3-4

degrees in comparison with 9-metre models.

ULMA ARCHITECTURAL SOLUTIONS – SPF:

Development of Creaktive range.

Improvement in Gel-Coat application during manufacturing.

Achievement of DIT Facades certificate.

– SPC:

Development of ULMABlock range.

ULMA PACKAGING – Market launch of traysealing machines TSA 680 and

– In the vertical wrappers line, interesting applications have

been developed such as an empty bell and air extraction

for chicken products, amongst others. Furthermore,

the automatic change of reel and the anti-irregularities

with equipment sales have been consolidated. The new

continuous closed machine project has also begun.

– In Thermoforming, the validation of the Darfresh

application has been completed by Sealed Air and the

commercialisation of the corresponding models has

commenced. We have continued to advance with more

complex machines focussed on demanding clients.

– Our UPC control system has been applied on new

product lines.

ULMA PIPING – Development of mechanical/structural calculation with

Ikerlan for spectacle blinds and swivel flanges.

– Technological collaboration project with Matz Erreka for

the value of the parent company in key aspects such as

strategic marketing. For example, the development of

the high work acquisition strategy – using self-climbing

systems – which, directed and coordinated from the

parent company, is enabling us to win benchmark projects

in many markets.

– Implementation of innovation forums in strategic

subsidiaries along with new market data sheets, which

are key elements for assessing our competitiveness.

– Launch of the processes team within the Organisational

Area.

– Culmination of the BAAN Poland Project with its launch

on 1 January 2015.

– For the second consecutive year, a 270º Evaluation of our

team leaders in Matriz-España has been carried out. We

performed this evaluation for the first time with team

leaders in Poland and Brazil.

EMPLOYMENT

In 2014, we continued with the active management of

situations of unemployment in which some of our cooperatives

are involved, although, fortunately, the intensity of this

management has seen the number decrease considerably

thanks to the consolidation of many relocations and the general

improvement of business activity. However, we shall continue

to keep up the good work in order to resolve the few remaining

pending cases as soon as possible.

On the other hand, the effects of the closure of Fagor

Electrodomésticos have been noted in terms of employment

but, once again, MONDRAGON cooperatives, though the

Employment Table that was specifically established in light of

this issue, have shown solidarity that has resulted in a significant

absorption of the impact of this problem in employment in

the region. In particular, the ULMA Group has enabled the

relocation of external partners to the Group itself, in addition

to providing an internal solution to our own surplus. At the

end of the year, there were 114 individuals relocated within

the group (business and corporately), of which, 27 were ULMA

Group partners, with six Group individuals being relocated in

other nearby cooperatives.

Over the course of the year, the level of employment decreased

overall by 29 people (in contrast with the increase of 129

people in tax year 2013). Therefore, we continue to have a ratio

between employment at the parent company and subsidiaries

of around 50/50, specifically 51.3% in the parent company

and the rest in subsidiaries. The expected trend for the coming

years is for the generation of employment in our parent

companies to reactivate once the worst of the crisis has been

overcome and with the outlooks for growth we have outlined,

especially in subsidiaries but mainly in those with potential for

growth. Regarding employment in the parent company, we

should highlight that more than 84% of posts correspond to

cooperative partners.

SOCIAL COMMITMENT

The fact we have continued to be involved in a period of

continued effort to guarantee our business stability has

not been an excuse to neglect the social commitment that

characterises us and to which we continued to be committed.

If anything, during this period of added difficulties, having

remained loyal to this commitment demonstrates, to our

understanding, an even greater value. Our mission and our

values are what guides us when it comes to defining the new

social and business goals we use to look towards the future.

Despite having achieved positive results on a group level

once again in 2014, we continue to experience different

realities according to cooperative when these results are

broken down. Where the situation is still not desirable, we

continue to employ collective effort measures (economical

and employment measures) that are a significant means of

helping us to continue advancing through this long tunnel

through which we are currently passing. On the other hand,

it is also true that, in general, a tendency for improvement

and stabilisation of the situation can be seen. The cohesion

and solidarity of ULMA Group cooperatives were, and have

continued to be in 2014, excellent levers for achieving this

positive development from an internal point of view. This

has been demonstrated not only on a results level, but also

in the great improvement in the issue of employment in the

Group to the point that we are already managing very few

cases and we have even become the recipients of individuals

displaced by other cooperatives in the total balance of

relocations.

COMPLETE PERSONAL DEVELOPMENT IN THECOOPERATIVE FRAMEWORK OF ACTIVE PARTICIPATION

Continuing with the systematic established several years

ago, cooperative training plans specifically aimed at

governing and social organisations have been developed

in 2014, in addition to welcome plans for new corporate

recruits. On the other hand, a cooperative training

programme for all partners has been introduced in one

of the Group’s large cooperatives and, for the second

consecutive year, two partners have been sent to

undertake the post-graduate course in cooperativism at

the University of Mondragón. Periodical organisational

culture surveys continue to be carried out in all cooperatives

with action plans derived from the results of these surveys.

Cooperative leadership is beginning to have an effect in

some cooperatives. The aim of these training plans is to

develop a constructive cooperative culture with special

emphasis on the promotion of cooperative leadership,

active participation and internal communication. The

central services of the ULMA Group are undertaking the

coordination to ensure that all Group cooperatives advance

in the same direction, therefore progressively developing a

common group culture.

OCCUPATIONAL HEALTH AND SAFETY

During 2014, actions aimed at increasing the level of

awareness regarding occupational risk prevention have

been developed in different cooperatives with the aim that

each person who constitutes the ULMA Group will act in the

necessary manner to achieve this mission.

In occupational medicine, individual health awareness

objectives have been covered by commencing the diagnostics

with the remaining €424,000 being distributed through

the ULMA Foundation. These resources were allocated

to promotional and inter-cooperation projects (56.4%),

Planes de Euskera (8.9%) and social and cultural promotion

projects, NGOs, aid organisations and support for education,

investigation and development organisations (28.1%), with

the remaining 6.6% going to MU Enpresagintza as part of

a five-year commitment to finance the new Oñati Campus.

Despite the total amount shared being important, it is also

true that, given the profits of Group cooperatives being

considerably reduced in recent years and consequently

the COFIP fund also being reduced, the total amounts

that we have had in recent years have been significantly

less. We must add that the number of entities requesting

collaboration is increasing, meaning management of these

funds is becoming more and more complicated. In any

case, and in spite of the aforementioned circumstances, the

ULMA Foundation continues to collaborate with more than

120 organisations today.

Regarding the promotion of health and safety, the Izan

Osasuntsu programme has been recognised with the

Gosasun seal, which is a result of the effect implementation

and development of health programmes that involve the

commitment of their target group in relation to assuming

responsibility for the health and safety improvement

objectives through the development of personal and

collective skills and responsibilities in health management,

safety, self-care and personal development.

Furthermore, a study on the efficiency of vegetal ethanol in

individuals with hypercholesterolmia was undertaken.

On the other hand, we have continued to collaborate with

Osarten, Osalan and the Basque Occupational Medicine

Society in the development of different training projects and

medical protocols.

INSTITUTIONAL SOLIDARITY

Within the participation framework of the ULMA Group as

a division of ULMA-Industrial Systems in the MONDRAGON

Corporation, the most notable aspect has been the active

participation in the review of the future of MONDRAGON.

With regards to the donations to funds established in

ordinary regulation, in the area of patrimonial support we

continue to await an agreement being reached regarding

the new financial instruments of solidarity with which the

Corporation shall be supplied. The aforementioned review

will continue in 2015 and, amongst other aspects, this is

one of the important areas that will be reviewed.

What has been confirmed is the non-recoverable donation

amounting to around €505,000 on behalf of the ULMA

Group to different corporate funds that attend to education,

investigation and development projects, compensation for

the loss of cooperatives from the MONDRAGON Industrial

Group, and social, cooperative and professional training.

This amount has been compensated through the amounts

received as compensation for the losses suffered by some

cooperatives, which rose to €158,000, noticeably less than

the amounts destined to the aforementioned funds in the

last year.

programme, 2014 has seen the reorganisation of diverse

activities aimed at different interest groups of the ULMA

Group (partners and active employees, retired partners,

educational centres, society in general, etc.). We should

highlight the regular photography contest for partners,

the crafts course for their children and various solidarity

activities. On the other hand, as we are committed to our

regular commitment to environmental entities and society in

general, and with the clear aim of fulfilling the foundational

goals of the ULMA Foundation, the management of the

Contribution for Education and Cooperative Promotion

was undertaken throughout 2014 as well as other Public

Interest Objectives (COFIP), generated from the results of

cooperatives that recorded profits in 2014. The distribution

of this fund is done according to criteria established by the

Foundation Board: criteria that involve a balanced distribution

of the fund to diverse entities that request our collaboration.

The total amount allocated in 2014 was €732,000, of which

€307,000 were channelled via MONDRAGON Corporation,
